FINDER’S FEE AGREEMENT

This is a Finder’s Fee Agreement (“Agreement”) between:

[Finder Name], an [Individual OR Entity Type organized in (State OR Country)] (“Finder”)

with an address of [Full Finder Address], and

[Company Name], an [Individual OR Entity Type organized in (State OR

Country)] (“Company”) with an address of [Full Company Address]

RECITALS:
A. Company wants to utilize the services of Finder, and Finder wants to be hired by the
Company, in the capacity of “finder”; and

B. The parties recognize this is a legal document and each has had a reasonable period of time
prior to its execution to consult with their respective legal counsel regarding its terms, meaning
and effect.

The parties therefore agree as follows:

Effective Date:
This Agreement will enter into full force and become effective on the date the last party signs
this Agreement (“Effective Date”).

Finder’s Fee for Sales Leads Passed Directly to the Company:

Subject to the terms and conditions in this Agreement, the Company, a provider of services
relating to [Describe Services], hereby agrees to compensate the Finder for any sales lead
provided by the Finder that turns into a billable sale of the Company’s services. Finder will be
paid a one-time amount of [Amount of Fee: Spelled Out] ($ [Amount of Fee in Numeric
Form]) for each lead that generates a billable sale of service (“Finder’s Fee”).

Sales Leads:
A sales lead will contain up-to-date contact information of potential clients, including company,
contact person, number(s), and email. These leads are identified by the Company as someone
who may be interested in Company’s services or who would gain benefits from the provision of
Company’s services. Such sales lead information must be emailed to the contact: [Indicate
Point Person and E-mail Address]

Payments:
Company will pay the Finder’s Fee, described above, to the Finder no later than [Number of
Days: Spelled Out] ([Number of Days in Numeric Form]) days after Company has received
an invoice from Finder or no later than [Number of Days: spelled Out] [Number of Days in
Numeric Form]) days after Company receives payment from the client that was generated from
the lead, whichever comes first.

General Provisions:
a) Each party acknowledges and agrees that any information relating to the other party’s
business which is not generally known to the public is confidential and proprietary information
(“Confidential Information”). Neither party will disclose the Confidential Information to third
parties without prior written agreement.

b) This agreement may be amended from time to time by mutual consent. Any amendments to
this agreement must be in writing and signed by both parties.

c) This Agreement will continue in effect unless terminated by either party upon [Number of
Days: Spelled Out] ([Number of Days in Numeric Form]) days written notice.

d) This Agreement shall be governed by and construed in accordance with the substantive laws
of the State of [State].

e) The parties have read this Agreement and agree to be bound by its terms, and further agree
that it constitutes the complete and entire agreement of the parties and supersedes all previous
communications, oral or written and all other communications between them relating to the
subject hereof. No representations or statements of any kind made by either party, which are not
expressly stated herein, shall be binding on such party.

f) Finder is an independent contractor, not an employee of Company or any company affiliated

with Company. Finder shall determine, in Finder’s sole discretion, the manner and means by
which the services are accomplished. This Agreement does not create a partnership or joint
venture and neither party is authorized to act as agent or bind the other party except as
expressly stated in this Agreement.
