LEASE CONTRACT KNOW ALL MEN BY THESE PRESENTS: This CONTRACT OF LEASE is made and executed at the City of Pasay, Metro Manila, this day of September 18, 2017, by and between: FLORA L. VILLAROSA, of legal age, single, Filipino, and with residence and postal address at Poblacion, Siayan, Zamboanga del Norte hereinafter referred to as the LESSOR. -AND- SHADOW LUCKY BET CORPORATION, with principal business address at 14 Diosdado Macapagal Avenue, Pasay City, a Corporation duly organized in accordance with law, represented by ROMALD CANDELARIA DE ROSALES, per attached Board Resolution (Annex A) hereinafter referred to as the LESSEE. WITNESSETH; That WHEREAS, the LESSOR is the Lessee of THE LEASED PREMISES, the Siayan Travellers Inn Parking, having an area of ONE THOUSAND FIVE HUNDRED (1,500) Square Meters situated at Atayde Street cor. Domestic Road, Pasay City; se WHEREAS, the LESSOR agrees to enter into a sublease contract on the property with the LESSEE and the LESSEE is willing to lease the same; NOW THEREFORE, for and in consideration of the foregoing premises, the LESSOR leases unto the LESSEE and the LESSEE hereby accepts from the LESSOR the LEASED premises, subject to the following: TERMS AND CONDITIONS 1. PURPOSES: That premises hereby leased shall be used exclusively by the LESSEE for] E-Bingo and Food Park only and shall not be diverted to other uses. It is hereby expressly agreed that if at any time the premises are used for other purposes, the LESSOR shall hav the right to rescind this contract without prejudice to its other rights under the law. 2. TERM: This term of lease is for TWO (2) YEARS. From September 19, 2017 to September 18, 2019 inclusive. Upon its expiration, this lease may be renewed under such terms and conditions as may be mutually agreed upon by both parties, written notice of intention to renew the lease shall be served to the LESSOR not later than THIRTY (30) days prior to the expiry date of the period herein agreed upon. 3. RENTAL RATE AND ESCALATION: The monthly rental rate for the leased premises shail be at the rate of THREE HUNDRED PESOS (PHP 300.00) per Square Meter or FOUR HUNDRED FIFTY THOUSAND PESOS (PHP 450,000.00), Philippine Currency, net of government taxes payable in advance on the 10" of each month. The rental rate shall increase by 10% per annum. Alll rental payments shall be payable to the LESSOR. 4, DEPOSIT: That the LESSEE shall give to the LESSOR upon signing of this contract and prior to move-in, advance rental for TWO (2) MONTHS or the sum of NINE HUNDRED THOUSAND PESOS (P 900,000.00), Philippine Currency and shall give a deposit equivalent to ONE MONTH rental equivalent to FOUR HUNDRED FIFTY THOUSAND PESOS (P
