MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This AGREEMENT made and entered into this ___________ day of October, 2016 at Cebu
City Philippines by and between:

HELPMATE, INC., with business address at Kinatanar Bldg., 330 N. Bacalso

Avenue, Cebu City represented by its Operations Manager, Mr. Cesar J.
Rebosura;
- and -

BARANGAY BUHISAN, with office address at Sitio Proper, Buhisan, Cebu City
represented by its Barangay Captain, Hon. Gremar C. Barete

WITNESSETH

WHEREAS, Helpmate, Inc., is a water system operator its purpose is to provide safe and
reliable water service to the people of Barangay Buhisan;

WHEREAS, Barangay Buhisan-Buhisan Barangay Council tales upon itself the responsibility
of safeguarding the health and of promoting the economic well-being of its constituents through the
availability of piped water that is safe, potable and reliable;

NOW THEREFORE, both parties agree as follows to the following terms:

RESOLVED, that Helpmate, Inc. shall ensure the safety and reliability of water
supplied by conducting the regular monthly water sampling and laboratory testing;

RESOLVED, that Helpmate, Inc. shall be accountable for all related expenses on health and
safety as a result of water contamination directly attributed to its operations;

RESOLVED, that Helpmate, Inc. shall rehabilitate damaged deep well affected within two
hundred (200) meters radius;

RESOLVED, that Helpmate, Inc. shall comply with all necessary permits and clearances in the
barangay with regards to water system installation and its development;

RESOLVED, that Helpmate, Inc. commits a twenty four (24) hours water system;

RESOLVED, that Helpmate, Inc. commits to install stand-pipe for fire emergencies and on
calamities;

RESOLVED, that Helpmate, Inc. shall be granted permit to develop, operate and
manage a domestic water supply system at Sitio Camparville, Buhisan. And for this
purpose, Helpmate Inc. shall be allowed to construct all the necessary infrastructures
for a complete water supply system such as deep wells , reservoirs and distribution
pipelines;

RESOLVED, that Helpmate, Inc. shall pay the royalty share of ten (10) centavos per
cubic meter of water extracted within Barangay Buhisan upon their water system
commence. The royalty shall be remitted to the Barangay by Helpmate, Inc. on a
quarterly basis;

FINALLY RESOLVED, that this Memorandum of Agreement shall take immediate

effect upon signing of this instrument.
 IN WITNESS WHEREOF, the parties have hereunto affixed their signatures this 18th day of
October 2016.

issued on __________________ at Cebu City, Philippines and GREMAR C. BARETE, with
Community Tax Certificate No. ____________________ issued on _________________ at
Cebu City, known to me and me known to be the same persons who executed the foregoing
instrument and they acknowledged to me that the same is their free and voluntary act and deed as
well as those of the organizations they represent.

This Memorandum of Agreement consisting of two (2) pages, including the page on
which this acknowledgment is written has been signed on the left margin of each and every page
thereof by the parties and their instrumental witnesses.
