LOAN AGREEMENT

BETWEEN

Muthoot Finance Ltd, No. 26/2, 1st Floor, Sirigandha Complex, Kengeri, Bangalore,
Karnataka- 560060.
AND

Leo Fernandes, S/o James Fernandes, Residing at No. 32, 5th Cross, Basavanagudi, Bangalore,
Karnataka-560028.

THIS AGREEMENT made and entered into at Bangalore this 15th day of July, 2018
BETWEEN Muthoot Finance Ltd. hereinafter called "the Lender" AND Leo Fernandes
hereinafter called "the Borrower" and reference to the parties hereto shall mean and include
their respective heirs, executors, administrators and assigns;

WHEREAS the Borrower is in need of funds and hence has approached the Lender to grant
him a loan of Rs.8,50,000/- (Rupees Eight Lakh and Fifty Thousands only) for a period of
Two years or with an interest rate of 14% per annum;

NOW THIS AGREEMENT WITNESSETH and it is hereby agreed by and between the parties
hereto as under:-

1. The Borrower hereto, being in need of money, has requested the Lender to give him loan of
Rs.8, 50,000/- (Rupees Eight Lakh and Fifty Thousands only) along with a 14% per annum to
enable him to purchase a tractor for the purpose of farming, to which the lender has agreed.

2. The said loan is required by the Borrower for a period of twelve months, commencing from
15/07/2018 and terminating on 15/07/2020.

3. The Borrower hereby agrees and undertakes to return the loan of Rs.8, 50,000/- (Rupees
Eight Lakh and Fifty Thousands only) along with a 14% per annum, in instalments, within the
aforesaid period of Two years. The security for the same is provided.

4. Until the discharge of all the obligations under this agreement including without limitation
repayment of the loan, payment of interest and all other amounts due under the Loan Agreement
to the Lender, the Borrower shall be required to maintain the following security as set out below
in favour of the Lender:

a) First and exclusive charge by way of Mortgage over the property ad-measuring: 20,000
sq. ft. (Twenty Thousand Square Feet), situated at 1/10, Basavanagudi, Kanakpura
Road, Bangalore, Karnataka- 560004.
5. Any dispute or difference whatsoever arising between the parties out of or relating to the
construction, meaning, scope operation or effect of this contract or the validity or the breach
thereof shall be settled by arbitration in accordance with the Arbitration and Conciliation Act,
1996 or any other statutory re-enactment or modification thereof for the time being in force
and the award made in pursuance thereof shall be binding on the parties.

a) The seat and venue the arbitration shall be Bangalore, India;


b) The Arbitration proceedings shall take place in the presence of Three Arbitrators, one
arbitrator nominated by each party and one arbitrator nominated by the other two
arbitrators;
c) The jurisdiction shall lie within the competent courts of Bangalore, Karnataka.

The terms and conditions of this Agreement are arrived at by the mutual consent of the parties
hereto.

IN WITNESS WHEREOF the parties hereto have hereunto set and subscribed their respective
hands on the 15th day of July, 2018 hereinabove written.

REPLY NOTICE

Sir,

Under instruction and on behalf of my client Mr. Leo Fernandes, I do hereby serve you with
reply to your notice dated 16.08.2019:

That my client borrowed an amount of Rs.8, 50,000/- (Rupees Eight Lakh and Fifty Thousands
only) along with a 14 % per annum interest rate to enable him to purchase a tractor for the
purpose of farming, to which the lender has agreed.

That my client has diligently paid the amount due in instalments for the first three months.
Subsequently, on account of torrential rainfall in the state of Karnataka, my client’s farmland
was flooded, and the crops were damaged resulting in heavy losses. Having lost his only source
of income, my client defaulted on his payment of the due amount for the subsequent months.

My client expresses his sincere apology for having defaulted on the monthly payments. My
client offers to pay you the total amount due along with the 14% interest rate in the form of a
One Time Settlement within a period of 15 days.

I, therefore, call upon you through this Reply Notice, to accept the offer proposed by my client
which is in the best interest of both the parties, failing which my client will not be liable to pay
any additional compensation arising out of any legal action initiated by you. Please note well.

A copy of this Notice is kept in my office for record and further necessary action and you are
also advised to keep the copy safe as you would be asked to produce in the court.
