undersigned, it was intimated to accounts team to be present at the office of Sumedha
Management Solutions Private Limited yesterday i.e January 06,2020 to scrutinise the
tally backup that was received. Despite of the aforesaid invitation the team did not show
their presence.

Nevertheless, you are hereby again requested to be visit the office of Sumedha
Management Solutions Private Limited situated at 809-810, 8th Floor, B-wing, Trade
World, Kamala Mill Compound, Lower Parel (West), Mumbai -400013 to scrutinise the
tally backup tomorrow i.e on January 08,2020 at 2.30 p.m. Expecting kind co-operation
in said matter.

Limitation of Liability
Our liability shall be limited solely to direct damages sustained as a result of fraud, wilful
default, gross negligence or wilful misconduct of our personnel in the performance of the
services. Our total liability shall be limited to the fees actually paid to us for that part of
the services giving rise to the liability. Further, you also agree to hold harmless IRP, RP,
Liquidator, Sumedha Management Solutions (P) Ltd(SMSPL) its directors, officers,
employees and other advisors free from all actions, claims, proceedings, losses, damages,
costs and expenses, whatsoever and however caused, incurred, sustained or arising,
which SFSL, directors, officers, employees and other advisors may suffer, arising from, or
in connection with, the provision of the services. This provision shall survive the
termination of the engagement for any reason.

Indemnification
With respect to third parties and third party claims, you and your affiliated entities shall
indemnify and hold harmless IRP, RP, Liquidator (including its affiliates, directors,
officers, employees and other advisors) to the full lawful extent against any claims,
liabilities, costs and expenses brought against, paid or incurred by you or any of your
affiliates at any time and in any way arising out of or relating to our services, your use of
the deliverables, or this agreement, except to the extent finally determined to have
resulted from fraud, wilful default, gross negligence or wilful misconduct of our
personnel.

Governing law and jurisdiction

The terms of business shall be governed by and construed in accordance with the laws of
India and any dispute arising out of this engagement or these terms shall be subject to the
exclusive jurisdiction of the courts in Kolkata.
