CONDITIONAL DEED OF SALE

KNOW ALL MEN BY THESE PRESENTS:


This DEED made and executed by and between:
SPOUSES ARTHUR J. MENDOZA and LYDIA G. MENDOZA, both of legal ages, both Filipino
Citizens and residents of #38 Milkyway St. Brgy. Blue Ridge B, Quezon City, Philippines, herein
referred to as the VENDORS;
-and-
SPOUSES LEOPOLDO H. FLORENTINO,JR. and MARRIANE S. FLORENTINO, both of legal ages,
both Filipino Citizens and residents of 116 Lilac St. Concepcion Dos, Marikina City, Philippines, herein
referred to as the VENDEE;
Witnesseth:
THAT, the VENDORis the absolute owner of parcel of land covered by TCT No.: M-45908,
located at Lot Municipality of Teresa, Province of Rizal, Philippines, more particularly described as
follows:
Transfer Certificate of aTitle No.: M-45908
A parcel of land (Lot 4654-D-3, of the subdivision plan, (LRD) Psd-73148, being a portion of Lot
4654-D, described on plan, (LRC) Psd-41812, LRC. Cad. Rec. No. ), situated in the Mun. of Teresa,
Prov. Of Rizal. Bounded on the E., pts. 2 to 3, by Lot 4654-D-2, of the subd. Plan; on the S. pts 3 to 1
by Lot 4654-J. (LRC) Psd41812, (Road); and on the NW. pts. 1 to 2 by property of Bruno Oliveros,
Beginning; at a pt. marked 1 of plan, being S. 59 deg. 32’W., 197.27 m. from BBM No.1, Teresa Cad.,
thence N. 64 deg. 23’E., 59.27m. to pt. 2; thence S. 1 deg. 45’W., 26.29m. to pt. 3; thence N. 89 deg.
19’W., 53.35 m. to the point of beginning; containing an area of SEVEN HUNDRED (700), SQUARE
METERS, more or less. All points referred to are marked on the ground as follows: point 1, by Old
PS. And the rest by PS. All cyl. Conc. Mons. 15x60cm., bearings true; decl. 0 deg. 40’E., date of
original survey, Dec. 1913-June 1914, and that of the subd. Survey, May 20, 1967.

WHEREAS, the VENDEE has offered to buy the VENDORS have agreed to sell to the above described
property existing therein;
NOW THEREFORE, the parties have agreed one with the other as follows:
1. That the purchased price of the above-described property shall be TWO MILLION FOUR
HUNDRED FIFTY THOUSAND PESOS ONLY (Php 2,450,000.00) Philippine Currency.
2. The VENDEE upon signing this contract shall pay an amount of One hundred Pesos (Php
100,000.00) as down payment which amount shall form part of the consideration and
deductible in the contract price.
3. That the partial contract amount of Two Million Three Hundred Fifty Thousand Pesos Only
(Php2,350,000.00) shall be payable on February 15, 2019.
4. That the amount of the Capital Gains to be paid to Bureau of Internal Revenue (BIR) shall be
paid by the VENDORS.
5. That the expenses for the transfer of title including documentary stamp tax, transfer fee,
registration fee, (excluding capital gains tax) and other incidental expenses relative to the
transfer of property herein sold to and in the name of the VENDEE shall be exclusively for
the latter’s account.
