TERMS & CONDITIONS OF ROYAL ENFIELD (A UNIT OF EICHER MOTORS LTD)

1.Auction for only quality suppliers.

2.Only Pre-qualified vendors are allowed to participate in the auction meeting the required specifications of
our client.

3.Being L1 in the auction does not mean that Order is finalized. Decision of finalizing or approving Purchase
Order with L1 Supplier is upto Royal Enfield.

4.Any disputes in registration or during bidding supplier must contact M/s Steelez and resolve it.

5.Quantity mentioned in the attached file is tentative / estimation only & there is no minimum order
quantity.

6.Prices should be door delivery Chennai - Royal Enfield & 30 days credit.

7. Royal Enfield has got all rights to accept / reject any bid without any reason.

8. Supplier should read the Royal Enfield General Purchase Terms & accept before participating in the
auction.

9. If suppliers need to visit the site before auction, then it can be planned till 1 day prior to the date of
auction.

10. Mandatory for new vendors to to visit RE before the auction.

11. Supplier quote should valid for 45 days from the date of closure of auction.

12. The rates obtained is common for all plants of RE at Chennai Location (Thiruvottiyur, Oragadam, Vallam,
OMR, Manjambakkam).

13. If any deviation in specification at the time of supply, then Rs.10000 will be debited against each supply
14. If any bidder bids wrongly then their EMD will be fore fitted & for existing supplier of RE it will be
adjusted in their running payments

15. Prices will be finalized on items wise instead of package basis

16. If any supplier fail to participate in auction even after their confirmation via mail/ telephonic their EMD
will be fore fitted

TERMS & CONDITIONS OF THE REVERSE AUCTION

1.All BIDS(e-tender)/ REVERSE AUCTION BIDS that are posted on the Web site of the e-Procurement
www.steelez.com by the company shall be considered as valid legal documents against which the Supplier/s
to whom the said Invitation to auctions have been addressed can submit their Bids in accordance with all
the Terms & Conditions stipulated in the invitation to Auction.

2.All BIDS(e-tender)/ REVERSE AUCTION BIDS submitted by the Supplier / his authorized
agent/representative by logging on to the above web site for e-Procurement using the User Identification
provided by the Service Provider and password by which the person logging into the e-Procurement System
is authenticated and filling up the structured on-line forms available against each such Invitation to Auction,
shall be considered as legal and biding documents having in all opinions the same legal validity as a
physically signed Bid by the Bidder/His authorized agent/representative.

3. Once the All BIDS (e-tender)/ REVERSE AUCTION BIDS against an Invitation to Auction submitted in the
e-Procurement System are confirmed, the Bidder/s shall be legally bound to honor the contract. In the
event of non-acceptance of the contract so awarded and arising out of such Bids (including any subsequent
confirmations on price, technical and commercial grounds from the Bidder) the company shall have access
to all and same legal remedies available for enforcement of the contract as available had the Bids been
submitted by the Bidder on paper attested with a signature of an individual so authorized.

4. Once the BIDS(e-tender)/ REVERSE AUCTION BIDS are opened, the Bidder shall have no claim to withdraw
the Bids on the grounds that he had not understood any part/total of the web posted Invitation to the
Auction and/or that he had not submitted the Bids and/or that his user-id and password had been wrongly
used by someone else not authorized by him and/or that the authority of the personnel who had been
entrusted with the user-id and password had since ceased and/or that the ranks, technical parameters and
terms and conditions which are available on-line in the e-Procurement System are not the ones that the
Bidder had submitted originally. The maintenance and security of the user-id and password is strictly and
solely the responsibility of the Bidder. The Company and Service Provider shall not be in any way
responsible for the loss/misuse of the same.

5. We understand that the company and Service Provider disclaim all warranties and conditions, either
express or implied, including, but not limited to, implied warranties or conditions of merchantability, fitness
for a particular purpose, and non infringement. We are also aware that problems related to bandwidth,
connectivity etc., are beyond the control of company and Service Provider, and hence no responsibility can
be taken by Company or Service Provider for the same.
6. That the above transmission, retention and retrieval of Invitations to Auction, Submission of BIDS(e-
tender)/ REVERSE AUCTION BIDS by the Interested Bidder etc will be handled through the Secure Servers of
the Service Provider.

7.That the Bidder who will be participating in the above e-Procurement System will be registering
themselves with the Buyer/ Service Provider for obtaining the required User Identification and passwords
for authentication for the e-Procurement System, which thereafter will be maintained by the Bidder’s
authorized personnel.

8. That after the said registration in the e-Procurement System with the Service provider, the Bidder will be
able to Log on to the e-Procurement System of the Service Provider and View, Download and see all the
Invitations to Auctions, which are transmitted by the Company to them through the e-Procurement System.

9. That the Bidder can thereafter, subject to their agreement to the terms and conditions stipulated for each
of the Invitation to Auctions posted by the company, submit their Bids in the Structured Formats available
for the purpose in the e-Procurement System web site indicating the quoted price Taxes and Duties, Freight
and all relevant Technical and Commercial contractual information as applicable and desired by them.

10. That once the Bidder fills up the online forms for submission of Bids, the data contained in these forms
will be stored in the Service Provider’s Servers in a secure form neither available or visible to any agency
including the Service Provider or the company till the time and date of opening of the Invitation to the
Auctions against which such Bids are submitted, or till such extended time and date of submission as may
be indicated against the Auction, subsequent communications at the discretion of the Company.

11. That the Auctioned is organized during the time and date for which the Invitation to Auction is valid for
submission of Bids, submit fresh Bids in super cession of his earlier Bid, in which event the latest Bid
submitted by the Bidder only will be considered as Valid.

12. That the BIDS(e-tender)/ REVERSE AUCTION BIDS submitted on-line through the medium of Internet will
be opened on/after the scheduled opening date and time (including the extended date and time, if any) by
an authorized officer of the company, at which time the Bids’ Bid part submitted by all Bidders against the
relevant Invitation to Auction will be available for Viewing in the e-Procurement System by all the Interested
Bidders who have responded with a valid Bid to the said Invitation to Auction.

13.For any disputes arising during the course of submission of the Bids on-line or for any matters
subsequent to acceptance of such on-line Bids, the method of settlement shall be through the process of
Arbitration by a Sole Arbitrator appointed by the Buyer.

14. Legal Jurisdiction: Any Contract with the Company, arising out of the E-Proc System shall be deemed to
have been formed entirely at Indore, notwithstanding the place from which Auction has been submitted.
Subject to clause 7 above, legal proceeding shall be triable by the Civil Courts.

15.For the proposed reverse auction, technically and commercially acceptable bidders only shall be eligible
to participate.

16. BIDDING CURRENCY AND UNIT OF MEASUREMENT: Bidding and evaluation will be conducted in Indian
Rupees (INR) of the item and unit of measurement shall be as mentioned above in the auction list.

17.BID PRICE (e-Tender Price): Prices all Inclusive (Door Delivered upto RE Stores), but excluding Goods and
Service Tax.
 18.The bid decrement amount shall be specified by Royal Enfield. Before start of bidding.

19.Auction shall be for a period of 60 minutes. If a bidder places a Bid in the last 1 minutes of Closing of the
Auction, the auction shall get extended automatically for another 2 minutes. In case, there is no Bid in the
last 1 minutes of closing of Auction, the Auction shall get closed automatically without any extension.

20. ROYAL ENFIELD shall be at liberty to cancel the reverse auction process / Auction at any time, before
ordering, without assigning any reason.

21. ROYAL ENFIELD shall not have any liability to bidders for any interruption or delay in access to the site
irrespective of the cause.

22. You are required to submit your acceptance (Process Compliance Form—Annexure I) to the terms/
conditions/ modality given above before participating in the reverse auction.

23. The Bidder shall not involve himself or any of his representatives in Price manipulation of any kind
directly or indirectly by communicating with other suppliers / bidders.

24. The Bidder shall not divulge either his Bids or any other exclusive details of ROYAL ENFIELD to any other
party.

25. ROYAL ENFIELD decision on award of Contract shall be final and binding on all the Bidders.

26. The bidder should place the (e-tender)/ REVERSE AUCTION BIDS for the cost per unit item.

27. The lowest bidder does not get any right to demand acceptance of his offer. ROYAL ENFIELD reserves
the right to
Accept/reject/cancel any bid, withdraw any portion of the Auction Property at any stage from Auction even
after
Acceptance of bid by successful bidder without assigning any reason thereof. ROYAL ENFIELD shall not be
responsible for any
Damages/loss whatsoever to the successful bidder on account of such withdrawal. ROYAL ENFIELD decision
will be final and binding on you and will not necessarily be based on price. However price is a very
important factor for the decision making.

28.The bid once submitted by the bidder can’t be cancelled. The bidder is bound to sell the material at
the price that they bid or less than the same in case if agreed & accepted by the bidder and ROYAL
ENFIELD. Should any bidder back out and not make the supplies as per the rates quoted, ROYAL ENFIELD
reserves the right to take appropriate action
