Executive Summery
I, Sonali Pawar, student of MMBGIMS have done my general management project on
Zee Entertainment Enterprise Pvt. Ltd. This project covers detailed study of the
company which includes study of the company profile, general management practices
carried out in that company, issues and difficulties in day-to-day operations of the
company and measures and actions taken up for solving and ensuring smooth
functioning of operations/ activities of the company.
The reason behind choosing this company is because Zee Entertainment Enterprise is
the most popular media and entertainment industry in India. It has grown business in
India as well as around the globe. The company is into channels, movies and even in
theatre drama also. The company operates through content and broadcasting segment.
The company has a library, housing over 260,000 hours of television content. They
have 45 Domestic channels and 39 international channels operating In India as well as
outside India. Shri. Subhash Chandra, one of India’s leading entrepreneurs, launched
Zee Telefilms Limited, and Zee TV, India’s first Hindi satellite channel, with a vision
to create a platform that would converge media and communications and help viewers
find a mirror that is relevant to the changing times. The Indian Media and
Entertainment industry is on an impressive growth path. The industry is expected to
grow at a much faster rate than the global average rate. Main objective behind this
project is to understand different management practices in different industry. This
project has covered areas like entire company profiles, organizing structure, decision-
making process of the company, company staff and culture of the company, etc.
This project has helped me to focus on each and every area of the company and also
helped to study this media and entertainment industry.

CHAPTER 1 :- INTRODUCTION

Government Initiatives
The Telecom Regulatory Authority of India (TRAI) is set to approach the Ministry
of Information and Broadcasting, Government of India, with a request to fastrack the
recommendations on broadcasting, in an attempt to boost reforms in the
broadcasting sector. The Government of India has agreed to set up the National
Centre of Excellence for Animation, Gaming, Visual Effects and Comics industry in
Mumbai. The Indian and Canadian Government have signed an audio visual co-
production deal to enable producers from both the countries exchange and explore
their culture and creativity, respectively.
The Government of India has supported Media and Entertainment industry’s growth
by taking various initiatives such as digitising the cable distribution sector to attract
greater institutional funding, increasing FDI limit from 74 per cent to 100 per cent in
cable and DTH satellite platforms, and granting industry status to the film industry
for easy access to institutional finance.

Indian media and entertainment (M&E) industry grew at a CAGR of 10.90 per cent
from FY17-18; and is expected to grow at a CAGR of 13.10 per cent to touch Rs
2,660.20 billion (US$ 39.68 billion) by FY23 from Rs 1,436.00 billion (US$ 22.28
billion) in FY18. India's media consumption has grown at a CAGR of 9 per cent
during 2012-18, almost nine times that of US and two times that of China. The
industry provides employment to 3.5-4 million people, including both direct and
indirect employment in CY 2017.
India's media industry is expected to grow at a CAGR of 22 per cent between FY18-
23 to reach Rs 11,900crore (US$ 1.68 billion) in FY23
India’s advertising revenue is projected to reach Rs 1,232.70 billion (US$ 18.39
billion) in FY23 from Rs 608.30 billion (US$ 9.44 billion) in FY18. Newspaper
readership in India has increased by 4.4 per cent to 425 million in Q1 2019 from 407
million in 2017. The Media & Entertainment industry is anticipated to grow at a
Compound Annual Growth Rate (CAGR) of 13.10^ per cent during 2018-23 to
reach Rs 266,020crore (US$ 39.68 billion) in FY23 from Rs 143,600crore (US$
22.28 billion) in FY18. The industry provides employment to five million people,
including both direct and indirect employment as of 2017. Advertising revenue in
India is expected to grow 15.20 per cent during 2018-2023, to reach Rs 123,270crore
(US$ 18.39 billion) in FY23 from Rs 60,830crore (US$ 9.44 billion) in FY18. India
digital advertising market has reached Rs 10,819crore (US$ 1.3 billion) in 2018.
India's advertisement market is projected to grow 10.62 per cent year-on-year to Rs
85,250crore (US$ 12.06 billion) till 2021.
India’s advertisement spending is projected to grow 15 per cent year-on-year to
reach Rs 72,169crore (US$ 10.28 billion) in 2019@. India’s digital revenues are
expected to reach US$ 394.22 million by 2021. India is the largest television market
in the world with Rs 65,190crore (US$ 10.11 billion) in revenue in FY18. The
Indian film industry is expected to grow at a CAGR of 7.60^ per cent during 2018-
2023. The Indian media and entertainment industry are expected to reach around Rs
451,373crores (US$ 64.89 billion) by 2023. India’s video streaming industry is
expected to grow at a CAGR of 21.82 per cent by 2023.
The Government of India has supported this sector's growth by taking various
initiatives such as digitising the cable distribution sector to attract greater
institutional funding, increasing Foreign Direct Investment (FDI) limit from 74 per
cent to 100 per cent in cable and Direct-to-home (DTH) satellite platforms, and
granting industry status to the film industry for easy access to institutional finance.
FDI inflows into the Information and Broadcasting sector during April 2000 to
March 2019 rose to US$ 8.38 billion. As stated in Union Budget 2019-20,
Government of India will launch dedicated channel for start-ups.

2. Reason For Selection of the company :
Twenty seven years ago, we started with a single channel, Zee TV, beaming unique
shows and curated content to a largely South Asian audience hungry for new-age
entertainment. Over time, we expanded into a multinational colossus that straddles
the Media and Entertainment industry, creating innovative content for a discerning
audience and uniting the world through entertainment. We celebrate the fact that
with effort and conviction, we can create gold out of the ordinary.
Everything that company creates has to be better than what was, but it has to be
extraordinary, everyday. Because we inspire to go beyond, it’s not a goal, it’s a
standard. It’s not for any particular individual. It’s for everyone.

Zee Entertainment Enterprises Ltd is India’s largest vertically integrated media and
entertainment company. Zee Entertainment Enterprises (formerly Zee Telefilms) is
an Indian mass media company owned by Essel Group. Headquartered in Mumbai, it
has interests in television, print, internet, film, mobile content and allied businesses.
The company started as content supplier for Zee TV now has portfolio that includes
India’s leading entertainment channels. The company`s portfolio consists of brands
like Zee TV, Zee Cinema, Zee Music, Zee Cafe, Zee Smile, Zee Action, Zee
Premiere, ETC, ETC Punjabi, TEN Sports, Zee Studio, Zee Classic, Zee Trendz, &
Zee Sports. They have also entered the educational arena with brands like ZICA,
Kidzee, ZIMA & ZED. Zee also has their in-house production company under the

Zee TV, India’s first Hindi satellite television channel. Over the years, the number of
channels and programming has exploded exponentially.
The Indian broadcast business is divided into 4 broad clusters: Hindi General
Entertainment Channels, Regional Entertainment Channels, Hindi Movie Channels
and Niche Channels.
ZEE has a portfolio of 5 SD and 2 HD channels in the genre. Zee TV is the flagship

speaking market. &tv is our second GEC targeted at young and urban audiences. Zee

territories. Of the 39 channels in the international markets, 10 are dedicated to non-

I. SAMWAD – Efficiency Through Engagement
Zee people philosophy centres around SAMWAD, which focuses on regular
conversations between teams and managers. The monthly conversation motivates
employees to propose new initiatives and suggestions to improve the quality of
output and also gives them an opportunity to explicitly mention the support expected
from managers. This two-way feedback mechanism also provides managers’
assessment and leads to better working relationships within the teams.

CHAPTER 5 : LEGAL AND REGULATORY COMPLIANCES
Funtions- The functions of the PCI include among others (i) helping newspapers
maintain their independence; (ii) build a code of conduct for journalists and news
agencies; (iii) help maintain “high standards of public taste” and foster responsibility
among citizens; and (iv) review developments likely to restrict flow of news.
Powers- The PCI has the power to receive complaints of violation of the journalistic
ethics, or professional misconduct by an editor or journalist. The PCI is responsible
for enquiring in to complaints received. It may summon witnesses and take evidence
under oath, demand copies of public records to be submitted, even issue warnings and
admonish the newspaper, news agency, editor or journalist. It can even require any
newspaper to publish details of the inquiry. Decisions of the PCI are final and cannot
be appealed before a court of law.
Limitations- The powers of the PCI are restricted in two ways. (1) The PCI has
limited powers of enforcing the guidelines issued. It cannot penalize newspapers,
news agencies, editors and journalists for violation of the guidelines. (2) The PCI
only overviews the functioning of press media. That is, it can enforce standards
upon newspapers, journals, magazines and other forms of print media. It does not
have the power to review the functioning of the electronic media like radio,
television and internet media.
Board Films can be publicly exhibited in India only after they have been certified by
the Central of Film Certification.
The Board consists of non-official members and a Chairman (all of whom are
appointed by Central Government) and functions with headquarters at Mumbai. It
has nine Regional offices, one each at Mumbai, Kolkata, Chennai, Bangalore,
Thiruvananthapuram, Hyderabad, New Delhi, Cuttack and Guwahati. The Regional
Offices are assisted in the examination of films by Advisory Panels. The members of
the panels are nominated by Central Government by drawing people from different
walks of life for a period of 2 years.
For screening films including short films, documentaries, television shows and
advertisements in theatre or broadcasting via television the Central Board of Film
Certification (CBFC) sanction is required. The role of the CBFC is limited to
controlling content of movies and television shows, etc. Unlike the PCI, it does not
have the power to issue guidelines in relation to standards of news and journalistic
conduct.
The Board consists of 25 non-ranking members and a chairperson (all of whom are
appointed by the Central Government). The regional offices are assisted in the
examination of films by Advisory Panels. Members of the panels are nominated by
the Central Government for 2 year periods, drawing from people of diverse
backgrounds.
Principles-
The Central Board of Film Certification shall ensure a film is: 1) judged in its
entirety from the point of view of its overall impact; 2) examined in the light of the
period depicted in the films and the contemporary standards of the country and the
people to which the film relates provided that the film does not affect the morality of
the audience; 3) not provocative, vulgar, offensive or violates any of the "guidelines
for certification."
NBSA administers the Codes of Ethics & Broadcasting Standards, which has been
voluntarily drawn by the News Broadcasters Association (NBA) for its member
broadcasters to demonstrate their commitment to responsible broadcasting and to
self regulate themselves.
Functions-
TheNityankAffairs:-
In the eye of the storm is a company called Nityank Infrapower and Multiventures
which is being probed by Serious Fraud Investigation Office (SFIO). ET reported in
December the legal tussle between Essel and Videocon over Nityank. It all started
when a merger between the DTH arms of Videocon and Essel groups, which took
place in March 2018, landed in the Delhi High Court.
In a case filed on 31 August of 2018 a Videocon group company has claimed that
Essel group unlawfully invoked pledges on certain Videocon D2H shares that were
placed in their custody.
The legal tussle between Essel and Videocon started after Nityank approached
NCLT to prevent allotment of shares to Videocon group company Domebell in the
merged Dish TVNSE 4.46 % entity on the grounds that it had a pledge on Videocon
D2H shares owned by Domebell. Nityank claimed the shares should be allots.
Videocon gave a different picture in court filings. In a letter written to the SFIO on
July 2, 2018 and subsequently submitted to the court, Videocon group company,
Hindustan Oil Ventures (HOV) has said that Nityank subscribed to its debentures
worth Rs. 1,626crore on behalf of the Essel group as advance payment for the shares
that the Subhash Chandra group was buying in the Videocon D2H business
After the group stocks crashed, Chandra issued a dramatic and unusual statement
claiming that “negative forces” were trying to sabotage Zee Entertainment’s
strategic sale, while acknowledging that he had committed mistakes. He apologised
to his bankers, non-banking finance companies and mutual funds. Chandra’s ‘open
letter’ did not mention the Nityank issue. Instead, he said he was compelled to
apologise to bankers, NBFCs and mutual funds as he had not lived up to their
expectations.
CHAPTER 6 : FACILITY LOCATIONS AND LAYOUTS
If the organization can configure the right location for the manufacturing facility, it
will have sufficient access to the customers, workers, transportation, etc. For
commercial success, and competitive advantage following are the critical factors:
Availability of Skill Labour: Education, experience and skill of available labor are
another important, which determines facility location.
Suppliers: Continuous and quality supply of the raw materials is another critical
factor in determining the location of manufacturing facility.
Zee Studios is the film production and distribution arm of ZEE Entertainment
producing differentiated and high-impact films, across several languages. There
years of expertise in making content for the Indian television audience and
understanding their preferences gives the studio an edge in movie making. Zee
Studios has established its credentials in the movie business with hits like Rustom,
Sairat and Natsamrat, and has an impressive slate of upcoming films across
languages.

Uncertainties in rules and regulations: The M&E industry is governed by the rules
and regulation, framed by the authorities and regulatory bodies of the different
countries the Company operates in. The policies and regulations issued by them
have a bearing on the industry landscape as well as business of the Company.
