Constitution and By-Laws

PREAMBLE

We, the members of the Junior Financial Executives of the Philippines–


Cavite State University Imus Chapter, under the aid of Almighty God, driven by our
aspirations to attain high degree of ethical, societal and intellectual growth and to
serve as an instrument to prepare students to the actual practice of financial
management, do ordain and promulgate this Constitution and By-Laws.

ARTICLE I
DECLARATION OF OBJECTIVES

SECTION 1 Organize all Financial Management students for the attainment


of high degree of moral, social and intellectual growth.
SECTION 2 Advance the welfare and interest of the members.
SECTION 3 Adopt measures that would foster educational advancement in
the field of finance.
SECTION 4 Serve as an instrument for the gradual exposure of the
students to the actual practice of financial management.
SECTION 5 Foster unity, camaraderie and coordination among the
individual members of the organization and have interaction
with other finance related organization in different schools.

ARTICLE II
QUALIFICATION FOR MEMBERSHIP

SECTION 1 Membership is mandatory for all Business Management


students majoring in Financial Management.
SECTION 2 Students who are qualified to be members of the organization
are required to accomplish an application form.
SECTION 3 All members shall pay a membership fee in the amount as may
be set by the Executive Board and shall be immediately
payable to the JFINEX upon notice to the applicant’s
admission to membership. A membership fee shall be
collected annually from every member amounting to P160
which includes the following:
 100 pesos for the annual membership fee for
the affiliation of the JFINEX-Imus Chapter outside the
campus, which is the Junior Confederation of Finance
Association of the Philippines.
 30 pesos membership fee for first semester
and the remaining amount of 30 pesos for the second
semester.
SECTION 4 The Executive Board may increase or decrease the
membership fee without the necessity of amending their
Constitution and By-Laws.

ARTICLE III
RIGHTS AND DUTIES OF MEMBERS

SECTION 1 All members shall obey the rules and regulations of the
organization as set down by these by-laws and the decision of
the Executive Board. He must help promote the aims and
purposes of the club, the welfare of its members and the
movement as a whole.

Specifically, the members have the following rights and duties


to:
a) Vote on any matter relating to the affairs done by
JFINEX:
 Team Buildings
 Appointment of new officers
 other events created and handled by the
officers;
b) Attend all regular and special assembly called by
the Executive Board;
c) Actively partake in all activities of the JFINEX –
CvSU Imus Chapter;
d) Maintain his membership in good standing by
conforming to all rules, regulations or directives of
JFINEX;
e) Renew every semester his membership and pay
the corresponding fee;
f) Pay other assessments within the given period.
g) Seek any elective or non-elective position in the
organization if qualified;
h) Withdraw membership when shifting to another
course.

ARTICLE IV
MEMBERSHIP

SECTION 1 Renewal. All members are required to renew their affiliation


with the organization every semester by paying membership
dues.
SECTION 2 Termination. Suspension, expulsion and termination of
membership shall be in accordance with the rules and
regulations of the JFINEX CvSU Imus Chapter.
a) Resignation - member/s of the JFINEX CvSU
Imus Chapter are not allowed to resign.
b) Expulsion - Membership in the JFINEX CvSU
Imus Chapter may likewise be terminated by the
approval of most of the officers (as per code of
ethics). They will no longer be member of the
organization and the same time, he/she can’t
have the sign of the President during the signing
of clearance. In case, he/she wants to have the
membership back, he/she must pay all the
payable accounts of a member in the
organization.
c) Proceeding - any member of the JFINEX CvSU
Imus Chapter may file charge against a member
by filing a written complaint with the Secretary of
the JFINEX CvSU Imus Chapter. The officers

shall call a special meeting of the members to


consider the charges. An affirmative vote of most
of the quorum shall be necessary to suspend
members shall be necessary to expel a member
(as per code of ethics).

ARTICLE V
GENERAL ASSEMBLY OF THE MEMBERS

SECTION 1 The general assembly shall be composed of all accredited


members of the organization.
SECTION 2 Special Assembly. Special assembly may be called at any time
by the President or by the order of at least majority of the
Executive Board or when demanded in writing and upon
written request of at least 50% of the members.
SECTION 3 Quorum. Sixty percent (60%) of the total club members of
good standing (members who have updated their membership
with the club) shall constitute quorum at any regular or special
assembly.

ARTICLE VI
EXECUTIVE BOARD OF OFFICERS

SECTION 1 Composition. The Executive Board of Officers shall be


composed of the President, Vice-President for External Affairs,
Vice-President for Internal Affairs, Secretary, Assistant
Secretary, Treasurer, Assistant Treasurer, Auditor and Public
Relations Officer. They shall serve for one (1) year, to begin on
the day following their appointment and shall end at the same
date year thereafter; or until their successors are duly
appointed and qualified, unless sooner removed. Their duties
and responsibilities are as follows:
 President
a) Have direct supervision of all undertakings
of the organization;
b) Lead and oversee all the meetings and
activities of the organization;
c) Form special committees and recommend
with consent from other officers;
d) Sign and approve all contracts,
disbursements, vouchers and other
documents
requiring his/her signature;
e) Appoint anyone in vacancy of any position;
f) Appoint assistant when deemed necessary;
g) Exercise general supervision over such
appointees and cause their discipline and/or

removal as appropriate, subject to the


approval of the Executive Board;
h) Possess the sole right to call for an
emergency meeting; and,
i) Represent JFINEX in official and social
functions it should be represented.

Requisites for President:


a) He/she shall be a junior to senior registered
Business Management student majoring in
Financial Management of CvSU-Imus City
Campus. He/she must be responsible and
has a good moral character.
b) He/she must be a full-time student and
registered member of the organization prior
to the election.
c) He/she must not be an officer having the
same position or of equal responsibility with
other clubs and organizations.
d) He/she must have a GPA of at least 2.0 and
must not have failing grade in any subjects
in the previous semester and while in office.

 Vice President for External Affairs


a) Create and implement public relations,
marketing and/or communication strategies;
b) Develop fund raising and budget plans that
include organizing fund-raising events,
direct mail campaigns, corporate donations,
and major gifts;
c) Build and foster relationship with
constituents;
d) Enhance the organization’s public image
and brand;
e) Act as the liaison in working with other
affiliated organizations of JFINEX outside
the University;
f) Attend all external affairs meeting to carry
out any external affairs work delegated by
the President;
g) Assist the president in handling the
organization in the latter’s absence or
inability to perform his duties;
h) Sign and approve all disbursements and
vouchers drawn against the organization and
such other documents requiring his signature;

i) Perform such other duties as are appertaining


to his office or as maybe authorized by the
President
j) Monitor current legislation and regulation

Requisites for Vice President for External Affairs:


a) He/she shall be a junior to senior registered
Business Management student majoring in
Financial Management of CvSU-Imus City
Campus. He/she must be responsible and has
a good moral character.
b) He/she must be a full-time student and
registered member of the organization prior to
the election.
c) He/she must not be an officer having the
same position or of equal responsibility with
other clubs and organizations.
d) He/she must have a GPA of at least 2.0 and
must not have failing grade in any subjects in
the previous semester and while in office.

 Vice President for Internal Affairs


a) Conduct the performance evaluation of the
Executive Board;
b) Monitor program criteria for student programs;
c) Assist the President in the discharge of the
duties of the office;
d) Assume the duties of the President when the
President is not available, the President has a
conflict of interest or the position becomes
vacant;
e) Oversee the activities and issues with the
organization;
f) Assist in the transition of the newly elected
Executive Officer;
g) Perform such other duties as are appertaining
to his office or as maybe authorized by the
President; and
h) Assist the president in handling the
organization in the latter’s absence or inability
to perform his duties.

Requisites for Vice President for Internal Affairs:


a) He/she shall be a junior to senior registered
Business Management student majoring in
Financial Management of CvSU-Imus City
Campus. He/she must be responsible and has
a good moral character.

b) He/she must be a full-time student and


registered member of the organization prior to
the election.
c) He/she must not be an officer having the
same position or of equal responsibility with
other clubs and organizations.
d) He/she must have a GPA of at least 2.0 and
must not have failing grade in any subjects in
the previous semester and while in office.

 Secretary
a) Record all proceedings of the Executive Board
and General Membership;
b) Be responsible for the safekeeping of all
relevant documents of the organization.
He/she shall see to it that all minutes are
certified by him;
c) Assist the President during official and social
functions with his undertaking; and,
d) Supervise all undertakings as may be
delegated to him/her by the President.

Requisites for Secretary:


a) He/she shall be a junior to senior registered
Business Management student majoring in
Financial Management of CvSU-Imus City
Campus. He/she must be responsible and has
a good moral character.
b) He/she must be a full-time student and
registered member of the organization prior to
the election.
c) He/she must not be an officer having the
same position or of equal responsibility with
other clubs and organizations.
d) He/she must have a GPA of at least 2.25 and
must not have failing grade in any subjects in
the previous semester and while in office.

 Assistant Secretary
a) He/she must assist the Secretary in recording
all proceedings of the Executive Board and
General Membership.
b) He/she must collaborate with the Secretary in
safekeeping of all relevant documents of the
organization.
c) He/she must be present in social events or
meetings if the secretary is unavailable.

d) Perform other duties that may be assigned to


him/her by the Secretary or President.

Requisites for Assistant Secretary:


a) He/she shall be a junior to senior registered
Business Management student majoring in
Financial Management of CvSU-Imus City
Campus. He/she must be responsible and has
a good moral character.
b) He/she must be a full-time student and
registered member of the organization prior to
the election.
c) He/she must not be an officer having the
same position or of equal responsibility with
other clubs and organizations.
d) He/she must have a GPA of at least 2.25 and
must not have failing grade in any subjects in
the previous semester and while in office.

 Treasurer
a) Perform all general functions concerning the
financial aspect of the organization; thus, have
the custody of all funds, books of accounts
and other assets of the organization;
b) Keep complete records of all cash receipts
and cash disbursements of the
organization and shall submit reports
whenever required by the Board;
c) Prepare the financial statement of the
organization every end of the
month and provide other financial
documentations as may be deemed
necessary with the Assistant Treasurer and
Auditor
d) Report financial status of the organization
every regular meeting and/or if desired by the
president during emergency meetings along
with the Assistant Treasurer and Auditor.
e) Create the corresponding budget for each
activity subject to the approval of the
Executive Board; and,
f) Perform other duties that may be assigned to
him/her by the President.

Requisites for Treasurer:


a) He/she shall be a junior to senior registered
Business Management student majoring in
Financial Management of CvSU-Imus City

Campus. He/she must be responsible and has


a good moral character.
b) He/she must be a full-time student and
registered member of the organization prior to
the election.
c) He/she must not be an officer having the
same position or of equal responsibility with
other clubs and organizations.
d) He/she must have a GPA of at least 2.25 and
must not have failing grade in any subjects in
the previous semester and while in office.

 Assistant Treasurer
a) He/she must assist the Treasurer; perform all
general functions concerning the financial
aspect of the organization.
b) Keep records of cash receipts and cash
disbursements of the
organization and shall submit reports
whenever required by the Treasurer or the
Board;
c) Help in preparing the financial statement of
the organization every end of the
month and provide other financial
documentations as may be deemed
necessary and in reporting financial status of
the organization every regular meeting and/or
if desired by the president during emergency
meetings along with the Treasurer and
Auditor.
d) He/she must be present in social events or
meetings if the Treasurer is unavailable.
e) Perform other duties that may be assigned to
him/her by the Treasurer or President.

Requisites for Assistant Treasurer:


a) He/she shall be a junior to senior registered
Business Management student majoring in
Financial Management of CvSU-Imus City
Campus. He/she must be responsible and has
a good moral character.
b) He/she must be a full-time student and
registered member of the organization prior to
the election.
c) He/she must not be an officer having the same
position or of equal responsibility with other
clubs and organizations.

d) He/she must have a GPA of at least 2.25 and


must not have failing grade in any subjects in
the previous semester and while in office.

 Auditor
a) Responsible for analyzing and the
documentation of the collection and expenses
prepared by the officers along with the
Treasurer and Assistant Treasurer with regards
to the financial performance and status of the
organization.

Requisites for Auditor:


a) He/she shall be a junior to senior registered
Business Management student majoring in
Financial Management of CvSU-Imus City
Campus. He/she must be responsible and has a
good moral character.
b) He/she must be a full-time student and
registered member of the organization prior to
the election.
c) He/she must not be an officer having the same
position or of equal responsibility with other
clubs and organizations.
d) He/she must have a GPA of at least 2.25 and
must not have failing grade in any subjects in
the previous semester and while in office.
 Public Relations Officer
a) Disseminate information on coming projects and
activities to the members;
b) Assist in the promotion of all JFINEX activities;
c) Make an update of information regarding the
JFINEX happenings; and,
d) Perform other duties that maybe assigned by
the President.

Requisites for Public Relations Officer:


a) He/she shall be a junior to senior registered
Business Management student majoring in
Financial Management of CvSU-Imus City
Campus. He/she must be responsible and has a
good moral character.
b) He/she must be a full-time student and
registered member of the organization prior to
the election.
c) He/she must not be an officer having the same
position or of equal responsibility with other
clubs and organizations.

d) He/she must have a GPA of at least 2.25 and


must not have failing grade in any subjects in
the previous semester and while in office.

 Student Academic Program (SAP) Ambassadress


a) Monitors the organization.
b) Shall review organization’s activities and
events.
c) Provide guidance in the development and
implementation of programs and activities.

Requisites for Student Academic Program (SAP)


Ambassadress:
a) He/she must be the official SAP of the Central
Student Government (CSG) of CvSU-Imus City
Campus. He/she must be responsible and has a
good moral character.
b) He/she must be a full-time student.

ARTICLE VII
RESPONSIBILITIES AFTER THE TERM

SECTION 1 Upon the expiration of the term, or when removed or


disqualified from position, all members of the Executive Board,
shall turn-over to their newly set of officers all the books,
properties, money, valuable papers and other property
belonging to the
organization that they may have in possession.

ARTICLE VIII
SUFFRAGE

SECTION 1 Annual Appointment. The Executive Board of Officers shall


announce the date and venue of the Annual Appointment of
Officers.
SECTION 2 Oath Taking. Appointed officers shall take their oath as decided
by the Office of Student Academic Affairs and conduct the Oath
Taking of Cavite State University – Imus Campus.
SECTION 3 Term. All officers of the organization shall hold position for one
year whenever there is vacancy among appointive positions,
only the Junior Financial Executive of the Philippines (JFINEX)
Cavite State University – Imus Chapter shall appoint a person
or conduct an election for the vacated position.

ARTICLE IX
ACCOUNTABILITY

SECTION 1 Responsibility. All appointed officers of the Junior Financial


Executive of the Philippines (JFINEX) Cavite State University-
Imus Chapter are expected to fulfill their duties with utmost
responsibility, loyalty, efficiency, integrity and respect for each
other and their superiors.
SECTION 2 Resignation. Appointed officers are not allowed to resign
except if there is a legal reason that the party will submit to the
JFINEX Executive Board including:
 Pregnancy
 Severe illnesses (confinement, contagious
diseases, etc.)
 Working students who cannot perform his or her
duties and responsibilities as a student leader.
 An executive member who knows that he or she
cannot fulfill his or her duties and responsibilities as
a student leader.
SECTION 3 Violation. Junior Financial Executive of the Philippines
(JFINEX) Cavite State University-Imus Chapter and Class
Officials who were proven to have conducted violations of this
Constitution and By-Laws shall undergo due process and be
punished accordingly.
SECTION 4 Punishment of such shall be decided upon by the Executive
Board of Officers, depending on the intensity of the violation.

ARTICLE X
ADVISERS

SECTION 1 Purpose. To ensure the concentration, coordination and to


check whether the actions of the organization and its officers
are bound within the existing rules and regulations of its by-
laws. Also, they should provide advice and counsel to the
organization. They shall be advisory and consultative in nature.
SECTION 2 Advisers. The organization shall have at least two (2) advisers
who will guide the organization.
SECTION 3 Duties and Responsibilities. The duties and responsibilities of
the organization adviser(s) are as follows:
a) He/she must offer guidance to the organization on
goal setting, organizational management, and
proposal planning.
b) He/she must know the general purpose of the
organization and be familiar with all the provisions in
the organization’s constitution and by-laws.
c) He/she must monitor the officers, organization’s
activities, events, and correspondence to ensure that

it is appropriate and in keeping with accepted


standards.
d) He/she must attend all meetings and activities of the
organization.
e) He/she must approve the organization’s activities and
events.
f) He/she must provide advice when called upon or
when the situation warrants.
g) He/she must attend group activities and functions and
assists when necessary.

SECTION 4 Requisites of an organization adviser. The adviser(s) must be:


a) A full time/ part time Business Management
professor/instructor of this university;
b) Finished a Baccalaureate Degree in any Business-
related course;

ARTICLE XI
MEETINGS

SECTION 1 Meetings of the officers shall be held every week. Agenda to


be discussed would be the assessment/report of the programs.
SECTION 2 Special Meetings may be called as the needs there of arise by
the President of the Organization or upon petition of 1/3 of the
General Membership.
SECTION 3 Notices of the date, time and place of annual, monthly or
special meetings of the members shall be given at least two (2)
days before the date set of such meeting. The notice of every
meeting shall state briefly the purpose/s of such meeting. No
other business shall considered at such meeting except with
consent of all the members present thereof.
SECTION 4 Quorum for any meeting of the members shall consist of a
majority of the members and a majority of the quorum may
decide any question at the meeting, except those matters
requiring the affirmative vote of a greater proportion/ majority.
SECTION 5 The order of Business at each meeting of the members/officers
shall as far as practicable be as follows:
a) Roll call and proof of quorum
b) Reading of and action on the minutes of the meeting
c) Report of officers
d) Discussion of the Agenda
e) Adjournment

Article XII
MISCELLANEOUS

SECTION 1 Rules and regulation. All rules and regulations imposed on the
membership duly promulgated by the board through
resolutions are hereby made part of this code of by-laws.
SECTION 2 Amendments. Any amendments and/or revisions to this
Constitution and By-laws shall be subject for approval of the
two-third (2/3) majority vote of the officers, and adviser(s) as
deemed necessary.
SECTION 3 Effectivity. The Constitution and By-Laws shall take effect
immediately upon ratification by most of the Executive Board of
Officers and after sufficient review and affirmation by the
organization advisers.
