CHAPTER X

CHAPTER BOARD OF DIRECTORS

SECTION 57. DUTIES AND FUNCTIONS OF THE CHAPTER BOARD OF DIRECTORS.


The following are the functions of the Chapter Board of Directors of a Chapter:

a. It shall be the governing body of the Chapter and shall have oversight functions
thereover.

b. It shall elect from among its members its Chairman and the chairpersons of all
committees it may deem necessary and desirable for the proper promotion of the
service programs of the Chapter.

c. It shall be considered a critical support group for Red Cross services and
activities on a various locations nationwide.

d. It shall provide assistance and support for program planning, development,


implementation,fund raising and evaluation.

e. It shall monitor the achievement of Chapter goals and objectives.

f. It shall deliberate and advise the Chapter’s on the latter’s annual budget prior to
its submission to National Headquarters for approval.

g. It shall approve the annual report on the activities and financial condition of the
chapter prior to its submission to the Board of Governors. The annual report shall be
prepared by the Chapter Administrator.

h. It shall ensure that it institutes a control system for fund accountability and
auditing are complied with, where violations thereof shall result in both punitive and
preventive sanctions against the offenders; Provided, that such control system shall be
consistent with the control system adopted by the National Headquarters.

i. It shall adopt the financial policies, as well asrules and regulations governing
the employees consistent with those promulgated or issued by the Board of Governors;
Provided, that such policies and rules and regulations must be submitted to the Board
of Governors for approval.

j. The Chapter Board of Directors may be allowed to adopt rules and regulations
in consultation with the responsible officers of the National Headquarters in times of
emergency, calamity, disaster or any other similar occurrences.

Any intentional or malicious deviation from or violation of the policies, rules and
regulations issued by the National Headquarters shall result in any or all of the
following sanctions: (i) immediate nullification of the issuances of the Chapter Board
of Directors upon the affirmative vote of eleven (11) members of the Board of
Governors, (ii) after due notice and hearing, and upon the affirmative vote of sixteen
(16) members of the Board of Governors, expulsion from the Philippine Red Cross, or
(iii) should any reputational or material damage result to the Philippine Red Cross,
filing of appropriate legal action against those responsible; Provided, that if such
material damages result to the Philippine Red Cross or to a third party, those
identified as responsible shall bear damages or liabilities that have so resulted;
Provided, further, that due process shall be observed at all times in regards to such
intentional deviations or violations.

k. Steward of policies and process improvement.

l. Promulgate rules and regulations in accordance with the policies and regulations
established by the Board of Governors.

m. Raise funds and resources to support the organization and sustain financial
sustainability.
