MEMORANDUM OF AGREEMENT

This Memorandum of Agreement is made and entered into by and between

THE PALACE DAY AND NIGHT RESTO, INC. a duly recognized organization with office address at
9th Ave cor 38Th Street, Uptown Bonifacio, Taguig, Philippines represented by its Human
Resources Manager, hereinafter referred to as the First Party.

Ms. Jasmine Valenzuela with residence at Taft Avenue, Ermita, Manila , hereinafter referred to
as the Second Party;

WHEREAS, First Party is contracting the Second Party as a Brand Ambassador at The Palace Manila for
the Yes Please Outlet;

WHEREAS, The Second Party has a lockout with The Palace Day and Night Resto, Inc., and other sister
establishments. This means that the Second party may not work at, promote nor endorse, on any day at
any other club, bar, beach club, day club and other competing establishments for the duration of your
contract.

WHEREAS, the role of Brand Ambassador, along with the remuneration package is confidential and must
not be disclosed to anyone especially other hosts or promoters;

WHEREAS, the First Party is requiring the Second Party to be present and visible in the establishment on
selected days for six (6) hours (subject to other stipulated guidelines in the Brand Ambassador Manual);

WHEREAS, the duration of the contract is valid from 13th of March 2019 for a trial period of one (1)
month and may or may not be renewed upon evaluation by the First Party;

FINALLY, this contract may be terminated at any time should the First Party deem that the Second Party
is not performing their duties stated above.

NOW, therefore, for and in consideration of the foregoing premises, the Second Party hereby agree on
and stipulate the following:

1. The Second party must arrive at the assigned outlet at exactly 9PM in the Outlet.
2. The Second Party is required to report for work on the following days of the week: Wednesdays
Only.
3. The Schedule of work per day will be a total of five (5) hours: 9pm to 2am.
4. The Second Party must be able to approach guests and at the same time, push bottles.

The Second Party shall receive the following from the First Party:

Talent Fee of Two Thousand Pesos (PhP 2,000) per night of duty

Note: All fees will be paid through check. Processing of the check would take fifteen (15) days.

The Second Party must follow all rules and regulations as stated and agreed upon in the Brand
Ambassadors Manual for the duration of the contract period. Failure to comply with the rules and
regulations in the Brand Ambassadors Manual may result in termination of this contract.

IN WITNESS WHEREOF, the parties hereto have signed these presents on this day of
, 2019 in The Palace Manila, Uptown Bonifacio Global City, Taguig, Philippines.
