address in Brgy. Mahogany, Butuan City; ROLANDO LIM ADVINCULA, of legal
age, Filipino, single, with residence and postal address at P-1 Brgy. Mahogany,
Butuan City, and JERICSON HERNANDEZ ADVINCULA , of legal age, Filipino,
single , with residence and postal address at No.675 Sta. Elena St., Binondo,
Manila City, represented in the act by their duly appointed Attorney-In-fact, by
way of Special Power of Attorney, ALAN HERNANDEZ LIM, of legal age, Filipino,

hereinafter referred to as the “VENDEES”;
WITNESSETH That-
WHEREAS, the vendors are the lawful owners of the parcel of land with no
improvement located at Lot 15 , Blk 248, Beverly St., Brittany Executive Village,
Neopolitan Phase 4, Brgy., Pasong Putik, Quezon City , covered by Transfer Certificate
of Title (TCT) 004-2016011728 , issued by the Registry of Deeds for Quezon City,
covering a total lot area of THREE HUNDRED FIFTY ONE (351) square meters more or
less, and is more particularly described as follows.
WHEREAS, vendors has offered to sell to the vendees the described parcel of
land with no improvement and the vendees has agreed to purchase the same.
THAT the vendors do hereby warrant valid title to, and peaceful possession of the property
herein sold and conveyed. The vendors declare that the property is free of all liens and encumbrances
of any kind whatsoever of third party or adverse claim of whatever kind of nature, whether actual or
contingent, arising from law, contract or otherwise and that it shall warrant and forever defend their
ownership against claims of third person or entity and shall consequently hold the vendees free and
blameless from any such claim. The vendors further warrant that there is no pending proceedings
instituted by or against the vendors which could impair or diminish the value of the property subject
of this Deed or otherwise defeat or cast a cloud on the title to such property;
THAT the BIR capital gains tax shall be for the account of the vendors, while the BIR
documentary stamps tax, transfer tax, registration fee of title , and other expenses necessary for the
transfer of title shall be for the account of the vendees.

CONTRACT OF SALE
This Contract Of Sale is made and entered into this day _____ of ___________ ,

No. 15 General Luis St., Novaliches, Quezon City , hereinafter referred to as the
“VENDORS”;
- AND-
ALAN HERNANDEZ LIM, of legal age, Filipino, single , with residence and postal
address in Brgy. Mahogany, Butuan City; ROLANDO LIM ADVINCULA, of legal
age, Filipino, single, with residence and postal address at P-1 Brgy. Mahogany,
Butuan City, and JERICSON HERNANDEZ ADVINCULA , of legal age, Filipino,
single , with residence and postal address at No.675 Sta. Elena St., Binondo,
Manila City, represented in the act by their duly appointed Attorney-In-fact, by

WITNESSETH:
WHEREAS, the VENDORS are the lawful owners of the parcel of lands with no
improvement located at Lots 15 and 17 , Blk 248, Beverly St., Brittany Executive Village
Neopolitan Phase 4, Brgy., Pasong Putik, Quezon City ,(Subject Property) which is
covered by Transfer Certificate of Titles (TCTs) 004-2016013742 and 004-2016011728,
issued by the Registry of Deeds for Quezon City, covering a total lot area of SEVEN
HUNDRED and TWO (702) square meters more or less, and is more particularly
described as follows:
WHEREAS, the VENDORS have agreed to sell to the VENDEES, and the
VENDEE have agreed to purchase from the VENDORS the Subject Property, under the
terms and conditions herein stipulated;
F. That the VENDORS shall no longer show the property to any prospective
buyers nor entertain upon signing of this agreement.
H. Failure of vendors to release both TCTs with BDO Unibank Inc. , and to cancel
the annotation of Real Estate Mortgage , the vendors shall refund the down
payment amounting to Five Million Pesos (Php5,000,000.00) without any court
order within (7 days) from the time the vendees notified the vendors.
K. That the VENDEES shall now be in the names of ROLANDO LIM ADVINCULA
and JERICSON HERNANDEZ ADVINCULA and ALAN HERNANDEZ LIM
L. That the VENDORS guarantees that the properties are free from all liens,
encumbrances and adverse claims and that he is fully responsible for defending
the said properties from such event after the consummation of the sale.
M. That the official relocation and verification survey of the two lots has to be done
by Sta. Lucia Realty & Dev., Inc., being the developer and recognized surveyor
by the homeowners association of Brittany Executive Village Neopolitan Phase
IV, the vendees shall request for a second relocation and verification, this time
by Sta. Lucia Realty Dev,, Inc. , should there be any discrepancies with any
lines and points as per technical description in the title in the actual lot, the
downpayment shall be refund in full by the vendors to the vendees, without any
demand.
N. Should any provision of this contract be declared by the court as null and void,
the declaration of nullity of said provision shall not affect the validity of this
transactions and of the other herein provisions which are considered as valid
and binding upon both parties.
2. Taxes. All taxes, fees, and expenses to be incurred in connection with the
registration of the sale ,transfer of title and transfer of tax declaration of the Subject
Property to the name of the VENDEES such as BIR Documentary
Stamps tax, Transfer tax, Registration fee of the titles, shall be for the
account of the VENDEES, Whereas, BIR Capital Gains tax , shall be for the
account of the VENDORS.
3. Real Property Tax for 2019 and the Homeowners Association Dues for 2019 which
the VENDORS agreed to shoulder the cost thereof up to the date of execution of
Deed of Absolute Sale.
4. The VENDORS shall turn over original copies of the following documents upon
full payment:
a. They have the legal capacity and authority to SELL the Subject Properties,
subject to the Undertaking as provided for under Paragraph 5;
c. The VENDEES will enjoy exclusive and peaceful occupation over the
Subject Properties;
d. Real property tax upon the Subject Properties as of signing hereof have
been fully paid;
f. There are no other matters, issues, things, or disputes that would prevent
the VENDEES from transferring title to the Subject Property in its name or
that will disturb the peaceful occupation and possession of the VENDEES
over the Subject Property.
6. Indemnities. The VENDORS agree to indemnify and hold free and harmless the
VENDEES, its heirs, successors in interest, and assigns, from and against any
and all costs, taxes, fees, charges, liabilities, demands, suits, losses and
expenses, including attorney’s fees, which the VENDEES may be subject to or
required to pay arising from or in connection with the Agreement.
The VENDORS hereby further agree to defend the VENDEE’s rights, title and
ownership over the Subject Properties against any person or entity claiming
interest over the same Said Properties.
7. Further Assurances. The VENDORS agree to deliver any such other documents
or things, and/or to perform such other acts or deeds, which maybe
hereafter required to be delivered, executed or performed in order that the title to
the Subject Property may be transferred to the name of the VENDEES or that
the VENDEES may be able to fully and peacefully possess, use and enjoy the
Subject Property.
8. Miscellaneous:
c. Governing Law and Venue. This Contract To Sell with Undertaking shall
be governed by the laws of the Republic of the Philippines. Any dispute in
connection with this Agreement and the Deed of Absolute Sale shall be
resolved amicably by the Parties within a period of thirty (30) days from
receipt of a notice of dispute or violation. If the Parties fail to resolve their
issues within the said period, the Parties agree to submit the same to the
exclusive jurisdiction of a competent court in Quezon City. The Parties
shall shoulder their own legal and litigation expenses in pursuing their
claims.
d. Joint and Solidary Obligations. The VENDORS and the VENDEES are
jointly and solidarily responsible in the performance of their obligations,
warranties, representations and undertakings under this Agreement.
9. POSSESION OF THE REAL PROPERTY: The VENDEES may only occupy the
Subject Property after full payment received by the VENDORS.
10. BROKER’S FEE AND COMMISSION: Three (3) percent Broker’s professional
fee and commission shall be for the exclusive account of the VENDORS.
