1. COMPOSITION OF PRICE PART

The price part shall contain the Cover Letter of Bid, the Schedule of Prices and Rates and shall be prepared in strict accordance with the structure of the Quotation
Forms as enclosed hereof and sealed separately and independently.

2. BID PRICES

Tenderer shall indicate on the appropriate Bid Schedule of Prices either based on the unit prices (where applicable) and total bid price of the goods it proposes to
supply under the ITT. The total bid price shall not include any items beyond the requirement of the bidding document; otherwise, the offer on such items will not be
deducted when evaluation. Also, the total bid price shall not omit any items required in the bidding document; otherwise, the highest offer of the same item among the
effective bids will be added to the total bid price. In case of discrepancy between unit price and total, the unit price shall prevail. A bid without itemized price required
shall be considered as non-responsive.

Prices quoted by the Tenderer shall be fixed during the Tenderer's performance of the contract and not subject to variation on any account. A bid submitted with an
adjustable price quotation will be treated as substantially non-responsive and will be rejected.

Tender’s price offer shall include, but not limit to:

 Price proposal for the scope of supply respond to the Tenderer’s technical offer comply with the requirements of specifications and performance criteria as
provided in this ITT document;

 Delivery schedule of each supply item;

 Price proposal for initial spare parts/service kits package.

 Promotion program, discounts scheme, and/or any other special offers applied to Tenderer’s bid proposal.

 The quantity is only for estimation, Company is not obliged to place orders according to the estimated quantity, and Company has the right, in its sole
discretion, to place orders according to the unit rates / prices with any quantity.

For Materials outside of Iraq , the price shall be quoted on at CIF LINER TERMS (CY to CY), Umm Qasr Port, Iraq (INCOTERMS 2010)

According to the requirement of Technical Service Contract for the Missan Oil Fields dated May 17, 2010 entered into by and between Company and other
contracting parties, all the imported materials of CNOOC Iraq Limited enjoy levy exception during customs clearance in Iraq. For DAP (INCOTERMS 2010)
delivery, Company only issue the Authorization Letter of Tax & Levy Exemption and Custom Clearance from CNOOC Iraq Limited and the Supplier shall be
responsible for completing the levy process, custom clearance and inland transportation of the imported goods from entry point in Iraq to Company warehouse or
designated place in Missan Oil Fields.

3. INTRODUCTION OF TAX REGIME

Tenderer shall note that all bidding prices (whether of individual items or in total) shall be considered as tax inclusive (including VAT, GST & Sales Taxes) and no tax
shall be mentioned separately in the bidding price. Contractor shall be considered disqualified if the tax is mentioned separately in the bidding price documents.

Tenderer is responsible to seek clarification through their tax advisor on the applicability of tax laws applicable to the project prior to submitting the proposal.

2. DELIVERY Point and Guarantee Delivery Date

Supplier shall deliver the materials to Delivery point as follows:

Guarantee Delivery Date: Within one hundred and eighty (180) calendar days from the
Contract Date.

Delivery point: CIF INCOTERM to Umm Qasr Port, Iraq .

3. Warranty Period:

1- Warranty Period will be twelve (12) months from the date of material
receiving Checklist signed.
2- Defective materials remedied by Supplier shall re-warranted for further
twelve(12) months from the date of completion of the remedy.

4. PAYMENT SCHEDULE

Second Payment 5% of Contract Price Period expires and acceptance of the undisputed
invoice by the Company.

Note: All payments under this Contract shall be subject to tax deductions as per tax laws
applicable in the republic of Iraq.
