I. IMPORTANT NOTICE
1.1. DISCLAIMER
1.1.1. This Request for Qualification (RFQ) does not constitute an offer or an invitation by
Software Technology Parks of India (STPI) to prospective Bidders nor should the
same be treated as a Bid Document. The purpose of this RFQ is to elicit information
from interested parties as regards their eligibility to bid with a view to pre-qualifying
prospective Bidders.

1.1.2. This RFQ document does not purport to contain all the information a prospective
Bidder may require. Each prospective Bidder should conduct an independent
assessment of the information in this document and, if required, retain advisors to
provide the necessary professional advice.

1.1.3. Neither Software Technology Parks of India (STPI) nor their employees or consultants
make any representation or warranty as to the accuracy, reliability or completeness of
the information in this RFQ.

1.1.4. Neither STPI nor their employees or consultants will have any liability to any
prospective Bidder or any other person under the law of contract, tort, the principles of
restitution or unjust enrichment or otherwise for any loss, expense or damage which
may arise from or be incurred or suffered in connection with anything contained in this
RFQ, any matter deemed to form part of this RFQ, the award of the Project, the
information and any other information supplied by or on behalf of STPI or their
employees, any consultants or otherwise arising in any way from the selection process
for the Project.

1.1.5. STPI reserves the right to accept or reject any or all of the offers at any stage of the
process.

1.1.6. STPI reserves the right to change any or all of the provisions of this RFQ. Such a
change would be intimated to all the parties procuring this RFQ.

1.1.7. STPI reserves the right to change, modify, add to or alter the bidding process including
inclusion of an additional stage for short listing of pre-qualified Bidders, based on
detailed evaluation of capabilities. Any change in the bidding process shall be
intimated to all the affected parties.

1.2. PURPOSE OF THE REQUEST FOR QUALIFICATION


1.2.1. STPI intends to embark on a process of International Competitive Bidding (ICB) to
select Private Partner(s) to develop India’s first Bio-IT Park (“the Park”), through a
Special Purpose Vehicle (SPV) Company to be set up to implement the project. For
this purpose, Request for Qualification (RFQ) are invited from Real Estate
Developers, Biotech/ Information Technology/ Pharma Companies, Service
Providers to Biotech/IT/Pharma industry, Equipment Suppliers, Operations &
Maintenance (O&M) agents, Corporate Houses, Financial Institutions, Multilateral
Development Agencies, Private & Public R&D Institutions, Investment Promotion
Agencies of the State Governments, independently and/or in consortia.

1.2.2. STPI’s objective is to select a Private Partner(s) who has the technical, financial and
managerial capability to plan, design, construct, finance, market and operate a world-
class Bio-IT Park in India. The Private Partner(s) should also have the capability to
visualise a sound development model for the Park, understand the critical business
issues concerning the Bio-IT industry, ability to estimate the demand for services and
possess the ability to project manage the commissioning of the Park.

1.2.3. The proposed Bio-IT Park would be a joint venture between the STPI, identified State
Government, and the Private Partner(s). The following will be the key role of the
aforementioned stakeholders:

1.2.3.1. Identified State Government will be an equity partner in the SPV to the
extent of the value of land and other basic infrastructure provided by it to the
Park.

1.2.3.2. STPI will act as an enabler and facilitator for the development of the Park. It
will also have a minority stake in the equity capital of the SPV, based on the
mutually agreed financial parameters.

1.2.3.3. The Private Partner(s) will retain the majority stake as well as management
control. They will have to raise funds and manage the Project.

1.2.3.4. Government of India through its agencies “Department of Information


Technology (DIT)”, Ministry of Communications and Information Technology
and “Department of Biotechnology”, Ministry of Science and Technology
will also participate in the Project. It is proposed that the Government of India
will fund the development of the identified specialised infrastructure in the
proposed service block of the Park.

1.2.4. STPI has issued an advertisement dated 25th November 2004 inviting expression of
interest (EoI) from Private Partner(s) for co-development of the Park.

1.3. SELECTION PROCESS


1.3.1. STPI proposes to follow a two-stage selection process for the selection of a private
promoter for the development of the Bio-IT Park.

1.3.2. STPI proposes to utilise both this Request for Qualification (RFQ) and a subsequent
Request for Proposal (RFP) as selection vehicles.

1.3.3. The purpose of a two-stage selection process is to be sensitive to cost and efforts
required by the initial field of Bidders responding to RFQ. The RFQ process is
designed to objectively and systematically evaluate team qualifications of Bidders to
reduce the field to a maximum number of Ten (10). By requiring only the financial and
technical qualifications, prospective partner can avoid the initial cost and effort of
responding to a detailed and technical RFP. Only the Bidders selected, as the result of
their RFQ will be asked to submit a RFP. As a result of the RFP process, STPI will
select a promoter with whom it will negotiate an agreement for the Bio-IT Park.

1.3.4. The RFQ would be evaluated based on the criteria developed by STPI and its
advisors, viz. Ernst & Young Private Limited (E&Y), and the short listed Bidders would
be asked to submit a RFP. After evaluation of the RFP, STPI will negotiate the
agreement with the Selected Bidder(s).

1.3.5. Bidders meeting the basic eligibility criteria mentioned in the advertisement would be
required to submit technical and financial information, along the format annexed to this
RFQ.

1.3.6. The completed RFQ should reach the under mentioned address before 1700
Hours on 27th December 2004.

II. DEFINITIONS
2.1. SPECIAL PURPOSE VEHICLE (SPV): Special Purpose Vehicle Company would be an
infrastructure company under sections 80IA and 10(23) G of the Income Tax Act, 1961.

2.2. THE PROJECT: To plan, design, construct, finance, market and operate a world-class
Bio-IT Park at an identified location in India.

2.3. BIDDER: Bidder or Bidding Consortium, as defined below:

2.3.1. Bidder: An individual, a firm, association of persons, or body of individuals, or a


company incorporated under the Indian laws, or government agencies or statutory
bodies that undertakes to execute the Project

2.3.2. Bidding Consortium: Two or more Bidders that undertake to jointly execute the
Project.

2.3.3. Lead Bidder: The Bidder in a Bidding Consortium who expressly commits to take
up responsibilities for execution of the Project.

2.3.4. Bidding Consortium Member/ Member Companies: The Bidders in a


Consortium, other than the Lead Bidder.

2.3.5. Qualified Bidders: Those Bidders who have qualified for submission of the RFP.

2.3.6. Selected Bidders: The Qualified Bidders who have been selected after the
evaluation of the RFP for further negotiations.

2.4. PRIVATE PARTNER(S): The finally selected Bidder for partnering with STPI to execute
the Project.

III. BRIEF PROFILE OF THE PROJECT


3.1. INTRODUCTION AND PROJECT CONCEPTULISATION PROCESS
The new global knowledge economy is witnessing the convergence of two potent forces –
Information technology and Biotechnology. The synthesis of these two technologies, now
termed as Bio-IT, is expected to have an all-pervasive and transformational impact on
industries across the globe.

The Bio-IT sector, which represents application of IT in Life Sciences, is at a nascent stage in
India. In an endeavour to promote the activities in this industry, the Department of Information
Technology (DIT), Ministry of Communications & Information Technology, in conjunction with
the Department of Biotechnology (DBT), Ministry of Science and Technology, Government of
India intends to facilitate setting up of a state-of-the-art infrastructure in the form of a ‘Bio-IT
Park’. The proposed Park would address the IT related needs of the global life sciences
industry and is expected to attract investments (both domestic and international) in the related
areas.

The Government of India has executed the conceptualisation process of the Bio-IT Park on a
fast track basis. The process of conceptulisation was initiated with preparation of a brief
concept paper by STPI in the early part of the year. To further refine the concept and to draw
up a detailed feasibility report of the Park, a leading management consultant Ernst & Young
Pvt. Ltd. was appointed by the Government of India in February 2004. E&Y further developed
the concept of the Park through:

Conducting several workshops across the country involving leading industry experts,
scientists, Academicians etc. from the fields of IT, Biotechnology, Pharma, real estate etc.

Conducting international benchmarking study of several R&D institutions/ knowledge


parks/ industrial parks/academic institutions etc. focusing on Bio-IT.

Study tour to leading Bio-IT establishments such as San Diego Super Computing Centre
in USA, Biopolis in Singapore.

The refined concept paper and the detailed feasibility report were then submitted to the
Planning Commission of India for its review and approval. The Planning Commission of India
has already given an in-principle approval for the development of the Bio-IT Park.

3.2. BIO-IT: AN OVERVIEW


Bio-IT represents the marriage of life sciences and Information Technology (IT) and spans
many disciplines, such as bioinformatics, clinical informatics, cheminformatics,
pharmacogenomics, molecular modeling, bioengineering, biosimulation, medical imaging and
many others. It has evolved as a result of convergence of several disciplines of science
namely biology, biochemistry, molecular biology, bio statistics and computer science.

Over the years, role of Information Technology (IT) is attaining greater significance in the life
sciences industry. Managing and interpreting voluminous data generated by biological
research is becoming increasingly complex and time consuming. Many IT companies have
shifted their focus to the life sciences sector to address these needs in the form of customised
products and services. The impact of IT is evident across the drug discovery cycle where it is
being used extensively to achieve faster and accurate results. Bio-IT provides solutions
across the drug discovery cycle, be it data acquisition and integration, target identification and
validation, or lead compound generation and optimisation etc. Techniques such as
simulations, modeling, visualisations etc are acting as catalysts to expedite the research
activities and ensure accuracy of their outcomes.

The increasing application of IT in the life science research has unleashed vast business
opportunities, which have not been tapped entirely. Apart from this, other key aspects such as
egression of scalable technologies and techniques; upsurge in the R&D activity; and thrust
towards R&D productivity has fuelled the growth of this emerging sector across the globe.

3.3. BIO-IT: INDUSTRY DYNAMICS


The Global Bio-IT market was estimated to be around USD 2.1 billion in 2000 and is
estimated to reach around USD 25.901 billion by the year 2006. The global Bio-IT sector is
primarily witnessing such growth rates due to the ‘ever expanding’ computational needs for life
sciences industry, especially drug discovery companies.

The Indian Bio-IT industry is in the evolution phase. However, considering the wide
recognition of India’s capabilities in the technology-driven sectors across the globe, it is
expected to emerge as a leading player in the Bio-IT space. According to International Data
Corporation (IDC) the Bio-IT market in India in the year 2002 was about USD 15 million
which is expected to reach USD 120 million by the year 2006. The compounded annual
growth of the industry during 2002 to 2006 is pegged over 50%.

The primary driver for the growth of the Indian Bio-IT market is the enhanced focus of the
Indian IT and Pharmaceutical majors on the Bio-IT sector and the emergence of India as a
preferred destination for outsourcing R&D activity. Other key drivers for the Indian Bio-IT
industry would be the biodiversity in turn providing clinical trial opportunity; the demand for low

cost R&D across the world; large pool of skilled manpower in IT available in India; and the
proactive initiatives of the Central and State Governments.

The Indian Bio-IT companies are mainly operating in the software and services segment.
Major Indian Bio-IT companies such as TCS, Satyam Computer Services, Infosys, Strand
Genomics, Wipro, Ocimum Biosolutions, etc have been offering customised software solutions
to leading Pharmaceutical and Biotechnology companies across the world. Some of the key
services being offered by the Indian IT companies are data management and integration,
clinical trials management, enterprise content management and resource planning, protein
structure prediction and high throughput molecular modeling, integration of software solutions
across the discovery process, automated genome analysis, including comparative genome
analysis etc.

3.4. CONCEPT OF THE BIO-IT PARK


With significant initiatives to foster activities in the technology based industries and
businesses, several developing countries such as China, India, Singapore, Taiwan etc are
now looking at positioning themselves as “knowledge based economies”. Most of these
countries have achieved the aforementioned objective primarily by developing supporting and
enabling infrastructures in the form of science/technology/knowledge Parks.

The Science/technology/knowledge Parks, act as a catalyst and stimulate the thought process
of various stakeholders towards creating knowledge and wealth for the community. With the
same objective, the Government of India has proposed to set up a ‘state-of-the-art’ Bio-IT
Park in India.

The Bio–IT Park will be a geographic concentration / cluster of industry (IT & life
sciences), research institutions and sci-tech academia, which will endeavour to
address the IT related needs of the global life sciences industry

The Park will be developed on a public–private partnership model and would serve as a
dedicated industrial cluster conjoining life sciences research with state-of-the-art computer
science. The Park will primarily promote human health related R&D activities in all the major
segments of computational biology. Initially, the Park will focus on the seven research
technologies/scientific areas namely, Bioinformatics, Cheminformatics,
Pharmacogenomics, Clinical Informatics, Molecular Modelling, Bio Engineering and Bio
Simulations.

The firms involved in the field of Bio-IT and related areas would be the target clienteles for the
Park. The facilities and infrastructure at the Park would be designed keeping in mind the
specialised and common requirements of these companies. The categories under which the
target tenant segment of the Park can be classified are -

3.5. PROJECT DESCRIPTION


The Park would provide a campus-like environment and would be specially designed to
accommodate the domestic and international companies of all sizes and in different stages of
development of the Park. This would provide them an environment, where they can develop
close linkages with several centres of knowledge creation for their mutual benefit.

Park would house ‘state-of-the-art’ infrastructure and facilities required by the tenants. It would
have wet labs, dry labs, specialised equipments and business facilities such as conference
halls, meeting rooms etc. The Park would also be virtually connected/networked to critical
resources and facilities through the Grid system. It would have high bandwidth connectivity
with several leading national and international science parks, public & private research
laboratories, and academic institutions with the objective of sharing and exchanging research
‘knowledge’ and resources.

Considering the rapid advancements in the technological, infrastructure and service


requirements of the Bio-IT companies, it is proposed that the Bio-IT Park would be developed
in three phases. The Park would be developed upon an estimated area spanning 100
acres. In the first two phases, which are scheduled to be completed by 2005-06 (Phase
I) and 2008-09 (Phase II) respectively, it is proposed to develop a total of 3,25,000
square feet of space in the Bio-IT Park. The Phase III of the Bio-IT Park would be scaled up
on a need-based approach.

The site of the Bio-IT Park is proposed to be divided into three core blocks with each of them
housing specially designed modular buildings and other supporting infrastructure. The details
of each are given in the table below.

3.5.1.Innovation Corridor: The innovation corridor will provide infrastructure facilities, which
will provide both Biotechnology/biology and informatics research platforms to multiple
users on paid basis. The innovation corridor will house the following three components,
namely, Biology Block, Information Technology Block and Independent Research Plots
The ‘Biology Block’ (Bio Block) will provide modern wet laboratory infrastructure,
and other necessary infrastructure required for undertaking chemical/biological
R&D such as Instruments & Services Centre, Darkroom facilities, and small animal
house etc.
The ‘Information Technology Block’ (IT Block) will house state-of-the-art software
development and analysis laboratories to meet the requirements of the tenant
companies.
The Park will also offer ‘Independent Research Plots’ of a size of 1 acre each, to
build customised research centres and pilot plants to the companies looking to
have their own building within the Park.

3.5.2.Service Corridor: The service corridor at the Bio-IT Park will act as a hub of all kinds of
specialised, technical and general business services, which will be made available to the
tenants of the Park on a fee-for-service basis. The corridor will also house some
specialised laboratories, which will be established in phases using special funding of
approx. INR 300–350 million from the Government of India. These laboratories will be
available to the tenant companies on a fee-for-service basis.

3.5.3.Administrative Corridor: The administrative corridor of the Park will be a hub for
business support and other recreational services of the Park. The Amenity Center in the
Corridor will house an auditorium, modular meeting rooms, Business Facilitation Hub,
Fitness and Recreation center, Food Court and a Library. The Corridor will also house
the administrative offices of the Park management.

3.6.LOCATION
The feasibility report for the Bio-IT Park drafted by Ernst & Young Pvt. Ltd. has identified the
following six potential locations for the development of the Bio-IT Park in the country.
1) Bangalore
2) Chennai
3) Hyderabad
4) Kolkata
5) New Delhi (NCR)
6) Pune

Site details would be provided to the short listed Bidders in the RFP documents.

3.7. PROPOSED PROJECT TIMELINE


The Bio-IT Park is proposed to be developed in two phases, Phase I and Phase II. The
construction activity for Phase I is proposed to begin in 2005-06 while the construction activity
of Phase II would begin in 2008-09.

3.8. PROJECT COST


The overall project cost for the development of the Bio-IT Park (including phase II) is
estimated to be approximately INR 1000 Million. The estimated break up of the project cost for

Out of the total estimated project cost, the Cost allocated for the development of the service
corridor will be entirely funded through a special funding from the Government of India. The
proposed funding would be channelised thorugh DIT and DBT and would be only used for the
development of identified specialised infrastructure in the service corridor.

3.9. PRE-PROJECT ACTIVITIES COMPLETED BY STPI

3.9.1. Concept development of the Bio-IT Park


3.9.2. Preparation of a detailed feasibility report for the development of the Bio-IT Park
3.9.3. In-principle approval of Planning Commission of India for funding of specialised
infrastructure proposed in the Bio-IT Park.

IV. INDICATIVE ROLE OF VARIOUS STAKEHOLDERS


IN THE DEVELOPMENT OF THE BIO-IT PARK
STPI, short listed private promoter(s), identified State Government and the Central
Government will be the main stakeholders of the Bio-IT Park. The role and responsibility of
each of the abovementioned stakeholders is briefly described below:

4.1. ROLE OF STPI


4.1.1.STPI shall act as a facilitator to the Project.

4.1.2.STPI will participate in the project as an equity participant to the extent of 11% of the
total paid-up equity of the SPV.

4.1.3.The STPI will not stand guarantee or underwrite any financing agreements for the
Project.

4.1.4. STPI will also assume the role of preferred service provider for fulfilling the data-
communication needs of the tenants of the Park.

4.2. ROLE OF THE SHORTLISTED PRIVATE PROMOTER


The Developer shall (finally, upon being selected) be inter alia expected to:

4.2.1. Carry out the planning, detailed studies, surveys and investigations for the Project.
4.2.2. Incorporate Special Purpose Company.
4.2.3. Complete the design and detailing of the Project.
4.2.4. Reach financial closure for the Project, including mobilizing debt & equity.
4.2.5. Invest in equity component of the Bio-IT Park, excluding the equity picked up by
STPI or other government /development agencies
4.2.6. Procure required clearances for commencing and implementation of the Project.
4.2.7. Complete construction of the works within the stipulated time frame.
4.2.8. Implement the environmental management plan required for the construction and
operational phases of the Project.
4.2.9. Market the infrastructure facility to draw international and national companies to
operate in the Bio-IT Park.

4.3. ROLE OF THE STATE GOVERNMENT


4.3.1. State Government will hold a limited percentage of equity in lieu of the land
provided for the development of the Bio-IT Park.
4.3.2. State Government will not stand guarantee or underwrite any financing agreements
for the Project.

4.3.3. State Government will also provide necessary regulatory support and speedy
clearances from the State authorities for the development of the Park.

4.3.4. Take initiatives to develop the support infrastructure in and around the site of the
Bio-IT Park.

4.4. ROLE OF THE CENTRAL GOVERNMENT


4.4.1. Fund the phased development of the specialized infrastructure/ laboratories in the
service corridor of the Bio-IT Park to an extent of INR 300–350 Million.

5.1.PROFILE OF SOFTWARE TECHNOLOGY PARKS OF INDIA
Software Technology Parks of India (STPI), a society under the Ministry of Communications
and Information Technology, Government of India, has been identified as a nodal agency for
the implementation of the Bio-IT Park project along with the short listed private promoter.

STPI was established in 1991 with the objective of encouraging, promoting and boosting the
software exports from India. Since then, STPI has played a seminal role in developing India as
an IT superpower. The STP scheme launched by STPI has been widely successful and the
exports made by STP units registered under it have grown manifold over the years. Today,
the exports by STPI registered units are more than 90% of the total software exports from the
country. As per the last audited figures, the total exports by STP units in 2003-04 is INR
51,458 Crores.

Presently, STPI is present across 39 destinations in the country and most of them are
witnessing significant growth in the number of member companies. As on 31st March 2003
about 4644 units were operative under the STPI scheme, out of which 3544 units were
actually exporting. The remaining units are in various stages of establishment. A large number
of multinational software/IT firms are also member of the STPI.

STPI provides a wide range of services to its member companies ranging from statutory
services, data communications services, incubation facilities, consultancy services & project
management Service. It maintains internal engineering resources to provide consulting,
training and implementation services. Services cover Network Design, System Integration,
Installation, Operations and maintenance of application networks and facilities in varied areas
ranging from VSATs to ATM based networks. It also has provided comprehensive service
including project approvals, import attestation, software export certification etc., in a time

STPI has also forayed in the international arena and is participating/executing several global
projects. On behalf of the Government of India, STPI is acting as a nodal agency for execution
of Ebene Cyber-City Project of the Government of Mauritius. The Ebene Cyber City is a one-
stop world-class facility for ICT Companies engaged in the business of IT-Enabled services,
Call centres, and back office operations. STPI is responsible for feasibility, design, and
execution of Communications Network including the Satellite and Optic fiber in the Project.

5.2.COMMITMENT TO A FAIR AND TRANSPARENT PROCESS


STPI is dedicated to ensure that the process leading to the selection of the private partner(s)
is fair, transparent, efficient, interactive, and at the same time, protects the confidentiality of
the information shared by the Bidders with it.

The selection process has been designed keeping these objectives in mind, and STPI shall
take all steps to ensure that the above objectives are realized. These include:
• A transparent selection process. (Explained in the following sections)
Ernst & Young Private Limited has been appointed as an independent agency to advice
STPI on the selection process.
STPI will also take the help of various other external agencies, such as legal and technical
experts, to ensure that the process is fair and efficient.

VI. THE SELECTION PROCESS & SCHEDULE


The selection process for Private Partner(s) consists of the following stages:
Stage I : Request for Qualification (RFQ)
Stage II : Request for Proposal (RFP)
As a part of the first stage, STPI is issuing this RFQ document, inviting prospective Bidders to
submit their Request for Qualification. RFQ submitted by Bidders in response to this Request
for Qualification, shall be evaluated based on the eligibility criteria as detailed in Section 6.1.
The information required to be provided by the Bidders submitting their RFQ is outlined in
Section 9.5

6.1. ELIGIBILITY CRITERIA FOR QUALIFICATION

6.1.1. Eligibility Criteria For Financial Strength: The Bidders should meet the following
eligibility criteria for financial strength as specified below.

6.1.1.1. Net worth NOT less than INR 200 Million (or equivalent USD) as per the latest
audited financial statement.

6.1.1.2. Annual turnover NOT less than INR 300 Million (or equivalent USD) as per
the latest audited financial statement. In case of Investment promotion
agencies of State/Central Government, Public R&D Labs and other
Government run agencies/organisations, the financial parameters will not
be applicable.

6.1.1.3. In case of a Bidding Consortium, the Lead Bidder would have to satisfy the net
worth and the Annual turnover criteria for Eligibility.

6.1.2.Eligibility Criteria For Technical Capability: The Bidders or in case of a Bidding


Consortium, any Bidding Consortium Member should meet any one of the following
eligibility criteria for experience as specified below.

6.1.2.1.Should have developed, designed, financed, constructed or have experience in


operation and maintenance of any industrial/ knowledge/ R&D parks/estate in
India or elsewhere, which may include Biotechnology parks, Information
Technology parks, R&D laboratories, or any such specialized
parks/infrastructure;

6.1.2.2.Should have developed, designed, financed, constructed or have experience in


operation and maintenance in the area of Urban Infrastructure/Township/Real
Estate Projects or any such infrastructure project in India or elsewhere;

6.1.2.3.Should have experience in servicing the biotech/ IT / knowledge / R&D


Parks/institutions and any other such knowledge industry initiative

The Bidders are required to furnish their latest Audited Accounts and other relevant
documents to support the Financial and Technical Capability.

6.2. GUIDELINES FOR SUBMISSION OF RFQ BY A BIDDING CONSORTIUM


6.2.1. The submitted RFQ should clearly specify a Lead Bidder. The Lead Bidder shall
be the largest equity shareholder in the SPV, holding not less than 26% of the
total paid up equity capital of the SPV. The Lead Bidder may be required to give
an undertaking to this effect, at a later stage.

6.2.2. The Lead Bidder shall be responsible for arranging the entire finance required for
the Park.

6.2.3. Notwithstanding the fact that the Lead Bidder shall have the overall responsibility
for the development of the Park, all Bidding Consortium Members of the Bidding
Consortium shall be jointly and severally liable for the execution of the Project.

6.3. EVALUATION CRITERIA


6.3.1. Bidders meeting Eligibility Criteria for Financial Capability and/or Eligibility
Criteria for Experience would be the Qualified Bidders.
6.3.2. Evaluation Criteria for short-listing Bidders:
6.3.2.1. Interest in Bio-IT and Related Fields – The paramount factor for
short-listing the Bidders would be the understanding and the interest of
the Bidders in Bio-IT. Bidders who have interests in biotech/ IT/
R&D/Knowledge driven industry segments and have the experience and
track record of handling similar projects would be preferred.
6.3.2.2. Background of the Bidder(s)/ Consortia Members – While short-
listing the Bidders, high importance would be attached to the
background of the Bidders. Factors such as the nature of business,
reputation and track record will be evaluated to ascertain whether the
stature of the Bidders would be acceptable to STPI. Management
Structure of the Bidders will also be appraised to ensure that there is a
team of professionals capable of development of the Park.
6.3.2.3. Financial Strengths of Bidder(s)/ Consortia Members – As the Park
would require an equity commitment from the Bidders, the financial
strength of the Bidders would be an important aspect. An analysis of the
financials will be done. The credit rating and the ability to raise funds
would be the other aspects that would be evaluated.
6.3.2.4. Project Implementation and Marketing Strengths – This would be
evaluated closely by STPI based on the prior experience of the Bidders.
The ability of the Bidders to network with key agencies important for the
success of the Park would be evaluated.

6.3.2.5. Others Strengths – Brand Equity, Bio-IT/ Biotech /Information


Technology Sector knowledge, or any such other strength relevant for
the Park’s success would also be considered. Various parameters and
their respective weights for evaluation of RFQ are given below.

6.3.3. STPI will put in place an evaluation committee to evaluate the RFQ submitted by
the qualified Bidders.
6.3.4. Based on the ratings given by the evaluation committee, the top TEN (10) rated
Bidders will be invited to participate in the RFP process.
6.3.5. Short listed Bidders will be intimated by registered post
6.3.6. Short listed Bidders would be required to enter into a Confidentiality Agreement
within the stipulated time period. The Bidders who will enter into Confidentiality
Agreement will only be eligible to receive the RFP documents, which would
include feasibility report, project details and further instructions.
6.3.7. Detailed evaluation criteria for final selection shall be provided to the Qualified

Bidders at this stage.


6.3.8. The Qualified Bidders will have to outline the development plan for the Park
including financial commitment.
6.3.9. Based on the documents received in response to the RFP, STPI would enter in
discussions with the Selected Bidders, in order to finalise the technical and
commercial parameters of the Park.

6.4. SCHEDULE OF THE SELECTION PROCESS


STPI intends to complete the selection process within four (4) months of the
submission of the RFQs by the prospective bidders.
The dates of issue and submission of the RFP documents will be notified to the
selected bidders at a later date.

VII. PROCEDURE TO BE FOLLOWED


7.1. SUBMISSION OF THE RFQ
7.1.1.The RFQ shall be submitted to STPI as one original and two copies. The envelope
containing the original shall be clearly marked "ORIGINAL" and the envelopes
containing the copy shall be marked "COPY". The three (3) envelopes would be
enclosed in a single sealed envelope, with the following inscription:

7.1.2.The Bidder has the option of sending the RFQ by registered post or submitting in
person so as to reach the designated address by 1700 Hrs on 27th December .

7.1.3.STPI shall not be responsible for any delay in receipt of the RFQ documents.

7.1.4.Any RFQ document received by STPI after the deadline for submission of the RFQ
stipulated by STPI, may not be considered.
7.1.5.Each page of the RFQ should be initialled by the authorised signatory (as defined
in Section 7.3.10), of the Bidders.

7.2. OPENING OF THE RFQ


7.2.1.The RFQ shall be opened on 28th December 2004 at the STPI Headquarters at
the abovementioned address, at 1200 Hours.

7.2.2.Each Bidder may depute a representative to be present for the opening of the
RFQ. The details regarding the Bidder, as provided in the Covering Letter
(Section 9.1) would be read out.

7.3. INSTRUCTIONS TO BIDDERS


7.3.1. The RFQ that are incomplete in any respect; are not consistent with the
requirements as specified in this RFQ document; do not contain the Covering

Letter, Letter of Commitment and Acceptance as per the specified formats, may be
considered as non adhering to the requirements and may be liable for rejection.

7.3.2. Strict adherence to formats, wherever specified, is required. Non-adherence to


formats may be a ground for rejecting the RFQ.

7.3.3. All communication and information should be provided in writing and in the English
language only.

7.3.4. All the communication and information provided should be legible, and wherever
the information is given in figures, the same should also be mentioned in words.

7.3.5. No change in, or supplementary information to, RFQ shall be accepted after its
submission. However, STPI reserves the right to seek additional information from
the Bidders, if found necessary, during the course of evaluation of the RFQ. Non-
submission, incomplete submission or delayed submission of such additional
information or clarifications sought by STPI, may be a ground for rejecting the
RFQ.

7.3.6. The RFQ shall be evaluated as per the eligibility criteria as specified in Section 6.1
of this RFQ. However, within the broad framework of the eligibility parameters as
stated in this RFQ, STPI reserves the right to make modifications to the stated
eligibility criteria, which shall be uniformly applied to all the Bidders.

7.3.7. For a Bidding Consortium, the RFQ submitted by the Bidding Consortium should
be accompanied by signed letters submitted by each of the Bidding Consortium
Member, stating that the entire RFQ has been examined and each key element of
the RFQ is agreed to.

7.3.8. For a Bidding Consortium, no change in the membership of the consortium, in


responsibilities of any Bidding Consortium Member being evaluated for eligibility as
per eligibility criteria in Section 6.1, shall be allowed after submission of the RFQ
until the results of the RFQ are announced. For a Qualified Bidding Consortium, if
such a change in membership pattern or responsibilities is desired, it must be
communicated to STPI in writing for its approval. STPI reserves the right to reject
such a request for change in the consortium structure, which, in their opinion,
adversely affects the consortium strength. However, the Lead Bidder shall not be
allowed to change its equity holding in the SPV if it results in their equity holding
becoming either:
Less than 26% of the paid-up equity capital; or
Less than the equity holding of any other Bidding Consortium Member.

7.3.9. For submission of the RFQ, a Bidder cannot propose to be a part of more than one
consortium.

7.3.10. The Bidder should designate one or more persons (“Contact Person” and
“Authorised Signatory”) to represent the Bidders in his dealings with STPI. This
designated person should be authorised to perform all tasks including, but not
limited to providing information, responding to enquiries, entering into contractual
commitments on behalf of the Bidders, etc.

7.3.11. If any claim made, or information provided, by the Bidders in the RFQ or any
information provided by the Bidder in response to any subsequent query of STPI, is
found to be incorrect or is a material misrepresentation of facts, then the RFQ may
be liable for rejection.

7.3.12. The Bidder shall be responsible for all the costs associated with the preparation of
the RFQ. STPI shall not be responsible in any way for such costs, regardless of the
conduct or outcome of this process.

7.3.13. STPI reserves the right to reject any or all of the RFQ without assigning any reason
whatsoever.

7.3.14. Mere submission of information does not entitle the Bidder to meet an eligibility
criterion. STPI reserves the right to vet and verify any or all information submitted
by the Bidder.

7.3.15. STPI reserves the right to participate as an equity holder in the SPV.

7.3.16. STPI reserves the rights to change, modify, add to or alter the bidding process
including inclusion of an additional stage for selecting Bidders based on detailed
evaluation of capabilities. Any change in the bidding process shall be intimated to
all the affected parties.

7.4. INTERPRETATIONS
7.4.1. Questions, inquiries and clarifications regarding the RFQ will be accepted
until 1700 hrs, 20th December 2004.
7.4.2. The queries should be submitted to STPI, at the address provided at letter of
Invitation. Faxed questions are acceptable, if received by the above listed
deadline.

7.5. STPI OPTIONS


7.5.1. STPI reserves the right to cancel this RFQ, or to reject, in whole or in part,
any and all responses received regarding this RFQ, upon its determination
that such cancellation or rejection is in the best interest of Project.

7.5.2. STPI further reserves the right to waive any minor deficiencies (other than
those described in section 7.6) in the responses received, if it is in the interest
of the project.

7.5.3. The determination of the criteria and the process whereby responses are
evaluated, the decision as to who shall receive a contract award, or whether
or not an award shall be made as a result of this RFQ, shall be at the sole
and absolute discretion of STPI, and in accordance with its requirements of
the Project.

7.6. DISQUALIFICATION

7.6.1. Failure by the Bidder to adhere to the minimum submission requirements


described below and stated previously will result in the disqualification from
the RFQ process.
7.6.2. Submitted the RFQ after the response deadline.
7.6.3. Made misleading or false representation in the forms, statements and
attachments submitted in proof of the eligibility requirements;
7.6.4. Record of poor performance such as abandoning the works, not properly
completing the contract, inordinate delays in completion, litigation history, or
financial failures etc.
7.6.5. Submitted an RFQ, which is not accompanied by the required documentation
or is non-responsive.
7.6.6. Failed to provide clarifications related thereto.
7.6.7. Where such firm or any member of such Consortium has already submitted
an RFQ or is a member of a Consortium, which has already submitted an
RFQ.
7.6.8. If any member of a Consortium is replaced or withdraws, except as expressly
provided.
7.6.9. If information, which would have entitled STPI to reject or disqualify the
Bidder, Lead Bidder or Consortium becomes known after the Bidder, Lead
Bidder or Consortium has been qualified, STPI reserves the right to reject the
Bidder, Lead Bidder, or Consortium at the time, or at any time after such
information becomes known.
7.6.10. Where the Bidder is a Consortium, the STPI may disqualify the entire
Consortium for any of the reasons set out above, even if it applies in respect
of only one member of the Consortium.

7.6.11. Bidders are not allowed to form joint venture(s) or Consortium (Consortia)
with other Bidders. The Lead Bidder and/or the partner firm claiming
operating experience cannot be changed. However, STPI on its discretion
can allow one or more applicants to form a consortium if it believes that such
tie up will bring in synergies, which will be in the overall interest of the project.
7.6.12. Bidders who canvass or attempt to influence the qualification or selection
process shall be disqualified from the process at any stage.

7.7. PROPOSAL SECURITY


7.7.1. Bidders are put on notice, that a Bidder selected for the RFP stage shall furnish a
Proposal Security of INR 5 million by way of a Bank Guarantee issued by a
natioanlised bank or scheduled bank, in a form approved by the STPI. Upon
intimation of selection of a Bidder for the second stage, the Bidder shall be
expected to furnish such a Guarantee.

7.7.2. In the event that the Bidder fails to furnish the Guarantee within the stipulated time,
the Bidder shall be disqualified from the selection process. The STPI then reserves
the right, at its discretion, to select another Bidder into the shortlist.

7.8. VALIDITY OF TERMS OF THE RFQ


7.8.1. Each RFQ shall indicate that it shall remain valid for a period of not less than six
months from the last date for submission of the RFQ.

Bidders should attach the Audited Annual Reports for the last three years of all the
corporate entities which would be evaluated under financial capability and experience in

9.4.
