RELEASE, WAIVER AND QUITCLAIM

KNOW ALL MEN BY THESE PRESENTS:

I, _____________________, of legal age, Filipino and a resident of

_________________________, do hereby declare and confirm that:

(1) I acknowledged having received from xxxxxxxxxxxxxxx, INC. (the

“Company”) the amount of _________________________ Pesos (P
) as full payment and settlement for any and all claims and all
entitlements under the law such as salaries, benefits, bonuses, separation
pay and other emoluments, I may have against the Company arising from
the Company’s Early Retirement Program (the “ERP”), agreement or
contract relating to or arising from any and all incidents of my
employment with the Company.

(2) I also acknowledged that during the entire period of my employment

with the Company, I received and was paid all compensations, benefits
and privileges to which I was entitled under all laws by reason of such
employment and if hereafter be found in any manner to have been
entitled to any amount, the above consideration is a full and final
satisfaction of any and all such undisclosed claims.

(3) In consideration of the aforementioned amount of _________________

Pesos (P ), I hereby expressly release, remiss and forever discharge the
Company, its stockholders, directors, officers, agents and employees from
any action, sum of money, damages, claims and demands whatsoever,
which in law or in equity I ever had, now have, or which I, my heirs,
successors and assigns hereinafter may have upon or by reason of any
matter, cause or thing or whatsoever, arising from and in connection with
the employment from and/or the subsequent cessation of my employer-
employee relationship with the Company up to the time of these presents,
the intention hereof being to completely and absolutely release the
Company up to the time of these presents, from all liabilities arising
wholly or partially, directly from my employment from and/or the
subsequent cessation of my employer-employee relationship with the
Company.

(4) I admit the regularity of the cessation of my employer-employee

relationship from the Company and promise that I would not, at any time,
in any manner whatsoever, directly or indirectly engage in any unlawful
activity prejudicial to the interest of the Company, its parent, affiliate or
subsidiary companies, their stockholders, officers, directors, agents or
employees, and their successors-in-interest and will not disclose any
information concerning the business of the Company, its manner of
operation, its plans, processes, or data of any kind.

(5) I agree that the Company may bring any action to seek an award for
damages resulting from breach of any provisions of this Release, Waiver
and Quitclaim and that such award would include, but not limited to the
return of whatever sums paid by the Company by virtue of the ERP.
(6) I hereby declare that I have read this “Release, Waiver and Quitclaim”
before signing it and that the release and quitclaim hereby given is made
willingly, voluntarily and with full knowledge of my rights under the law.
