INDEMNITY AGREEMENT

___________________________, a domestic corporation duly organized and

existing under and by virtue of the laws of the Republic of the Philippines, with
office address at _________________________, represented in this act by its Chief
Operating Officer, _______________, (hereinafter the Corporation), under and by
virtue of these presents, do hereby guarantee and undertake to reimburse any
third person/s who may be prejudiced and damaged by virtue of

The Corporation further agrees to indemnify ________________________

for whatever damage or prejudice it/he/she may suffer arising from any and all
claims to be made by any third person in connection with the above-stated
account/deed/undertaking. This Deed and the undertaking contained herein
