Scott Holmes Music License Agreement

This licensing agreement between Scott Holmes Music (hereafter “Scott Holmes
Music”) and You (business entity, company, individual or other legal representative -
hereafter “LICENSEE” or “You”). By downloading a Free Creative Commons (CC-A-
NC) License from Scott Holmes Music, You hereby agree to be bound by the following
terms and conditions (the “License Agreement”):

1. DEFINITIONS

1.2 Audio File(s): a sound recording (including underlaying musical works) available
for license from Scott Holmes Music.

1. 3 Free Creative Commons (CC-A-NC) License: a music license that permits online
in digital platforms, social media and in some cases broadcasting for non-commercial
purposes only.

1.4 Project: a media, audio/visual project to which Audio File is synchronized.

2. ACQUISITION OF RIGHTS

The LICENSOR (“Scott Holmes Music”), grants a single license for the music
downloaded by the LICENSEE according to the following terms and conditions
defined in this License Agreement. It is specifically understood and agreed upon that
the LICENSEE does not acquire any ownership rights or any underlying copyrights, and
that the LICENSOR retains all rights, title and interest in the music obtained from the
LICENSOR (“Scott Holmes Music”), including all copyrights belonging to the original
copyright holder, as well as any changes made to the licensed property by the
LICENSEE.

3. LICENSE

3.1 The LICENSEE may not use the Work and/or Derivative Work for commercial
purposes (a commercial use is primarily intended for commercial advantage or
monetary compensation).

3.2 The LICENSEE can remix, tweak and build upon the Works (“Derivative Work”) non-
commercially.
3.3 The LICENSEE must credit the LICENSOR (“Scott Holmes Music”) within the
LICENSEE’S project or project description, for example: “track name” by
scottholmesmusic.com or music by scottholmesmusic.com

3.5 This license does not support commercial broadcasting publication and/or
distribution.

4. EDITING AUDIO FILE

LICENSEE may edit, modify, alter Audio Files (crop, lengthen, shorten, fade, pitch, filter,
loop, etc.) to fit the requirements of their project. If such modification or alteration
constitutes a Derivative Work ( a Work based upon Audio File), LICENSEE does not
acquire any copyright ownership or equivalent rights in or to any of the Audio File and
LICENSEE shall use such Derivative Work only in accordance with this license.

5. ALLOWED USES

This license covers distribution and publication of projects including the Work and/or
Derivative Work including -

• Online Video (uploads of holidays, graduations, birthdays, etc);

• YouTube (no promoting of brands, products, services. No sponsors, donations, ad
rev or monetization);
• Websites (background music where no promoting of brands, products, services,
donations or any form where monetary compensation is generated or compensated;
• Internal presentations and training (no external use);
• Slideshows (uploads of holidays, graduations, birthdays, etc);
• School projects (class presentations, etc) internal use only;
• non-commercial podcast (no promoting of brands, products, services, sponsors,
donations, ad rev or any form where monetary compensation is generated or
compensated;
• Non-commercial radio (no promoting of brands, products, services, sponsors,
donations, ad rev or any form where monetary compensation is generated or
compensated;
6. RESTRICTIONS

6.1 The LICENSEE may not otherwise, sell, rent, lease, make available for download or
transfer the music or any written materials in any form to another party without prior
written consent of Scott Holmes Music. Music used on its own without synchronization
in any form is not permitted under this License Agreement. Unauthorized use or
duplication is a violation of the agreement and of applicable laws. The LICENSEE may
be held liable for all damages to the LICENSOR in the context of the applicable legal
regulations.

6.2 The LICENSEE may not:

• Create/produce new musical works based on the Audio File (musical compositions,
songs) or release and distribute them on platforms such as iTunes, Deezer, Spotify,
YouTube, etc.
• Use/include Audio File in different types of musical compilations, such as music
complication CDs/DVDs, music albums, where Audio Files are stand-alone
elements/tracks.
• Use or redistribute Audio File as a part of telephone or mobile ringtones.

7. REGULATIONS

7.1 The LICENSOR shall have the right to immediately terminate the License
Agreement by giving written notice to LICENSEE in case the LICENSEE fails to comply
with its terms and conditions.

7.2 This License Agreement contains the entire understanding of the parties with
regard to the subject hereof, and revokes and supersedes all prior agreements
between parties, including any option agreements, oral agreements, and written
agreements, and is intended as a final expression of their agreement.
