MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Understanding is entered into this ______ day of ______ 2020 in
___________, Philippines, by and among:

The ILOILO CHRISTIAN SCHOOL OF BAROTAC NUEVO, INC


(ICS), a private school under the local government unit of
(Barotac Nuevo, Iloilo), with principal office at Fianneta Subd.,
Tabuc Suba, Barotac Nuevo Iloilo, Philippines and represented
in this act by its Principal, ARSELA PINGUL (hereinafter
referred to as the KES);

and

The ACMHOMES FOUNDATION, INC. (ACM Foundation), a


non-stock, non-profit Organization existing under the laws of
the Philippines, with principal office at CSJ Building, 105
Aguirre St., Legaspi Village, Makati City and represented by its
Executive Director, ARLENE V. RAMIREZ (hereinafter referred
to as ACM Foundation);

WITNESSETH THAT:

WHEREAS the primary objective of ILOILO CHRISTIAN SCHOOL OF BAROTAC


NUEVO, INC is to provide accessible, high quality education to its students, as well as the
proper values and attitude towards improving their students’ quality of life;

WHEREAS, ACM Foundation is a non-profit organization whose mission includes


providing education to students through academic and non-academic activities that fosters
the holistic development of the Filipino youth;

NOW THEREFORE, for and in consideration of the foregoing premises, the Parties
hereto have agreed to undertake the following:

1. This MOU is a preliminary phase to explore the modalities of a more precise and
detailed process of formal cooperation to be signed between the Parties under the
terms of a Memorandum of Agreement ("MOA "). This MOU designs in broad lines
the principles of this cooperation with an aim to develop a long term, adaptable and
sustainable development model for the Academic Scholarship Program (hereinafter,
the “Project”) to be implemented by the Parties.

2. This MOU is valid for (twelve) 12 months from the date of signature, with an
automatic 6-month extension if the MOA has not yet been signed within the 12 month
timeframe.

3. The General Terms of the Project are as follows:

A. RESPONSIBILITIES OF ICS:

(a) Provide the necessary counterpart support, which is 50% discount on


Tuition fees of the qualified scholars
(b) Ensure to provide quality education to the scholars
(c) Provide assistance in the event that the scholars have academic issues on
their grades
(d) Work together with ACM Foundation on this project in the spirit of mutual
trust, cooperation and coordination;
(e) Support ACM Foundation in the implementation of the project which
includes but not limited to encouraging attendance in their classes, support
the scholars identified for this program, providing relevant information
requested by ACM Foundation to aid on the development of plan and
strategies on effective implementation of project, assistance in the conduct of
monitoring and evaluation, and other technical support;
(f) Develop a mechanism for acceptance of applications for the scholarship
program, and assist in screening the prospective scholars;
(g) Support ACM Foundation’s other efforts in improving the program; and
(h) Execute Memorandum of Agreement (MOAs) with ACM Foundation and its
donors, as may be required.

B. RESPONSIBILITIES OF ACM FOUNDATION.

(a) Raise donations for Academic scholarship program on a best efforts’ basis. If
required by the donors, ICS and ACM Foundation will execute separate MOAs
with them.
(b) Identify partner/s academic scholars based on the criteria and requirements
of the foundation’s program;
(c) Fund the Academic Scholarship program together with its identified
partners;
(d) In cooperation with the ICS, work to qualify eligible beneficiaries for the
Academic Scholarship program.

4. This MOU will not give rise to any financial obligation by one Party to the other.
Each Party will bear its own cost and expenses in relation to this MOU.

5. This Memorandum serves only as a record of the intentions of both Parties and
does not constitute or create, and is not intended to constitute or create,
obligations under domestic or international law. Furthermore, it will not give
rise to any legal process and will not be deemed to constitute or create any
legally binding or enforceable obligations, expressed or implied.

6. Nothing contained herein is to be construed so as to constitute a joint venture


partnership or formal business organization of any kind between the Parties or
so to constitute either Party as the agent of the other.

7. Any provision of this Agreement may be amended only with the written consent
of both parties herein.
IN WITNESS WHEREOF, the parties hereunto set their hands this _________ day of
