This PDP Agreement (“Agreement”) supersedes all prior agreements and understandings (whether written or oral) made between Rivigo
and the PDP with respect to PDP Agreement.

Preamble: (i) Rivigo is a technology based logistics company engaged in providing cargo delivery, warehousing and other
allied services to its customers across India.

(ii) PDP is a commercial vehicle driver having a valid commercial vehicle driving licence and has agreed to partner
with Rivigo’s logistics technology platform for the purposes as stated herein and on the terms and conditions
more particularly contained in the General Terms and Conditions, which are appended to this PDP Agreement.

Commercials: All payments due to the PDP shall be made by a crossed pay order cheque directly in favour of the “PDP” or through

"Services" shall mean Pick up and drop the vehicle (including but not limited to allied activities like vehicle fuelling, supervising
loading/unloading) from one designated point to another, in accordance with the schedules, routes and timings
provided by Rivigo and selected by the PDP through its technology platform in the manner and as per the terms and
conditions provided herein.

This Agreement contains the following documents which are, and shall form, the integral part of this Agreement:
1. This PDP Agreement;
2. The attached General Terms and Conditions;
3. Annexure A;
4. Cancelled cheque of the PDP or copy of bank passbook;
5. Copy of PAN Card;
6. Copy of Aadhar Card;
7. Copy of valid Commercial Vehicle Driving Licence;
8. Such other documents as Rivigo may require from time to time.

Reference to this Agreement shall include all the above documents and any modifications/amendments to this
Agreement as may be mutually agreed and communicated in writing.

GENERAL TERMS & CONDITIONS

1. TERM

The present Agreement shall be valid for a period of 2 years from the commencement date of this Agreement.
The Agreement can be extended in writing by means of an extension letter before the expiry of the Term.

2. ASSIGNMENT

Subject to the provisions of this Agreement and during the Term, Rivigo shall engage the PDP on a non-
exclusive basis, for carrying out the assignment on ‘Principal-to-Principal’ basis to pick up and drop the
vehicle (including allied activities like vehicle fuelling, supervising loading/unloading) from one designated
point to another as per the schedules, routes and timings provided by Rivigo through its technology platform.

Each vehicle pick up and drop assignment excluding allied activities will constitute a ‘Trip’.

3. RESPONSIBILITIES OF PDP

As part of the delivery of Services, it will be expected that the following basic conditions are met by the PDP
in the normal course of business:

a. PDP shall hold a valid commercial vehicle driving license at all times while carrying out the Services,
shall always follow driving and traffic regulations and wear seat belt while driving. PDP shall not drive
rashly and not consume liquor or any other intoxicating/banned substances while carrying out the
Services.
b. PDP shall ensure to carry during transit all statutory documents pertaining to the vehicle - national
permit, registration certificate, pollution clearance certificate, insurance papers, tax documents, weigh
slip; and client documents like behti, manifest, lorry receipt, consignment note, gate pass/Proof of
Delivery (POD).
c. The PDP shall immediately inform Rivigo, should the vehicle meet with any accident of any nature, or
should there be any break-down, problems that might lead to potential breakdown of the vehicle for any
reason.
d. PDP shall conduct himself in a professional manner in his interaction with Rivigo and its customers.
e. PDP are advised to take accident and death insurance coverage such as “Prime Minister Suraksha Bima
Yojana “and “Prime Minister Jeevan Jyoti Bima Yojana”.

The PDP undertakes the following obligations in respect of the Services to be performed by him, during the
term of this Agreement:

3.1. PDP shall provide the Services directly and not engage any contractor or agent to perform the Services.

3.2. At all times during the currency of this Agreement, the PDP agrees that he shall drive/ ply the vehicle
and keep it in good and perfect condition, including ensuring that the vehicle cabin and dashboard is
clean before dropping the vehicle.

3.3. PDP must have a functioning mobile number and also have the ability to read and send messages
regarding the vehicle pick up details. The PDP’s phone shall be available at all times for receiving
messages and taking calls from Rivigo.

3.4. PDP shall ensure that the toolkit bag along with all the tools issued to him is always available with him
while carrying out the Services.

3.5. Once the PDP has opted in for a particular Trip, he should report at the vehicle pick up location in
accordance with the agreed timings. Thereafter, the PDP shall perform each pick-up and delivery in
accordance with the schedule proposed by Rivigo.

3.6. Rivigo shall give the PDP adequate amounts as advance for trip expenses including toll charges. The
PDP shall provide cash reconciliation after every trip at the drop location. The PDP shall be liable to
Rivigo for any unauthorised expenses or unexplained shortage in balance cash available to him from the
advance.

3.7. The PDP shall be fully responsible for safety and security of the consignment in the vehicle during the
Trip, in accordance with the guidelines advised by Rivigo. The PDP shall ensure that the goods are not
pilfered, tampered or damaged in any manner. In case any consignment is pilfered, tampered, lost or
damaged the same shall be reported immediately by the PDP to Rivigo.

3.8. The PDP undertakes not to tamper with the mechanism of the vehicle, tamper any gauges, meters,
mechanical governors or misplace tools in the vehicles.

3.9. All repairs shall be carried out by Rivigo at its own cost however, if the damage to the vehicle or any of
its parts or any technology firmware is caused due to negligence of the PDP, the cost of repair shall be
recovered from the PDP at actuals or set off against any subsequent payments to the PDP. Any
emergency repair work must be done with the permission of Rivigo.

3.10. The PDP hereby agrees not to part with the possession of the vehicle to any person or persons
whosoever, or while running on any route for Rivigo, carry any articles/goods or passengers other than
those entrusted by Rivigo, without the previous permission of Rivigo.

3.11. PDP shall be liable for any fuel pilferage or adulteration detected by Rivigo’s technology platform in the
vehicle during the period when the PDP was carrying out the Services. Fuelling of the vehicle must be
done at fuel pumps authorized by Rivigo.

3.12. The PDP agrees to keep harmless Rivigo against any loss or damage to the vehicle or to the properties
entrusted to him on account of violation of any law or otherwise by the PDP.

3.13. As the vehicle is used for transporting the consignment of Rivigo’s customers, the PDP agrees to
keep/stop the vehicle at the places specially provided for the same by Rivigo, and shall not keep/stop
the vehicle at the places of his choice. The PDP shall take the defined route for reaching the destination
and keep/stop the vehicle at places specially provided for the same. Any stoppage other than the route
defined by Rivigo technology platform will be considered as an unscheduled stoppage.

3.14. The PDP will not be expected to collect any monies from the customers of Rivigo. If however, there are
any payment related queries from the Rivigo customers, the PDP will promptly inform this to Rivigo and
thereafter, shall be dealt directly by Rivigo.

3.15. The PDP hereby confirms to Rivigo that it is fully compliant with all local laws, rules and regulations
regarding the driving service being offered by him. PDP understands that he alone shall be responsible
and liable for any violation of any law, rule or regulation in the performance of its obligations under this
Agreement.

3.16. PDP shall disclose in detail to Rivigo regarding any criminal convictions or pending judicial proceedings
if any against the PDP by/before any court of law in India. Failure to disclose the same would amount to
breach of this agreement and Rivigo shall have the right to terminate this agreement at any time after
Rivigo comes to know of such information of conviction of the PDP.

3.17. The Rivigo technology platform will ensure that the PDP gets adequate rest between Services.

3.18. PDP shall be required to attend regular training sessions conducted by Rivigo on technology platform
usage, safety and driving regulations.

4. PAYMENT FOR SERVICES RENDERED

4.1. The total consideration for the performance of Services by PDP shall be as per Annexure A.

4.2. The amounts payable to PDP are subject to deduction of tax at source, as applicable.

4.3. The rates payable as aforesaid are subject to revisions from time to time and these will be discussed and
communicated beforehand to all PDP’s.

5. LIABILITY OF PARTIES

5.1. PDP shall be liable to Rivigo for any loss or damage caused to Rivigo due to the default or negligence of
the PDP and/or any unlawful act or omission in the performance of the Services.

5.2. Rivigo shall provide insurance coverage of vehicles and PDP to meet any accidental eventuality.

5.3. Rivigo may impose fine for non-performance of Services, omission or breach of the terms and
conditions of this Agreement which shall be binding on PDP.

6. RELATIONSHIP

6.1. The Assignment of the PDP for providing Services is that on a ‘Principal-to-Principal’ basis and shall be
on a non-exclusive basis. Rivigo shall not govern the time or duration for which the PDP is available for
assignment allocation through the technology platform. This will be solely at the PDP’s discretion.

6.2. This Agreement shall not in any manner or form be construed as amounting to a partnership, joint
venture, agency, employment or the creation of any other legal relationship whatsoever between the
parties. The PDP understands that he shall not be an employee of Rivigo and has agreed to voluntarily
render the Services as an independent contractor in lieu of the consideration proposed by Rivigo.

6.3. Neither party shall have any authority to bind the other for the performance of any obligations other
than as specifically contemplated herein.

7. TERMINATION

7.1. Either party may terminate this Agreement by giving a prior notice of thirty days in writing to the other
to this effect without assigning any reason.

7.2. Rivigo may terminate this Agreement forthwith by written notice effective immediately if PDP commits
any breach of any term/terms of this Agreement or in the following specific cases:

 If the PDP arrives under alcoholic influence or in intoxicated state to pick up or drop the vehicle or
while carrying out the Services.
 If the PDP is found or cause to pilfer/adulterate fuel as notified by Rivigo technology platform
 If the PDP is found or cause to pilfer goods or if there is a theft of consignment.
 If the PDP is found carrying unauthorized goods/ material or any passenger in the vehicle.
 If the PDP is found to misbehave/misconduct with Rivigo or any of its customers.

In the event of termination for misconduct or breach of the terms of the Agreement, Rivigo shall pay to
the PDP only for the un-disputed Services rendered till the termination date after deducting any
amounts determined by Rivigo to offset loss incurred by it.

7.3. In case the PDP chooses to terminate the Agreement with due notice, but not as a result of its own
breach or breaches, the payment will be made on a pro rata basis.

8. ARBITRATION, DISPUTE SETTLEMENT & JURISDICTION

8.1. Any dispute, difference, claim, counter claim arising out of, under or in connection with this Agreement
or any other breach thereof shall first be resolved by mutual negotiations by and between the parties.

8.2. Any unresolved dispute claim, counter claim or difference shall be finally settled by an arbitrator to be
nominated by Rivigo, it being clearly understood and agreed by PDP that PDP shall not object to
assignment of such a person on the grounds of bias or the like. The arbitration shall be conducted in

accordance with the Arbitration and Conciliation Act, 1996 and/or any amendments thereto. The venue
of Arbitration shall be Gurgaon.

8.3. Any disputes arising from or connected herewith shall be subject to the exclusive jurisdiction of the
competent courts of Haryana.

ANNEXURE A

(Rates and Payments)

Rates and Payments w.e.f 15th February 2016

Please note that the following rates may be revised from time to time. Updated rates and payments will be communicated to the Pick Up and Drop
Partners in advance.

Consideration for the Services payable by Rivigo to the PDP on an actual basis:

Monthly service fees pro-rated for the number of days in the month the PDP is available on the Rivigo technology
platform to render Services subject to completion of a minimum number of trips as may be prescribed from time
to time.

Upto Rs. 4000

Fuel Mileage Incentive
No. of trips * Rs. 100/trip if mileage is in the high range, as may be specified from time to time

No. of trips * Rs. 75/trip if mileage is in the medium range, as may be specified from time to time

No mileage incentive shall be applicable if fuel mileage is in the low range (<5.5 for 22 feet and <4 for 32 feet
vehicle)

Mileage incentive is only applicable if the vehicle reaches within defined TAT

Upto Rs. 3000

Safety Incentive
Rs. 75/ trip for driving consistently (constant rpm) and within speed limits at all times, or
Rs. 50/trip for driving within speed limits at all times

No safety incentive in case of high frequency of over speeding events

In case of an accident, of any kind, the safety incentive for that particular month will be zero

Upto Rs. 3000

Unscheduled Stoppage Incentive
Rs. 75/trip for no unscheduled stoppage in the trip

No incentive for trips with unscheduled stoppages on the road

Rs. 100 for every 12 hours waiting at Client Warehouse

Client Warehouse Waiting Time
Applicable for every 12 hours after first 12 hours of waiting at client warehouse

Payment will be made every 15 days.

Amounts to be paid by the PDP to Rivigo:

Refundable Security Deposits:

Toolkit Bag Rs. 2200 Amount to be deposited at the time of signing of this Agreement
Refundable upon termination of Agreement and return of all tools.

Uniform Rs. 2200 To be deducted in the first payment.

Thereafter Rs. 200 added to payout for monthly uniform washing reimbursement
for the next 11 months.
