SERVICE AGREEMENT

Service Agreement is made this Its Day of March- 2019


BETWEEN
M/S. JSM EXPORTS
AND
M/S. SAKASHI ENTERPRISES
WITH REGARD TO
“PROVIDING PAYROLL MANAGEMENT
AGREEMENT
THIS AGREEMENT is made on this 01 March- 2019

BETWEEN

M/S JSM EXPORTS

Having office at PLOT NO.12 0,DLF INDUSTRIAL AREA PHASDE I


,FARIDABAD,HARYANA

AND

M/S. SAKASHI ENTERPRISES

(herein after Called as second party) having its registered office at Vats
Complex Second Floor ,Old Gurugram Road, New Delhi-110037.

The both the parties are hereby agrees to terms and conditions set forth for
providing the said services as defined hereunder;

1 SCOPE OF SERVICES

(A) OBLIGATIONS OF SERVICE PROVIDER (SECOND PARTY)

 Source manpower:-

The following recruitment procedure for employees is to be followed by second


party for sourcing manpower;

a. Documents verification of the employees on submission of KYC documents


by First party.

 Payment of salary / wages as applicable and /or as peer First Party


agreed/ approved rates/terms laid down by First Party.

 Payment of all statutory dues towards compliance of obligations, as


applicable for employees time to time , including but not limited to
Provident Fund, ESIC and Gratuity etc, if applicable.
 Maintenance of all service matter from the stage of engagement to
termination/acceptance of resignation as per the rules applicable to
employees hired for First party.

 Rendering of any other services as may be requested by the First party on


payment of additional charges.

(B) OBLIGATIONS OF THE FIRST PARTY;

(i) The First party shall provide a list of employees along with their salary
details of disbursement of salary. List of employees is placed at Annexure-1.

1. The First party shall provide to second party the requirement of


Manpower with job specification, Qualification, Range of Remuneration
and specific terms, if any, from time tom time for new requirement.

2. Second party will pay 100% of salary to employees through bank.

3. The first party undertakes to clear the bill(s)raised by second party


towards cost/expenditure incurred including but not limited to
advertisement cost , salary and wages ,provided funds(PF) employee,
state insurance (ESI)and other cost within or on the 30th day of payment
disbursement/invoice date. The second will not give or transfer salary to
any employees unless receiving the previous bill payment from first
party.

4. The first party shall record attendance of personnel (engage under this
agreement) separately in a register accordingly to calendar month and a
certified copy of attendance would be communicated to the second party
on or before 5th day of each month duly signed by authorised officer of
the first party so that payment of remuneration / salary /wages can be
made by second party / service provider on time.

5. It is hereby agreed that second party shall ensure payment of


remuneration / salary/ wages to the manpower deployed under this
agreement in confirmation and compliance of the prescribed rate of
minimum wages as notice from time to time appropriate authority for
purpose including payment of applicable taxes and statutory contribution
as applicable there to without seeking any formal approval from first part
and whole of such payment/expenditure shall be paid for the by the first
party against such bill raised by second party for the purpose.

6. The first party shall provide the personnel appointed under this
agreement the required office space, furniture , equipment’s , and
stationery consumable and shall bear all other overhead expenses for
execution of the work at first party’s on cost .

7. The first party shall have functional control limited to day-to- day
functional supervision of employees deployed by second party and shall
intimate /notify second party for deviation /correction required to be
addressed / effected for administrative control /supervision of the
employees on need bases as deemed fit.

2. GENERAL OBLIGATIONS:

 An authorized officer of the second party shall be designated the


Appointing Authority for all the employees deployed at the various
premises/office(s) of the first party under the first party under the term of
this agreement. All termination/ renewable/ acceptance of contract (s) of
service with respective staff/personnel so deployed shall be in accordance
with the recommendation of authorized/nominated officer (s) of the first
party.

 The service provider /second party shall ensure that the staff engage for
first party will be specific to it and are neither transferred nor their service
utilised for the purposes other than those related to the appointment. Their
service shall be co-terminus with the subject to the term of respective
agreement of service with respect to each of such staff/personal so
deployed and / or subject to specific recommendation of the client.

 Should circumstances arise , which called for modification/changes in


this services agreement and unless it is absolutely necessary for smooth
implementation, this may be made by mutual consent .in writing, between
the first party and the second party. Such requirement for amendment
would be indicated by first/second party , in writing with full justification
and upon approval thereof by the parties here to , such amendment shall
form an integral parts of this agreement with prospective effect unless
explicitly agreed otherwise.

 The first party shall nominate a Nodal officer for coordination purpose.
There shall be one coordination meeting between person appoint of
second party and Nodal officer of first party on first Monday of every.
