(hereinafter referred to as "ADSSC", which expression shall, where the context so permits,
include its successors-in-interests and assignees) of one part;

"CONTRACTOR" which expression shall, where the context so permits, include its
successors-in-interest and assignees) of other part.

WHEREAS

1. ADSSC desires to have certain WORKS performed as hereinafter specified

2. CONTRACTOR represents to have the necessary capability, vehicles, equipment,

competent personnel and experience to carry out such WORKS and is willing to do
so on the terms and conditions hereinafter contained.

NOW, THEREFORE, IN CONSIDERATION OF THE MUTUAL COVENANTS HEREIN

CONTAINED, IT IS HEREBY AGREED AND DECLARED BY AND BETWEEN THE
PARTIES HERETO AS FOLLOWS:

1. In this AGREEMENT, words and expressions shall have the same meanings as are
respectively assigned to them in the Conditions of the AGREEMENT hereinafter
referred to, except where the context otherwise requires.

2. The following documents, which are listed in accordance with their order of priority,
shall be deemed to form and be read and construed as part of this AGREEMENT:
i) This CONTRACT AGREEMENT
ii) All post Tendering correspondences, which
include, but not limited to, the following:
 ADSSC’S Letter of Award Ref. No. ….. dated ..
and CONTRACTOR’s acknowledgement to the Letter of Award dated …..
 Any clarification letter during evaluation stage.
iii) Addenda/Clarifications
iii) Special Conditions of the AGREEMENT (Section
III of the Tender Documents)
iv) General Conditions of the AGREEMENT

v) Technical Specifications (Section IV of the
Tender Documents)
vi) Completed Technical Data Sheets
vii) Drawings and Attachment (Section VI of the
Tender Documents)
viii) Completed Bills of Quantities / Pricing
schedules (Priced Part)
ix) CONTRACTOR’S Offered Bid (Priced and
Unpriced) vide covering Letter Ref. ….… dated…....
3. In consideration of the payments to be made by
ADSSC to CONTRACTOR as hereinafter mentioned, CONTRACTOR hereby

covenants with ADSSC to execute and complete the WORKS and remedy any
defects therein in conformity in all respects with the provisions of the
AGREEMENT within 30 days.
4. ADSSC hereby covenants to pay CONTRACTOR in consideration of the execution
and completion of the WORKS and the remedying of defects therein the
CONTRACT PRICE of ……………………. UAE Dirhams (Dhs. ……) or such
other sum as may become payable under the provisions of the AGREEMENT at the
times and in the manner prescribed by the AGREEMENT.

IN WITNESS WHEREOF, THE PARTIES HERETO HAVE ENTERED INTO THIS
