MEDIA SERVICES AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Agreement is executed this 24 th day of May, 2020

at YZ Broadcast Media Services Head Office, 1st floor GG
building, Claveria St, Zamboanga City by and between:

YZ BROADCAST MEDIA SERVICES, CORP., a

corporation duly organized and existing by virtue of the laws
of the Republic of the Philippines, with principal office at
Claveria St, Zamboanga City, represented by its President,
Ms. AVO K. DO, and hereinafter referred to as
”COMPANY”;

-and-

COLOSTRUM MILKWAY CORP., a corporation duly

organized and existing by virtue of the laws of the Republic
of the Philippines, with principal office at Guiwan,
Zamboanga City, represented by its President, Ms. MANGO
M. FLOAT, and hereinafter referred to as the
“COLOSTRUM MILKWAY CORP.”;

WHEREAS, the COMPANY is engaged in the business of

rendering media services through diverse mediums,
including but limited to the following: digital advertisements,
social media advertisements, radio advertisements,
integrated marketing communication services, guerrilla
advertisements and other similar methods of advertising.

WHEREAS, COLOSTRUM MILKWAY CORP., is engaged in the

manufacture, sale and distribution of the first form
of milk produced by the mammary
glands of mammals immediately following delivery of the
new born. Most species will generate colostrum just prior to
giving birth. Colostrum contains antibodies to protect the
new born against disease. In general, protein concentration
in colostrum is substantially higher than in milk. 

WHEREAS, the COMPANY agrees to provide media services in

the Philippines particularly, radio advertising services as the
chosen medium by the COLOSTRUM MILKWAY CORP.
WHEREAS, COLOSTRUM MILKWAY CORP., is bound with the
terms as are set out throughout this Agreement and the
COMPANY will provide said advertisement on said terms.

NOW, THEREFORE, in consideration of the above premises

and the agreements hereinafter set forth, and for good and
valuable consideration, the receipt and sufficiency of which
are hereby acknowledged, the parties agree as follows:

We hereby order the broadcast of our advertisement in

YZ Broadcast Media Services Corp. in accordance with the
instructions hereunder:

Package Offering: Php 10,000 / monthly

No. of Spots: Four spots / daily

Date of Order: May 24, 2020
Date/s of Broadcast: May 24, 2020 – October 24,
2020
Total amount due: Php 60, 000.00

It is agreed that we shall pay the amount payable upon

the presentation of the bill of the said broadcast ad. If
Colostrum Milkway Corp. does not have a prepared (canned)
commercial in place that is ready to be broadcasted, YZ
Broadcast Media Services Corp. can produce for us an ad at
no extra cost for the first two tries before the final ad that
will be played on air. In the event that we are still undecided
after the two trial ads, we will pay the minimal production
fee of P500.00. YZ Broadcast Media Services Corp. shall not
be liable for any unintentional error or inaccuracy in the
broadcast of the ad or the failure of the ad to play on the
ordered date. It is agreed that the ad broadcast can be
played at a different and flexible time for compensation.

YZ Broadcast Media Services Corp. hereby reserves the

right to cancel unilaterally the ad contract if (1) YZ Broadcast
Media Services Corp. finds the material to be in bad taste or
offensive or does not meet up to the standards set by the
station, or (2) for any technical or production reason, the ad
cannot be played or broadcasted on schedule. In any case,
YZ Broadcast Media Services Corp.’s liability shall be limited
only and exclusively to replaying or rebroadcasting the ad in
another flexible time slot or schedule that is agreed upon by
both the Colostrum Milkway Corp. and YZ Broadcast Media
Services Corp.

Any cancellation or postponement of an ad broadcast

shall be made by the advertiser at least three (5) days
before the scheduled date of broadcast or airing. If the
notice is not made on the prescribed period, YZ Broadcast
Media Services Corp. reserves the right not to play the
submitted ad.
Any complaints about an error in the broadcasted ad
which is not attributable to the advertiser shall be reported
to YZ Broadcast Media Services Corp. within two weeks at
the latest from date of broadcast. Otherwise the advertiser
shall forfeit any right to seek replaying or rebroadcasting of
the ad. Any liability of YZ Broadcast Media Services Corp. for
any such error shall be limited to the agreed upon
rebroadcasting schedule and frequency only.

Terms of payment accepted will be cash or cheque,

50% down payment and 50% on the start of airing. Please
pay to Account Name of YZ Broadcast Media Services Corp.
on its BDO Acct. No.176253498765.

Known to me and to me known to be the same persons

who executed the foregoing Media Services Agreement, and
which they acknowledged before me to be their free,
voluntary act and deed and of the corporations herein
represented.

The instrument consisting of five (5) pages including

the page on which this Acknowledgement is written, refers to
a Media Services Agreement, signed by the parties and their
witnesses and sealed with my notarial seal.
