THE REPUBLIC OF UGANDA

IN THE MATTER OF THE CONTRACTS ACT, 2010
JOINT VENTURE AGREEMENT

This agreement is made this 2020-03-23 between:

Okubirabe Wenceslus of P.O BOX 324, Swaziland

And

Mwandari Bennett of P.O. BOX 242, Kampala, Uganda

In referring to both Okubirabe Wenceslus and Mwandari

Bennett collectively/ at the same time, the expression ‘the parties’ or
‘both parties’ shall be used.

NOW THIS AGREEMENT WITNESSETH AS FOLLOWS:

1. That both parties are independent legal persons with the

ability to sue and be sued.

2. That both parties are desirous of entering this joint venture.

And, where the parties are corporate entities, the directors and
representatives of both companies have made the decision to
enter this joint venture of their own free will and have not been

induced by any external force or any form of coercion in

whatever form to do so.

3. That both parties understand the meaning of a ‘Joint

venture’ AND are also fully aware of the full implications of a
joint venture.

4. That both parties will work together in executing the duties,

responsibilities and obligations that arise out of this joint
venture and shall avail their resources including money, labor
and skill towards the success of this joint venture.

5. That the specific intention of this joint venture is to creating

chemical Laboratories for the making of perfumes, sanitizers and
research into future use of chemical application and work
together towards Achieving the said goals

6. At the execution of this agreement, the parties herein

understand that they have affixed their signatures, with the full
knowledge of the contents herein and without any undue duress
or coercion.
