Employee Compliance Agreement

 
I hereby pledge to comply with all applicable laws, rules and company policies
in accordance with the operation standards of the Compliance Program when
performing my duties and responsibilities.
 
1. I will abide by the operation standards of the Compliance Program and
relevant laws and regulations under all circumstances.

2. I have thoroughly read and understood Samsung Business and Employee

Guidelines and will comply with them.

3. I will fully understand and follow the operation standard of the Compliance
Program and relevant laws and regulations, and will not violate them or
direct, approve, aid or condone violations by others.

4. I will not offer/accept gifts, entertainment or other things of value to/from

clients, vendors, subcontractors or other stakeholders.

5. I will not engage in any collusive activity or inappropriate acts which may be
perceived as collusive activity, and will not attend any gathering which may
be seen as collusion.

6. I will immediately report any violation or potential violation of the

applicable laws, rules and company policies to Compliance Team and Audit
Team.

7. I understand that violations of this Employee Compliance Agreement

company policies or other laws and rules pertaining to my duties may result
in a disciplinary action, a criminal charge or a civil lawsuit.
