1.

Recital:
o Mr. A (‘Author’) is a renowned author and is in the process of launching his latest
novel titled “The Time that Fly” (‘Book’) and same is tentatively scheduled to be
launched on 15th July, 2019 at the Taj Lands’ end, Bandra, Mumbai & PM
onward(‘Event’).
o Farhan Akhtar (‘Celebrity’) is a renowned actor, writer, director and producer in
the Indian Film and Television Industry.
o The Author has approached the Celebrity requesting him to grace the said Event
with hid appearance and has also requested the Celebrity to be a part of an
approximately 30 Minutes chat show wherein the Author would be giving a
glimpse of the plot of the said Book and in view of the foregoing and considering
the long standing relationship between the parties the Celebrity has agreed to
not only attend the Event but also be a part of the said show subject to the
terms and conditions of this Event

2. It is better for all the three parties I.e. the Author, Celebrity and the Celebrity’s Talent
management Agency to be parties to the agreement wherein the Talent management
Agency would be a confirming Party as in most cases the consideration gets routed
through the Talent management Agency and there can be further obligations on the
Talent management Agency to ensure that the Celebrity is on time in proper attire and
is well briefed about the Event as per the details that would be provided by the Author
and his team/representatives.
The clauses to be incorporated would be as follow:
o Consideration- the Parties agree that the said Consideration shall be paid to the
Agency for and on behalf of the Celebrity and on payment of the same the
Author shall not be responsible for any inter se disputes that may arise between
the Agency and the Celebrity with regards to the said consideration and its
remittance to the Celebrity.
o Obligation of the Agency:
 The Agency shall be responsible to ensure that the Celebrity is on time for
the said Event.
 The Agency shall be responsible that the Celebrity is briefed as per the
details provided by the Author prior to the said Event.
 The Agency hereby Undertakes and warrants that they shall not commit
any act which is either directly and/or indirectly detrimental to the
image, goodwill of the Author.
 The Agency hereby undertakes and warrants that the Celebrity has not
and further to ensure that the Celebrity will not commit any act of
 illegal/or immoral nature and/or any which will bring discredit on himself
and/or which will be harmful of to the Author.

3. Consideration:
 In consideration of the Celebrity committing and undertaking to provide his
services for the Event, the Author shall pay to the Agency for and on behalf of
the Celebrity an amount of INR 2 Lakh plus applicable goods and services taxes.
The Consideration needs to be paid in the following manner:
 25% on execution of this Agreement.
 75% on the day of Event.

4. Services to be Rendered by the Celebrity:

 The Celebrity agrees, represents and assures to the Author that he will render his
services way of appearance and giving media bytes as well as taking part in the
30 Minutes chat show for the said Event.
 The Celebrity agrees, and undertakes to read the Book provided by the Author
before the Event so as to be able to answer any queries related to the Book
asked by media fraternity during the Event.
 The Celebrity agrees and acknowledge that the Author and/or its assignees have
unfettered rights to use to the Celebrities images from the appearance at the
Event and the Chat show itself for a period of 3 years from the date of this
Agreement across the entire world on all platforms, modes and mediums with
such modification and/or adaptation to the advertisement and promotional
materials agreed hereunder.
 The Celebrity hereby agrees that the Celebrity will fully co-operate in promoting
the said event and the book on his social media platform.
 The Celebrity shall ensure that he goes live through his Instagram account so
that the Book and Event can have a maximum outreach.
 The Celebrity assures, on a best effort basis to insure being in good health before
and during the Event.
 The Celebrity hereby undertakes and warrants that he shall not make any
derogatory statement and/or any statement to portray the Author and/or its
assign and/or affiliates in any manner that is derogatory to the reputation of the
author and/or its assignees and/or affiliates.

5. Termination:
o Author shall have the right to terminate this Agreement forthwith with Celebrity
through its agency;
  If Celebrity is unable to render his services because of Celebrities’ in
capacity.
 If the Celebrity breaches any of the terms, condition and obligation under
this Agreement.
 The Author shall be entitled to terminate the Agreement with or without
cause forthwith.

o Notwithstanding anything to the contrary in the event of a premature

termination of this Agreement by the Author due to clause stated above, the
Author shall pay such proportionate amount of consideration as per the
payment traches provided that such termination is not attributable to the
celebrity. For all other reason, the Celebrity shall refund the Consideration so
received on date of termination. However, it is clarified for the purpose of this
agreement that the signing amount at no point will be refunded by the celebrity.
