JOINT-VENTURE AGREEMENT

FOR THE SUPPLY WORKS

Of COOLING TOWER BLADE FOR CHANDPUR 150 MW
COMBINED CYCLE POWER PLANT, BPDB
BETWEEN

The undersigned parties, M/S Rabbi Enterprise, with a

principal place of business located at 1/303, Eastern Point, 8-9,
Shantinagar, Dhaka-1217.

-------The First Party.

AND

Marks Powertech BD Ltd, with a principal place of business

located at 4th floor, House # 1/A, Road #13, Mirpur Road,
Dhanmondi, Dhaka, Bangladesh

WHEREAS both the parties are mutually agrees to engage in

and carry on as joint venture supply projects under Bangladesh
Power Development Board’s Chandpur’s 150 MW combined
cycle power plant with stipulated conditions as follows:

WHEREAS the deed of Joint venture agreement between

above parties begin at day of May 2019 Christian Era. by
executing the instant agreement.

1. WHEREAS the parties associate themselves as joint

ventures of the purpose of preparing and submitting
DPM/OTM for SUPPLY WORKS Of COOLING
TOWER BLADE FOR CHANDPUR 150 MW
COMBINED CYCLE POWER PLANT, BPDB .

2. WHEREAS the parties associate themselves as joint

ventures agrees that this agreement will be valid until the
end of the authorization period given by the
manufacturer.

3. WHEREAS the parties to this agreement desire that M/S

Rabbi Enterprise will provide the Bank Guarantee,
Performance Guarantee and LC Margin in every case to
case manner in favor of the Joint Venture cost and
investment of which will be beard by both parties of the
joint venture.

4. WHEREAS the parties to this agreement desire that M/S

Rabbi Enterprise will participate in the DPM/OTM
individually on behalf of the Joint Venture in every case
to case manner depending on winnability of particular
tender.

5. WHEREAS the parties to this agreement desire that only

M/S Rabbi Enterprise will open a bank account in a
nominated bank agreed by both parties, to carry out all
the financial transaction of regarding the particular
DPM/OTM.

6. WHERWAS the second party of this agreement managed

and negotiated from the manufacturing company to get
authorization to the first party M/S Rabbi Enterprise.

7. WHEREAS the parties to this agreement desire that both

M/S Rabbi Enterprise and Marks Power Tech BD Ltd
after calculating all expenditure and will share the
profit/loss margin 60 percent for M/S Rabbi Enterprise
and 40 percent for Marks Powertech BD Ltd.

8. WHEREAS the parties associate themselves as joint

ventures agreed to the point neither party in the joint

venture will not issue LC in favor of the manufacturer
directly. Rather they will issue LC in favor of the
Principal (the exporter company) nominated by the
manufacturer.

9. WHEREAS the parties associate them selves as joint

ventures agreed to the point neither party cannot
terminate this agreement on middle of a DPM/OTM
process. This joint venture can be terminated only when
all the procurement process comes to an end regarding
CHANDPUR 150 MN COMBINED CYCLE POWER
PLANT, BPDB.
