Design consultancy agreement

This agreement is made in day oct , 2019, between:-

Object of agreement

The object of this contract is the consultant prepares interior designs and modification plan

for a GROUND+6 OFFICE BUILDING building of COMMERCIAL NOMINEES PLC located at

N/S/L sub city woreda near to and the owner pay

remuneration of an amount and mode of payment as stated on the appendix C of this

agreement. The client/Owner here by appoints the consultant and the consultant accepts

the appointment on the condition laid down, in the appendices annexed here to and made

part of hereof. The client shall have a separate agreement prior to passing on to the next

design level for Construction and supervision.

Objective of the Project

Objective of this contract is to accommodate the above mentioned client interested to do an
interior design and Modification who is in need of an Architectural Interior design service.
 Now therefore the parties here by agree to the documents attached here with which
shall be deemed to form an integral part of this contract.
I. The Job
The Work site is located at City Of the Addis Ababa Administration City, Wereda/
Kebele House No. and the design shall be prepared / performed by taking into
account:-
II. Specific Service
The designer will perform the following services as a part of this job.
 Design (architectural floor plan,Ceiling plan, furniture layout plan, flooring material
selection plan, color and light fitting layout design.)
 Detail (material procurement documentations, internal elevations, section and floor
plan preparation as the agreed design b/n the parties,3d interior perspective
renderings, Window door schedule and all construction working drawings necessary
for construction purpose.)
III. The Work
Work will be being on after the agreement between the parties and the releasing of advance
payment that mention at the bottom of this paper. And estimated to take 40 calendar days to
complete and prepare for construction.

Work will happen on the following phases.

I. Schematic phase:-preparation of preliminary design for the discussion with

the client.
II. Final phase:-after the approval of all necessary documents by the client we
can go to finalized all design documentation as mention on the above.

Conditions of Contracts
1. Submission date.
 Visit the site area and know how the conditions before or on the preliminary
design stage and suggest about the necessary requirements for the space.
 The designer shall submit all the above listed documents as draft within a
maximum of (40 calendar days) from the time of signature for review and
comments.
2. Responsibilities of the client.
 To cooperate in due process of the work, to provide the necessary documents.
 To avail the finance and effect the payment as per the agreement on time.

3. Responsibilities of the designer.

 The designer shall carry out the work to the best of her/his professional &
technical skill.
 The designer shall be responsible for any miss-proposals.
 The designer shall check, correct & modify any of the above works as per the
request of the client.
 The designer will submit the document in due time.

4. Remuneration and Payment.

4.1 The client has agreed to pay a lump sum of eth. Birr …. 165,000(one hundred sixty
five thousand birr only), for the above mentioned design work as descried on the
“Description of the Work” of this agreement.
Design fee…………………Eth birr 165,000
VAT (15%) ……………… Eth birr 25,500
Total design fee of …………………Eth birr 190,500

4.2 Mode of Payment.

 Advance payment (upon the signing of the agreement)
50% of the total sum ………………. ETB birr 97,500
Shall be paid up on signing of the contract.
 Final payment (upon the Submission of the entire construction documents of
the project) 50% of the total sum ………………. ETB birr 97,500
shall be paid after Submission of the entire construction documents of the
project.

5. Modification

 Modification of the terms and conditions of this Agreement, including any

modification of the scope of the Services, may only be made by written
Agreement between the parties.
 However, the designer shall check, correct & modify any of the above works as
per the request of the client.

6. PENALITY & TERMINATION OF THE AGREEMENT

 If the designer failed to submit the document on the specified time, the
consultant will be penalized Eth. Birr 100.00 for each delayed day as penalty
and the maximum penalty will not exceed Eth. Birr 1000.00

 Likewise the Client failed to effect the remaining payment as per the mode of
payment stated in this agreement, will pay Eth. Birr 100.00 for each delayed as
penalty and the maximum penalty will not exceed Eth. Birr 1000.00

 Either party may terminate this Agreement for causes of force majeure in
which case neither party shall have any claim against the other.

 Either party may terminate this contract for good cause provided a prior
written notice is given.
 And, the party who request termination for good cause will compensate the
other party for the damage occurred to him due to the termination.

 The amount of compensation shall be equivalent to the amount of advanced

paid i.e. article 4.2 and agreed by both parties.

7. EFFECTIVE DATE AND CONTRACT DOCUMENT

 This agreement will have binding effect on the parties as of the date it is signed by their
duly authorized representatives.

 In witness thereof, the undersigned being the duly authorized have signed this agreement
in two originals on behalf of the parties here to at the place, date and year below written.

 IN WITNESS HERE OF, the parties here to have caused this Agreement to be signed in their
respective names on this _ day of oct 2019.

 Intending to be legally bound, done at Addis Ababa on the day of oct 2019 and bearing
seal & Signature of the parties.
