The below Testing and Commissioning Appendix H is developed in accordance with Schedule 6 of

the PPA.

1. Definitions

All defined terms shall have the meaning prescribed to them in the EPC Contract, or as defined below.
In the event of any inconsistency between any capitalised word, term, phrase or abbreviation set
forth in the EPC Contract and any capitalised word, term, phrase or abbreviation set forth in this
Appendix H, the meaning set forth in this Appendix H shall take precedence unless the context of the
EPC Contract otherwise requires.

“Acceptance Tests” means the testing set forth in this Appendix H;


“Actual Performance Ratio” means the ratio calculated as result of the Performance Tests in ac-
cordance with Section 11.3;
“Annual Performance Ratio” means the Actual Performance Ratio of the Facility over each Contract
Year within the Final Acceptance Period;
“Factory Acceptance Tests” means any inspections or tests to be performed by the Owner on the
major equipment and systems intended to form part of the Facility [or Initial Group, as appropriate];
“GPOA” means global irradiation at the plane of PV array (in kWh/m²);
“Guaranteed Annual Performance Ratio” means the performance ratio guaranteed by the EPC
Contractor in respect of Contract Year 1 and Contract Year 2 within the Final Acceptance Period as
set forth in paragraph 3, Part 3 of appendix C (Performance Guarantees);
“Guaranteed Performance Ratio” means the performance ratio guaranteed by the EPC Contractor
(i) in respect of the Initial Group as set forth in paragraph 2, Part 1 of appendix C (Performance
Guarantees) and (ii) in respect of the Facility as set forth in paragraph 2, Part 2 of appendix C
(Performance Guarantees);
“IEC” has the meaning set forth in Section 2.5;
“Initial Nominal Installed Power Rating” or “Interim Nominal Installed Power Rating” or
“IPNOM” means the sum of the nameplate rating of all installed inverter AC power in the Initial
Group, as stated for ICOD in paragraph 1 of part 3 in appendix C (Performance Guarantees);
“Letter of Release” has the meaning set forth in Section 5;
“Mechanical Completion” means when a certain part of the Facility has passed its Mechanical Com-
pletion Tests;
“Mechanical Completion Certificate” means the certificate issued by the Owner to the EPC Con-
tractor under the EPC Contract after successful passing of the Mechanical Completion Tests in ac-
cordance with Section 8;
“Mechanical Completion Tests” means all mechanical tests, and inspections to be performed by
the EPC Contractor once the construction of a certain part of the Facility has been completed as
further described in Section 8;
“Minimum Acceptance Criteria” has the meaning set forth in Section 11.3;
“Net Electrical Energy” means the net electrical energy delivered to and metered at the Connection
Point by Owner to the Client (in KWh) in Billing Period n;
“Nominal Installed Power Rating” or “PNOM” means the sum of the nameplate rating of all in-
stalled inverter AC power in the Facility, as stated in paragraph 1 of part 3 in appendix C (Performance
Guarantees);
“On-Site Tests” means all tests to be performed by the EPC Contractor on the Facility [or Initial
Group, as appropriate] at the Site, which are included in the Acceptance Tests;
“Performance Test” means the tests to be performed by the EPC Contractor to determine the actual
performance of the Facility [or Initial Group, as appropriate] as further described in section 11;
“Potential Induced Degradation (PID)” shall have the meaning given to it in the EPC Contract;
“PID Free” means a PV Module with a positive confirmation test results certificate according to TS
IEC 62804: draft 2013-12, Test Method for Detection of Potential Induced Degradation of Photovoltaic
(PV) Modules (modified);
“Projected Net Electrical Energy” means the projected net electrical energy delivered to and me-
tered at the Connection Point by Owner to the Client (in KWh) in the Proposal;
“SCMS” means the substation control and monitoring system of SEC;
“Start-up Tests” means the start-up and operational testing to be performed by the EPC Contractor
as further described in Section 10; and
“Test Schedule” has the meaning set forth in Section 2.1;
“Test Procedures” has the meaning set forth in Section 2.1.
2. General

2.1 Test Procedures

2.1.1 The EPC Contractor shall be responsible for the developing and implementing the
test procedures (the "Test Procedures"), testing program and estimated load-
ing requirements for the Acceptance Tests for the [Initial Group or the] Facility
[(as the case may be)], including related auxiliary facilities and equipment in
accordance with schedule 1 of the PPA, Appendix A (OTS) and this Appendix H.
The EPC Contractor shall be responsible for providing all supplies required for
carrying out such Acceptance Tests.

2.1.2 The overall testing program for the Facility [and the Initial Group] under this
Agreement shall consist of the following:

2.1.2.1 Factory Acceptance Tests;

2.1.2.2 Installed Capacity Tests;

2.1.2.3 PID Tests;

2.1.2.4 Mechanical Completion Tests;

2.1.2.5 Interface Tests with the Electrical Special Facilities;

2.1.2.6 Start-up Tests including related auxiliary facilities, equipment and


systems; and

2.1.2.7 Performance Test.

2.1.3 At least one hundred and twenty (120) Days prior to the proposed commence-
ment of the first On-Site Test to be carried out by the EPC Contractor on the
[Initial Group or the] Facility [as appropriate] in accordance with this Appendix
H, the EPC Contractor shall submit in writing to the Owner all test procedures for
the On-Site Tests to be carried out on the [Initial Group or] Facility [as appropri-
ate], in accordance with this appendix H, which shall include but not be limited
to:

2.1.3.1 test program;

2.1.3.2 test schedule for all On-Site Tests, including the scheduled dates and
times for all On-Site Test (“Test Schedule”);

2.1.3.3 test standards;

2.1.3.4 On-Site Tests;

2.1.3.5 check lists;

2.1.3.6 description of instrumentation to be used during the On-Site Tests;

2.1.3.7 list of the On-Site Tests which are to be witnessed by third parties
and the identity of such third parties;

2.1.3.8 quality control procedures;

2.1.3.9 criteria, which if met or exceeded, would result in the relevant On-
Site Test being considered to have been passed, including those cri-
teria specified in this schedule 6; and
2.1.3.10 forms of On-Site Test records and reports.

2.1.4 The Owner may, within forty-five (45) Days after receipt of the relevant Test
Procedures, request the EPC Contractor to amend the Test Procedures, to include
additional tests (and the EPC Contractor shall give effect to any such request),
which in the opinion of Owner should be carried out to establish that the [the
Initial Group or] Facility [as appropriate] is installed and capable of being oper-
ated according to the design, performance and operation requirements specified
in schedule 1 and is capable of attaining the requirements of this schedule 6.

2.1.5 If the Parties are unable to agree upon any additional tests within ten (10) Days
of the EPC Contractor's receipt of Owner's request, the Dispute shall be referred
to the Independent Expert for resolution pursuant to clause21.2of this Agreement
provided that the EPC Contractor shall be entitled to proceed with the On-Site
Tests under its proposed test procedure pending resolution of such matter.

2.1.6 The EPC Contractor shall not perform any Acceptance Tests required under this
schedule 6 without reviewed Test Procedures.

2.2 Changes to the Test Schedules

2.2.1 If the EPC Contractor wishes to change the dates or times for any On-Site Test
or Factory Acceptance Test set out in a Test Schedule, the EPC Contractor shall
give notice to Owner at least fifteen (15) Days prior notice

2.2.2 Any notice given under this appendix H shall be given before 12.00 pm on a
Business Day, otherwise it shall be deemed to have been given on the following
Business Day.

2.2.3 All On-Site Tests shall take place on a Business Day between 8.00am and
6.00pm, provided that where an On-Site Test has started during normal working
hours and has extended beyond normal working hours, it shall be acceptable to
complete such On-Site Test outside normal working hours.

2.3 Right to Witness

2.3.1 The Owner reserves the right to witness, and have one or more representatives
present during, all testing performed by the EPC Contractor on the [Initial Group
or] Facility.

2.4 Dispatch during Acceptance Tests

2.4.1 The EPC Contractor shall notify Owner at least five (5) Business Days in advance
of the required load in connection with any Acceptance Tests and of the level and
duration of such required load and Owner shall cause the [Initial Group or] Facil-
ity to be dispatched to allow the EPC Contractor to conduct such Acceptance
Tests, subject always to the Saudi Arabian Grid Code Requirements.

2.4.2 In relation to any scheduled test that is required to be rescheduled, the EPC
Contractor shall notify the Owner at least five (5) Business Days (or such shorter
period if agreed by the Parties) in advance of the commencement of the resched-
uled test.

2.5 Carrying out of Acceptance Tests

2.5.1 The EPC Contractor shall ensure that all Acceptance Tests are carried out in ac-
cordance with (as applicable):

2.5.1.1 Test Procedures (including the Test Schedules, as amended from


time to time);
2.5.1.2 Transmission Requirements;

2.5.1.3 SEC requirements (in the case of Interface Test with ESF);

2.5.1.4 schedule 1 of the PPA and appendix A;

2.5.1.5 Agreed standards of the International Electrotechnical Commission


(“IEC”), International Organisation for Standardisation (“ISO”),
Deutsches Institut für Normung (“DIN”), British Standards (“BS”)
and equivalent other relevant standards that may be requested by
Owner; and

2.5.1.6 Good Utility Practice.

2.6 Tests Reports

2.6.1 The EPC Contractor shall submit to the Owner:

2.6.1.1 all test reports and results in relation to any On-Site Test, other than
in relation to the Performance Test, within eight (8) Days after com-
pletion of such On-Site Test;

2.6.1.2 all Factory Acceptance Tests reports, within three (3) Days after com-
pletion of such respective tests; and

2.6.1.3 the Performance Test report, within three (3) Days after completion
of the Performance Test.

2.7 Certification of On-Site Tests

2.7.1 On each occasion when the EPC Contractor considers that it has passed any of
the following On-Site Tests in accordance with the relevant test procedures and
this EPC Contract:

2.7.1.1 Start-up Tests; and

2.7.1.2 Interface with the Electrical Special Facilities and

2.7.1.3 Performance Test,

the EPC Contractor shall so notify the Owner and request the Onwer
to confirm that the relevant On-Site Test has been passed, and shall
provide the Owner with all relevant supporting documentation.

2.7.2 Within five (5) Business Days of receipt of each notice and all relevant supporting
documentation from the EPC Contractor under this Section 2.7, the Owner shall
either:

2.7.2.1 notify the EPC Contractor that the relevant On-Site Test has been
passed; or

2.7.2.2 notify the EPC Contractor of any failure to pass any of the relevant
On-Site Tests and the reasons therefor, in which case the EPC Con-
tractor shall promptly rectify the cause of such failure and repeat the
relevant On-Site Test(s), and the procedure in this Section 2.7 shall
be repeated.

2.7.3 Not used.


2.7.4 Without prejudice to this Section 2.7, the EPC Contractor may proceed with the
next On-Site Test in the Test Schedule immediately after giving notice to Owner
under this Section 2.7, notwithstanding that it has not received a response from
Owner under this Section 2.7.

2.7.5 For the acceptance of Interface Tests with ESF refer to section 9 of this schedule
6.

3. Initial Commercial Operation Date (ICOD) Testing

3.1 For achieving the Initial Commercial Operation Date, the successful conclusion of testing
specified below for the Initial Group is required:

3.1.1 Factory Acceptance Tests for the Initial Group according to section 5 of this Ap-
pendix H;

3.1.2 Mechanical Completion Test for the Initial Group according to section 8 of this
Appendix H.

3.1.3 PID Test for the Initial Group according to section 7 of this Appendix H.

3.1.4 Installed Capacity Test for the Initial Group according to section 6 of this Appen-
dix H.

3.1.5 Interface Test with the Electrical Special Facilities according to section 9 of this
Appendix H. For the sake of clarity, to achieve Initial Commercial Operation Date,
the successful Interface Test for the Electrical Special Facilities for the evacuation
of the entire Facility is mandatory.

3.1.6 Start -up Test for the Initial Group according to section 10 of this Appendix H.

3.1.7 Performance Tests for the Initial Group according to section 11 of this Appendix
H.

3.1.8 The testing of the above mentioned sections has to be achieved for the Initial
Nominal Power Rating as set out in appendix C (Performance Guarantees).

4. Project Commercial Operation Date Testing

4.1.1 For achieving the Project Commercial Operation Date, the successful conclusion
of testing specified as per the requirements of sections, 8, 9, 10, 8, 9, 10 and 11
for the entire Facility is required.

4.1.2 The testing of the above mentioned sections has to be achieved for the Nominal
Power Rating as set out in appendix C (Performance Guarantees).

5. Factory Acceptance Tests

5.1 The following items shall be inspected by an agreed 3rd party at the manufacturer’s premises
prior to shipment:

5.1.1 main step-up transformer;

5.1.2 HV cable;

5.1.3 HV and MV switchgears;

5.1.4 inverters; and

5.1.5 PV modules.
5.1.6 MV transformers

5.2 In addition to type tests and tests according to relevant standards, the Factory Acceptance
Tests of the inverters shall comply with the requirements of this Agreement, in particular
schedule 1 of the PPA, appendix A, schedule 10 of the PPA and the Saudi Arabian Grid Code.

5.3 Inspections of the PV module factory shall include an independent verification of the supplier
flash test power of the PV modules (counter-flash test).

A flash test for every module supplied by the EPC Contractor will be performed by the
manufacturer before packing. The report from this testing, including excel file format, will be
provided to the Owner.

5.4 If satisfactory, the factory inspection shall be concluded by the issue of a letter by the EPC
Contractor (“Letter of Release”). However, the Letter of Release shall not release in any
way the EPC Contractor from any of its obligations under this Agreement.

5.5 The EPC Contractor shall provide a copy of the Letter of Release to the Owner confirming
compliance with the Factory Acceptance Tests.

6. Installed Capacity Test

6.1 The purpose of the Installed Capacity Test is the measurement of the real peak power of the
PV modules to prove the effective power to be installed at the Facility and corresponding
Installed Capacity. The Installed Capacity Test shall be done before the modules are delivered
to the Site and must be completed before the Mechanical Completion.

6.2 For evaluating the Installed Capacity, a representative sample of PV modules to be installed
in the Facility shall be chosen and sent for testing to an accredited laboratory, at the EPC
Contractor expenses (laboratory to be chosen by the Owner, such as Fraunhofer-lSE, Ciemat
or a similar body).

6.3 For the selection of the modules to be tested and inspected, the sampling procedure shall be
in accordance with ISO 2859-1:1999. For this Project, inspection level S-4 shall be used.

6.4 The sampled modules shall be subject to visual inspection and insulation tests by the accred-
ited laboratory or institute as per IEC 61215 and 61646 Standards depending on the type of
modules selected. If any of the module(s) fail visual inspection and insulation test, such
modules shall not be subjected to measurement of the real peak power of the PV modules,
and will be replaced by equal number of new representative sample modules for testing.

6.5 Measurements shall be performed in the sample modules to determine the IV-curve and the
electrical parameters under defined conditions. The measurements under STC (standard test
conditions: light spectrum according to AM 1.5, global irradiance 1000 W/m2, module tem-
perature 25°C) have to be performed according to IEC 60904-1 and IEC 60904-3. The meas-
urement uncertainty of the MPP- Power for crystalline modules shall not exceed ±2.5% and
about ±5% for thin film.

6.6 The measurements have to be carried out with a class AAA sun simulator according to IEC
60904-9. The laboratory shall be accredited according to ISO/I EC 17025.

6.7 All types of modules are subjected to a most precise measurement (according to IEC 60904-
3), which is achieved by determining the spectral response from identically constructed ref-
erence modules. A reasonable threshold for a pass / fail criterion of the measured power
values shall be defined in advance.

6.8 To determine the effect of light induced degradation on PV modules, selected modules shall
be measured before and after light exposure according to the relevant specifications from
the manufacturer (also called "preconditioning"). Alternatively, the modules have to be ex-
posed to light until the criterion defined in the currently valid IEC standard is fulfilled.
6.9 Considering a number m of tested modules, the following formula shall be used for assessing
the Installed Capacity in kWp:

Where:

 Pn = measured power in Wp per each tested modules in laboratory;


 m = overall number of tested PV modules
 Nmod = total number of (to be) installed PV modules in the Facility.

Installed Capacity shall be equal or greater than “Guaranteed Installed Capacity” as set forth
appendix C (Performance Guarantees) .

7. PID Test

A PID test shall be carried out in an ILAC accredited laboratory.

The PID Testing procedure will follow the TS IEC 62804: draft 2013-12.
Test conditions positive potential test:
Testing time : 192 h
Ambient temperature : 85°C
Relative Humidity : 85 %
Voltage Condition : Positive Potential + 1,500 V
Negative Potential - 1,500 V

Pass criteria after positive / negative potential test:


Power degradation : < 5%
Dry Insulation : ≥ 55.56 MΩ
Wet insulation : ≥ 55.56 MΩ

As part of the Mechanical Completion requirement, EPC Contractor shall provide a


“Confirmation of Test Results” certification, from an independent and reputable laboratory,
for PID Free. The certificate provided by the manufacturer is valid for this purpose.

For clarity, the sample size for the purpose of above test for the modules to be delivered on
site for Sakaka project shall be limited to 1 module. In order to accept the modules it is
required that above sample shall pass the acceptance criteria for modules included in the
IEC TS 62804-1

Notwithstanding anything mentioned herein it is agreed by Owner that upon successful


submission of the PID pass tests certificate from manufacturer, following the standards and
the procedure mentioned above, the Contractor shall not be required to perform any
additional PID Test as required in this section 7 on the installed modules for purposes of
obtaining any further PID pass tests certificates.

8. Mechanical Completion Tests

8.1 The Mechanical Completion Tests shall verify and confirm that the Facility [or Initial Group,
as appropriate,] and all grid interconnection and other facilities that are necessary for power
evacuation of the entire Facility have been built according to specifications and that there are
no major technical shortcomings and defects.

8.2 The Mechanical Completion Tests shall include the verification of the Nominal Installed Power
Rating [or the Initial Nominal Installed Power Rating] at that particular time.

8.3 Upon successful passing of the Mechanical Completion Tests, the Owner shall issue to the the
EPC Contractor the Mechanical Completion Certificate. The verification and approval of the
Mechanical Completion(s) by the Client and the Owner pursuant to this Section shall be
mandatory before the start of any Start-up Tests of the entire Facility [or the Initial Group]
under test.

9. Interface Tests with the Electrical Special Facilities

9.1 General

9.1.1 The EPC Contractor shall be responsible for all inspection, testing, commission-
ing, start-up, performance testing and achievement of provisional acceptance of
the Electrical Special Facilities and the related connection points until their trans-
fer to SEC in accordance with clause 5.7 of the PPA and for achievement of final
acceptance subsequent to such transfer upon expiration of the applicable war-
ranty period stipulated in clause 5.5.5 of the PPA.

9.1.2 The Electrical Special Facilities specified in schedule 1 of the PPA shall be tested
in accordance with the technical specifications set out in schedule 1 of the PPA.

9.2 Provisional Acceptance

9.2.1 The provisional acceptance of the Electrical Special Facilities and the issuance of
the Electrical Special Facilities Provisional Acceptance Certificate by the Owner
shall be in accordance with the following provisions:

9.2.1.1 Upon successful completion of the relevant tests in accordance with


the technical specifications in schedule 1 of the PPA and appendix A,
and the test procedures submitted to the Owner, and agreed to be-
tween the EPC Contractor and the Owner, in accordance with thisap-
pendix H, and as soon as the EPC Contractor considers that it has
completed all works for the Electrical Special Facilities, other than
punch list items that will not have a material effect upon the ability
of the Electrical Special Facilities to operate properly and safely, the
EPC Contractor shall so notify the Owner in writing and request issu-
ance of an Electrical Special Facilities Provisional Acceptance Certifi-
cate from the Owner.

9.2.1.2 Within twelve (12) Business Days after receipt of such notification,
the Owner shall either issue the Electrical Special Facilities Provisional
Acceptance Certificate to the EPC Contractor or notify the EPC Con-
tractor of any deficiencies not including punch list items that would
not have a material effect upon the full and safe use and operation
of the Electrical Special Facilities.

9.2.2 In the event of such deficiency, the EPC Contractor shall promptly rectify such
deficiency and again request issuance of the Electrical Special Facilities Provi-
sional Acceptance Certificate as aforesaid. Within twelve (12) Business Days of
such request, the Owner, on being satisfied that the deficiency has been made
good, shall issue the Electrical Special Facilities Provisional Acceptance Certificate
or if such deficiencies still exist, the above procedure shall be repeated until the
Owner is satisfied that all such deficiencies have been made good.

9.2.3 The failure of the Owner to respond within the applicable period, unless extended
by mutual agreement of the Parties, shall be deemed as provisional acceptance
of the Electrical Special Facilities and the Electrical Special Facilities Provisional
Acceptance Certificate shall be deemed to have been issued upon the expiration
of such period.
9.3 Not used

9.4 Transfer of Electrical Special Facilities

The transfer of the Electrical Special Facilities shall be in accordance with the provisions of
clause 5.7 of the PPA. Issuance of the Electrical Special Facilities Provisional Acceptance
Certificate shall be a condition precedent to such transfer.

9.5 Final Acceptance of Electrical Special Facilities

9.5.1 The Electrical Special Facilities shall be finally accepted under the EPC Contract
upon expiration of the warranty period stipulated in clause 5.5 of the PPA in
accordance with the following provisions:

9.5.1.1 Upon expiration of the warranty period stipulated in clause 5.5 of this
Agreement, the EPC Contractor shall so notify the Owner in writing
and request issuance of the Electrical Special Facilities Final Ac-
ceptance Certificate.

9.5.1.2 Within twelve (12) Business Days after receipt of such notification,
the Owner shall either issue the Electrical Special Facilities Final Ac-
ceptance Certificate to the EPC Contractor or notify the EPC Contrac-
tor of any deficiencies.

9.5.1.3 In the event of any deficiency, the EPC Contractor shall promptly
rectify such deficiency and again request issuance of the Final Ac-
ceptance Certificate as aforesaid. Within twelve (12) Business Days
of such request the Owner, on being satisfied that such deficiency
has been made good, shall issue the Electrical Special Facilities Final
Acceptance Certificate or, if deficiencies still exist, the above proce-
dure shall be repeated until the Owner is satisfied that all deficiencies
have been made good.

10. Start-up Tests

10.1 The Start-up Tests shall be performed only once Mechanical Completion is achieved for the
entire Facility [ or the Initial Group] in accordance with Section 8 of this Appendix H. Start-
up Tests which can be performed in isolation (off-grid), i.e. cold commissioning, shall be
performed prior to those tests which require connection to the Electricity Transmission Facil-
ities, i.e. hot commissioning.

10.2 The Start-up Tests shall be performed according to requirements in IEC 62446 and IEC
60364-6.

10.3 The EPC Contractor shall give the Owner fifteen (15) Days’ notice of the proposed date and
time of the Start-up Tests for the Facility [or Initial Group] under test. The Owner may, by
notice to the EPC Contractor within eight (8) Days of EPC Contractor’s notice, reschedule the
date of the Start-up Tests by up to three (3) Days from the date notified by the EPC Con-
tractor.

10.4 The Start-up Tests shall include:

10.4.1 Modules and DC start-up tests

10.4.1.1 continuity tests;

10.4.1.2 polarity tests;

10.4.1.3 earthing tests;


10.4.1.4 PV string open circuit/short circuit tests;

10.4.1.5 PV string I-V curve;

10.4.1.6 array insulation tests;

10.4.1.7 IR-camera tests;

10.4.1.8 SCADA test; and

10.4.1.9 test tracking mechanism under real conditions; backtracking capabil-


ity, if applicable:

10.4.2 Inverter start-up tests according to the manual/instructions of the inverter man-
ufacturers. Inverters shall be tested under different operation modes:

10.4.2.1 Loss of control power;

10.4.2.2 Loss of array;

10.4.2.3 Anti-islanding;

10.4.2.4 Array utilization/maximum power point (“MPP”) tracking;

10.4.2.5 Harmonic distortion;

10.4.2.6 Power factor;

10.4.2.7 Active/reactive power;

10.4.2.8 Closed loop Facility controller; and

10.4.2.9 Test of basic network management functions (frequency and auto-


matic volt-age regulation)

10.4.3 The Start-up Tests shall also include:

10.4.3.1 Security system tests;

10.4.3.2 Firefighting system tests;

10.4.3.3 Fire protection system tests;

10.4.3.4 Fire detection and alarm system tests;

10.4.3.5 HVAC system tests;

10.4.3.6 Pre-energisation tests;

10.4.3.7 Protection systems/settings, in accordance with agreed design and


the requirements of the power interconnection system;

10.4.3.8 Testing of LDC integration works;

10.4.3.9 Start-up and operational testing of Facility’s distributed control sys-


tem, meteorological station, Telecommunication, interface with
SCMS and SCADA, Output Metering System including interfaces;

10.4.3.10 Initial synchronisation in accordance with SEC’s Operating Proce-


dures for the Electricity Transmission Facilities and the Saudi Arabian
Grid Code;
10.4.3.11 Demonstration of the capabilities of Facility [or the Initial Group, as
appropriate] to operate at rated voltage and frequency and at power
factors and reactive conditions as specified in Schedule 1 (Minimum
Functional Specifications) of the PPA and appendix A; and

10.4.3.12 High voltage equipment operation of the Facility to verify and check
high voltage electrical equipment according to the relevant IEC
standards, comprising a minimum of:

(1) High voltage tests on the main circuits;

(2) Dielectric tests on auxiliary circuits;

(3) Measurement of resistance of the main circuit;

(4) Gas tightness test, if applicable;

(5) Partial discharge measurement; and

(6) Measurement of sulphur hexafluoride (SF6) gas condition, if


applicable.

11. Performance Test

11.1 Purpose

The purpose of the Performance Test is to demonstrate that the Facility [or the Initial Group] is able
to generate energy continuously and (considering certain tolerances indicated below) achieves the
Performance Guarantees given in appendix C (Performance Guarantees).
11.2 Performance Test Conditions

11.2.1 After the EPC Contractor has notified the Owner in accordance with Section 2.7
that the Facility [or the Initial Group] has passed its Start-up Tests, the EPC
Contractor shall carry out the Performance Test on the entire Facility [or the
Initial Group, as appropriate,] in accordance with the Test Schedule.

11.2.2 During the Performance Test, both the EPC Contractor and the Owner shall make
all reasonable efforts to maintain the frequency, electrical load, power factor and
Electricity Transmission Facilities voltage steady.

11.2.3 The EPC Contractor shall give the Owner not less than fifteen (15) Days’ notice
of the proposed date and time of the Performance Test for the Facility [or the
Initial Group, as appropriate]. The Owner may, by notice to the EPC Contractor
within eight (8) Days of the EPC Contractor 's notice, reschedule the date of the
Performance Test by up to three (3) Days from the date notified by the EPC
Contractor.

11.2.4 The Performance Test shall last ten (10) consecutive Days, in which the following
criteria shall be met:

11.2.4.1 at least five (5) Days with irradiance measured on the plane of the
array greater than 500 W/m² for three (3) contiguous hours;

11.2.4.2 for at least five (5) Days, the daily total irradiation on the plane of
the array exceeds 4.5 kWh/m². For the avoidance of doubt, these
Days may be the same as those in the first condition (500 W/m² for
three (3) contiguous hours);

11.2.4.3 in the event that the five (5) Days are not reached with the required
irradiation levels, the testing period will be extended until the irradi-
ation criteria are achieved;
11.2.4.4 availability of the Facility [or the Initial Group, as appropriate] (at the
inverter level) and the Electricity Transmission Facilities shall be
100%. In the event of unavailability, the testing period will be ex-
tended accordingly by the relevant number of Days.

11.2.5 In the event that the Facility [or the Initial Group, as appropriate] is not fully
available at the inverter level for some time during the testing period, the re-
spective data set will be skipped and the testing period will be extended in order
to obtain a full set of data for an equivalent of ten (10) Days period with 100%
availability at the inverter level.

11.2.6 The Performance Test shall be repeated in case of more than five (5) Days have
been skipped, except those Days that were skipped due to circumstances which
were beyond the Owner's responsibility or control (e.g. where interruptions were
caused by interruptions of the Client).

11.2.7 No manual intervention or non-scheduled maintenance will be permitted on the


Facility [or the Initial Group, as appropriate] during the Performance Test.

11.2.8 A minimum threshold for the irradiance on the plane of the modules of 100 W/m²
shall be considered for the tests. Measured intervals j with values below the
threshold shall be excluded from the calculation.

11.3 Performance Test Procedure

11.3.1 The Performance Test shall have been satisfactorily completed only if the follow-
ing Minimum Acceptance Criteria (“Minimum Acceptance Criteria”) for the Fa-
cility [or the Initial Group, as appropriate] have been achieved:

11.3.2 Achievement of the following Performance Guarantees set forth in appendix C


(Performance Guarantees) to the extent specified below:

11.3.2.1 the PNOM (or the IPNOM, as the case may be) set forth in appendix
C (Performance Guarantees) has been fully installed;

11.3.2.2 the Actual Performance Ratio in respect of IPNOM achieves not less
than Ninety Five percent (95%) of the respective monthly Guaran-
teed Performance Ratio at as set forth in appendix C (Performance
Guarantees). The determination of the Actual Performance Ratio shall
be determined as set forth below;

11.3.2.3 the Actual Performance Ratio in respect of PNOM achieves not less
than Ninety Five percent (95%) of the respective monthly Guaran-
teed Performance Ratio as set forth in appendix C (Performance
Guarantees). The determination of the Actual Performance Ratio shall
be determined as set forth below; and

11.3.2.4 the transmission of all signals to the load dispatch centre as required
by the Saudi Arabian Grid Code and agreed by the Owner has been
established.

11.3.3 The Actual Performance Ratio (APR) shall be calculated as follows:

tering interval;

J = number of hours during the testing period;
Β = the absolute (unsigned) value of the temperature coefficient from the module’s data
sheet for the module’s nominal power output (in %/°C);
Tmodm = Projected Monthly Average Module Temperature (in °C) as set forth in Appendix
C;
Tmeasi = the actual average module temperature measured during each Metering Interval i
by the temperature sensors placed on the reverse side of the modules (in °C);
Pmod,k = the sum of the nameplate rating of the PV modules at STC conditions;
GPOAi,k = Irradiation in kWh/m² measured per each metering interval i with an on-site pyra-
nometer with an identical inclination as the PV modules; and
GSTC = Irradiance at STC (1 kW/m2).

11.3.4 As multiple measurement instruments (pyranometers, temperature sensors) will


be installed at the Facility [or the Initial Group, as appropriate], the average
value of the instruments shall be considered in the equation above.

11.3.5 In case the measurement period covers Days in two different months, then a
weighted average (depending upon number of measurement Days in each
month) of the respective Guaranteed Performance Ratio shall be used. For avoid-
ance of doubt, no additional adjustment shall be made to the measured Actual
Performance Ratio, in terms of measurement errors.

11.4 Performance Test Report

11.4.1 The EPC Contractor shall compile and submit test protocols, including all infor-
mation necessary to evaluate the results, to the Owner within the period as set
forth in Section 2.7.

11.4.2 The reports to be provided under Section 2.7 in relation to the Performance Test
shall include the data as recorded during the Performance Test including valid
calibration certificates for all instrumentation used during the Performance Test
and the correction calculations for adjustments to the reference conditions based
on the correction curves and/or equations included in schedule 1 of the PPA
and/or as agreed in the test procedures.

11.5 Owner’s Certification of Initial Commercial Operation Date and Project Commercial
Operation Date

11.5.1 When the EPC Contractor considers that:

11.5.1.1 it has passed the Factory Acceptance Tests, the Mechanical Comple-
tion Tests and Start-up Tests for the Facility [or Initial Group, as ap-
propriate];

11.5.1.2 it considers that it has passed the Performance Test; and


11.5.1.3 it considers that it has satisfied the relevant conditions for Provisional
Acceptance under the EPC Contract,

the EPC Contractor shall notify Owner and shall provide Owner with all supporting
documentation in relation to the above.

11.5.2 The Owner shall indicate in writing within five (5) Business Days after receiving
from the EPC Contractor all relevant supporting documentation, whether it ac-
cepts or disputes that the requirements of section 11.5.1 have been met and that
the Facility for the Project Commercial Operation Date [or the Initial Group for
Initial Commercial Operation Date] including related equipment, systems and fa-
cilities is fit for commercial operation.

11.5.3 Not used.

11.5.4 If Client has given notice to the Owner the Performance Test was not passed,
then the EPC Contractor shall repeat the Performance Tests and the procedure in
this section 11.5 shall be repeated.

11.5.5 Not used.

11.6 Annual Net Electrical Energy Review

11.6.1 On each anniversary of the Project Commercial Operation Date, an annual net
electrical energy review will be carried out to verify that the Net Electrical Energy
in any given Contract Year is higher than the levels guaranteed under appendix
C (Performance Guarantees).

11.6.2 The EPC Contractor shall compile and submit a report, including all information
reasonably necessary to evaluate the results, to Owner within twenty five (25)
Days after the end of each Contract Year. The report shall include the data as
recorded during the past Contract Year and used in the Plant Performance Model
in accordance with schedule 17 of the PPA.

11.6.3 To pass the Annual Net Electrical Energy Review, the sum of Net Electrical Energy
in year n plus Deemed Net Electrical Energy in year (n) should be equal or greater
than 70% of the Projected Net Electrical Energy in year (n) as per appendix C
(Performance Guarantees).

12. Annual Performance Test

12.1 During the Final Acceptance Period, the EPC Contractor in the presence of the Owner, shall
perform the annual Performance Test. The annual Performance Test shall be performed on
an annual basis at the end of each Contract Year and shall compare the Annual Performance
Ratio against the Guaranteed Annual Performance Ratio.

12.2 Procedure for Performance Test – at Final Acceptance Period and at Final Ac-
ceptance

12.2.1 Such test procedures shall include:

 During the Final Acceptance Period, the following data will be collected:

 The amount of energy at the Electrical Delivery Point during the test
period
 The amount of solar radiation reaching the plane of array
12.2.2 The Performance Ratio for each year of the Final Acceptance Period will be cal-
culated taking into consideration the actual amount of kWh generated by the
Facility, as well as the amount of solar radiation measured in kWh/m2 at the
plane of array during the two-year Final Acceptance Period. Data from periods
of time covered by Excludable Events (as defined below) will not be considered
and thus be excluded from the calculation, if any.

12.2.3 The Annual Performance Ratio will be measured over two years of performance.
The EPC Contractor will guarantee the Annual Performance Ratio for each year
according to the values included in appendix C (Performance Guarantees).

12.3 Procedure for establishing the Annual Performance Ratio during the Final Ac-
ceptance Period and at Final Acceptance

12.3.1 To calculate the Performance Ratio of the Facility the same (already installed)
equipment will be used as described and defined in section 11.

12.3.2 For the avoidance of doubt: any measurement accuracy of these devices will not
be considered in the procedure for establishing the Performance Ratio.

12.3.3 The period of annual testing will last for at least two (2) years and during this
time the measured whole system availability will be taken into consideration.

12.3.4 The Annual Performance Ratio calculation shall exclude those periods during
which the Facility could not deliver electricity due to Force Majeure.

12.3.5 In the event that there are Excludable Events (as defined below), the testing
period will be automatically extended in an amount of time equal to the period of
the Excludable Events, with a limitation of 30 days.

12.4 Excludable Events

12.4.1 Data taken during any of the following periods (each an "Excludable Event") shall
be disregarded when calculating the Performance Ratio:

 periods of Force Majeure

12.4.2 For greater certainty, periods when there is a lack of system availability not re-
sulting from an event of Force Majeure will be included in the Performance Ratio
calculation.

12.5 Availability

12.5.1 The facility availability shall be calculated as an average value over the Contract
Year by using the following formula:

12.7 Correction of the Guaranteed Annual Performance Ratio

12.7.1 If the real unavailability is above [1]% and it is not due to the EPC Contractor,
the Performance Ratio included in appendix C (Performance Guarantees) will be
corrected with the excess of unavailability above [1]%. For greater certainty, any
event related to the EPC Contractor warranties which increases the unavailability
shall not be considered to calculate the real unavailability. “Real unavailability” is
defined as 1 – FA, where FA is calculated in accordance with the formula in section
12.6 above and represented in percentage terms.

12.7.2 If the real soiling is different than [1.0]% and it is not due to the EPC Contractor,
the Performance Ratio, included in appendix C (Performance Guarantees), will be
corrected with either the excess or the defect of soiling different than [1.0]%.

12.7.3 The real soiling shall be calculated as described above in Section 12.6 of this
Appendix H (with the comparison between clean cells and dirty cells that are
cleaned based on executed cleaning strategy for the Facility) The O&M Contractor
is engaged toward the Owner to the required level of [1.0]% of soiling under the
O&M Contract. As set in this Appendix, the EPC EPC Contractor shall guarantee
the Performance Values based on [1.0]% of soiling and the guaranteed values in
Appendix C of the EPC Contract shall be corrected with either excess or the defect
different than [1.0]%.

12.7.4 The following correction will be applied:

12.8 Annual Performance Ratio test

12.8.1 The Annual Performance Ratio shall be calculated using the following equations

12.8.2 The Annual Performance Ratio shall be directly measured on the Project Site, as
follows:

 Reference period: one (1) year, per each Contract year

 Times to take the measures at the end of each month within the reference
period

12.8.3 For the sake of clarity, the test shall not consider any tolerance or uncertainty.

12.8.4 To pass the Annual Performance Ratio test the Annual Performance Ratio shall
be 100% of Guaranteed Annual Performance Ratio in each respective year of the
Final Acceptance Period.

13. PV Module Degradation

For the purposes of this section 13:

“Warranty Start Date” means the first day of the period from the installation of a PV module
as part of the Facility, applicable to each individual PV module.

“User Guide and SDA” means all the technical requirements, recommendation,
specification, and documentation provided by the EPC Contractor (mounting systems,
cabling, cleaning, and maintenance)

13.1 PV Module Degradation Warranty

13.1.1 For a period of twenty-five (25) years, commencing on the Warranty Start Date,
the actual power output of each Module during the applicable one-year period set
forth in the left column of the table below "Power Output Warranty Year" shall be
no less than the corresponding “Minimum Power Output” set forth in the right
column in the table below (and then, in each case, subject to a measurement
tolerance, irrespective of any nameplate power output tolerance stated in any
relevant datasheet for the Product), provided the Product is installed, used, op-
erated, and serviced in accordance with both the User Guide and the SDA from
the manufacturer.

13.1.2 For purposes of the Twenty-Five Year Limited Power Output Warranty, the power
output measurements of the Product shall be carried out in accordance with the
conditions described in International Electrotechnical Commission standard
61646 (“Standard Test Conditions“), as tested at the Product lead wires and pro-
vided that, in each case, power output shall be measured and normalized to
Standard Test Conditions, to be performed according to IEC 60904-1 and IEC
60904-3, using a method and an independent laboratory, with accreditation ac-
cording to ISO/IEC 17025, approved by the Owner.
