Locomotives by the ‘RITES' in a manner acceptance to L&T with prior submission of design, drawings and technical specifications of various M&Ps required at the depot (herewith refer to Work’) a. Initially, all the locomotives shall be provided at Bhagega Depot and after completion of work at Bhagega depot through IR network, all the three Locomotives shall be shifted elsewhere within the alignment as per the requirement of L&T at their cost i.e, Rewari to Iqbalgarh. However, under emergency “RITES” shall allow differential homing of three (3) locomotives between the two depots (3+0, 2+1, 1+2) which is further subjected to provision of necessary maintenance facilities at both depots. b. The ‘RITES’ shall be responsible for Round the clock manning of all Locomotives for movement of empty and loaded wagons/container flats/ material trains etc. at our construction site as and when required. c. The ‘RITES’ shall be responsible for Round the clock operation of Locomotive shunting and placement of loaded rake/wagons as and when required after releasing air pressure etc. d. The ‘RITES’ will operate Locomotives as per the direction of Engineer-in-charge of L&T and nominated by L&T as per the written memo to be obtained personally by Standard Fuelling facility for Locomotives. A diesel storage tank with dispensing facilities for a minimum of 15 days stock, generally 30000 litres. Electricity, water for maintenance works. se>ean5 Liquidated Damages for Delay The ‘RITES’ shall ensure 85% availability of group of locomotives, reckoned on hourly basis. If the availability of group of the locomotives falls below 85% during any month and due to reasons solely attributable to "RITES', Lease charges for the down time in ‘excess of 15%, (calculated on hourly basis) along with penalty of 10% there on shall be deducted from monthly rental (rent as per clause 3) of the ‘RITES’, and will be stated as Liquidated Damage for such delay. Along with group availabilty of 85%, “RITES' shall maintain minimum 80% availability per month for individual locomotive, failing which penalty of 10% there on shall be deducted for individual locomotive. Submission of PBG:- Within fifteen (15) days from the date of issue of LOA, ‘RITES’ shall submit Performance Bank Guarantee (PBG) for an amount equivalent to five percent (5%) of annual Contract Price in a format acceptable to L&T and “RITES”. The PBG shall be valid upto yearly / remaining completion period. The PBG shall be released after the contractual duration or upon certification by L&T’s Engineer-in-charge. b. The ‘RITES’ shall provide one driver and one Points man/shunt man per Loco per shift round the clock for seven (7) days a week for operation of each locomotive. The suitable persons for undertaking the services in conformity with best industry practice and sound engineering technique shall be responsibilty of ‘RITES" c. In the case of breakdown of any Locomotive, the ‘RITES’ shall ensure that such locomotive are repaired and reinstated in the least possible time thereby ensuring minimum interruption to the progress of work of L&T. In the case of major breakdown the ‘RITES' shall ensure either to get the locomotive repaired in a reasonable period in a nearby IR workshop or replace the Locomotive. All compliance as per Laws and Regulation of State/Central Government and Departments concerned shall be observed by the ‘RITES’ & L&T as per their respective obligations mentioned in the Contract, The Contract period is thirty (30) months to be reckoned from the date of arrival of first Locomotive or mobilization of required manpower for its operation by the “RITES, whichever concludes later. The billing period of each locomotive wart Clause -3 will start from the date of arrival of that Locomotive or mobilization of required manpower for its operation by the “RITES’, whichever is later. The ‘RITES’ shall observe and implement all safety measures in relation to operation of Locomotives as per Laws and regulations. ‘The Locomotives shall remain in the premises of L&T. and under no circumstances, the ‘RITES’ shall take Locomotives outside the premises of L&T without prior notices and permission of L&T's authorized Representative. The “RITES' shall provide all expert technical advice, services required and employees suitable personal for undertaking the operation of Locomotives in conformity with the requirement, specification and standards prescribed by IR. The ‘RITES’ shall at its own cost procure all insurance policy in relation to operation of Locomotives, staff labour and workmen as per this agreement and applicable law RITES" shall submit all reports on daily basis to L&T's engineer- in-charge along with monthly running account bil No Claims or extra payments shall be entertained by L&T other than the payment "due to the ‘RITES’ for operation of Locomotives as per clause 3 above. The ‘RITES’ shall be responsible to complete the whole work in a manner acceptable to L&T, as per best industry practice and as per the terms of this Contract. However, if there is any damage to leased locos as a result of derailment / accident due to unstable track condition / bridges / breaches / accidents at level crossing / defects in other rolling stock etc. where, “RITES” is not responsible, will be compensated by L&T. In addition to the Liquidated Damages as per clause 2, the financial effect of the loss if any incurred other than LD clause as a consequence of derailments accident etc. due to reasons solely attributable to the "RITES' shall not exceed three (3%) percent of the monthly rental of the respective month for the involved locomotive Page 5 of 10Larsen & Toubro Limited L&T Construction Western Dedicated Freight Corridor Gui Track Package - 1 & 2 4th Floor, SDC Monarch, Plot No. D236, Amrapali Marg, Jaipur - 302 021, Rajasthan, INDIA L&T Con. 1. L&T shall pay interest free advance of Rs. 20 Lacs per Loco provided by the ‘RITES’ on submission of Bank Guarantee (BG) for an equivalent amount in the format acceptable to L&T. The advance payment would be released within a period thirty (30) days of submission of BG. The adjustment of advance will start from the first R.A. Bill il complete recovery of advance. Monthly rental payment will start after complete recovery of advance. The submission of PBG as provided in Clause 4 is a condition precedent for a release of aforesaid advance and payment of Running Account Bill s. The delivery schedule of Locomotives as agreed by the ‘RITES’ is six (6) months from the date of LOA. It was agreed by “RITES" that the actual delivery date of LOCO would be confirmed by L&T ifthe same is delayed beyond six (6) months as aforesaid and as per the same terms and conditions of this Contract. The tentative delivery schedule is as follows = 18 Loco = Jan-2015 (To be confirmed latest by July’'14) + 2% Loco —Feb-2015 (To be confirmed latest by August’ 14) + 3" Loco - May-2015 (To be confirmed latest by November'14) 5. Insurance The ‘RITES’ shall arrange at its own cost procure, maintain and arrange all insurances as per the terms of this contract and law applicable to it. The ‘RITES’ shall keep this insurance valid during the period of operation of Contract. The insurances shall inter-alia include: a. Workmen's compensation policy (as per Indian laws) for unlimited as to the number of occurrences. b. “RITES" shall provide Insurance covering loss / damage to the equipment deployed by them against fire, theft, damages, force measure etc. other than damage due to derailment at the Job site. «Group personnel accidents insurance covering “RITES” employees, staff etc. d. Third party liability Insurance as covered in Comprehensive insurance policy for a Risk cover of Rs.15,00,000/- (Rs. Fifteen Lacs only) per annum per Locomotive. L&T shall provide the insurance covering the loss or damage of Locomotive due to derailment. General Conditions: a) The ‘RITES’ shall employ and ensure a presence of qualified authorized representatives all times during the execution of the work b) The ‘RITES’ shall nominate their Authorized Representative to correspond with L&T on all matters touching and concerning this Contract. The "RITES" Insurance policies as per Clause 5 of this LOA deem to cater for all such losses/ damages, if any encountered d) The ‘RITES" shall also be responsible for the payment of all levies/taxes of State/Central Governments and/or any Statutory Body. The 'RITES' at its cost and its expense shall comply with all labor laws and keep L&T indemnified of any claims, damages arising out of the ‘RITES’ non-compliances. ) All instruments to be used by “RITES” shall be calibrated as per relevant specifications. f) L&T shall have right to reject any person/equipment deployed by the ‘RITES’, if found unsuitable for the project. The “RITES' shall replace such person and/or equipment at the earliest possible date of receipt of notification from L&T in this regards without any extra cost to the L&T and without affecting the progress of work. Decision of L&T in this regard shall be final and binding on ‘RITES’. 9) The ‘RITES* will not be entitle to any claim of idling for men, manpower and other resources during the operation of this contract. h) In the case of “RITES' failure to perform the Contract in accordance with the conditions of the Contract. L&T will have the right to terminate the entire Contract or part thereof after serving 03 months! notice to “RITES. i) Works shall be carried out as per the instruction of L&T’s Engineer-in-charge whose name will be intimated to ‘RITES’ separately by L&T. 7. Labour Laws The RITES’ shall comply with the applicable Industrial Law, Factories Act, Contract Labor (Regulations & Abolition) Act, Minimum wages Act, Payment of Bonus Act, Payment of Gratuity Act, Provident Fund Act, Workmen Compensation Act and all other Law including its amendments in force during the operation of the Contract in respect of the personnel engaged by ‘RITES’ either directly or indirectly for the operation of this Contract. The cost associated with the observance of such Labour laws in force during the operation of the Contract is deemed to be catered for in the rates. / prices agreed for this Contract. The ‘RITES’ shall be fully responsible to observe alll the Labour Laws applicable during the operation of this Contract and further indemnify L&T against all damages/ claims/ penalty of any State/ Central / Public/ Private undertakings by virtue of “RITES" non- ‘observance of such laws in force during the operation of this Contract. The ‘RITES’ shall be fully responsible for the safety of its Staff, Employees, Work men and Labour, that engaged by L&T and other agencies working in ‘RITES’ area of operation. The RITES’ shall appoint one Safety officer having appropriate experience to ensure safety of the works being undertaken. Should "RITES" feel that the provisions of the documents related to this Contract is inadequate to ensure safety in construction related to ‘RITES’ obligation, they shall forthwith inform L&T of such shortcomings and L&T upon review and approval by IR would allow “RITES' to implement such modifications without any additional cost to L&T. The ‘RITES’ shall at its own cost procure and provide all safety appliances required for their scope of works inter alia safety helmets, gloves, shoes, cotton socks, goggles, dust mask and such other items specifically required for the ‘RITES’ to fulfill its obligation, under this Contract. If it appears to L&T that any of the personnel of "RITES" does not comply with the requirements of safety, L&T may direct "RITES' to disallow entry of such personnel to site of work and "RITES" shall comply with such instruction forthwith, The 'RITES' Safety officer will attend all safely meetings of L&T and “RITES” will comply with the instructions issued during such meetings. Force Majeure If either party is prevented for the performance of its respective obligations in whole or part thereof due to Force Majeure, such as act of God, war, insurrection, embargo, sabotage, explosions and epidemics, then the party who is prevented from the performance of obligation shall by notice of happening of any such event served within seven (7) days from the date of occurrence of forced majeure shall suspend the performance of its obligation. The parties would be excused of the nonperformance during the period of such suspension i.e. from the date of ocourrence of Forced majeure up to cessation of Force Majeure provided; however, such events materially and adversely affect the affected Party's performance of its obligations. If the force majeure event continues beyond a period of two months, the parties shall mutually decide further course of action to be taken in regard to continuance of work. A mutual settlement cannot be arrived at within a period of four months from the date of force majeure event; either party shall have the right to terminate the Contract. It is specifically agreed that the parties shall bear the cost and losses if any on account of Forced Majeure event. No rights to cost and compensation for the losses whatsoever will accrue on any party even if such forced majeure event results to suspension and / or termination of Contract. Without reasonable excuse ‘RITES’ fail to proceed with the Works. 3. Becomes bankrupt or insolvent, goes into liquidation, has a receiving or administration order made against him, compounds with his creditors, or carries ‘on business under a receiver, trustee or manager for the benefit of his creditors, r if any act is done or event occurs which (under applicable Laws) has a similar effect to any of these acts or events, or ) L&T’s election to terminate the Contract in accordance with Para ,b' above will not prejudice any of L&T’s rights, under this Contract or otherwise and applicable laws. Arbitration Dispute or difference whatsoever if arise between ‘RITES’ & L&T with regard to or in relation to or in connection with the terms of contract, effort shall be made in the first place to settled it amicably, failing which such dispute shall be referred to “Arbitration. The Arbitration shall be in accordance with the Arbitration & Conciliation Act, 1996 to be adjudicated by a panel of 3 Arbitrators of which one member each would be appointed respectively by ‘RITES" and ‘L&T’. The presiding Arbitrator will be appointed by the Arbitrators appointed by "RITES" and L&T.
