Welcome to the Indorama EPCL.

Subsequent to our discussions we have pleasure in appointing you, as


an___- Level_______ expatriate on the following terms and conditions. Your
current appointment is in Nigeria-Port Harcourt but your services are
transferable to any part of the world to any of our group
companies/subsidiaries on similar terms and conditions.

1. Employment Terms :
1.1. Your appointment shall commence on the date of your joining duty in
Nigeria and shall terminate after a period of 4 (Four) years from that
date. You will be joining on or before __, 10. The Employment shall
be renewable on mutual consent by giving 3 months' notice before
the expiry of the 4 years’ term. The renewal would be subject to the
approval from concerned government bodies. In the event of,
continuation of your services, after the expiration date, you shall
continue to be governed by all the terms & conditions as stated in
this appointment letter.
1.2. Your services may be transferred, reassigned, or deputed to any of
the Company’s associated companies in or outside the country of
your last posting. If at any time hereafter the company considers it
necessary to make any amendment in your duties, role,
responsibilities or place of posting, such alterations shall not affect
the other terms mentioned herein except as may be expressly
agreed upon.

1.3. While in service, you shall devote your whole time, attention
and abilities exclusively to the performance of the duties in the
interest of the company and shall not engage directly or indirectly in
any other commercial business or pursue part time or full time
assignments or work in advisory capacity for any other person and
/or concern either on their own accord as an agent for others, except
with the prior consent in writing from the company, or unless you are
deputed to do so by the company.

1.4. You shall, in all respects, obey and conform by the employer’s
orders, rules and regulations and serve honestly, sincerely and
faithfully and shall use your best endeavors to the employer’s
business interests.

2. Compensation & Benefits.

2.1. Salary and benefits - As per annexure - I.


2.2. You shall be eligible for all facilities/perquisites as applicable to
the expatriate staff as per annexure - II attached to this appointment
letter.
3. Confidentiality and Work Product.

3.1. You shall not, at any time during the contract term or
thereafter, use in furtherance of any of your business affairs or
otherwise, or divulge, furnish, or make accessible to anyone, without
the express authorization of the company, any confidential
information of the company including, without limitation, the identity
of customers, clients, suppliers, and other business relationships,
information concerning the company's customers (including
customers obtained as a result of your services to the company),
financial information and other confidential information of the
company. All computer software, address books, rolodexes,
business cards, telephone lists, customer lists, price lists, contract
forms, catalogs, books, records, financial information, and files and
know-how acquired while you are employed by the company, are
acknowledged to be the property of the company and shall not be
duplicated, removed from the company's possession or made use of
other than in pursuit of the company's business.

3.2. You will undertake and agree that all properties, including all
correspondence addressed to or by you, specifications, vouchers,
literature, books, etc. or property of any nature whatsoever
belonging to the company or relating to the company's business
which shall come into your possession in the course of your
employment or otherwise, shall be held by you merely as a trustee
of the company and shall deliver the same to the company without
claiming any lien or right whatsoever thereon.

3.3. Any development, invention, patent, or discovery by you during the


tenure of your employment with the EPCL Group shall be deemed to
have been made by you on behalf of the company and hence the
title, deeds or any such manifestations emerging from such
development, discovery, patent or invention will be under the sole
authority and ownership of the company and no rights for any such
developments, inventions, patents or discoveries will be claimed by
you, since it is deemed to have been done as part of your
employment and service in EPCL.

4. Restrictive Conditions.

4.1. In the event of cessation of your employment by resignation or termination or


otherwise, you will not take up employment, honorarium, retainer ship or any other
type of engagement, in any part of the world with a competitor of the product area that
you worked in within the EPCL Group, for a period of at least one (1) year from the
date of relieving from the EPCL Group. Any violation of this clause will attract
penalties and other legal punitive measures, including but not limited to legal expenses
incurred by Indorama in defense of this condition.

4.2. Before or after the termination or expiration of this contract or


your resignation, you shall not persuade any of the Company’s
employees, customers, vendors, suppliers, or contractors to leave
the Company and join competitors or any other employer.

5. Contract Termination

5.1. As agreed upon, you shall not leave or resign from the services
of the company without completing the service tenure of 4 years. If
you, however, decide to leave the company without completing 2
years of service contract, the company will be entitled to receive
from you the following amounts by way of compensation.
5.1.1. 3 months' salary.
5.1.2. Amount spent by the company on travel passage for you
including expenses paid for arranging stay permit for you and
your family (if applicable).
5.1.3. Establishment / settlement allowance paid to you.
5.1.4. Any losses suffered by the Company (including but not limited to unutilized
school fees already paid by company, premature termination of house rental
agreement, etc.)
5.2. If you are found, at any time guilty of misconduct, indiscipline, gross negligence or
dereliction of duty, embezzlement, acceptance of pecuniary gratification, dishonesty,
divulgence of company's secrets, the company may forthwith terminate your services
without any notice or compensation, and within 7 days thereof you will vacate the
company's accommodation and the company will not be liable to pay the return fare
for you. In addition, the Company would have the right to pursue appropriate legal
recourse against you.
5.3. In case your services are found unsatisfactory in the opinion of
the management or you are found to be medically unfit, the
company may terminate your services by giving 3 months' notice in
writing or paying 3 months' salary in lieu thereof. The decision of the
management would be final and binding.
5.4. If any declaration or information furnished by you in your
application proves to be false, or if you are found to have willfully
suppressed any material information, your services may be
terminated by the management without any notice or compensation.
5.5. In case you have been investigated for any criminal or illegal
activities in the past, or if there are any legal cases outstanding
against you, you must make full disclosure of that to the
management prior to your appointment. In case, if such disclosure
was not given before your appointment & is discovered after your

appointment with us, the management has the discretion
to terminate your employment on grounds on inadequate
disclosures.
5.6. In case, if you decide to leave or resign from the services of the
Company you shall inform the company by giving minimum 3
months' notice period in writing. A shortfall in notice period will
attract penalties.
6. Conduct and Corporate Ethics
6.1. You will be governed by the Company’s code of ethics. You will be
provided with the ethics policy document, which you are required to
sign and submit to the HR department.
6.2. As an expatriate employee, you will endeavor to learn the local
language in the place of posting to facilitate proper direction to your
team members. You will communicate either in the local language or
English. You will avoid usage of vernacular language in meetings and
the medium of communication would be English in all meetings.
6.3. As an expatriate employee, you will respect local traditions,
sentiments, culture, values and code of conduct of the country of
posting. You will not in anyway denigrate the local sentiments,
culture, values and code of conduct either in private or in public. Any
such violation would entail disciplinary action and also result in loss
of this contract with the group without any compensation thereof.
General

6.4. In all matters of dispute, your country of last posting only will
be the place of jurisdiction.
6.5. Your appointment in the company is subject to you, being
found medically fit.

7.3. You shall submit the following documents together with original and
duplicate copies at the time of reporting for your assignment.

a. Proof of age and proof of residence.

b. Photocopies of your academic and professional


qualifications( Original Final year certificates)

c. Certificate(s) of employment and release letters from all your
previous employer(s)

d. Salary certificate and compensation details issued by last employer

e. Seven passport size color photographs

f. Copy of your passport.

g. Bank Statement (Last 6 months)

h. Income Tax Return (Last 3 years)

i. Duly filled Application Blank form

j. 2 Photographs of each family member (Insurance purpose).

We request you to sign the duplicate copy of the contract letter in token of
your acceptance of the terms and conditions stipulated and return the
duplicate copy. Please also forward a copy of your resignation letter duly
acknowledged by your current employer for our records and processing the
visa papers.

* This include “Port Harcourt Site Allowance” & Extra Working hours
Allowance” for staff located in PH on extended Hours.
**Bonus shall be payable annually.
***Incentive is payable as per “EPLIS” scheme, amount to be computed on
Basic + Nigeria Allowance + COLA. It will be minimum of 2 months
equivalent (USD ---*2/12 = /- PM). The payment is released on half yearly
basis along with July and January salary covering the preceding 6 months
entitled amount and paid as per the payment schedule given in the
enclosed document about the EPLIS scheme. Please note that as per the
terms of the scheme, a portion of the dues are retained by the company
and released based on completion of certain number of years of service
(details are provided in EPLIC scheme document).
Your salary is net of taxes.
Kindly note that candidates posted at Port Harcourt will be paid Port
Harcourt Allowance and those posted at Lagos will be paid COLA,
equivalent to Naira in cash, respectively.
Your likely savings in INR will depend upon USD rate at the
prevailing time.
Please note that your compensation structure or facilities are
personal and strictly confidential and is a privileged information
between you and the company, we trust you will comply with this
in all seriousness disclosure of the same be will be treated as a
violation of co. rules.

There will not be any P.F., Gratuity or other superannuation benefits in
addition to the aforementioned salary.

Annexure II Additional Benefit:

In addition to Annexure I you shall be entitled for the following facilities as


per the company policy pertaining to your level:

At present LTA entitlement is three times in a year (max 26 days at a time).


The entitlement will be effective after 6 months from the date of your
joining. Travel: Economy class (Air) from Port Harcourt to native town
in India and back. The ticket will be organized by us at the most
economical rate. You will abide by the same.
a. Medical Insurance coverage for self, Spouse and children up to the
age of 21 yrs.
b. Your working hours will be 63 hrs / week.
c. Group Personal Accident Insurance coverage for self.
d. You shall be provided transport facility by the company.
e. You shall be provided furnished single accommodation.
f. Company shall reimburse USD 60 / month / child for Day Scholars
(Admission Fee and Tuition Fee) and USD 125 /month / child if staying
in Hostel (Admission Fee, Tuition Fee and Hostel, on production of
documentary proof). For children above 10th standard or in college,
up to USD 225 / month / child (subject to actual). For children in
colleges outside India, USD 320 / month / child (subject to actual). For
up to maximum 3 children and up to the age of 21 yrs.
g. Mess Charges will be deducted as per norms circulated from time to
time. The present charges are USD 200 per month.
h. In case you regret this offer after accepting the offer you will have to
pay Rs. 10000/- to the company and once the visa is stamped then
the penalty will be Rs. 35000/-.
i. Your Date of joining will be on or before

per discretion of management.

l. Please note in view of the local laws / regulations we may have to
realign the above compensations structure, at the material time, but
it will have no impact on your total final tax free salary.
