THIS DEED OF PARTNERSHIP IS MADE

BETWEEN

1. Mr. Sheikh Muhamad Istanarat Ali Khan S/o Sheikh Ghulam Rabbani, R/o Gulistan Colony,
Rawalpindi CNIC No.37405-2491868-5.

2. Mr. Aziz-ur-Rehman S/o Muhammad Aslam, R/o H.No.4242, Lane No.5, Mohallah Gulistan
Colony Near Ayub National Park, Rawalpindi CNIC No.37405-9826259-7.

3. Mr. Basheer Hussain Abbasi S/o sher Zaman Khan, R/o G-6/4, Islamabad CNIC No.61101-
7113610-7

4. Mr. Abdul Waheed S/o Abdul Rehman, R/o House No.13-E, Circular Road, Abbotabad, CNIC
No.13101-9548661-3

WHEREAS the persons above mentioned have agreed to carry on the business in Partnership. It is thus,
hereby desired by them that the terms and conditions for the said business be reduced to writing. Now
therefore, all the parties above described as bind themselves and their respective executors,
administrators and legal heirs as under:

1. COMMENCEMENT: That the partnership shall commence on the date of execution of this
deed of partnership by all the parties hereto and shall continue at will.

2. FIRM ADDRESS AND BUSINESS TITLE: That all the parties shall carry on
business of CNG with mutual consent under the name and style of M/s Al-Basit CNG Station,
Village Islam Garh, Burhan Tehsil Hassan Abdal District Attock. Head Office CNG Station Village
Islam Garh, Burhan Tehsil Hassan Abdal District Attock.

3. CAPITAL CONTRIBUTION: That the capital of the firm shall be as under:-

Partner No.1 28% Partner No.2 27%

Partner No.3 25% Partner No.4 20%

It is further agreed in this behalf that the capital of the firm may be increased or decreased according to
the needs and business magnitude of the firm.

4. SHARE IN PROFIT AND LOSS: That all the 4(four) partners shall have shares in profit
and loss, including the loss of capital in accordance with their agreed shares mentioned in para-3
above.

5. BOOKS OF ACCOUNTS: That usual book of accounts shall be maintained and posted up
properly and up-to-date. Books of accounts shall be opened for inspection to all the partners or
their authorized agent(s) during the working hours of the firm is kept at the site.
6. ANNUAL ACCOUNT: Annual accounts shall be closed at the end of 30 TH June every year and
profit and loss, as the case may be, shall be credited to the respective personal account of the
partners according to their shares specified in clause-3 above.

7. DRAWING: That the partners shall be entitled to make drawing (with mutual understanding)
for their personal expenses which shall be debited to their respective personal account.

8. THE BANKERS: That the first may open its bank account(s) with any scheduled bank(s)
and the same, if any, shall be operated by any two nominated partners. One will be the
Managing Partners and the other will be decided amongst Partners.

9. ATTENTION TO BUSINESS: That the duration of the firm is indefinite and terminable only if
and when agreed upon by all the partners. Partner No.1 (Mr. Sheikh Muhammad Istanarat Ali
Khan) will be Managing Partners. The nominated Managing Partner will execute falling.

i. To executes or sign any paper or document with regard to business affairs of the firm.
ii. To present the firm before any Government, Semi-Government or Local Authority.
iii. To depute, nominate of employ any person to whom he deems fit and helpful in the
affairs of firm.
iv. Can mortgage property, machine and stock with any bank and leasing company for loan,
letter of guarantee and letter of Credit or the firm.

IN the absence of Managing Partner again another Partner will be nominated through a proper resolution
and will act accordingly and while performing the abovesaid acts, deeds, managing partner, would not
only protect the interest of firm but also protect and safeguard the interest of other partners and would
also consult with the other partners on important matters mentioned in sub clause iii to v relating to the
partnership business.

10. DEATH: The firm shall not be dissolved by death of any of its partners but the
legal/personal representative or for that matter Nominee(s) of deceased partner shall may be by
drawing a fresh deed of partnership by the mutual consent continue the business or firm. The
partners have agreed to nominate their following nominees to replace them in case of
death/disability or otherwise.

i. Nominee of 1st Partner is Mrs. Waseema Rauf W/o Sheikh Muhammad Istanarat Ali Khan.
ii. Nominee of 2nd Partner is Mrs. Atya Aziz W/o Aziz-ur-Rehman.
iii. Nominee of 3rd Partner is Mr. Muhamamd Tanveer S/o BAshir Hussain Abbasi.
iv. Nominee of 4th Partner is

11. WINDING-UP: That continuity of the partnership shall be at will, however, on

termination of the partnership, the affairs thereof shall be wound up in accordance with the
provisions of Act, 1938 and assets including cash and goods in kind left will be distributed
amongst the members in accordance with their shares mentioned in Para-3 of the deed.

12. ARBITRATION: That all the dispute which may raise at any time among the partners or
other representative executors or administrators relating to the partnership affairs on the
interpretation of this agreement, shall be referred to Single Arbitrator to be appointed with
mutual constant and agreement of all the partners and decision of such Arbitrator shall be
treated as final and binding on the partners.
Terms not specified in need to be covered by partnership act:

14. None of partner can mortgage their shares individually against any bank loan or whatsoever the
case may be.

15. In case any partner desired to sell his share, first of all the firm will purchase his share. Incase
firm not interested to purchase the said share, that one of the partners may purchase the said
share. Firm of any partner, if not interested to purchase the said share, than the desirous partner
selling his share to outsider will issue six months notice to the firm.
