I. WHEREAS, the FIRST PARTY herein is the absolute owner of the Converted land
bearing Sy.No.5/53, measuring 02 Acre 02 Guntas, situated at B.M. Kaval Village,
Kenger: Hobli, Bengaluru South Taluk.
IM. WHEREAS, the FIRST and SIXTH PARTY entered into a joint Development
agreement (in short JDA) dated:14.03.2018 registered vide Document No.6447 /2017-18,
Book-I, stored in C.D.No.RRND198 in the office of the Sub-Registrar, Jayanagar
(Rajarajeshwari nagar), Bengaluru. In the JDA it is mutually agreed by the parties that,
the SIXTH PARTY/DEVELOPER shall develop the above said lands belonging to the
FIRST PARTY into a residential layout at its cost and risk. After development, the FIRST
PARTY is entitled for 52% of the developed sital area in the layout as her share for
offering the above said lands for development on joint development basis and similarly the
SIXTH PARTY/DEVELOPER shall be entitled for remaining 48% of the developed sital
area for carrying out the development work on the above said lands of the FIRST PARTY
at its cost and risk. Further the FIRST PARTY had also executed a General Power of
Attorney dated 14.03.2018, registered as document No.281/2017-18, Book-IV, stored in
C.D.No.RRND198 in the office of the Sub-Registrar, Jayanagar (Rajarajeshwari nagar),
Bengaluru to enable the Sixth Party/Developer to carry out Development work on the
lands belonging to the First party stated above and to convey the Sixth party/Developer
share of developed area to the person of its choice.
IV. WHEREAS, the SECOND PARTY herein is the absolute owner of the Converted
lands bearing Sy.No.5/49, extent 18 Guntas, Sy.No.5/50, extent 01 Acre 26 Guntas,
Sy.No.5/52, extent 08 Guntas and Sy.No.5/55, extent 01 Acre 35 Guntas, in all together
measuring 04 Acre 07 Guntas, all are situated at B.M. Kaval Village, Kengeri Hobli,
Bengaluru South Taluk.
V. | WHEREAS, the SECOND and SIXTH PARTY entered into a joint Development
agreement (in short JDA) dated:14.03.2018, registered as Document No.6448/2017-18,

PARTY at its cost and risk. Further the SECOND PARTY had also executed a General
Power of Attorney dated 14.03.2018, registered as document No.282/2017-18, Book-IV,
stored in C.D.No.RRND198, registered in the office of the Sub-Registrar, Jayanagar
(Rajarajeshwari nagar), Bengaluru, to enable the SIXTH PARTY/DEVELOPER to carry
out Development work on the lands belonging to the SECOND PARTY stated above and to
convey the SIXTH PARTY/DEVELOPER share of developed area to the person of its
choice,
VI. WHEREAS, the THIRD PARTY herein is the absolute owner of the Converted
lands bearing Sy.No.5/45, extent 05 Guntas, Sy.No.5/46, extent 05 Guntas, Sy.No.5/47,
ent 05 Guntas and Sy.No.5/48, extent 15 Guntas, in all together measuring 30
ntas, all are situated at B.M. Kaval Village, Kengeri Hobli, Bengaluru South Taluk.

(Rajarajeshwari nagar), Bengaluru. In the JDA it is mutually agreed by the parties that,
the SIXTH PARTY/DEVELOPER shall develop the above said lands belonging to the

Kaval Village, Kengeri Hobli, Bengaluru South Taluk, Bengaluru,
IX. WHEREAS, the FOURTH and SIXTH PARTY herein entered into a joint
Development agreement (in short JDA) dated:14.03.2018, registered as Document
No.6444/2017-18, of Book-I, stored in C.D.No.RRND197, in the office of the Sub-
Registrar, Jayanagar (Rajarajeshwari nagar), Bengaluru. In the JDA it is mutually agreed
by the parties that, the SIXTH PARTY/DEVELOPER shall develop the above said lands
belonging to the FOURTH PARTY into a residential layout at its cost and risk. After
development, the FOURTH PARTY is entitled for 52% of the developed sital area in the
layout as his share for offering the above said lands for development on joint development
basis and similarly the SIXTH PARTY/DEVELOPER shall be entitled for remaining 48%
of the developed sital area for carrying out the development work on the above said lands
of the FOURTH PARTY at its cost and risk. Further the FOURTH PARTY had also
executed a General Power of Attorney dated 14.03.2018, registered as document
No.280/2017-18, Book-IV, stored in C.D.No.RRND197, registered in the office of the Sub-
Registrar, Jayanagar (Rajarajeshwarinagar), Bengaluru, to enable the SIXTH
PARTY/DEVELOPER to carry out Development work on the lands belonging to the
FOURTH PARTY stated above and to convey the SIXTH PARTY/DEVELOPER share of

situated at B.M. Kaval Village, Kengeri Hobli, Bengaluru South Taluk.
XI. WHEREAS, the FIFTH and SIXTH PARTY herein entered into a joint
Development agreement (in short JDA) dated:15.03.2018, registered as Document
No.6461/2017-18, of Book-I, stored in C.D.No.RRND198, in the office of the Sub-
Registrar, Jayanagar (Rajarajeshwarinagar), Bengaluru. In the JDA it is mutually agreed
by the parties that, the SIXTH PARTY/DEVELOPER shall develop the above said lands
belonging to the FIFTH PARTY into a residential layout at its cost and risk. After
development, the FIFTH PARTY is entitled for 52% of the developed sital area in the
layout as his share for offering the above said lands for development on joint development
basis and similarly the SIXTH PARTY/DEVELOPER shall be entitled for remaining 48%
of the developed sital area for carrying out the development work on the above said lands
of the FIFTH PARTY at its cost and risk, Further the FIFTH PARTY had also executed a
General Power of Attorney dated 15.03.2018, registered as document No.284/2017-18,
Book-IV, stored in C.D.No.RRND198, in the office of the Sub-Registrar, Jayanagar
(Rajarajeshwarinagar), Bengaluru, to enable the SIXTH PARTY/DEVELOPER to carry out
Development work on the lands belonging to the FIFTH PARTY stated above and to
convey the SIXTH PARTY/DEVELOPER share of developed area to the person of its
choice.
XII. WHEREAS, the SIXTH PARTY/DEVELOPER for better utilization of land and also
to make the development cost effective, prepared consolidated layout plan consisting of all
the above said lands belonging to the LAND OWNERS ic FIRST TO FIFTH PARTY
herein, which are situated adjacent and conjoined to each other as one unit, submitted
the same for approval with the Bangalore Mysore Infrastructure Corridor Area Planning
Authority (BMICAPA), got the same approved vide No. BMICAPA/TP-3/RL/24/2017-18,
dated 25.10.2018. The Developer/Sixth Party has developed all the above said lands
together, formed a residential layout in accordance with the sanctioned plan.

XIII. WHEREAS, as per the terms and conditions of the said Joint Development
Agreements and General Power of Attorneys, the Second Party/Developer is developing the
above said lands belonging to LAND OWNERS stated above and it is forming the
residential Layout thereon by providing various amenities including water, sewerage,
electricity and other civic amenities as per the rules and regulations stipulated by the
competent authority.
XIV. WHEREAS, as per the terms of the various Joint Development Agreements entered
into between the FIRST, SECOND, THIRD, FOURTH & FIFTH PARTY herein in one part
and SIXTH PARTY herein in other part, FIRST, SECOND, THIRD, FOURTH & FIFTH
PARTY are entitled to 52% of saleable developed sital area proportionate to their
respective lands offered for joint development stated above and SIXTH
PARTY/DEVELOPER is entitled to 48% saleable developed sital area in the lands
belonging to FIRST, SECOND, THIRD, FOURTH & FIFTH PARTY herein. Accordingly
the SIXTH PARTY/DEVELOPER is at liberty to deal with the said 48% saleable sital
area that has come to its share under the said Joint Development Agreement and
similarly FIRST, SECOND, THIRD, FOURTH & FIFTH PARTY are at liberty to deal with
the said 52% saleable sital area that has come to their respective share under the said
Joint Development Agreement
XV. WHEREAS, in compliance of the terms and conditions of the various JDA stated
entered into between the First to Fifth party and Second party herein, in view of the
approval of the layout and identifying each of the sites in the layout pursuant to it, the
parties herein together decided to identify their respective share of sites to be allotted and
given to their share of the developed area in the consolidated layout plan consisting of all
the above said lands belonging to the LAND OWNERS approved by the planning authority
vide BMICAPA(TP-3/RL/24/2017-18 dated:25.10.2018.

R TeshXVI. WHEREAS, all the partics mutually agreed and confirmed that, irrespective of the
terms and conditions agreed by the parties in the registered Joint Development agreement
entered into between each of the First to Fifth party /Land Owners herein and Sixth Party
{Developer herein under various Joint Development Agreement in so far as ratio of
sharing of the developed sital area, the area now allotted to each of the Land Owners in
this sharing agreement is full and final satisfaction of all the parties and similarly that of
the Developer. The sital area now agreed and sharing between the parties under this
sharing agreement is final and binding on all the parties herein. In the event if there is
any excess or additional or lesser developed sital area is allotted or given to any of the
parties i.e either to the land owner or to the Developer in contrary to the registered joint
development agreement, the sharing agreed herein is final, prevailing and binding on all
the parties and no one is allowed under any circumstances in future to raise objection or
dispute in this regard
XVII. WHEREAS, accordingly the salable developed sital area allotted to the share of
FIRST PARTY is morefully detailed in the Schedule-A to this deed, salable developed
sital area allotted to the share of SECOND PARTY is morefully detailed in the Schedule-B
to this deed, salable developed sital area allotted to the share of THIRD PARTY is
morefully detailed in the Schedule-C to this deed, salable developed sital area allotted to
the share of FOURTH PARTY is morefully detailed in the Schedule-D to this deed and
salable developed sital area allotted to the share of FIFTH PARTY is morefully detailed in
the Schedule-E to this deed. Similarly all the remaining salable developed sital area
which is morefully detailed in the Schedule-F to this deed shall be the absolute share of
the SIXTH PARTY/DEVELOPER. The above said understanding between the parties
herein have been reduced into writing under this sharing agreement.

xvuiI. NOW THEREFORE THIS SITES SHARING AGREEMENT WITNESSETH AS
FOLLOWS:
\. The Parties herein together confirmed that share allotted to each of the LAND
OWNERS i.c, FIRST TO FIFTH PARTY hercin detailed in Schedule-A to E and
SIXTH PARTY /DEVELOPER morefully detailed in Schedule-F to this deed is as per
the mutually agreed by the parties and in compliance of the registered JDA & GPA
detailed above

‘The LAND OWNERS together confirmed that, by accepting their respective share of the
developed sital area as detailed in Schedule-A to E, their claim under the registered
JDA stated above or mutually agreed terms and condition thereafter with the
Developer/Sixth party have been fully satisfied. By accepting the above, they have no
claim of whatsoever nature against the share allotted to the share of SIXTH PARTY
/DEVELOPER morefully detailed in Schedule-F.
3. The LAND OWNERS together confirmed that, except the sites detailed in Schedule -A.
to E, all other sites in the consolidated layout plan approved vide no. BMICAPA/TP-
3/RL/24/2017-18 formed in the land belonging to the First to Fifth party herein ix
sites detailed in Schedule-F or any other surphis arca which are not detailed in this
deed are the absolute property of the Sixth Party /Developer herein and it has
absolute right to deal with the same in the manner it deems fit. The Land
Owners/First to Fifth Party herein by accepting the sites allotted to their respective
share under this deed have no subsisting right, claim or interest what so ever nature
against the Sixth Party /Developer.
4. All the parties to this agreement together confirmed that, sharing under this
agreement is made as agreed. The parties further confirmed to each other that, they
have no objections of whatsoever nature either for sharing ratio or identification and
location of sites or measurement of the sites fallen to other party.

All the parties confirmed that, irrespective of the terms and conditions agreed by the
parties in the registered Joint Development agreements stated above, the developed
sital area now allotted to each of the Land Owners in this sharing agreement is full and
final and binding on all the parties. It is further mutually agreed and confirmed that in
the event if there is any excess or additional or lesser developed sital area is allotted or
given to any of the parties i.¢ either to the land owners or to the Developer contrary to
the registered JDA, the sharing agreed herein is final, prevailing and binding on all
the parties and no one is allowed under any circumstances in future to raise objection
or dispute in this regard
By accepting their respective share as detailed under this deed, either parties have no
subsisting right, claim or interest of whatsoever nature over the share of the other
party. All the parties have given up their right, title, claim or interest of whatsoever
nature over the sites/share allotted to the other party to this deed.
Each of the Parties herein shall be entitled to deal with or dispose their respective
share of developed sital area in whatsoever manner as they are the sole and absolute
owner. The parties are at liberty to get the katha and other revenue records registered
in their respective name and shall pay the tax and other charges to the concerned
authority.
It is agreed between the Parties herein that if any boundary or measurement
discrepancy issue arises between the Parties or affecting any one of the party herein,
‘on such case the Parties have agreed that to rectify such boundary or measurement
issues by way entering into an amendment to this agreement and cure the same.
Further in the event of modification of the sanctioned plan by the authority and if any
change in measurement and boundary on such case the parties herein have agreed to
amend and receive their respective share as agreed under the JDA.

9, Pursuant to this agreement, The Sixth Party agreed and confirmed to the Land
owners/First to Fifth party herein that the Land owners/First to Fifth party will be put
to vacant possession of their respective share of developed area as detailed in the
schedule-A to E immediately after getting the release order by the Developer/Sixth
party from the competent authority i.e, within the time stipulated in the JDA..
10.1n view of the sharing of the sites under this deed, claim of the parties under clause
1i{c} of the registered joint development agreement have been fulfilled and each of
them have no claim of whatsoever nature against each other under the said clause.
11.Upon giving consent by all the Parties under this Agreement the modification of the
sanctioned plan shall be obtained by the Developer, on that case the First to Fifth
Party shall agree to receive their respective shares as agreed in the already signed
Joint Development Agreement with the Developer and the First to Fifth Party
undertakes that they shall not have any concern ot issues to receive their respective
sharing as per the modified sanctioned plan and Joint Development Agreement.

bearing Sy.Nos.5/24, 5/42, 5/43, 5/44, 5/45, 5/46, 5/47, 5/48, 5/49, 5/50, 5/52, 5/53
& 5/56, all the lands are situated at B.M.Kaval Village, Kengeri Hobli, Bangalore South
Taluk, Bengaluru along with rights to use common areas and amenities provided
thereon;,
