ManicTime End User License Agreement

IMPORTANT: THIS SOFTWARE END USER LICENSE AGREEMENT ("EULA") IS A LEGAL

AGREEMENT BETWEEN YOU (EITHER AN INDIVIDUAL OR, IF PURCHASED OR OTHERWISE
ACQUIRES BY OR FOR AN ENTITY, AN ENTITY) AND FINKIT d.o.o.. READ IT CAREFULLY
BEFORE COMPLETING THE INSTALLATION PROCESS AND USING THIS SOFTWARE. IT
PROVIDES A LICENSE TO USE THIS SOFTWARE AND CONTAINS WARRANTY INFORMATION
AND LIABILITY DISCLAIMERS. BY DOWNLOADING OR INSTALLING THE SOFTWARE YOU ARE
INDICATING YOUR ASSENT TO THE TERMS OF THIS LICENSE. IF YOU DO NOT AGREE TO ALL
OF THE FOLLOWING TERMS, DO NOT DOWNLOAD OR INSTALL THE SOFTWARE OR
DISCONTINUE USE IMMEDIATELY AND DESTROY ALL COPIES.

1. DEFINITIONS

a)“Finkit” means Finkit d.o.o.

b) "Software" means the executable code of ManicTime and corresponding documentation, printed
materials, online or electronic documentation.

c) "Named User" is an individual authorized by You to use the Software through the assignment of a
single user ID, regardless of whether or not the individual is using the Software at any given time.

d) "Standard Edition" means a version of the Software which is distributed free of charge.

e) “Professional Edition” means a fully functional version of the Software, which is available for
purchase.

2. LICENSE GRANTS

2.1 Standard Edition. Subject to the terms of this Agreement, Standard Edition may be installed on any
machine indefinitely and free of charge.

2.2 Professional Trial Edition. You may download and use the Professional Edition for free for fifteen
(15) days after installation ("Trial Period"). At the end of Trial Period you can use Standard edition,
upgrade to Professional Edition or uninstall the Software.

2.3 Professional Edition. Upon your payment of the professional edition license fee, Finkit d.o.o.
provides you with a permanent registration number ("License key") and grants you a limited, non-
exclusive, non-transferable license to use the Software on a Concurrent user basis meaning specific
individuals are authorized to use the Software and the total number of concurrent users may not
exceed the total number licensed by You. One Concurrent User may install and use the Software on
as many computers (including operating systems) as he or she likes.

Professional edition license will work on all updates released within a year of the purchase. With
Professional edition license you are also entitled to priority email support.

3. LICENSE RESTRICTIONS

3.1 You may not provide or make available by any means the License Key to any third party.

3.2 You may not reverse engineer, decompile, or disassemble the Software.

3.3 You may not sell, rent, lease, sublicense, transfer, resell for profit the Software or any part thereof.
3.4 You may not modify the Software or create derivative works based upon the Software.

3.5 You may not remove or obscure any copyright and trademark notices relating to the Software.

3.6 You may not use the Software to monitor other people's use of a computer unless doing so does
not violate any laws in the area where you are using the Software.

4. REFUND POLICY

You have the right for a refund within 30 days after the purchase. In the event a refund is issued, your
License is terminated and you agree to destroy all copies and all installations of the Software.

5. COPYRIGHT AND INTELLECTUAL PROPERTY RIGHTS

The Software is protected by copyright laws and international copyright treaties, as well as other
intellectual property laws and treaties. The Software is licensed, not sold. Furthermore, this EULA
does not grant you any rights in connection with any trademarks or service marks of Finkit. Finkit
reserves all intellectual property rights, including copyrights, and trademark rights.

6. NO WARRANTIES
THIS SOFTWARE IS PROVIDED TO YOU "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER
EXPRESSED OR IMPLIED INCLUDING BUT NOT LIMITED TO THE APPLIED WARRANTIES OF
MERCHANTABILITY AND/OR FITNESS FOR A PARTICULAR PURPOSE. YOU ASSUME THE
ENTIRE RISK AS TO THE ACCURACY AND THE USE OF THE SOFTWARE AND ALL OTHER RISK
ARISING OUT OF THE USE OR PERFORMANCE OF THIS SOFTWARE AND DOCUMENTATION.
FINKIT DOES NOT WARRANT THAT THE SOFTWARE IS ERROR-FREE OR WILL OPERATE
WITHOUT INTERRUPTION.
7. LIMITATION OF LIABILITY
FINKIT SHALL NOT BE LIABLE FOR ANY DAMAGES WHATSOEVER ARISING OUT OF THE USE
OF OR INABILITY TO USE THIS SOFTWARE, EVEN IF FINKIT HAS BEEN ADVISED OF THE
POSSIBILITY OF SUCH DAMAGE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE
LAW, IN NO EVENT SHALL FINKIT BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL,
DIRECT, INDIRECT, SPECIAL, PUNITIVE, OR OTHER DAMAGES WHATSOEVER, INCLUDING
BUT NOT LIMITED TO DAMAGES OR LOSS OF BUSINESS PROFITS, BUSINESS
INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS. FINKIT'S
TOTAL LIABILITY TO YOU FOR ACTUAL DAMAGES FOR ANY CAUSE WHATSOEVER WILL BE
LIMITED TO THE AMOUNT PAID BY YOU FOR THE SOFTWARE THAT CAUSED SUCH DAMAGE.
