In the sentential domain, only passives can have by phrases. This means that the preposition by is unable
to assign a theta-role by itself. If it could, it should be possible to add a by phrase to unaccusatives or
middles.
The real picture: Some other adjuncts are also incompartible with verbs that lack external arguments.
Instrumentals and external argument oriented comitatives have the same distribution. They are incompatible
with VPs that lack external arguments, but are compatible with passives.
(3) a. The enemy sank the ship with a torpedo / with a henchman.
b. *The ship sank with a torpedo / *with a henchman.
c. The ship was sunk with a torpedo / with a henchman.

Nouns that do not allow by phrases also do not allow instrumental or comitative adjuncts, i.e., the
restriction is the same as in the sentential domain.

Summar y:
Phrases that allow by phrases have the syntax and semantics of an external argument (even when it is
not overtly realized). Phrases that do not allow by phrases do not have the syntax/semantics of an
external argument.
By phrases in nominals and passives do not differ: any role that can be assigned in the passive can be
assigned in a nominal.
The implied argument of a passive can never be controlled or bound. It is existentially quantified over.
When the by phrase is present, its complement can be controlled or bound.
In contrast, the unexpressed external argument of a nominal can be controlled and bound, so they are
presumably projected as the null arguments.

Instrumentals and comitatives have the same selectional restriction, and they also take an unsaturated
function semantically.
A final note:
The passive is a morphosyntactic operation that prevents the realization of the external argument as an
argument. Object promotion is irrelevant, and oblique realization of the external argument is not necessary.
Also irrelevant is case.
