SALE DEED cum DEED OF CONVEYANCE


(For Full and Final Consideration)

THIS SALE DEED is made at New Panvel, Navi Mumbai on this _______ day of the month of
JANUARY, 2020.

(In respect of all that piece and parcel of Residential Flat bearing No.302, admeasuring about 51.37 Sq.
Mtrs. Carpet area, on the Third Floor, in the Wing No. E, of the Building / Complex known as “THE
RIVIERA” and after formation of Co-operative Housing Society it is named as “THE RIVIERA CO-
OPERATIVE HOUSING SOCIETY LTD.”, which is lying, being and constructed on at Survey No.79, Hissa
No.3A and Survey No.79, Hissa No.3B, situated at revenue Village – Chipale, Tal. Panvel, Dist. Raigad
and within the limits of Group Gram Panchayat Chipale and within the Registration District : Raigad and
Sub-Registration : Panvel, Tal. Panvel, Dist. Raigad and more particularly described in the Schedule-I
and II written hereunder)

BETWEEN

1) MR. AMOL MANOHAR TIPNIS, Age-50 Yrs, Adult, Occupation – Business / Service, having PAN :
AABPT7240G / UID : 9651 6179 3392 and 2) MRS. RADHIKA AMOL TIPNIS, Age-46 Yrs, Adult,
Occupation – Housewife / Service, having PAN : AFMPT8987J and UID : 8392 6559 5811 Both are Indian
Inhabitants and presently residing at Flat No.502, 5th Floor, Kesar Polaris, Plot No.126, Hindu Colony, 5 th
Lane, Dadar East, Mumbai City (Maharashtra) - 400014; hereinafter for brevity’s sake called & referred to
as the “TRANSFEROR’S-ASSIGNOR’S” (which expression shall unless repugnant to the context or
meaning thereof mean and include his/her/their heirs, executors, administrators and assignees) of the
FIRST PART;

AND

1) MR. TEJRAO SHYAMRAO PATIL, Age - 54 Yrs, Adult, Occupation – Business / Service, having PAN :
ABDPP7860M and UID : 9919 3428 0704, 2) MRS. ARUNA TEJRAO PATIL, Age – 49 Yrs, Adult,
Occupation – Housewife/Service, having PAN : AWMPP3797K and UID : 6014 1468 2599, and 3) MR.
ABHIJEET TEJRAO PATIL, Age – 25 Yrs, Adult, Occupation – Business / Service, having PAN :
DSTPP7729F and UID : 3001 6909 9959 All are Indian Inhabitants and presently residing at Flat No.301,
03rd Floor, J – Wing, Riviera, Survey No.79/3A, Village - Chipale, Tal. Panvel, Dist. Raigad - 410206;
hereinafter for brevity’s sake called and referred to as the “TRANSFEREE’S-ASSIGNEE’S” (which
expression shall unless repugnant to the context or meaning thereof mean and include his/her/their heirs,
executors, administrators and assignees) of the SECOND PART.

WHEREAS by and under the virtue of AGREEMENT FOR SALE, dated.31/10/2012 made at Panvel
between M/S. SIDDHINEEL ENTERPRISES, a PARTNERSHIP FIRM, registered under the INDIAN
PARTNERSHIP ACT, 1932, represented by its authorized PARTNER – MR. VILAS MADANLAL
KOTHARI, having their Business Office at Plot No.21, Sector 19, Panvel Matheran Road, New Panvel (E),
Navi Mumbai, Tal. Panvel, Dist. Raigad – 410206, (thereinafter referred to as “THE PROMOTERS of the
ONE PART” and hereinafter called and referred to as “THE PROMOTERS”) and 1) MR. AMOL
MANOHAR TIPNIS and 2) MRS. RADHIKA AMOL TIPNIS (thereinafter referred to as “THE FLAT
PURCHASER/S of the SECOND PART” and hereinafter called and referred to as “TRANSFEROR’S-
ASSIGNOR’S”), whereby the said TRANSFERORS-ASSIGNORS of the First Part have purchased and
acquired on ownership basis all that piece and parcel of Residential Flat bearing No.302, admeasuring
about 51.37 Sq. Mtrs. Carpet area, on the Third Floor, in the Wing No. E, of the Building / Complex
known as “THE RIVIERA” and after formation of Co-operative Housing Society it is named as “THE
RIVIERA CO-OPERATIVE HOUSING SOCIETY LTD.”, which is lying, being and constructed on at Survey
No.79, Hissa No.3A and Survey No.79, Hissa No.3B, situated at revenue Village – Chipale, Tal. Panvel,
Dist. Raigad and within the limits of Group Gram Panchayat Chipale and within the Registration District
: Raigad and Sub-Registration : Panvel, Tal. Panvel, Dist. Raigad and more particularly described in the
Schedule-I and II hereunder written (hereinafter for brevity’s sake abovementioned flat is referred to as
“THE SAID FLAT”) from the said PROMOTERS free from all encumbrances and on the agreed terms and
conditions, more particularly mentioned and recorded in the said AGREEMENT FOR SALE,
dated.31/10/2012, which has been duly registered at the office of Sub–Registrar of Assurance at Panvel
(Panvel-1) vide Document Sr.No.पवल1-12437-2012, dated.01/11/2012 (hereinafter this Agreement is

called and referred to as “the Registered Agreement”) for valuable consideration and as per the terms
and conditions set therein.

AND WHEREAS the said TRANSFERORS-ASSIGNORS have paid entire amount of consideration and all
other concern expenses, fees and charges in respect of said Flat and its piece and parcels thereof to the
said PROMOTERS as per the agreed terms, obligations and conditions more particularly recorded by and
between them in the said Registered Agreement and after receiving entire amount of consideration and all
other concern expenses, fees and charges in respect of said Flat and its piece and parcels thereof from the
said TRANSFERORS-ASSIGNORS, the said PROMOTERS have put the said TRANSFERORS-
ASSIGNORS in the vacant and peaceful possession of the said Flat and its piece and parcels thereof vide
its POSSESSION LETTER, Dated.15/02/2014 and the said TRANSFERORS-ASSIGNORS have been
possessing, occupying and enjoying the said Flat and its piece and parcels thereof and benefits from it
more particularly known as “OWNERSHIP BASIS”;

AND WHEREAS the said TRANSFERORS-ASSIGNORS along with the other Purchaser/s of the
residential Flats and Units in the said Building / Residential Complex have formed Co-operative Housing
Society in the name and style of “THE RIVIERA CO-OPERATIVE HOUSING SOCIETY LTD.”, a co-
operative housing society duly registered under the Maharashtra State Co-operative Societies Act, 1960,

under Registered No. RGD/PWL/HSG/(T.C.)/3076/2014-15/2015, dated.25/02/2015 (hereinafter referred to


as “the said Society”) and the said TRANSFERORS-ASSIGNORS being registered member of the said
Society had interest and title in the said Flat and its piece and parcels thereof and property of the said
Society by the virtue of Registered Share Holder of the said Society and holding 10 Shares bearing
distinctive Nos.651 to 660 of Rs.50/- each vide Share Certificate No.016 (hereinafter referred to as “the
said Shares”)

AND WHEREAS the said TRANSFERORS-ASSIGNORS were finding it difficult to continue and occupy the
said Flat and its piece and parcels thereof on account of his/her/their personal problems and hence they
have decided to sell, transfer, assign all the rights, title and interest of the said Flat along with its Occupancy
and Membership rights, title and interest in respect of said Flat and its piece and parcels thereof prior to
Permission / NOC of the said Society for valuable consideration to the intending Purchaser/s.

AND WHEREAS on knowing the above facts, the TRANSFEREES-ASSIGNEES of the Second Part had
approached to the TRANSFERORS-ASSIGNORS of the First Part to purchase and acquire the said Flat
and its piece and parcels thereof along with its rights, title, interest and membership in the said Society for
valuable consideration and after discussion, the full and final price of the said Flat i.e. Residential Flat
bearing No.302, admeasuring about 51.37 Sq. Mtrs. Carpet area, on the Third Floor, in the Wing No. E,
of the Building / Complex known as “THE RIVIERA” and after formation of Co-operative Housing Society it
is named as “THE RIVIERA CO-OPERATIVE HOUSING SOCIETY LTD.”, which is lying, being and
constructed on at Survey No.79, Hissa No.3A and Survey No.79, Hissa No.3B, situated at revenue
Village – Chipale, Tal. Panvel, Dist. Raigad and within the limits of Group Gram Panchayat Chipale and
within the Registration District : Raigad and Sub-Registration : Panvel, Tal. Panvel, Dist. Raigad and
more particularly described in the Schedule-I and II hereunder written, was fixed at Rs.42,00,000/-
(RUPEES. FORTY TWO LAKH ONLY), a lump sum amount of total consideration, which price is/was
proper and legal according to the present market value and position (situation) of the said Flat.

AND WHEREAS accordingly both the parties i.e. the TRANSFERORS-ASSIGNORS and the
TRANSFEREES-ASSIGNEES have entered into an AGREEMENT FOR SALE (For Part Payment
Consideration), as on dated.23/01/2020 which is duly registered at the office of Sub-Registrar of
Assurance at Panvel in Office No. Panvel-3 vide Registered Document Sr. No.पवल3-1025-2020,

dated.23/01/2020 (hereinafter called and referred to as “Part Payment Agreement”); whereby the in the
said TRANSFEREES-ASSIGNEES have paid Rs.4,20,000/- (RUPEES. FOUR LAKH TWENTY
THOUSAND ONLY) to the said TRANSFERORS-ASSIGNORS being part and advance consideration in
respect of the said Flat and its piece and parcels thereof, the detail description of which is mentioned
hereunder and in the separate receipt attached at last of this Deed, and the balance amount of
Consideration i.e. Rs.37,80,000/- (RUPEES. THIRTY SEVEN LAKH EIGHTY THOUSAND ONLY)
was/were agreed to pay by availing loan from any financial assistance, bank or Institution and as per the
agreed terms and conditions of the said Part Payment Agreement.

AND WHEREAS accordingly the TRANSFEREES-ASSIGNEES have applied to the concern bank, financial
assistance or institution to avail housing loan and have accordingly sanctioned the same and as per this
deed the TRANSFEREES-ASSIGNEES have paid the balance amount of consideration i.e. Rs.37,80,000/-
(RUPEES. THIRTY SEVEN LAKH EIGHTY THOUSAND ONLY) by the way of Demand Draft / Pay Order
/ Banker Cheque / RTGS / NEFT Transfer to the TRANSFERORS-ASSIGNORS and the details of which
are more particularly mentioned hereunder and also into the separate REICEPT attach to this agreement
and hereby the TRANSFEREES-ASSIGNEES have paid the agreed entire amount of consideration i.e.
Rs.42,00,000/- (RUPEES. FORTY TWO LAKH ONLY) to the TRANSFERORS-ASSIGNORS and at this
juncture, the said TRANSFEREES-ASSIGNEES wanted to purchase effectually the said Flat and its piece
and parcels on Ownership basis for his/her/their Occupation and residence from the said TRANSFERORS-
ASSIGNORS of the First Part, on the payment of full and final amount of consideration as per the agreed
terms and conditions agreed and muted in the said part payment agreement.

AND WHEREAS both the parties wish to reduce in writing the terms and conditions agreed between them
in respect of this transaction this Document for Sale / Conveyance and Transfer of the Flat along with its
Membership and Occupancy rights, title and interest appeared herein under.

NOW, THEREFORE, THIS SALE DEED cum DEED OF CONVEYANCE WITNESSETH AND IT IS
HEREBY DECLARED BY AND BETWEEN THE PARTIES AS FOLLOWS :-
1) And whereas the TRANSFERORS-ASSIGNORS of the First Part represented to the TRANSFEREES-
ASSIGNEES of the Second Part that :-

a) There are no suits, litigations, civil or criminal or any other proceedings pending as against the
TRANSFERORS-ASSIGNORS of the First Part personally affecting the said Flat and its piece
and parcels thereof;

b) There are no attachments or prohibitory orders as against or affecting the said Flat and its piece
and parcels thereof & the said Flat and its piece and parcels thereof is free from all
encumbrances or charges and/or is subject matter to any lis-pendens or easements or
attachments either before or after judgment, subject to whatever stated hereinabove. The
TRANSFERORS-ASSIGNORS of the First Part have not received any notice either from the
Government, Semi-Government, Gram Panchayat, said SOCIETY or Municipal Corporation
regarding any of the proceedings in respect of the said Flat and its piece and parcels thereof.

c) The TRANSFERORS-ASSIGNORS of the First Part in the past has/ have not entered into any
Agreement/s either in the form of sale, lease, exchange, assignment or other way whatsoever
and have not created any tenancy, leave and license or any other rights of the like nature in the
said Flat and its piece and parcels thereof and has not dealt with or dispose off the said Flat and
its piece and parcels thereof in any manner whatsoever;

d) The TRANSFERORS-ASSIGNORS of the First Part has/have not done any act, deed, matter or
thing whereby they are prevented from entering into this Agreement on the various terms and
conditions stated herein in favour of the TRANSFEREES-ASSIGNEES of the Second Part and
the TRANSFERORS-ASSIGNORS of the First Part has/have all the right, title and interest to
enter into this agreement with the TRANSFEREES-ASSIGNEES of the Second Part on the
various terms and conditions as stated herein;

2) The TRANSFERORS-ASSIGNORS of the First Part have sold, conveyed and transferred the said
Flat and its piece and parcels thereof along with its piece and parcels and assign its membership
rights, title, interest and said Shares and Membership thereof to the said TRANSFEREES-
ASSIGNEES for the valuable consideration hereinafter mentioned. A detailed description of the
said Flat and its piece and parcels thereof / property sold is given in the SCHEDULE-I and II
annexed / written herewith. The above said Flat and its piece and parcels thereof was purchased
and acquired by the TRANSFERORS-ASSIGNORS from the said PROMOTERS by the virtue of
said Registered Agreement and respective deeds and documents thereof and on the basis of the
said provided deeds and documents this Agreement has been made and executed by and between
the parties hereto.

3) The total price of the said Flat and its piece and parcels thereof and its piece and parcel is/was
agreed between the Parties at Rs.42,00,000/- (RUPEES. FORTY TWO LAKH ONLY) i.e. the
amount of total consideration of the said Flat and its piece and parcels thereof, and the said price is
reasonable adequate and proper according to the situation of the Flat.

4) The said of total amount of consideration i.e. Rs.42,00,000/- (RUPEES. FORTY TWO LAKH
ONLY), have been paid by the TRANSFEREES-ASSIGNEES of the Second Part to the said
TRANSFERORS-ASSIGNORS of the First Part on or before the execution of this Deed. The
particulars of total amount of consideration paid by the TRANSFEREES-ASSIGNEES to the
TRANSFERORS-ASSIGNORS is/are as under :-

way of Cheque bearing No.000077, as on dated.19/01/2020 drawn
on HDFC Bank, Branch – JALGAON.
3) Rs.37,80,000/- (RUPEES. THIRTY SEVEN LAKH EIGHTY THOUSAND ONLY) i.e.
balance amount of consideration paid by the way of RTGS / NEFT
Transfer bearing UTR / Ref. No.____________________________,

5) The TRANSFERORS-ASSIGNORS of the First Part will handed over and delivered to the
TRANSFEREES-ASSIGNEES of the Second Part all the required original title deeds and
documents after the realization of the part and advance payment in respect of the said Flat and its
piece and parcels thereof, along with the Original Agreement with the said PROMOTERS, NOC
from the said Society, for the purpose of enabling TRANSFEREES-ASSIGNEES of the Second
Part to avail housing loan / any kind of other loan from any Bank or Financial assistance and
procure with view to making payment of full and final amount of consideration.

6) On the payment of full and final consideration the TRANSFERORS-ASSIGNORS of the First Part
will removed all his/her/their belongings and will hand over the vacant and peaceful possession of
the said Flat and its piece and parcels thereof with all amenities and all improvements made therein
by the TRANSFERORS-ASSIGNORS of the First Part to the said TRANSFEREES-ASSIGNEES of
the Second Part.

7) The TRANSFERORS-ASSIGNORS of the First Part will clear all dues, taxes, maintenance,
charges, electricity bills, water charges, Grampanchayat / Society Charges dues upto the date of
his/her/their possession. If any dues are found to be in arrears subsequently, TRANSFERORS-
ASSIGNORS of the First Part is/are liable to pay the same.

8) The TRANSFERORS-ASSIGNORS of the First Part have obtained all the necessary consent and
permission as well as NOC from the Grampanchayat and Society for peaceful transfer of said Flat
and its piece and parcels thereof in the name of the TRANSFEREES-ASSIGNEES of the Second
Part. However, if any difficulty arises, the party of the TRANSFERORS-ASSIGNORS of the First
Part shall co-operate and see that the said Flat and its piece and parcels thereof is transferred in
the name of TRANSFEREES-ASSIGNEES of the Second Part at her/his/their cost. The
TRANSFERORS-ASSIGNORS of the First Part shall abide by the terms and conditions of the said
Registered Agreement entered and executed with the said PROMOTERS and it shall be
considered as part and parcel of this document as this document is prepared made and executed
on that basis only.

9) The TRANSFERORS-ASSIGNORS of the First Part have sold, transferred and assigned the said
Flat and its piece and parcels along with all deposits if any paid by him/her/their to the said
PROMOTERS, SOCIETY, Electricity Company and other Authorities, Grampanchyat, Municipal
Council or other Authority.

10) The TRANSFERORS-ASSIGNORS of the First Part shall co-operate in all respects and shall give
his/her/their consent in writing whenever and wherever necessary for fully affecting the Transfer of
the said Flat and its piece and parcels thereof with the amenities and deposits.

11) The TRANSFERORS-ASSIGNORS of the First Part have sold, transferred and assigned the said
Flat and its piece and parcels thereof along with its piece and parcel by this Document and all
his/her/their rights, title and interest in favour of the TRANSFEREES-ASSIGNEES of the Second

Part on the payment of full and final amount as mentioned herein above and after receiving full and
final amount he shall not claim any interest in the said Flat and its piece and parcels thereof at any
time and shall not object for the transfer of the said Flat and its piece and parcels thereof in the
name of the TRANSFEREES-ASSIGNEES of the Second Part. Floor Plan is annexed herewith and
the Flat transferred is shown by Red Line on the said Plan.

12) The TRANSFERORS-ASSIGNORS along with the other Purchaser/s of the residential Flats and
units in the said Building / Residential Complex have formed Co-operative Housing Society in the
name and style of “THE RIVIERA CO-OPERATIVE HOUSING SOCIETY LTD.”, a co-operative
housing society duly registered under the Maharashtra State Co-operative Societies Act, 1960,
under Registered No. RGD/PWL/HSG/(T.C.)/3076/2014-15/2015, dated. 25/02/2015 (hereinafter
referred to as “the said Society”) and the said TRANSFERORS-ASSIGNORS being registered
member of the said Society had interest and title in the said Flat and property of the said Society by
the virtue of Registered Share Holder of the said Society and holding 10 Shares bearing distinctive
Nos.651 to 660 of Rs.50/- each vide Share Certificate No.016 (hereinafter referred to as “the said
Shares”) and thus the said TRANSFERORS-ASSIGNORS have clear and marketable title in
respect of the said Flat and its piece and parcels thereof and the said TRANSFERORS-
ASSIGNORS are well and sufficiently entitled to the said flat and have absolute right and power to
hold, occupy and deal with and dispose off the said flat and every part thereof:

13) The TRANSFERORS-ASSIGNORS of the First Part has/have not created any charge of
encumbrance against the said Flat and its piece and parcels thereof nor they have entered into any
Agreement for Sale, Mortgage, Gift, with respect to the said Flat and its piece and parcels thereof
with anybody else. The said Flat and its piece and parcels thereof is sold with good and marketable
title without any reservation on the basis which is acquired under the Agreement with the said
PROMOTERS and the TRANSFERORS-ASSIGNORS of the First Part has full legal right to sell &
dispose off the said Flat and its piece and parcels thereof to the TRANSFEREES-ASSIGNEES of
the Second Part.

14) The TRANSFERORS-ASSIGNORS being the member of the said Society, the transferors are
holding Share Certificate No.016, containing Ten Shares of Rs.50/- each having distinctive Share
Nos. 651 to 660 for the total Share Capital of Rs.500/- (hereinafter referred to as the “SAID
SHARES”) in the said Society, the said shares / membership in respect of the said Flat and its
piece and parcels thereof and the said shares of the same should be transferred in the name of
TRANSFEREES-ASSIGNEES of the Second Part after completion of this transaction and the
name of the TRANSFEREES-ASSIGNEES of the Second Part should be included and registered
as a member/s in his/her/their place in the said Society and the TRANSFEREES-ASSIGNEES of
the Second Part shall become a member/s of the said Society and shall abide and shall participate
in all the matters and thing and expenses for the said purpose alongwith other flat/s & Flat
Purchaser/s.

15) This Deed shall be binding on both the parties their heirs, executors and administrators and it is
made and entered in furtherance to said part payment agreement.

16) Also this Deed shall always be subject to the provisions of Maharashtra ownership flat Act, 1963
and the rules of 1964 made there under.

On the above terms and conditions both the parties have completed this Document for the Sale and
Transfer of the said Flat i.e. All that piece and parcel of Residential Flat bearing No.302, admeasuring
about 51.37 Sq. Mtrs. Carpet area, on the Third Floor, in the Wing No. E, of the Building / Complex
known as “THE RIVIERA” and after formation of Co-operative Housing Society it is named as “THE
RIVIERA CO-OPERATIVE HOUSING SOCIETY LTD.”, which is lying, being and constructed on at Survey
No.79, Hissa No.3A and Survey No.79, Hissa No.3B, situated at revenue Village – Chipale, Tal. Panvel,
Dist. Raigad and within the limits of Group Gram Panchayat Chipale and within the Registration District
: Raigad and Sub-Registration : Panvel, Tal. Panvel, Dist. Raigad and more particularly described in the
Schedule-I and II written hereunder, in witnessed whereby they have signed & execute this Document for
Sale and Transfer at New Panvel, Navi Mumbai on the date hereinabove mentioned.

All that piece or parcel of N.A. land bearing (1) Survey No.79, Hissa No.3A and (2) Survey No.79, Hissa
No.3B, totally admeasuring 0 H – 62 ARES – 0 POINT = 6200.00 Sq. Mtrs. situated at Village – Chipale,
Tal. Panvel, Dist. Raigad and within the limits of Group Gram Panchayat Chipale and Panvel Panchayat
Samiti and outside the limit of Panvel Municipal Council and bounded as follows that is to say : -

IN WITNESS WHEREOF the parties hereto have set and subscribed their respective hand on these present

Panvel, Dist. Raigad and within the limits of Group Gram Panchayat Chipale and within the Registration
District : Raigad and Sub-Registration : Panvel, Tal. Panvel, Dist. Raigad and more particularly
described in the Schedule-I and II written hereinabove, the details of which are more particularly mentioned
in the following PAYMENT SCHEDULE herein under :-

We are very much glad to hand over you a quiet, vacant and peaceful possession of the
Residential Flat bearing No.302, admeasuring about 51.37 Sq. Mtrs. Carpet area, on the Third Floor, in
the Wing No. E, of the Building / Complex known as “THE RIVIERA” and after formation of Co-operative
Housing Society it is named as “THE RIVIERA CO-OPERATIVE HOUSING SOCIETY LTD.”, which is
lying, being and constructed on at Survey No.79, Hissa No.3A and Survey No.79, Hissa No.3B, situated
at revenue Village – Chipale, Tal. Panvel, Dist. Raigad (hereinafter referred to as “the said Flat”). We
have received entire sale consideration in respect of the said Flat and its piece and parcels thereof under
the Agreement for Sale (For Part Payment Consideration), dtd.23/01/2020 and Sale Deed cum Deed of
Conveyance - dtd.____________ and now nothing is due and payable by you to us in respect of the said
Flat. We have already relinquished all our rights, title & interest of whatsoever nature in respect of the said
Flat. We say that along with physical possession of the said Flat. We also hand over the original papers
such as copy of Agreement for Sale, Letter of possession, NOC & No Dues Certificate from said
PROMOTERS /SOCIETY and the original key of said Flat.
