I. Overview

1 Definition

ㅇ King Sejong Institute Foundation (hereinafter referred to as the“Foundation”)


An institute established to efficiently spread the Korean language pursuant to Article
19-2 Section 1 of the Framework Act on National Language
Article 19-2 of the Framework Act on National Language (Establishment of King Sejong
Institute Foundation, etc.) ① The nation establishes the King Sejong Institute Foundation
(hereinafter referred to as the “Foundation”) to efficiently spread the Korean language as a
foreign language or a secondary language.

ㅇ King Sejong Institute (hereinafter referred to as the “Institute”)


An Institute that disseminates and teaches the Korean language as well as
Korean culture to anyone who wants to learn the language.

The Internet "Nurijib (www.sejonghakdang.org)" where comprehensive information about the
education of the Korean language and culture is provided

The on-line system (http://nbms.ksif.or.kr) in which the King Sejong Institute operators and
teachers submit various reports to the Foundation and manages them

ㅇ Operating Institution
A common name for any local operating institution or any domestic operating
institution that operates a King Sejong Institute

organizations, non-profit corporations, private organizations, etc. of a host country

ㅇ Application notice guide


- Notice method: Check the notice on the bulletin board of the Foundation Nurijib
- Notice period: Six months prior to the expected date of the designation of a King Sejong
Institute / at least over 10 days

ㅇ Required documents: Organizations shall fill out and submit a King Sejong
Institute Operation Application through the Nurijip (On-line)

① (Common) Business license or Institute registration certificate (Documents to prove qualifications
for application such as a corporation license)
- Overseas organizations must translate/notarize the documents into Korean before submission, and
both organizations must submit in case of an associated operation.
② (Common) Teachers' certificate of Korean language teacher, certificate of Korean language
teacher education, certificate of career, certificate of a degree
- Teachers submitting resumes should submit related proving documents, and documents in a
foreign language must be translated into Korean before submission.

③ (In an associated operation) A business agreement between the organizations for application and
operation of the King Sejong Institute.
④ (When a local operating institute is a university) Reference by the president of a local operating
university
- Specify support contents for the King Sejong Institute such as facility support for the Institute,
independent management of the support funds, support for teacher recruitment, etc.

ㅇ Precautions in online application for operation of the King Sejong Institute


- No modifications possible after final applications
※ All contents of the application can be temporarily stored and modified before submission
- No applications by mail (including e-mail) or visit possible
- Final submission of application made by the Domestic Operating Institution in an
associated operation
- Applicants are recommended to submit the applications in advance as application
would not be normal with more connected users on the closing date.

<Example of a Business Agreement between Operating Institutions>

Business Agreement on Establishment and Operation of the King Sejong Institute

(Domestic Operating Institution Name) and (Local Operating Institution Name) (hereinafter referred to as
“both institutions”) make a business agreement as follows to establish and operate 'King Sejong Institute' in
(country+region name) to strengthen cultural exchanges and the mutual relationship between both countries
through spreading out the Korean language and culture.

Article 1 (Purpose) The purpose of this agreement is to smoothly operate 'King Sejong Institute' by clearly
specifying the liability and obligation between both institutions for the opening and operation of the King
Sejong Institute.

Article 2 (Basic Direction) Both institutions sufficiently understand the purpose of the Korean national brand
business, the 'King Sejong Institute' business by the King Sejong Institute Foundation, faithfully cooperate
for the matters related with the operation of the King Sejong Institute in the future, and strive to secure
the national brand image and acquire the status as a disseminating organization of Korean language and
culture in the region through operating the King Sejong Institute.

Article 3 (Agreement Contents) The roles of each institution pursuant to this agreement are as follows:

① Provides, manages, and protects suitable places for educational operation, such as facilities for
education, office work and others.
② Supports human resources and system for the operation including promotion of the King Sejong
Institute, student recruit and registration, etc.
③ Deals with legal issues in (country name) in relation to the operation of the King Sejong Institute such
as VISA acquisition for the teachers (or dispatched teachers) and operating staff of the Institute.
④ Clearly executes the operating budget of the King Sejong Institute, makes monthly financial and
business reports and yearly financial and business reports to (Local Operating Institution Name) pursuant to
the King Sejong Institute Operation Guideline of the King Sejong Institute Foundation (the 'Foundation').

(Domestic Operating Institution Name)


① Generally manages, executes, and settles the King Sejong Institute operating budget granted by the
Foundation pursuant to the King Sejong Institute Operation Guideline and reports the results to the
Foundation every year.
② Generally manages and supervises as a responsible organization for the operation of the King Sejong
Institute and undertakes administrative works in Korea.
③ Can support the operation of local education such as Korean language teacher dispatchment, programs
for Korean language and culture education.
④ Can support educational materials, operational expenses, human resources, etc. for operating the King
Sejong Institute.

Article 4 (Collection and Division of Tuition Fees) ① The handling of tuition fees and profits in the King
Sejong Institute is pursuant to the King Sejong Institute Operation Guideline of the Foundation.

Article 5 (Effective Period) ① This agreement will be effective upon the signing of both parties.
② The effective period of this agreement is 3 years from the determined date of the King Sejong
Institute's designation and will be automatically extended for 3 years unless any invalidating incident occurs.

Article 6 (Legal liability) ① The parties of this agreement shall comply with the laws of Korea in carrying
out the obligations specified in this agreement.
② Each party takes responsibility of violating the obligations set forth in this agreement.

Article 7 (Force Majeure) If an unexpected national accident, war, governmental prohibition order, or other
events beyond the scope of this agreement occur and prevent any party of this agreement from performing
any of its obligations under this agreement, the party should inform other parties to extend or cancel the
relevant provisions and take necessary actions to minimize other parties' losses.

Article 8 (Intellectual Property) ① The intellectual property of any mark and badge related with the King
Sejong Institute is solely owned by the Foundation. Neither institutions shall not use or transfer any mark
and badge in relation with the King Sejong Institute in any form after termination of this agreement.
② Any intellectual property of any project executed in cooperation of both institutions shall be determined
through mutual agreement. Any dispute regarding intellectual property shall be put in negotiation in mutual
cooperation and good faith. If any dispute is not resolved through negotiation, the case shall be filed to
any agency with a jurisdiction, according to any relevant law, regulation, and international practice.

Article 9 (Miscellaneous) Any matter not specified in this agreement shall be determined through mutual
consultation of both institutions and the results shall be informed to the Foundation.

Article 10 (Language) This agreement shall be executed in Korean and (the local language) on 2
counterparts, each party will keep one of them, and the agreement in the two languages shall have the

employee of the office, a staff employee for operating the King Sejong Institute

will be ‘the Korean Art Center name + King Sejong Institute’ in principle.

2) Conclusion of a King Sejong Institute Business Consignment Contract

ㅇ An Operating Institution can operate the Institute after concluding a King Sejong
Institute Business Consignment Contract with the Foundation, and any arbitrarily
operated matter before the contract is concluded is not recognized by the
Foundation.

B Cancellation of Designation

□ Relevant regulation
ㅇ The Foundation may cancel the designation of a King Sejong Institute in any
case of「King Sejong Institute Operation Regulations」Article 40 (Cancellation of
Designation)

Article 40 (Cancellation of Designation) ① In each of the following cases, the Foundation may
cancel the designation of a King Sejong Institute:
1. Where an applicant has received the designation as a King Sejong Institute in a false or other
wrongful way
2. Where a King Sejong Institute has changed its form of operation or its operating institution
without approval by the Foundation in violation of Article 8 Section 1
3. Where an applicant has not entered into an Entrustment Agreement under Article 11 Section 1
4. Where a King Sejong Institute has received the lowest grade in the evaluations of Article 33
no less than twice consecutively
5. In the case a King Sejong Institute has received two or more warnings according to Article 41
hereof or received at least two warnings or at least one reprimand according to Article 41 (3)
during the business operating agreement period <Amended on 12/15/2014 and 3/23/2016>
6. Where a King Sejong Institute has received cautions within the term of a Business
Consignment contract under Article 41 no less than four times
7. Where a King Sejong Institute has received assistance from the government of the Republic of
Korea with a project similar to the project of the King Sejong Institute within the last three (3)
years

8. Where a King Sejong Institute has not complied with the directions given by the government of
the Republic of Korea to suspend its project of King Sejong Institute in dangerous areas or
not to engage in missionary activities
9. Where a King Sejong Institute has otherwise seriously violated its own purpose of designation
10. Where a King Sejong Institute is no longer operable due to special reasons, including natural
disaster or any other serious calamity
11. Where a King Sejong Institute is practically unable to continue to operate because it could no
longer meet the requirements for King Sejong Institute due to aggravation of educational
conditions, etc.
12. Where Operating Institutions do not cooperate regarding the dispatch of a faculty member fro
m the foundation despite the need for such an improvement of the education environment of
a King Sejong Institute <newly inserted on 3/23/2016>
13. Where it is judged that a King Sejong Institute is unable to restart operations after a temporar
y halting of operations according to Article 38 (3) or (4) newly inserted on 3/23/2016>
② An operating institution that has received a notice of cancellation of designation shall close the
project of King Sejong Institute within one (1) month after the date of its receipt unless
specified otherwise. In this case, Operating Institutions shall give relevant students of the King
Sejong Institute no less than one (1) month notice.
Article 41 (Warnings and Cautions) ① The Foundation may issue a reprimand or warning in case
of a violation in these regulations or a failure to comply with requests for remedial action
under these regulations. <Amended on 3/23/2016>
② The criteria of warnings or cautions in Section 1 shall be as described in Schedule 2.
③ Two (2) cautions under Section 1 shall be deemed to one (1) warning under Section 1.
④ The application period for warnings and cautions shall be the consignment contract period, and

misappropriated amount, discontinuation of support funds and cancellation of

shall close the project of the King Sejong Institute within one month after the
date of its receipt unless specified otherwise and in this case, Operating
Institutions shall give relevant students of the King Sejong Institute no less than
one month notice.
ㅇ An operating institution whose designation is cancelled shall submit statement of
operation results [Schedule Form No. 9] and settlement statement [Schedule
Form No. 11] within one month from the contract cancellation/closing date, and

refund support funds for the remaining contract term, foreign-exchange profit and
interest occurred, etc. to the Foundation. In this case, when the contract
cancellation is due to not using the support funds for the designated purpose,
relevant support funds shall be refunded.
ㅇ The King Sejong Institute’s asset (equipments) purchased with the support funds
shall be delivered to neighboring the King Sejong Institute, diplomatic offices of
the Republic of Korea, Korean Cultural Center, Korean language dissemination
organization, etc. specified by the Foundation within one month after the date of
its receipt of the cancellation/closing notice. In this case, the expense for such
delivery shall be borne by the Operating Institution.
ㅇ Operating Institutions whose designation has been cancelled shall return all
documents related to it along with the signboard to the Foundation, with the cost
of delivery expenses to be borne by the Operating Institution.
ㅇ If the facility improves institute suspension or cancellation of facilities within three
years after improvement of facility, the facility may be taken back by considering
facility support expenses.

C Suspension of King Sejong Institute Operation

ㅇ The foundation may decide to halt the operations of a King Sejong Institute if it is
deemed necessary in lieu of the status of local human resources or certain
circumstances of the Operating Institutions.

- Operating Institutions should carry out a placement test among newcomers for
a more systematic and efficient course operation.
- The evaluation for class formation is an item included in the Foundation's
evaluation of the operation of a King Sejong Institute. The Institutes need to

Foundation upon request.

ㅇ Passing requirements: a minimum attendance rate of 80% and a minimum of 60

4. A for-profit/non-profit organization entrusted with a business targeting foreigner-related
policies under the Framework Act on Treatment of Foreigners Residing in the Republic of
Korea, Article 21
5. A Korean culture center stipulated in Article 55, the Organization of the MOFA and
its Subsidiary Institutions; a Korean Education Center stipulated in Article 28, the Act on
the Educational Support, etc. for Korean Nationals Residing Abroad
6. Other institutions designated by the Minister of Culture, Sports, and Tourism as
those qualified for the said experience through deliberations by a relevant judging
committee stated in the foregoing ③.

<Operation of a course for immigrants married to Koreans>


ㅇ (Operation) At a King Sejong Institute, an Elementary Course 1 (120~150 hours in
total) shall be composed of stages of Elementary 1A (Sejong Korean 1) and
Elementary 1B (Sejong Korean 2), with each stage to be offered for at least 8
weeks.
※ Only those who have completed the Elementary 1A shall be eligible to move up to
Elementary 1B. Students shall not be allowed to attend two stages at the same
time
ㅇ (Text) The use of the standard text Sejong Korean is a must in accordance with the
King Sejong Institute Operation Regulations.
ㅇ (Place of education) The course shall be offered on the site of King Sejong Institute,
offering courses offsite is prohibited.
ㅇ (Lecture fee) Lecture fees shall be fixed in accordance with the relevant guidelines
including the King Sejong Institute Operation Regulations. Lecture fees shall not be

fixed at a level higher than the fees for existing regular courses.
ㅇ (Lecture fee refund) The Institute shall set the criteria for lecture fee refunds and
provide information at the time of recruiting students.
ㅇ (Course registration) Arrangements shall be made for students to register for the
stages of Elementary 1A and 1B separately, with tuition to also collected separately
for each stage.
※ No recruitment of student is allowed outside the course registration period set by the
Institute.
ㅇ (Fulfillment of the obligation for the pre-notice of courses) An Institute shall ensure
that a sufficient effort is made to communicate the details of courses to students and
their families by the time of course registration.
※ E.g.: Providing general information on courses in the local language via a bulletin
board; putting up relevant information in both Korean and the local language at the
Institute’s homepage; receiving a letter of consent from students where necessary
ㅇ Passing requirements
- For Elementary 1A: A minimum attendance of 80% is required and an internal
evaluation of the Institute
-For Elementary 1B: A minimum average of 60 points in reading and comprehension by
the final evaluation
※ For the Foundation’s evaluation, each Institute is required to submit the attendance
records of students and materials concerning attendance. The Foundation is to carry
out an evaluation in cooperation with the Korean embassies in each country after
obtaining the information of each Institute according to the evaluation schedule.
ㅇ Management and supervision carried out by the Foundation

experience or opening of regular lectures is difficult, the opening of Korean
culture events/programs (cultural events, special lecture, etc.) twice a semester is
recommended
- Textbook: Use the standard textbook <Sejong Korean Culture> as the main
textbook and after finished the <Sejong Korean Culture 1>, allow to use the
optional textbook before the further development of the additional <Sejong
korean Cultule> series.
- Culture Lecturer: When a Korean culture lecture is opened, it is possible for
Korean Language teachers undertake the Korean culture lecture/event, but it is

recommended to hire someone with a bachelor's degree related to a relevant
lecture or at least two years of relevant experience when the relevant Institute
hires separate Korean culture lecturer(s)

B General Operation

1) Basic principle of King Sejong Institute operation


ㅇ The Foundation can supervise Operating Institutions in relation to the King
Sejong Institute business and Operating Institutions should make a report or
consultation to/with the Foundation in relation to the business performance within
the term specified by the foundation
ㅇ Operating Institutions should keep dignity and perform the business with good
faith and sincerity considering that this business is a part of a private diplomatic
activity
ㅇ Operating institutions shall comply with the laws of the country where they do
the business, respect the local traditions and customs, and not incite cultural or
religious emotions of the local residents or engage in missionary activities during
their activity term.
ㅇ When operating institutions have or are likely to have difficulty with business,
they shall immediately report and if any problem occurs they shall consult with
the Foundation and local diplomatic offices (embassy, Korean cultural center,
etc.) of the Republic of Korea, and follow their directions.
ㅇ Operating institutions on the Business Consignment Contract are solely
responsible for the operation and settlement of King Sejong Institute (local
institutions are responsible for making settlement for the associated type).
ㅇ When the operating staff is changed, smooth business performance should be
secured through thorough transferring duties.
- When the operating staff of the Institute is changed, new staff members in
charge shall be well informed of the working procedure through autonomously
provided education about related matters like King Sejong Institute Operation
Guideline to ensure there is no problem in making business reports (including
settlement reports) and other works.

2) The role and change of the Institute director

ㅇ An Institute’s director is in the position of representing an operating institution


and should be capable of practically performing general operations in the region
in principle.

ㅇ When a director is changed, application for change of a director stating a


specific reason should be submitted to the Foundation, and approval of the
Foundation should be obtained.

3) Management of operating staff

ㅇ (Hiring Process) Operating Institutions should make a notice of recruitment and


then employ teachers and operating staff who are able to provide services
under the relevant local laws and pass the identification procedures of the local
country.

ㅇ (Report items) Operating institutions should be obtained the Foundation's


approval first to hire teachers and operating staff by submitting monthly reports
on them.
→ Family or relatives of the director of the King Sejong Institute cannot be hired
as operational staff
※ Relevant operational staff and teachers must join the integrated business
management system, enter their work experience and obtain the final
approval by the Foundation.

ㅇ Operation of teachers
- Each operating institution should employ at least one teacher and ensure that
the teacher’s (the teachers’) rights are sufficiently protected and that they fulfill
their obligations by signing an employment contract.
- The foundation can select and educate teachers who meet the qualification set
by the foundation through public recruitment and dispatch them as teachers for
the King Sejong Institute.

Countries」 for details on the operation and management of teachers
dispatched by the Foundation

4) Change in Operating Institution (Article 8 of 「King Sejong Institute Operation

Regulations」)
ㅇ When an operating institution intends to be changed, a relevant King Sejong
Institute shall file an application for the change to the Foundation to obtain
approval.
ㅇ A Business Consignment Contract between the Foundation and the new
operating institute should be concluded after an operating institution is changed
and the Foundation will determine whether to renew the contract after checking
the operation state of the new operating institution through a trial operation for
6 months from the conclusion date.
Change in local operating institution, however, qualifies for an on-site inspection
according to the new designation screening.

5) Operation of Branch for King Sejong Institute (Article 14 of 「King Sejong


Institute Operation Regulations」)
ㅇ If a branch is required for the reasons for exceeding the student's quota, etc.,
the operating institution shall write the brance operation plan separately and
obtain prior approval from the foundation
ㅇ The branch operation plan should include ① purpose and need of branch
operation, ② demand of local students, ③ operation plan, ④ relationship and
role allocation with an existing King Sejong Institute, ⑤ methods for managing
the branch

6) Cooperation with Outside Organizations, etc. (Article 17 of 「King Sejong Institute


Operation Regulations」)
ㅇ When a teacher affiliated with a King Sejong Institute receives a request from
an outside organization and intends to teach there, he or she shall obtain prior
approval from the Foundation and the activity should be reported to the
foundation after being included in the operation achievement of the institute as
a 'lecture' in the New Business Management System.

7) Cooperation Regarding the Occasional Inspection of the Institutes


ㅇ In the event of a Foundation official’s visit, Institute officials including the director
and operating staff should pro-actively cooperate with the officials including the
submittal of correlating materials upon request.

- Budget formulation including items such as reserve funds or miscellaneous
expenses which do not show a specific purpose of use not recognized;

- Korean won is used in the budget plan and the exchange rate when preparation is
applied. At this time, the applied exchange rate, date, and amount should be
specified and their evidential documents (bank documents regarding the applied
exchange rate) should be attached.

B Formulation by each Budget

1) Support funds
ㅇ Formulation with minimum expenses to achieve the operation purpose of King Sejong
Institute
- Support funds should be formulated with minimum expenses to achieve the operation
purpose of the King Sejong Institute and especially food expenses, meeting expenses,
and labor costs should not be excessively appropriated
ㅇ Items that can formulate support funds
- Support funds should be formulated with items related with contents directly provided for
the education of the King Sejong Institute as possible, and it is recommended to
minimize equipment expenses and travel expenses in the formulation and to execute
those expenses with self-play instead if necessary
ㅇ Budget Formulation for basic operation expense
- labor costs (Item 110) : labor costs for operating staff, teachers, and activity
fees for the director, etc.
ㅇ The Director of a King Sejong Institute may get paid a monthly salary based on the
following criteria in connection with his/her administrative work as one who represents the
Institute.
- Eligibility: as the director of an Institute in a country other than Korea
- To be paid out of support funds or profits; in the event of director who also serves as a
faculty member, no double salaries are allowed.
ㅇ When diplomatic offices are associated, support funds cannot be used for salary payment
to employees (administrative staff, etc.) of the offices as the operating staff of King
Sejong Institute should be secured apart from the employees (administrative staff, etc.) of
the offices
※ As for a King Sejong Institute operated only with support funds, labor costs cannot exceed 75% of
the total budget for King Sejong Institute operation

3) Self-pay
ㅇ Self-pay is an amount invested by an operating institution related with King Sejong
Institute operation; yearly usage plan should be established in details.
※ When adding self-pay on the budget plan, only cash input can be self-pay but anything
other than cash such as real assets (real goods, lecture room rent, etc.) is not included.
ㅇ When an executed amount of self-pay is considerably decreased, the support funds can
be adjusted in proportion to that executed amount.

ㅇ Diversion within self-pay is possible with prior report but approval is not required, but
change in total execution of self-pay should be made through application for change in
budget plan.
ㅇ When making settlement of self-pay, details of use should be reported to the

ㅇ Profits: Accrued through operation of King Sejong Institute, including tuition fees

Institute operation

1) Sources of profits and basic principle


ㅇ Tuition fees
- When collected by the King Sejong Institute, the tuition fee setting criteria, etc. should be
reported to the Foundation in advance, and said Institute are notified to students after
obtaining approval from the Foundation (refer to example below)
- Setting criteria: Education hours and contents should be considered when setting the
tuition fee which should not exceed 150% of the tuition fee of similar institutions (private
or public) in the region.
- The foundation may examine the actual condition of the tuition fee management if
necessary and request adjustment when the tuition fee is considered to be excessive.

2) Execution and management of profits


ㅇ All profits made in a year are to be executed in the year in principle. In this
case, the [Schedule Form No. 5] Expected Profits Plan of the King Sejong
Institute should be filled in, reported to the Foundation in advance, and obtain
approval from the Foundation before execution is made.
ㅇ However, if some profits made prior to the relevant year remains, they are to
be executed in order of accrual in principle.
(Ex) If profits are accrued in 2013 and 2014, profits accrued in 2014 are not to
be executed before all the profits of 2013 are executed.

ㅇ Profits accrued through King Sejong Institute operation should be spent to
operate King Sejong Institute and managed in a bank account separate from
support funds and self-pay to make management of income/expenses clear.
- Profits generated from associated King Sejong Institutes may be spent through
agreement between the domestic operating institution and the local operating
institution. The domestic operating institution shall make it clear how the profits
are being managed in terms of income and expenses. The consultation results
between the two institutions regarding the handling of profits shall receive the
prior approval of the Foundation.

5) Handling of the profits in the case of cancellation of designation of the Institute


ㅇ When the designation is cancelled pursuant to the「King Sejong Institute Operation
Regulations」Article 40 (Cancellation of Designation), the profits shall be shared with
the Foundation considering the rate of Operating Institutions's self-pay regardless of
the year when the profits have accrued.
ㅇ However, when the budget plan is not established yet because the time of
cancellation was delayed to the next year, the profits shall be shared based on the
previous year’s rate of self-pay.
(Ex) If the designation of institute ‘A’ is cancelled in 2016 but the budget plan
establishment and real operation of the institute are carried out by 2015, the profits
shall be shared based on 2015’s rate of self-pay

D Budget Execution and Change

4 Settlement of Business Expenses of King Sejong Institute

A Handling Works of Support Funds

ㅇ The support fund should be independently managed with a bank account


opened under an operating institution's name. However, when an operating
institution is unable to open a separate bank account, the institution can
independently manage through 'partial account in an existing account' with a
prior agreement with the Foundation.
※ 'Partial account in an existing account' means giving specific account numbers
exclusive for the King Sejong Institute in an operating institution like a university
(Ex.) A case of specifying account number(s) with specific code number(s) and
project number(s) in a university
※ An existing Institute continuously uses a separate bank account but the account
balance should be set to zero before receiving support funds (except for amounts
required for maintaining the account). However, when a bank account receives
support funds for two business years as the support funds for the next year is
granted at the end of the relevant business period, the execution and settlement
should be separately made to ensure the use of the support funds are not
mixed up.
ㅇ For an associated King Sejong Institute, a bank account should be opened for a
local operating institution to separately manage. However, when a local operating
institution is unable to open a bank account, the management in the region with
a separate bank account (in the name of the director, etc.) designated by the
domestic operating institution is possible.
ㅇ An operating institution should submit [Schedule Form No. 11] Settlement
Statement together with [Schedule Form No. 10] Results Statement within 15
days after the end of a business period
- The results statement of the operation should be prepared to include sufficient
contents necessary for evaluation and submitted as it is the basic material for
evaluation.

B Settlement of Profits

ㅇ The details of profits accrual and execution should be reported through the King
Sejong Institute Settlement Statement and [Schedule Form No. 6] King Sejong
Institute Profits report (attaching evidential materials such as transaction details
of the account, receipts, etc.)
ㅇ An account settlement report should include all the details of the profits earned
and the budget executed in the current year and brought forward from the
year prior.

C Settlement of Self-pay

ㅇ Basically, execution details on self-pay should be prepared on the settlement


statement and reported
ㅇ The Foundation may separately request evidential materials to check and
examine the execution details of self-pay when necessary

2) Submission of evidential materials for settlement


ㅇ Execution reports on the total budget of the King Sejong Institute such as
support funds, self-pay, profits, etc. and evidential materials pursuant to them
should abide by the principle of one document for one item so that one
qualified evidence is bound for one unit of expenditure (item of expense). At this
time, care should be taken to stick individual receipts not being overlapped.
- The settlement statement should be written following the principle of one evidence
for a single accounting. Accordingly, 1 line per 1 evidence should be input and
payment should be written in details.
- Dates, amounts, and purposes of spending in evidential materials should be
consistent with those on the settlement statement, and purposes of execution is
written in both Korean and the local languages in principle when binding
receipts (i.e. receipts written in a local language should be translated into
Korean to show the purpose of spending).
- The numbers of evidential materials (receipts, etc.) written on the settlement
statement should be assigned to be consistent with the numbers of the relevant
evidential materials that have been bound.
- The original copies of all the settlement documents (settlement statement and
other evidential materials) should be submitted in principle. However, to reduce
the settlement period, scanned copies of settlement documents are submitted by
e-mail and the original copies should be bound and sent by mail so that they
are delivered to the Foundation within 15 days after the end of a business
period.
- When the original copies of settlement documents are unable to be submitted
due to circumstances of Operating Institutions, a duplicate verified to be the
same as the original copy can be submitted with consultation with the
foundation and the approval from the Foundation. Scanned copies of settlement
documents should be submitted by separate e-mail specified by the Foundation.

[Ref.] How to compose the report results
① The report results are to be composed of a general summary sheet and a sheet for each
level (e.g. Elementary 1A, 1B, 2A.......). The result report should be submitted after drafting a general
summary sheet and drafting the results of the evaluation of all the courses offered.

② Complete the correlating course-related information (highlighted in yellow).

③ List the names of all the students registered for each course and state whether or not each
student has attended at least 80% of classes in the course.

④ State whether or not each student has applied for the achievement level assessment and the score
earned by him/her in each evaluation category.

⑤ In case two of the same course were offered at the same time, fill out the results by adding more
cells.
- Upon entering the applicants' scores in the result report sheet, the mean value should be
automatically calculated.
- The mean value should be stated up to the second decimal point.
⑥ The results of the special courses, where the achievement level assessment was not carried
out, should also be drawn up and submitted.

C FAQ

Q1. Is it necessary to use the Foundation-provided achievement level assessment


questions for the term-end exams?
A1: Yes it is. Each Operating institution should carry out the achievement level assessment, using the
Foundation provided questions at the end of each course in accordance with the King Sejong
Institute Operational Regulations and the King Sejong Institute Operation Guidelines (2. King Sejong
Institute Operation – A) Curricula Operation – 3) King Sejong Institute Curricula Operation Criteria –
ㅇ Criteria for Course Completion. The Foundation has provided questions for the Elementary Course
(corresponding to <Sejong Korean1~4> since 2014 and questions for the Intermediate Course
(corresponding to <Sejong Korean 5~8> since 2015. All the Institutes should carry out an
achievement level assessment for all standard Korean language education courses offered, in addition
to the in-house evaluation carried out concerning special education courses offered.

Q2. Why is there an inconsistent number of questions when comparing <Sejong


Korean 1> with <Sejong Korean 2~8>?
A2: The course <Sejong Korean 1> (corresponding to Elementary 1) requires some time to get used
to the Korean alphabet. In light of the fact, the evaluation is composed of 15 questions for
comprehension, 15 questions for reading, 3 questions for writing, and 5 questions for speaking. The
assessment for the course titled <Sejong Korean 2~8>, is composed of 25 questions for
comprehension, 25 questions for reading, 3 questions for writing, and 5 questions for speaking, which
are thought to be suitable for the proper assessment for proficiency.

Q3. Questions on grammar or vocabulary that is quite new to students is often


found in the assessment. Why?
A3: We often include grammar or vocabulary to be taught at a higher level in the
reading/comprehension tests to adjust the level of difficulty. However, we ensure that students can
find the correct answers to these questions if they have studied properly. We will pay attention more
attention to this issue when developing test questions.

Q4. You recommend that a recording be made when carrying out the speaking
evaluation, but students find it burdensome. Is there a better way?
A4: We recommend recording the speaking test as the teachers need to listen to what the student
has said more than just once to enhance the accuracy of the assessment. A recording can be useful
for providing feedback to students. Please explain this to the students sufficiently. Also, it is
recommended that your cell phone be used for recording, as many students will feel less intimidated
that way.

Q5. The grading criteria table for the speaking and writing is complicated. Is this
analytical grading the proper method of assessment?
A5: An analytical method like this is useful for obtaining consistent results regardless of who is
performing the grading. It may be necessary to include the grader’s overall impression of the results
of the evaluatees’ speaking or writing. We will strive to improve the grading criteria table in
consideration of the merits of the methods. Please refer to the new film we provided this year for
teachers’ grading methods.

Q6. Our Institute runs a once –a year course for teaching King Sejong Korean . How
should we carry out the achievement level assessment?
A6: The King Sejong Institute achievement level assessment is to be performed at the end of each
course using the questions provided by the Foundation. You may also perform a mid-term or
occasional evaluation. With regards to the required conditions for the designation of a King Sejong
Institute, a course should be offered for at least 30 weeks a year and each class should be offered
for at least 60 hours a year. Please operate your courses based on the recommended class hours
for each course in the following table.

Q7. Are King Sejong Institutes allowed to alter the Foundation-provided questions for
the achievement level assessment to better accomodate the local circumstances?
A7: No, they are not. The said evaluation should be a standard evaluation based on
the Foundation-provided Sejong Korean texts and the questions are selected by the
Foundation.

Q8. In the Foundation's provision of the questions concerning the achievement level
assessment, could you send them via individual e-mail rather than via NBMS?
A8: Please understand that we are using the NBMS to avoid any unauthorized

① Start with Elementary 1A for elementary learners and Elementary 2B for

② Upon correctly answering a question, move up one level at a time.
③ When the examinee answers a question fluently, you may move the level of
question up two steps. When the examinee is unable to answer a question,
move down one level.
④ When the examinee received two or more ‘overall fluent’ in a specific stage,
the level above that level will be the examinee’s level of learning (For

⑤ After the interview, examinees are told that the test is over and are sent

ㅇ When the examinee takes both the reading and speaking evaluations, reflect
the results of both to make the final placement.
- When there is a one level difference between the reading evaluation and
speaking evaluation, we recommend to make the decision based on the results
of the speaking evaluation. When the level difference is two or more, we
recommend that the examinee be placed in the in-between level.
- Placement criteria above is a suggestion. Utilize the evaluation results in
consideration of the conditions of the local King Sejong Institute such as
courses that will open in the relevant semester.

5. Submittal of a report on the results

Q1. Can learners who did not pass the achievement level assessment the previous
semester also take the placement test?
A1: Students who have a history of taking classes at King Sejong Institute for more
than one year ago need to be reevaluated of their Korean language ability.
The placement test is a test that evaluates the correct level of each learner
who hopes to take Korean classes at King Sejong Institute but is unaware of
his/her Korean language level. Therefore, those who did not pass the
achievement level assessment do not qualify for the test.

Q2. Are King Sejong Institutes allowed to alter the Foundation-provided questions for
the achievement level assessment to better accomodate the local
circumstances?
A2: Yes, the placement test questions can be revised to better accommodate the
local circumstances.

Chapter 1 General Provisions

Article 1 (Purpose) The purpose of these regulations is to establish


relevant duties of the King Sejong Institute Foundation for efficiently
spreading out the Korean language pursuant to Article 19-2 of the
Framework Act on the National Language, and provide necessary
matters to designate and give assistance to King Sejong Institutes for
institutions with respect to the institutions and classes providing the
Korean language and Korean culture.

Article 2 (Definitions) The terms used in these regulations shall have the
following meanings: 1. “King Sejong Institute Foundation"(hereinafter
referred to as the “Foundation”) shall refer to one established to
efficiently spread out the Korean language pursuant to Article 19-2
Section 1 of the Framework Act on the National Language. <Amended
on Dec. 15, 2014>

2. “King Sejong Institute” shall refer to an institution or to lecture


courses designated by the Foundation for the teaching of Korean as a
foreign or a second language as well as Korean culture pursuant to

Article 19-2 Section 5 Number 1 of the Framework Act on Korean
Language, the form of which is prescribed by each clause herein.

A. “Independent King Sejong Institute” shall refer to a King Sejong
Institute independently operated by a local operating institution. <Newly

B. “Associated King Sejong Institute” shall refer to a King Sejong
Institute jointly operated by a local operating institution and a domestic
operating institution based on a business agreement. <Newly
established on Dec. 15, 2014> <Amended on Mar. 23, 2016>
C. “Cooperating King Sejong Institute” shall refer to a King Sejong
Institute designated and supported by the Foundation through a
business agreement with a public organization in the Republic of

D. “Base King Sejong Institute” shall refer to a King Sejong Institute
established or designated and operated by the Foundation to establish
standards for other King Sejong Institutes to follow as well as to

E. “Corporate-associated King Sejong Institute” shall refer to a King
Sejong Institute designated and supported by the Foundation through a
business agreement with domestic companies that entered overseas

3. “Foundation Nurijib” shall refer to the homepage of the Foundation.

4. “King Sejong Institute New Business Management System” shall refer
to the on-line system on which King Sejong Institute operators and
teachers submit and manage various reports. <Amended on Dec. 15,

5. “Operating Institution” shall commonly refer to any local operating


institution or any domestic operating institution that operates a King
Sejong Institute. <Amended on Dec. 15, 2014>

6. “Local Operating Institution” shall refer to a government organization


(including diplomatic offices), a university (graduate schools), a university
attached (or affiliated) organization, or a non-profit corporation, or a
private organization of a host country (hereinafter referred to as the
"Entity, etc.") designated by the Foundation to operate a King Sejong
Institute. <Amended on Dec. 15, 2014>

7. “Domestic Operating Institution" shall refer to any government


organization (including diplomatic offices), university, organization
attached or affiliated to a university, non-profit corporation, or private
organization of the Republic of Korea designated by the Foundation to
operate a King Sejong Institute. <Newly established on Dec. 15, 2014>

8. “Independent King Sejong Institute” shall refer to a King Sejong


Institute operated by a local operating institution independently. <Newly
established on Dec. 15, 2014>

9. “Associated King Sejong Institute” shall refer to a King Sejong


Institute jointly operated by a local operating institution and a domestic
operating institution by making a business agreement between the
organizations. <Newly established on Dec. 15, 2014>

10. “Cooperating King Sejong Institute” shall refer to a King Sejong


Institute designated and given assistance by the Foundation by making
a business agreement with a public organization of the Republic of
Korea. <Newly established on Dec. 15, 2014>

Article 3 (Subject of Application) These regulations shall apply to
Independent, Associated, and Cooperating King Sejong Institutes as
defined in Article 2, Section 2, Clauses A and B; however, in the case
of the Cooperating King Sejong Institutes of Clause C, Base King
Sejong Institutes of Clause D and Corporate-associated King Sejong
Institutes of Clause E, regulations may vary. <Amended on Dec. 15,

Chapter 2 Designations, etc.

Article 4 (Designations) ① The Foundation may designate King Sejong


Institutes as foreign entities, organizations, etc. to educate and
disseminate the Korean language and Korean culture for foreigners who
desire to learn the Korean language in foreign countries (including cases
where foreign entities, etc. desire to open lecture courses). <Amended
on Jul. 14, 2017>

② Where the Foundation designates a King Sejong Institute, it shall


consider each of the following matters: <Amended on Jul. 14, 2017>

1. Whether there are demands of the Korean language and Korean


culture and possibilities that the Korean language and Korean culture
may be spread out;

2. Whether students can get easy access to a King Sejong Institute


within the area where they are located;

3. Whether if the King Sejong Institute's operational institution is


systematic and efficient;

4. Whether if the designation of a King Sejong Institute is otherwise


expected to have consequences.

Article 5 (Application for Designation) ① As for an independent King
Sejong Institute, the local operating institution shall file an application to
the foundation regarding the designation of a King Sejong Institute.

② As for an associated King Sejong Institute, after the domestic


operating institution and the local operating institution enter into a
business agreement on the operation of the King Sejong Institute, the
domestic operating institution must file an application to the Foundation
regarding the designation of a King Sejong Institute. <Amended on Dec.

③ When an application is filed under Section 1 or 2, the requirements


for facilities, personnel, etc. of the operating institution will be the same
as Schedule 1. <Amended on Dec. 15, 2014>

④ Entities, organizations, etc. that are seeking to be designated as a


King Sejong Institute shall submit an application for the operation of the
King Sejong Institute to the Foundation pursuant to attaching each of
the following documents through the new King Sejong Institute on-line
application system that is disclosed on the Foundation’s website each
year. <Amended on Jul. 14, 2017>

1. Documents to prove that an applicant has qualifications for application


(corporate license, business license, etc.);

2. Business agreement with the operating institution (applicable only for


as sociated operating institutions);

3. Any other documents that the Foundation finds necessary for the
designation of a King Sejong Institute

Article 6 (Designation Procedures) ① Where the Foundation intends to


designate a King Sejong Institute pursuant to Article 4, the notice of the

designation plan shall be given no later than six (6) months prior to the
expected date of designation.

② The Foundation shall review whether an entity that has submitted an


Application for the Operation of the King Sejong Institute is pursuant to
Article 5 Section 4 and meets the qualifications specified in these
regulations. In this case, the Foundation may conduct a survey to verify
whether the qualifications have been met. <Amended on Dec. 15, 2014>

③ For the screening in Section 2, the Foundation shall operate a


Designation Screening Committee for the King Sejong Institute.

④ The Foundation shall notify the application institution the results of


designation and then notify the results to the Nurijib Foundation.

⑤ Where the Foundation notifies the results of designation pursuant to


Section 2, they shall specify the name and location of the King Sejong
Institute.

⑥ The Foundation shall issue a Letter of Designation for the King


Sejong Institute pursuant to Form 2 to selected organizations.

⑦ In addition to the matters specified in Section 2 through 6, the


details of matters necessary for King Sejong Institute designation
procedures, etc. may be independently specified by the Foundation.

Article 7 (Objection) Deleted <Dec. 15, 2014>

Article 8 (Change in the Operating Institution) ① Where an independent


Kin g Sejong Institute intends to be changed into an associated King
Sejong Institute, or where an associated King Sejong Institute intends to
be changed into a stand-alone King Sejong Institute, or also where a
relevant operating institution intends to be changed, a relevant King
Sejong Institute shall file an application for the change with the

② The Foundation shall determine whether to approve an application for


change pursuant to Section 1. <Amended on Dec. 15, 2014>

③ When the Foundation has approved an application for change in the


operating institution pursuant to Section 2, they shall specify a trial
operation period for six (6) months from the date of approval, check the
operations, and determine whether to renew the agreement according to

Chapter 3 Operations and Assistance

Article 9 (Duties of Operating Institution) ① An operating institution shall


operate its King Sejong Institute under these regulations, the King
Sejong Institute Operational Guidelines, and the King Sejong Institute
Business Consignment Contract (hereinafter referred to as the "Business
Consignment Contract"). After obtaining the Foundation's approval, the
operation of the King Sejong Institute shall be based on the execution
of each business year and budget plan. <Amended on Dec. 15, 2014,

② In order for the operating institution to spread out the Korean


language and culture in an easy and fun way through the King Sejong
Institute, the Foundation shall have secure teachers and established
lecture courses as stipulated in Attached Table 1. <Amended on Dec.
15, 2014, Jul. 14, 2017>

③ When an operating institution operates its King Sejong Institute, it


shall be based on the principle of interculturalism. They shall
systematically spread out Korean culture programs in order to facilitate
cultural exchanges and meet up to the local characteristics and

Article 10 (Principles for Operating the King Sejong Institute) ① An


operating institution shall comply with the laws of the country where
they do business for the King Sejong Institute, respect the local
traditions and customs, and not incite cultural or religious emotions of
the local residents or engage in missionary activities.

② Where an operating institution has or is likely to have difficulty in


doing business for the King Sejong Institute, they shall consult with
either the Foundation, local diplomatic offices of the Republic of Korea,
or the Korean cultural center, and follow their directions.

③ An operating institution shall operate and make a settlement for its


King Sejong Institute according to the Business Consignment Contract.

Article 11 (Entrustment Agreement for King Sejong Institute) ① On the


day when the Operating Institution gets a notice regarding the
designation of a King Sejong Institute, they shall conclude a Business
Consignment Contract on Form 3 with the Foundation regarding the
King Sejong Institute's Supporting Business within two months. In this
case, the operating institution shall submit an operation and budget plan
form to the Foundation and obtain approval from them. <Amended on

② The term of the Business Consignment Contract in Section 1 shall


be for 6 months, at the time of the first designation. However, unless a
problem were to occur during the time of the Business Consignment
Contract and cannot be continued, the term of the contract shall be
extended to a maximum of 3 years. <Amended on Jul. 14, 2017>

③ The details in the Business Consignment Contract in Section 1 shall
be separately determined by the Foundation.

Article 12 (Submission of the Monthly Report) After the operating


institution concludes the Business Consignment Contract, they shall
prepare and submit a monthly report every month to the Foundation no
later than the 3rd date of the following month. However, if the 3rd day
of the following month is a holiday in the Republic of Korea, the
operating institution shall submit the monthy report the day right after.

Article 13 (Change in King Sejong Institute’s Business and Reporting) ①


Where an operating institution makes a significant change in the
operation and budget plan for the King Sejong Institute's related
businesses, they shall prepare an Application for the Change of the
Operation in the King Sejong Institute pursuant to the King Sejong
Institute New Business Management System and must obtain approval
from the Foundation. <Amended Dec. 15, 2014; Mar. 23, 2016, Jul. 14,

② Aside from the operational institute having to get an approval in


making change(s) in the operation of the King Sejong Institute, pursuant
to Section 1, in cases where an operating institution makes a change
related to the operation of King Sejong Institute, it shall be reported to
the Foundation.

Article 14 (Operation of Branch for King Sejong Institute) Where the


number of students seriously exceed the prescribed number, the
operating institute may operate a branch for the King Sejong Institute by
obtaining approval from the Foundation after submitting a branch
operation plan that includes the necessity of a branch operation, local

Article 15 (Operation Advisory Committee for King Sejong Institute) ①


The Foundation shall have an operation advisory committee for the King
Sejong Institute in order to collect specialized and various opinions on
the assistance for the King Sejong Institute.

② The operating institution may submit various opinions on the


assistance for the King Sejong Institute to the King Sejong Institute's
operation advisory committee.

③ The details of the composition and operation of the King Sejong


Institute' s operation advisory committee pursuant to Section 1 shall be
determined by the Foundation.

Article 16 (Electronic Processing of Documents) Where an operating


institution submits materials related to the operation of the King Sejong
Institute, such as the budget plan, operation plan, statement of results,
and the settlement statement, they shall electronically process and
manage the documents by using the King Sejong Institute's New
Business Management System. <Amended on Dec. 15, 2014, Jul. 14,

Article 17 (Cooperation with Outside Organizations, etc.) ① When an


operating institution enters into a business agreement with an outside
organization for mutual exchange in the name of the King Sejong
Institute, they shall obtain approval from the Foundation.

② Where a teacher affiliated with a King Sejong Institute receives a


request from an outside organization and intends to teach there, he or
she shall obtain prior approval from the Foundation. <Amended on Jul.

Chapter 4 Operation of Budget

Article 18 (Preparation of the Budget for the King Sejong Institute) ①


The budget for the King Sejong Institute shall be composed of support
fun ds of the Foundation, self-pay of an operating institution (hereinafter
referred to as "Self-pay"), and profits of the King Sejong Institute.

② Where an operating institution prepares a budget in Section 1, they


shall present a detailed calculation basis.

③ The preparations for the budget, pursuant to Section 1 shall be


written in KRW. <Dec. 15, 2014>

Article 19 (Procedures for Approval of Budget) ① An operating


institution s hall submit a budget plan to the Foundation to apply for
support funds for each business year no later than at least sixty (60)
days before the commencement date of the business period. <Amended

② After the Foundation reviews the content of the budget calculation in


the budget plan pursuant to Section 1, they shall consult and adjust
with the operating institution. Right on the day when they receive the
budget plan they shall get the final approval within three (3) days.

Article 20 (Enforcement and Change in Budget) ① The Foundation's


support funds shall be enforced only within the relevant business period
in the King Sejong Institute.

② When a budget change needs to be made in the following matters,

he or she shall obtain prior approval from the Foundation. <Amended

A. New establishment of expenditure items and detailed items

B. Transfer between expenditure items

C. When exceeding the below rate of the budget within the expenditure
item

1) Labor cost, operating expenses: 20%

2) Other expenditure items: 40%

Article 21 (Calculation of Support Funds) ① The Foundation's support


funds shall be calculated based on the level of the market prices of the
country where a King Sejong Institute is located, the operation scale
and performance of the King Sejong Institute, etc.

② The details of the criteria for the calculation of the Foundation's


support funds under Section 1 shall be independently determined by the
Foundation.

Article 22 (Management of Support Funds) ① An operating institution


shall open and independently manage a bank account in its own name.
② Where an operating institution, pursuant to Section 1 is unable to
open a bank account under their own name, they shall separately make
an agreement with the Foundation in using a bank account. Also, before
they receive the support funds they must set the account balance to
zero; and if however, they do not set the account balance to zero due
to particular reasons, they must obtain prior approval from the
Foundation. <Amended on Dec. 15, 2014>

③ Among the support funds, the personnel expenses will be enforced


by the account transfer principle. Provided, however, in cases where an
unavoidable reason occurs and there is no other choice but to do a

cash enforcement, they must obtain prior approval from the Foundation.

④ According to the principle, the support funds sum, interest, foreign


exchange profit, and more that are not to be enforced, shall be returned
to the Foundation. Provided, however, that the amount to be returned is
s mall in number, an exception may be made in considering commission
expenses for remittance. <Amended on Dec. 15, 2014>

Article 23 (Settlement of Support Funds) ① The responsibility for the


settlement on the budget including the support funds shall be described
in each of the following sub-paragraphs:<Amended on Jul. 14, 2017>

1. For an independent King Sejong Institute: a local operating institution

2. For an associated King Sejong Institute: a domestic operating


institution <Amended on Dec. 15, 2014>

② An operating institution shall submit a settlement statement within


fifteen (15) days after the end of a business period in the King Sejong
Institute.

③ Where an operating institution submits a settlement statement


pursuant to Section 2, they shall also submit relevant documentary
evidence.

④ An operating institution shall keep a settlement statement and


relevant documentary evidence pursuant to Section 2 for five (5) years.

Article 24 (Handling the Profits from Tuition Fees, etc.) ① In order to


apply the fees for the expenses that are necessary in order to operate
the King Sejong Institute, the operating institution may receive tuition
fees from students other than the support funds.

② The tuition fees pursuant to Section 1 shall be determined


considering the time of education, learning content, etc. In this case,

when the Foundation finds that relevant tuition fees are excessively
high, they may request the operating institution to adjust the tuition fees.

③ An operating institution shall manage tuition fees and other profits


(hereinafter referred to as the "Profits") in an independent account in its
own name, and use the profits by obtaining approval from the
Foundation, for the expenses necessary for the operation of the King
Sejong Institute. It is provided, however, that when the operating
institution is unable to open an independent account in its own name,
Article 22 Section 2 shall apply. <Amended on Dec. 15, 2014>

④ An operating institution shall submit to the Foundation an account for


prof its and other profit related materials.

⑤ Where an associated King Sejong Institute has an occurrence of


spending the profits, they shall consult with the domestic operating
institution and the local operating institution. In this case, they shall
obtain prior approval from the Foundation regarding the relevant
expenses of the profits that they spend. <Amended on Dec. 15, 2014,

⑥ Where the designation of a King Sejong Institute is cancelled,


pursuant to Article 40, the profits shall be shared with the Foundation
considering the rate of the operating institution's self-pay. In this case,
the rate of the operating institution's self-pay shall be based on the rate
of self -pay of the year when the designation is cancelled, regardless of
the y ear when the profits have accrued. <Amended on Dec. 15, 2014>

⑦ An operating institution must administer profits in conformity with the


use and the purpose in operating the King Sejong Institute. In cases
where an operating institution administers profits that are not in
conformity with the foregoing, the Foundation may deduct the relevant
amounts from the support funds for the following year. <Newly

Chapter 5 Educational Assistance

Article 25 (Curriculum of the King Sejong Institute) ① An operating


institution shall divide the curriculum of the King Sejong Institute into a
basic curriculum and a special curriculum for the operation; but must
also open an d operate a basic curriculum.

② As for the basic curriculum of Section 1, the progressive standard


Korean education and the Korean culture related courses shall be
opened and operated based on the standard textbooks of the Sejong

③ As for the special curriculum of Section 1, the curriculum for special


purposes including business, study purposes, Korean proficiency test,
and more shall be opened and operated. ④ A King Sejong Institute
may open and operate other lecturing courses upon request from an
organization requesting the Korean language education and Korean
culture education; including the curriculum of Section 1. ⑤ The details
in the curriculum specified in the provisions of Section 1 through 4 shall
be determined by the Foundation.

Article 26 (Standard Textbooks of King Sejong Institute) ① When a King


Sejong Institute operates standard Korean language education within the
basic curriculum, pursuant to Article 25, Section 2, they shall use the
following standard textbooks of the Sejong Korean as the main

② When a King Sejong Institute operates the curriculum, pursuant to

③ The Foundation shall develop and distribute various educational


materials including videos relevant to each curriculum, in addition to the
King Sejong Institute's educational textbooks on the Korean language
and culture.

Article 27 (Dissemination of Culture) ① An operating institution shall


make efforts to ensure that the King Sejong Institute makes exchanges
with local cultures and make the Korean culture a center of
communications in order to disseminate the Korean culture.

② An operating institution shall operate the King Sejong Institute to


ensure that it may contribute to the globalization of the Korean culture
by distributing Korean culture related materials. <Amended on Dec. 15,

③ An operating institution shall actively take advantage of culture


professionals or culture interns that are appointed by the Foundation.

Article 28 (Employment of Teachers, etc.) ① A King Sejong Institute


shall employ teachers who have each of the following qualifications:

1. They must have a Korean language teacher's certificate (issued by


the Ministry of Culture, Sports, and Tourism);

3. They must have completed the Korean language teacher education

process (the relevant educational institution must be authorized by the
National Institute of the Korean Language); <Amended on Mar. 23,

4. They must have a bachelor's degree or a higher degree in a


language college with at least one year experience in the Korean
language education.

② Pursuant to Section 1, an operating institution shall employ teachers


and operating staff of the King Sejong Institute, and shall be able to
provide services under the relevant local laws and pass the identification
procedures of the local country, as well as reporting the results to, and
receiving the approval of, the Foundation. <Amended on Dec. 15, 2014,
Mar. 23, 2016>

③ The Foundation may provide teachers of King Sejong Institutes with


education to improve their educational capacity for the Korean language
and Korean cultures.

Article 29 (Appointment of Teachers) ① The Foundation may appoint


relevant teachers of King Sejong Institute for those who have the
qualifications specified in Article 28 Section 1 or those designated by
the Foundation.

② The Foundation may publicly recruit teachers from time to time if it


is necessary to appoint teachers pursuant to Section 1; provided,
however, in that case, the Foundation shall select relevant teachers
through documentary screening, interview screening, and conducting a
physical examination, etc.

③ Teachers selected to be dispatched under Section 2 needs to


complete the education specified by the Foundation.

④ The Foundation shall appoint relevant institutes for those who have

completed the education under Section 3 and dispatch those who have
signed the Korean Teacher Dispatch contract.

⑤ Places where it is impossible or inappropriate to provide education


due to aggravation of public safety, etc. or where there is a substantial
ground to change an institution for appointment, the Foundation may
change the institute for appointment and where appointed teachers
provide services.

⑥ The business for appointing teachers may be entrusted, the


requirements and selection methods of the entrusted organizations, etc.
shall be determined by the Foundation.

⑦ Dispatched teachers shall perform administrative task for the King


Sejong Institute and the Foundation in addition to teaching Korean at
the King Sejong Institute. When the Foundation deeds it necessary, it
can bestow additional tasks to the dispatched teacher such as
designation as a Responsible Teacher and provide an allowance for the

⑧ A King Sejong Institute that has received a dispatched teacher shall


accede to the cooperative measures related to the Foundation’s Korean
Teacher Dispatch program, and must not subject the dispatch teacher to
unfair treatment or inappropriate conduct. <Newly established on Mar.

⑨ In addition to the provisions set forth in Sections 1 to 8, exceptional


matters necessary to the appointment of teachers shall be determined
separately by the Foundation. <Amended on Mar. 23, 2016>

⑩ The Foundation shall appoint and dispatch people as reserve


teachers to King Sejong Institutes to support the education at King
Sejong Institutes. <Newly established on Jul. 14, 2017>

Article 30 (Evaluation of Achievement) ① After an operating institution
has completed the Korean Language Course from the basic curriculum
of the King Sejong Institute pursuant to Article 25, Section 1 and Article
26, Section 1, it shall conduct an evaluation of achievement on the
standard textbooks of the King Sejong Institute (hereinafter referred to
as the “Evaluation of Achievement”), and submit the results of the
evaluation to the Foundation within two (2) weeks. <Amended on Dec.
15 2014, Mar. 23, 2016, Jul. 14, 2017>

② The criteria for completion of each level are as follows: a minimum


of 80% attendance and a minimum of 60 points in the Evaluation of
Achievement; and the King Sejong Institutes shall not arbitrarily change
the criteria for completion. However, a King Sejong Institute shall
independently determine the criteria for the completion of curricula other
than the Standard Korean Curriculum. <Amended on Dec. 15, 2014,

③ Excluding the regulations prescribed in Sections 1 and 2, the


Foundation shall independently determine any measures necessary for
the execution and management of the Evaluation of Achievement.

Article 31 (World Korean Educators Conference, etc.) ① The Foundation


shall hold the World Korean Educators Conference, etc. each year in
order to give operators and teachers of King Sejong Institutes
opportunities to ensure mutual exchanges and cooperation. <Amended

② The Foundation may provide assistance for regional workshops in


order to establish a cooperation network among Korean educators who
are in overseas regions and share information.

Article 32 (Provision of Training Opportunities to Excellent Students) The

Foundation shall invite excellent students selected by King Sejong
Institute s and provide them with training opportunities to have direct
experience with Korean cultures and understand Korea completely.

Chapter 6 Evaluation of Operations

Article 33 (Evaluation of Operations) ① The Foundation evaluates King


Sejong Institutes every year to increase the level of Korean language
education as well as to improve the systematic and efficient operations
of King Sejong Institutes.

② The Foundation shall notify relevant operating institutions of the


results of the evaluation of King Sejong Institute under Section 1, and
may make the results public shown on the Foundation Nurijib if
necessary.

③ The results of evaluation for King Sejong Institute under Section 1


may be reflected on a determination of whether to enter into an
Business Consignment contract of a King Sejong Institute or calculation
of support funds, etc. <Amended on Dec. 15, 2014>

④ King Sejong Institutes that receive good results from the evaluation
under Section 1 shall be awarded. <Newly established on Jul. 14,
2017>

Article 34 (Evaluation Procedures and Methods) ① The Foundation shall


notify the King Sejong Institutes of the evaluation procedures, methods,
periods, etc. by which to conduct evaluation under Article 33 Section 1
within one (1) month of commencing the evaluation. It is necessary to
provide a self-evaluation form to the King Sejong Institutes. <Amended
on Dec. 15, 2014, Mar. 23, 2016>

② King Sejong Institutes shall conduct a self-evaluation under Section 1

and submit to the Foundation within one (1) month after the end of the

③ The Foundation shall compose an evaluation committee including


outside professionals to conduct written evaluation on the self-evaluation
reports under Section 2. The Foundation may conduct a field evaluation
at least once every three years to verify self-evaluation reports if

④ The Foundation shall notify relevant King Sejong Institutes of the


result of the written evaluation under Section 3. <Newly established on

⑤ Excluding the regulations prescribed in Sections 1 to 4, the


Foundation shall independently determine any measures necessary for
the execution and management of the evaluation. <Newly established on

Article 35 (Satisfaction Survey) ① King Sejong Institutes shall conduct


satisfaction surveys for all students before the end of each semester.

for all students before the end of the business period each year.

Article 36 (Submission of Spot Reports) ① The Foundation may request


King Sejong Institutes to submit spot reports regarding evaluation of

② The Foundation may conduct written or field evaluation of spot


reports of Section 1 if necessary before the end of the business of King
Sejong Institute.

Article 37 (Objections to Evaluation Results) ① Pursuant to Article 34
Section 4, if an operating institution wishes to raise an objection to the
results of the evaluation, it may submit an objection to the Foundation
within thirty (30) days of receiving them. <Amended on Mar. 23, 2016>

② The Foundation shall notify a relevant operating institution of the


results within thirty (30) days from the date when it has brought an
objection under Section 1.

Chapter 7 Supervision and Sanctions

Article 38 (Supervision, etc.) ① The Foundation shall manage and


supervise the operations of King Sejong Institutes.

② In circumstances where the Foundation deems it necessary to


improve the operation of a King Sejong Institute(s), it may order the
relevant operating institution(s) to take corrective measures. In this case,
the operating institution shall comply with the Foundation's request for
correction. <Amended on Mar. 23, 2016>

③ In the event that the ordinary operation of a King Sejong Institute is


practically impossible due to local circumstances, the Foundation may
decide to temporarily suspend the operation of the King Sejong Institute
concerned. In this case, the King Sejong Institute must separately
receive the Foundation’s approval to resume operation. <Newly
established on Mar. 23, 2016>

④ Pursuant to Section 3 above, in the event that the operation of a


King Sejong Institute has been suspended for not less than one (1)
year and that the King Sejong Institute in question is practically unable
to resume operation, the Foundation may cancel the designation of that
King Sejong Institute. <Newly established on Mar. 23, 2016>

Article 39 (Submission of Materials, etc.) The Foundation may request
relevant operating institutions to submit reports or materials on the
operations of King Sejong Institutes. In this case, the relevant operating
institutions shall submit reports or materials within a period specified by
the Foundation.

Article 40 (Cancellation of Designation) ① In each of the following


cases, the Foundation may cancel the designation of a King Sejong
Institute: <Amended on Dec. 15, 2014, Jul. 14, 2017>

1. Where an applicant has received the designation as a King Sejong


Institute in a false or other wrongful way;

2. Where a King Sejong Institute has changed the form of operation of


King Sejong Institute or its operating institution without approval by the
Foundation in violation of Article 8 Section 1; <Amended on Dec. 15,
2014>

3. Where an applicant has not entered into an Entrustment Agreement


under Article 11 Section 1;

4. Where a King Sejong Institute has received the lowest grade in the
evaluations of Article 33 no less than twice consecutively;

5. When a King Sejong Institute has received two or more warnings


within the term of a Business Consignment contract under Article 41 or
received no fewer than two (2) cautions and one (1) warning under
Article 41 Section 3; <Amended on Dec. 15, 2014, Mar. 23, 2016>

6. Where a King Sejong Institute has received cautions within the term
of a Business Consignment contract under Article 41 no less than four
time s; <Amended on Dec. 15, 2014>

7. Where a King Sejong Institute has received assistance from the


government of the Republic of Korea with a project similar to the project

of King Sejong Institute within the last three (3) years;

8. Where a King Sejong Institute has not complied with the directions
given by the government of the Republic of Korea to suspend its project
of King Sejong Institute in dangerous areas or not to engage in
missionary activities;

9. Where a King Sejong Institute has otherwise seriously violated the


purpose of designation of King Sejong Institute; 10. Where a King
Sejong Institute is unable to operate any more due to special reasons,
including natural disasters or any other serious calamities; <Newly
established on Dec. 15, 2014>

11. Where a King Sejong Institute is practically unable to continue to


operate because it could not meet the requirements for King Sejong
Institute any more due to aggravation of educational conditions, etc.

12. Where an operating King Sejong Institute fails to cooperate in


receiving a dispatch teacher of the Foundation, despite needing a
dispatch teacher to improve its educational environment; <Newly

13. Where a King Sejong Institute is determined to be practically unable


to resume operation after its operation has been suspended pursuant to
Article 38 Section 3 and Section 4. <Newly established on Mar. 23,
2016>

② An operating institution that has received a notice of cancellation of


designation shall close the project of King Sejong Institute within one (1)
month after the date of its receipt unless specified otherwise. In this
case, the operating institution shall give relevant students of the King
Sejong Institute no less than one (1) month notice. <Amended on Dec.

Article 41 (Warnings and Cautions) ① When a King Sejong Institute has
violated the obligations set forth in these regulations or a request for
correction as provided under these regulations, the Foundation may
impose sanctions such as warnings or cautions on the Institute in

② The criteria of warnings or cautions in Section 1 shall be as


described in Attached Table 2.

③ Two (2) cautions under Section 1 shall be deemed to one (1)


warning under Section 1.

④ The application period for warnings and cautions shall be the


consignment contract period, and the warnings and cautions period shall

Addendum (1)

Article 1 (Date of Implementation) These regulations shall be

Agreement of Entrustment for King Sejong Institute


This Agreement is made and entered into by and between the King
Sejong Institute Foundation (hereinafter referred to as party "A") and
__________________ (hereinafter referred to as party "B") with respect to
entrustment of operations of ______ King Sejong Institute for the
purpose of disseminating the Korean language as a foreign or a second
language and Korean culture as follows:

Article 1 (Purpose and Term of Agreement) ① During the term of this


Agreement, "A" shall provide "B" with support funds as defined in Article
3, and "B" shall operate the ____ King Sejong Institute(hereinafter
referred to as "Institute") to disseminate Korean language and Korean
culture.

Article 2 (Fulfillment of Contract) ① "B" shall faithfully carry out its
duties and responsibilities as stipulated in this Agreement.
② Matters not stipulated in this Agreement shall be decided upon
following the King Sejong Institute Operation Regulations and the King
Sejong Institute Operation Guidelines. In the event that neither contain
relevant clause or the contents needed, "A" and "B" shall reach a
conclusion through mutual consultation.

Article 3 (Entrustment Amount and Project Funds) ① "Entrustment


amount" shall refer to the support funds, which is applied by "B" and
reviewed by "A" and then finally approved and notified according to the
procedures under the King Sejong Institute Operation Regulations and
the King Sejong Institute Operation Guidelines for each operating
duration.
② "Project funds" shall refer to the total investment amount made by
"A" and "B" to operate the Institute, which include the support funds
provided by "A," the funds provided by "B" (hereinafter referred to as
"Institutional funds"), and any other profits, etc. from the operations of
the Institute.

Article 4 (Application for Support Funds and Notification of Approval) ①


During the term of this Agreement, "B" shall file an application with "A"
for support funds by each operation period no later than at least sixty
(60) days before the commencement date of the operation period, and
obtain approval from "A."
② "A" shall review relevant documents of the application pursuant to
Paragraph 1, and then modify the application in consultation with "B"
and grant final approval thereof no later than thirty (30) days from the
date of its receipt.

Article 5 (Payment of Support Funds) ① "B" shall open a bank account
in the name of the Operating Institution and manage support funds
independently; provided, however, that if it is seriously difficult to open a
dedicated account due to local circumstances, it may be determined
differently in consultation with "A."
② "A" shall remit the support funds for the Operation Project of King
Sejong Institute (hereinafter referred to as the "Project") to "B"'s
dedicated account for support funds; provided, however, that "A" may
change the timing of payment and the amount of the funds in
consultation with "B."
③ "B" shall sincerely execute the total Project funds specified in this
Entrustment Agreement (hereinafter referred to as the "Agreement").
④ If "B"'s Institutional funds have been administered in a reduced
amount compared to that of the total project funds finalized when this
Agreement has been set, "A" may change and pay support funds for
the next term considering changes of total budget, a percent of
reduction, etc.

Article 5-1 (Submittal of Performance Guarantee Insurance Policy)


① Upon “A’s” notice on the provision of a support fund, “B” shall
submit a performance guarantee insurance policy for the year before
“A’s” payment of the support fund. When “B” fails to submit the
insurance policy, “A” may decide to cancel the plan to provide the
support fund.
② The performance guarantee insurance stated in the foregoing ① shall
state that it concerns “A’s” support fund for the year and the insurance
period shall be set as follows.

③ All expenses for issuance of the performance guarantee insurance
policy shall be borne by “B”. The expenses may be taken out of the
support fund if need be.
④ Where it is difficult to acquire a policy from a Korean financial
institution, a guarantee issued by a government-run bank of the relevant
country shall be submitted.

Article 6 (Start of Project) ① "B" shall start classes for the Institute
within two (2) months after signing the Agreement. However, in the
event that classes for the Institute are delayed due to local
circumstances and the like, "B" shall obtain approval from "A" without
delay.
② In the event that "B" does not commence classes without reasonable
grounds within two (2) months after this Agreement is entered into, "A"
may designate a certain period and request "B" to commence classes
within the period. In the event that "B" does not commence classes
within the period, "A" may terminate this Agreement pursuant to Article
16 Paragraph 1 Subparagraph C.

Article 7 (Change of Operating Institution) In the event that "B" intends


to change the Operating Institution pursuant to Article 8 of the King
Sejong Institute Operation Regulations, it shall give "A" a prior request
to change and obtain approval from "A."

Article 8 (Project Report) ① "B" shall report to "A" with regards to the
operation within the following periods according to the King Sejong
Institute Operation Regulations and the King Sejong Institute Operation
Guidelines:
A. Monthly Report: by the third day of a month immediately following a
month when a report is executed;
B. Report of Result of Operation and Settlement of the King Sejong
Institute: within fifteen (15) days after the end of an operating duration;
C. Self-evaluation Report for Operation of the King Sejong Institute:
within one (1) month after the end of the operating duration;
D. Student Satisfaction Survey Report: within one (1) month after the
end of a semester; and
E. Other Reports: within the period specified in the King Sejong Institute
Operation Regulations and the King Sejong Institute Operation
Guidelines.

Article 9 (Operational Changes) ① In the event that "B" intends to


change the following matters while performing operation, it shall obtain
approval from "A" as specified in the King Sejong Institute Operation
Guidelines:
A. Change of use of support funds and profits;
B. Modifications of the operation plans; or
C. Change of the director of the King Sejong Institute.
② "B" shall give "A" advance notice of the following matters other than
those in Paragraph 1:
A. Change or employment of teachers and operational staff;
B. Change of a plan for use of institutional funds; or
C. Change of curriculum.
③ In the event that there is a change related to the operation in
matters other than in Article 8 Paragraph 1 or 2, "B" shall report to "A"

and discuss the matter with "A."
④ "B" shall file an application for change of the operation plan no later
than one (1) month before the end date of the operating duration
specified in this Agreement.

Article 10 (Administration of Project Funds) ① "B" shall administer the


project funds in conformity with the purposes of support funds within the
business period, within the limit of support funds finalized and notified
by "A" according to the administration plan under the budget plan that
is finally submitted by "B."
② The project funds including support funds, institutional funds, and
profits shall be administered according to the plans in Paragraph 1.
③ "B" may not convert "A"'s support funds into its institutional funds or
profits and vice versa.
④ If need be, “B” may change the plan for using the support fund after
obtaining “A’s” approval in advance. In the event that a support amount
does not exceed 40% of the fixed budget amount (or 20% in the case
of labor/business promotion expenses), “B” may proceed with the plan
on its own, but shall include the details of such a change to “A” in its
monthly report.
⑤ In the event that "B" intends to newly establish a category or
detailed items of expenditure within the support funds or convert one
item of expenses into the other, it shall file an application for change of
budget with "A" and obtain prior approval from "A."
⑥ "B" shall make efforts to minimize non-execution of the support funds
and its institutional funds by administering the support funds and
institutional funds made to them in a balanced way in executing the
project funds.

Article 11 (Processing of Profits) ① "Profits" shall refer to the proceeds

from the operations of the Institute, including "B"'s tuition fees for the
Institute.
② "B" shall manage profits in an independent account separate from
that of the support funds and institutional funds so that the income and
expenditures are clarified.
③ "B" shall use the profits by obtaining prior approval from "A," but it
shall report to "A" regarding the details of profits and uses thereof.
④ "B" shall not use the profits accrued under Paragraph 1 at will for
purposes other than the operation purpose of operating the Institute.
⑤ When designation as a King Sejong Institute is revoked or this
Agreement is terminated, the remaining profits commensurate with a
relevant percent of the support funds shall be returned to "A"
considering the rates of support funds and institutional funds under this
Agreement.

Article 12 (Institutional Funds) ① Institutional funds shall refer to the


contributions voluntarily made by "B" for operations of the Institute other
than the profits specified in Article 11.
② "B" shall include its institutional funds on a budget plan and a
settlement statement, and report the details of use to "A."

Article 13 (Settlement of Project Funds) ① "B" shall submit to "A" a


settlement statement for the project funds (including the support funds,
institutional funds made to them, profits) administered within a relevant
operating period by the period specified in Article 8. In this case, the
submission method shall follow the King Sejong Institute Operation
Regulations and the King Sejong Institute Operation Guidelines.
② When a settlement statement for project funds is to be reported, in
principle, the original copies of settlement related documents, including
documentary evidence, shall be submitted; provided, however, that when

the submittal of original copies is impossible due to local laws or
regulations by the operating institution, copies may be submitted with
appropriate notarization in accordance with local laws. In this case, "A"
may ask "B" to submit a written confirmation that ensures the copy to
be the same as the original.
③ "A" shall review a settlement statement submitted by "B," and finally
settle and approve relevant project funds within a relevant operation
period.
④ In the event that "A" redeems some of the support funds, it shall
notify "B" of an amount required to be returned and the details thereof.
In this case, "A" may request "B" to provide materials necessary to
calculate an amount to be redeemed and 'B' shall comply therewith.
⑤ ‘B’ shall either submit explanatory materials or return an amount
requested by "A" within fourteen (14) days after its receipt of a notice
from "A" pursuant to Paragraph 4.
⑥ In principle, "B" shall return to "A" the amounts not administered out
of the support funds, interest accrued on the support funds, foreign
exchange profits, etc.; provided, however, that if the amounts to be
returned are small, an exception may be made considering payment of
fees for remittance, etc.
⑦ If necessary, "A" may conduct on-site auditing. In this case, "B" shall
provide active cooperation for "A'''s auditing.
⑧ In principle, all the submitted documents including documentary
evidence for accounting shall be retained for five (5) years. In this case,
upon request by "A" for the retained documents, "B" shall forthwith
submit the documents.

Article 14 (Curriculum and Use of Standard Textbooks)


① “B” shall establish and operate a basic curriculum based on “A’s”
King Sejong Institute Curriculum throughout the contract period.

② The basic curriculum stated in the foregoing ① shall use “A’s”
standard textbooks (i.e. Sejong Korean, Sejong Korean Conversation,
Sejong Korean Culture) as its main textbooks.

Article 15 (Project Evaluation, etc.) ① "A" may conduct evaluation for


the project entrusted to "B."
② "A" may organize an evaluation committee, conduct evaluation for the
operation of "B," and reflect the results in entering into an Agreement or
in paying the support funds.

Article 16 (Rescission or Termination of Agreement) ① In the event that


"B" falls under each of the following cases, "A" may terminate this
Agreement with "B":
A. In the event that designation as a King Sejong Institute has been
revoked under the King Sejong Operation Regulations or the King
Sejong Operation Guidelines;
B. Other unavoidable instances that prevents "A" from paying support
funds to "B"
C. In the event that "B" has not commenced classes for the Institute
without reasonable grounds within two (2) months after this Agreement
is entered into.
② Consequences upon Rescission or Termination of Agreement
A. In the event that this Agreement has been terminated, "B" shall
suspend all the works related to the Institute and return to "A" the
support funds commensurate with the remaining term of this Agreement,
and any foreign exchange profits or interest accrued from the support
funds, etc. In the event that this Agreement has been rescinded as a
result of use of the support funds for other purposes, "B" shall return to
"A" the support funds that have already been paid and any foreign
exchange profits or interest accrued from the support funds, etc. as

well.
B. In the event that this Agreement has been rescinded or terminated,
"B" shall turn over the materials and equipment of the Institute it has
purchased with the support funds, to its adjacent King Sejong Institutes
or diplomatic offices of the Republic of Korea, the Korean Cultural
Center, institutions for disseminating the Korean language, etc. as
designated by "A" within one (1) month from the date of its receipt of a
notice of rescission or termination, and make them available for use.
C. "B" shall inform students, etc. of the content independently notified by
"A" for one (1) month from the date of its receipt of a notice rescission
or termination in order to ensure that students and users of the Institute
whose Agreement has been rescinded or terminated may use adjacent
King Sejong Institutes.

Article 17 (Confidentiality Obligation) Not only during the term of this


Agreement but also even after expiration of the term of this Agreement
or rescission or termination of this Agreement, "B" shall not disclose the
provisions and performance of this Agreement that it has acquired in the
course of performing its duties, and any confidential information out of
related matters; provided, however, that the term of confidentiality
obligation may be decided upon by "A" and "B" in consideration of local
laws and involved institutions.

Article 18 (Transfer Prohibition of Contract Rights and Obligations) "B"


cannot transfer its rights or obligations stated in this Contract to a third
party without a written approval from "A."

Article 19 (Business Participation Restriction) ① "A" holds the right to


limit "B" from participating in new businesses for three years in the
occurrence of the following events:

A. In the event that this Agreement is rescinded or cancelled according
to the King Sejong Institute Operation Regulations or the King Sejong
Institute Operation Guidelines
B. In the event that "B" received two or more ‘warnings’ from "A" for
not complying with this Agreement
C. In the event that "B" received a ‘caution’ or ‘warning’ from the
Business Evaluation and Financial Auditing conducted by "A"
D. In the event that "B" embezzled support funds

Article 20 (Governing Law) The law of the Republic of Korea shall act
as the governing law regarding all aspects of this Agreement including
but not limited to the interpretation, performance, and effectuation of this
Agreement. However, provided that "A" and "B" reach an mutual
understanding, a law of another country can the governing law for the
Agreement.

Article 21 (Force Majeure) In the event where the Agreement is all or in


part impossible to perform or delayed for implementation due to wars,
revolutions, riots, strikes or other forms of labor disputes, fires, floods,
typhoons, regulatory measures taken by the government or other
reasons that cannot be controlled by "A" or "B", "A" and "B" shall not
be responsible for non-fulfillment of obligation on the grounds of force
majeure. The parties do, however, bear the responsibility to inform the
other party of the occurrence of force majeure instances. When the
force majeure situation has been resolved, the affected party shall
resume its obligations unless the Agreement has become null and void.

Article 22 (Dispute Resolution) Any dispute in connection with or derived


from the Agreement shall be amicably settled between "A" and "B"
through mutual agreement. However, disputes that could not be settled

through mutual understanding shall fall under the jurisdiction of a court
in the Republic of Korea or the jurisdiction in which the Agreement has
been signed and sealed by both parties.

Article 23 (Language of Agreement) ① The Agreement shall be provided


in both Korean and English; provided that when "B" is located within a
non-English-speaking country, a translated Agreement in that country’s
language may be attached.
② Both the Korean version and English version of the Agreement
stated in Paragraph 1 shall be equally effective. However, the Korean
version will take precedence in the event where there are disagreements
over interpretation between the parties arise in regards to the
Agreement.

Article 24 (Effect of Agreement) This Agreement shall come into effect


when "A" and "B" verify the contents and find that there are no
conflicting of opinions between both parties, mutually sign and seal this
Agreement that has been drafted pursuant to Paragraph 1 of Article 23.
In order to prove the formation of this Agreement, "A" and "B" shall
each retain one copy of the Agreement signed and sealed by both
parties.
