PART.
WHEREAS
I. The Company is carrying on the business of manufacturing Edible
Oils and having its factory at Survey No.292 &317, Pantapalem
(Epuru1B) Village, Muthukuru Mandal, Sri Pottisriramulu Nellore
Dist, A.P
II. The Company has employed employees and workers who are
staying in and around Nellore City.
III. The Company requires a bus to transport the Company employees
and workers from various places of the City to the plant and drop
them back from the Plant to those places.

earlier than the scheduled time. The transporter agrees pick and
drop to the company employees as detailed in the Annexure – I.
4. The transporter agrees and declares that the buses provided will be
in good condition and the drivers will be having valid driving
licenses. The Company will be authorized to inspect the condition
of the bus, up-to-date vehicle tax paid receipts, insurance cover of
the bus and driving license of the drivers of the bus and the
transporter will arrange to produce the said documents to the
Company. The transporter shall indemnify and keep indemnified
the company against any loss, damages and expenses incurred or
suffered by the Company on account of the transporter not having
valid licensees, permits or its drivers not having valid driving
licensees.

5.1. The transporter has to maintain a log book wherein he has
to mention starting and end meter readings regularly.
5.2. The company shall maintain a register at Gate and the
Security shall register readings regularly
5.3. The transporter shall submit his bill along with the log book
support.
5.4. The log book and the gate register readings shall tally and if
any difference found the equivalent amount will be deducted from
the bill. For such deductions the information at Gate register will
be final.
5.5. It is the responsibility of the driver of the transporter to give
exact readings while going out and entering the company.
The Company will not be liable to pay any further charges or expenses
other than above mentioned.
6. If the bus do not reach the factory in time, the transporter will be
liable to pay to the company as follows:
i) Rs 500/- per fifteen minutes of delay beyond the fixed time
(Annexure-II)
ii) Rs.750/- per thirty minutes delay beyond the fixed time.
iii) Rs.1000/- per forty five minutes delay beyond the fixed time.

as liquidated damages and the same shall be liable to be deducted
out of the transport charges payable to the transporter. However,
this clause is not applicable on the conditions mentioned in
Annexure – III. If the bus is not able to reach at the appointed
place or factory due to technical defect, the transporter will be
liable to pay to the company a sum of Rs. 3000/- per day, which
shall also be liable to be deducted out of the transport charges
payable to the transporter. The information should be intimated to
the HR Department 12 hours before or well in advance to enable
them to make alternate arrangement.
7. The transporter will take all precautions for protecting the
Company's employees and workers from accident. The transporter
shall take insurance cover from any insurance company in its name
by covering any injury, loss or death of the passengers on board
during the journey and the amount of such insurance shall totally
paid by the transporter. The transporter will be responsible for any
loss, claim, costs, charges and expenses incurred or suffered by the
Company on account of any injury, loss or death of its employees or
workers due to accident while on traveling or any other reason
relating thereto.
8. The transporter will submit bills once in 15 days (monthly twice),
duly supported documents as mentioned above to the HR
department after getting proper certification from the Security
Officer of the Company and the company will verify the said bills,
and release the amount within one week from the date of receipt of
the bills, subject to deduction of any claim of the Company against
the transporter under any provision of this Agreement.
9. This agreement will commence with effect from 1st January, 2011
and will remain in force for a period of one year, but may be
renewed for a further period of one year on such terms and
conditions as may be agreed upon between the parties.

10. The Agreement can be terminated by the Company by giving fifteen
days' notice to the transporter, if the Company believes that the
transporter has committed breach of any term of this agreement or
not providing satisfactory service to the Company or if any
declaration made or assurance given by this agreement is proved to
be wrong. The decision of the Company in this regard shall be final
and the transporter will not be entitled to any compensation or
damages on account of premature termination of this agreement.
11. Any dispute or difference of any kind whatsoever arising out of or in
connection with the agreement shall be referred to the arbitration
and final decision of an Arbitrator to be agreed upon and appointed
by both the parties or in case of disagreement as to the
appointment of a single arbitrator to the appointment of two
Arbitrators, one to be appointed by each party which Arbitrators
shall before taking upon themselves the burden or reference,
appoint third arbitrator who shall act as Presiding Arbitrator. The
submission to the arbitration under this clause shall be deemed to
be a submission to arbitration within the meaning of the Arbitration
and Conciliation Act, 1996 or any statutory modification thereof.
12. This Agreement shall be executed in duplicate. The original shall
be retained by the Company and the duplicate by the transporter.
IN WITNESS WHEREOF the parties have caused these presents and the
duplicate thereof by their authorised officials, the day and year first
hereinabove written.

Dear Sir,
As per our discussions and negotiations, we are pleased to inform you that we are giving
work order to place 33 Seater Mini-bus in place of existing 13 Seater tempo for our Shift
employees at an early date, but not later than 1st January, 2011. The Company shall pay
the charges to the transporter as follows:
The charges of Rs.1,15,000/- per month for day & night (Rupees One Lakh
Fifteen Thousand only) for 3200 Kms per month including fuel charges,
drivers payments, insurance, registration, road tax, permission, repair &
maintenance and any other direct or indirect expenses.
The charges extra travelling over and above 3200 will be borne by the
Company at the rate of one liter diesel cost for 5 kms mileage.
All other terms & conditions will be mentioned in detail in the Agreement.
We, therefore, request you to place the 33 seater mini-bus for our shift employees at an early
date with all the required licenses, permissions, registration, Insurance, road tax, etc., which
will be at your cost as per your quotation mentioned above.
