1. CONSIDERATION

Purchase price is $600.00 which will be paid in full prior to receipt or shipment of the Puppy.
Shipment costs (including crate, delivery, airfare, etc) are the responsibility of the Buyer. All
shipping costs must be paid in full before the Puppy is shipped.

The shipping arrangements will be mutually agreed upon by both the Buyer and the Breeder.

2. REGISTRATION

Breeder will retain the original registration certificate and co-ownership of the Puppy until all
stipulations of this contract are fulfilled. Buyer will be designated as “Beneficiary” and Deborah
Reid as ESCR Owner on the registration of the Puppy with Black Alders Ranch's mailing
address.

The “Black Alder” prefix shall be at the beginning of the Puppy’s name. Breeder will complete
the registration once Buyer decides upon a name. A copy of the registration will be sent to
Buyer.

Buyer agrees to never register this Puppy with any other domestic breed and/or all-breed
registry without the written consent of the Breeder.

3. HEALTH, CARE AND TRAINING

A. Black Alder guarantees that this Puppy is in good health at time of purchase and will furnish
Buyer with the Puppy’s immunization record, recommended diet sheet and veterinary health
certificate.
B. Buyer shall have the Puppy examined by a licensed veterinarian within 3 days of receiving
the Puppy. Full purchase price will be refunded upon return of the Puppy to the Breeder if
Black Alder is supplied with a written opinion of a licensed veterinarian describing any health
problem found within this 3 day period.
C. Buyer agrees to maintain the Puppy at all times in good health with regular veterinary
checkups, and will secure such vaccinations, de-worming and veterinary care as
recommended and/or needed.
Buyer further agrees that proper safeguards will be taken to assure for the care and safety of
the Puppy. It is the understanding that this Puppy will be either a working farm dog and will be
kept in a safe, enclosed area and provided with a proper seasonal shelter at all times, or a
household companion that has access to a securely fenced yard. Buyer agrees not to tie or
tether said Puppy for primary confinement, nor use this Puppy for dog fighting, or promote
unstable aggressive tendencies in the Puppy.
D. Buyer agrees to use positive, reward-based training methods in the training of this Puppy,
and understands that training methods such as shock collars or alpha dominance could have
detrimental consequences to the physical and psychological welfare of the Puppy.
As such, the Buyer agrees that these and similar techniques will never be applied to this
Puppy without prior discussion and written consent of the Breeder. Doing so will be considered
a breach of contract and void all Breeder warranties and guarantees, and will immediately give
the Breeder the right to take full possession of the Puppy without compensation to the Buyer.

4. BREEDER WARRANTIES AND GUARANTEES

A. This Puppy comes with a Lifetime Satisfaction Guarantee. If you are not 100% satisfied with
your Black Alder English Shepherd Puppy at any time during the lifetime of the Puppy, for any
reason, you may return the Puppy to Black Alder Ranch with the Puppy’s signed registration.
B. The Breeder warranties this Puppy against:
Genetic “moderate” or “severe” hip dysplasia as verified by OFA
or PennHip of DI .70 or higher
or “Grade 3” elbow dysplasia as verified by OFA
All OFA/PennHip claims are to be made before the Puppy is 30 months of age
Any other crippling hereditary or congenital defect or disorder
as documented by a Licensed Veterinarian
All claims for other inherited disorders
must be made by the time the Puppy is 12 months of age
If the Puppy is found to have any of the above crippling hereditary health conditions
that physically prevent the Puppy from performing as a working farm dog or
performance dog, or that are severe enough to require that the Puppy have orthopedic
surgery or be euthanized, as documented by a Licensed Veterinarian (and verified by a
second Veterinarian of the Breeder’s choice), Buyer will receive a replacement puppy
from a future Black Alder litter once Breeder has received a copy of the health
reports/certificates and the original Puppy’s spay/neuter veterinary documentation or
euthanasia report.
There is no guarantee when the next litter will be available.
All health checks/certificates must be completed by the age(s) stipulated in this contract
or the Breeder Warranties and Guarantees are invalid.
This guarantee applies only to the original Buyer.
5. ALTERING
A. Buyer agrees that this Puppy will be altered by:
Traditional spay/neuter after 16 months of age and before 30 months of age
or
Ovary Sparing Spay/Vasectomy after 12 months of age and before 30 months of age
and will provide Breeder a copy of the spay/neuter documentation within 30 days of the
procedure.
B. Altering before the recommended age voids the Breeder hip and elbow warranties!
If you choose to alter this Puppy before the recommended age, the hip and elbow warranty will
be valid only, IF the Puppy is at least 12 months of age AND has an OFA hip preliminary
or PennHIP AND OFA elbow preliminary done at the time of alter.
A copy of OFA/PennHip results must be sent to Black Alder Ranch. If the Puppy has genetic

moderate/severe hip dysplasia (PennHIP DI of .70 or higher) or “Grade 3” elbow dysplasia at
the time of alter, the hip/elbow warranty will be valid.
6. BREEDING CLAUSE
A. The Buyer may request that the alter requirement of the Puppy be revoked IF the following
Breeding Requirements are met by 30 months of age:
1) The Puppy is a minimum of 24 months of age.
2) The Puppy must be a working farm dog or a performance dog.
3) The Puppy must have a stable temperament.
4) The Puppy must not have any serious deviations or disqualifications from the ESC
English Shepherd Breed Standard.
5) If the Puppy is male, the Puppy must not have cryptorchidism.
6) The Puppy must not be affected/at risk for MDR1, CEA, PRA-PRCD or DM.
7) The Puppy must have the following health certifications (with results submitted to OFA)
by 30 months of age:
a) OFA permanent hip certification of Fair, Good or Excellent, or PennHip DI
scores of .50 or less
b) OFA permanent elbow certification of normal, or Grade 1 in one elbow only
c) OFA eye certification (CAER)
8) The Puppy must not have any other hereditary or congenital defect or disorder.
9) A copy of all health certifications must be received by Black Alder prior to any breeding
taking place.
Once all the above Breeding Requirements have been met, payment of an additional
Breeding Rights Fee in the amount of $250.00 must be received by the Breeder, at which
time the Breeder will revoke limited registration and alter requirement and release co-
ownership of the Puppy, transferring full registration and ownership to the Buyer.
B. Buyer agrees that any dog with which this Puppy is to be bred must also meet Breeding
Requirements 1-8 set forth above.
C. Buyer agrees to strictly adhere to the rules and regulations regarding health testing and
breeding set forth by current Breeder Requirements of the English Shepherd Club, and the
breeding requirements stipulated in this contract.
D. The Buyer agrees that any puppies resulting from the breeding(s) of this Puppy will be
placed in responsible, caring homes.

7. ADDITIONAL TERMS
A. Failure to alter this Puppy OR meet all of the requirements of 6. BREEDING CLAUSE by 30
months of age will be considered a breach of contract.
B. Buyer acknowledges that improper breeding of the Puppy could cause irreparable injury to
Black Alder Ranch’s reputation and could endanger the English Shepherd breed.
Buyer agrees that extreme care will be taken to prevent accidental breeding!
All Breeder guarantees and warranties become null and void if this Puppy is bred, accidentally
or deliberately, before this Puppy has met all breeding requirements listed in 6. BREEDING

CLAUSE.

It is further agreed that any puppies produced as a result of any breeding conducted in
violation of this sales contract, whether such breeding is described as planned, intentional or
accidental, conducted by natural or artificial means, shall NOT be registered by the ESCR or
any other dog or animal registry.
C. Buyer agrees to remain in good standing with the English Shepher Club (ESC). Suspension
from the ESC will result in the Puppy being permanently returned to the Breeder at the Buyer’s
expense.
D. It is expressly understood that under no circumstances may Buyer(s) transfer ownership of
this Puppy to any party not included in this original sales agreement. If any circumstances
require that this Puppy can no longer remain in the possession of the Buyer, it is agreed that
the Puppy, including signed registration, be immediately returned to the Breeder at the Buyer’s
expense.
Buyer agrees to notify Black Alder of any changes of address within 30 days and is
encouraged to provide yearly updates and pictures for the lifetime of the Puppy.
It is agreed to by Buyer that upon the death of this Puppy, at any age, prompt notice will be
given to Deborah Reid.
E. Buyer agrees to list Black Alder Ranch as the breeder in any advertising or media regarding
this puppy.
If this Puppy is

 utilized for breeding in violation of this contract by any person or entity

 rehomed without the Breeder’s written consent
 surrendered to any shelter or rescue
 registered with any other domestic registry without Breeder’s written consent
 abused or neglected
 not altered OR has not met all Breeding Requirements by 30 months of age
Deborah Reid shall be entitled to demand immediate return of the Puppy (and any
progeny) at the Buyers expense, Buyer shall transfer the registration of the Puppy
back to the Breeder, and be liable to Deborah Reid for liquidated damages in the
amount of $5000.00 per breech, without reduction or setoff in any amount
whatsoever.
8. LEGAL AGREEMENTS
A. This Agreement is to be construed according to the laws of the State of Idaho. Any suit by
either party shall be brought in the District Courts in and for the State of Idaho in Adams
County, Idaho. Buyer submits themselves to the jurisdiction of the Courts and laws of the State
of Idaho and they specifically waive any claim of jurisdiction in any other Court or in a Court of
any other County, State or Country. All litigation, one against the other, shall be brought in the
Adams County, State of Idaho.

B. It is stipulated by and between the parties herein that failure to comply with the conditions of
this contract shall constitute a “breach of contract” and will result in the Puppy being
permanently returned to Deborah Reid.
C. It is agreed that should any legal action result from breech of this contract, the party so
breaking the agreement shall bear all legal costs, attorney’s fees and expert’s fees incurred by
the prevailing party.
Further, regarding any breech or anticipated breech of this Sales Agreement, Black Alder shall
in addition to any other rights granted hereunder, have the right to seek an injunction from the
court of competent jurisdiction to enforce the provisions of any paragraph herein.
D. Buyer agrees to release and hold harmless Deborah Reid for any and all liability, damages
or injuries, caused either directly or indirectly by the Puppy to any person, whether actual or
legal, or to any property, whether real or personal.
Furthermore, Buyer assumes full liability for any damages or injuries, whether physical, mental,
emotional or economic, caused by the Puppy, to any person, whether actual or legal, or to any
property, whether real or personal, after receiving and acknowledging delivery and possession
of the Puppy.
Buyer further agrees to indemnify or reimburse Black Alder as a result of any costs of
expenses incurred by Deborah Reid as a result of any act of Buyer causing liability, damages
or injuries as set forth herein.
E. If any term, provision, condition or covenant of this agreement, for any reason, were held
illegal, invalid, void or unenforceable, the remainder of this contract will be in full force and
effect.
F. In the event of the death, catastrophic illness, or incapacity of the Buyer, or any obvious
abuse or neglect of said Puppy, it is hereby granted that the ownership of said Puppy is to be
at the discretion of the Breeder. Any new Parties granted or awarded ownership and/or
custody of the Puppy are required to agree to and sign a duplicate contract for Breeder’s
warranties and guarantees to be valid.
In such an event, this contract will serve as legal power of attorney for the ESC or court system
for the purpose of changing the ESCR registration or other paperwork as needed or deemed
necessary.
This contract, in addition, does hereby give the Breeder the first option to take full ownership of
said Puppy and the Breeder would therefore have full rights to retake custody of said Puppy.
G. Should there be any contract-related issues, both Parties agree to meet in the County of
Adams, State of Idaho and have supervised negotiation. If negotiation fails, both Parties agree
to mediation. If mediation fails, both Parties agree to arbitration. Both Parties also agree that
each Party will cover their own personal mediation costs.
H. Both Parties hereby agree to enter into this written contractual agreement in good faith and
in fair dealing and with the implied understanding that Both Parties will use their best efforts to
morally fulfill the terms and conditions of this contract. The terms within this contract are
hereby understood as final terms. The terms and conditions are an exclusive expression of this

contract with respect to the purchase of said Puppy and may not be contradicted by evidence
of any prior written or oral agreement. In addition, this contract will prevail over any and all
other prior contemporaneous agreements, representations and/or understanding that either
party may have verbally or non-verbally agreed to.

By signing below I acknowledge that I have read, understand and agree to abide by the
terms contained in this contract, and that I received a copy of the contract in its
entirety.
I understand that this document contains the entire agreement of the parties and shall
be binding to the parties signing, as well as their heirs, successors and legal
representatives.
