(Under Section 93 of the Public Procurement and Disposal of Public Assets Act, 2003)
(a)
1. Ethical Principles
(b)Bidders and providers shall at all times-
(a) maintain integrity and independence in their professional judgement and conduct;
(b) comply with both the letter and the spirit of-
i. the laws of Uganda; and
ii. any contract awarded.
(c) avoid associations with businesses and organisations which are in conflict with this code.
2. Standards
(c) Bidders and providers shall-
(a) strive to provide works, services and supplies of high quality and accept full responsibility
for all works, services or supplies provided;
(b) comply with the professional standards of their industry or of any professional body of which
they are members.
3. Conflict of Interest
(d) Bidders and providers shall not accept contracts which would constitute a conflict of interest
with, any prior or current contract with any procuring and disposing entity. Bidders and providers
shall disclose to all concerned parties those conflicts of interest that cannot reasonably be avoided
or escaped.
4. Confidentiality and Accuracy of Information
(e) (1) Information given by bidders and providers in the course of procurement processes or the
performance of contracts shall be true, fair and not designed to mislead.
(f) (2) Providers shall respect the confidentiality of information received in the course of
performance of a contract and shall not use such information for personal gain.
5. Gifts and Hospitality
(g) Bidders and providers shall not offer gifts or hospitality directly or indirectly, to staff of a
procuring and disposing entity that might be viewed by others as having an influence on a
government procurement decision.
6. Inducements
(h)(1) Bidders and providers shall not offer or give anything of value to influence the action
of a public official in the procurement process or in contract execution.

(i) (2) Bidders and providers shall not ask a public official to do anything which is
inconsistent with the Act, Regulations, Guidelines or the Code of Ethical Conduct in Business.
7. Fraudulent Practices
(j) Bidders and providers shall not-
(a) collude with other businesses and organisations with the intention of depriving a
procuring and disposing entity of the benefits of free and open competition;
(b) enter into business arrangements that might prevent the effective operation of fair
competition;
(c) engage in deceptive financial practices, such as bribery, double billing or other improper
financial practices;
(d) misrepresent facts in order to influence a procurement process or the execution of a contract
to the detriment of the Procuring and Disposing Entity; or utter false documents;
(e) unlawfully obtain information relating to a procurement process in order to influence the
process or execution of a contract to the detriment of the PDE;
(f) Withholding information from the PDE during contract execution to the detriment of the
PDE.

implement measures to address environmental and social risks related to the works, including the
risks of sexual exploitation and assault and gender-based violence.
This Code of Conduct is part of our measures to deal with environmental and social risks related to
the works. It applies to all our staff, labourers and other employees at the Works Site or other places
where the works would be carried out. It also applies to the personnel of each subcontractor and
any other personnel assisting us in the execution of the Works. All such persons are referred to as
“Contractor’s Personnel” and are subject to this Code of Conduct.
This Code of Conduct identifies the behavior that we require from all Contractor’s Personnel.
Our workplace is an environment where unsafe, offensive, abusive or violent behavior will not be
tolerated and where all persons should feel comfortable raising issues or concerns without fear of
retaliation.
REQUIRED CONDUCT
Contractor’s Personnel shall:
1. Carry out his/her duties competently and diligently;
2. Comply with this Code of Conduct and all applicable laws, regulations and other
requirements, including requirements to protect the health, safety and well-being of other
Contractor’s Personnel and any other person;
3. Maintain a safe working environment including by:
a. Ensuring that workplaces, machinery, equipment and processes under each person’s
control are safe and without risk to health;
b. Wearing required personal protective equipment;
c. Using appropriate measures relating to chemical, physical and biological substances
and agents; and

If any person observes behavior that he/she believes may represent a violation of this Code of
Conduct, or that otherwise concerns him/her, he/she should raise the issue promptly. This can be
done in either of the following ways:
1. Contact MANENO ROSETTE in writing at this address Atlas Engineering Services Ltd P.O
Box 142, Arua or by telephone at 0786-978888 or in person at Head Office Atlas Engineering
Services limited or
2. Call 0779-030951 to reach the Contractor’s hotline (if any) and leave a message.
The person’s identity will be kept confidential, unless reporting of allegations is mandated by the
law. Anonymous complaints or allegations may also be submitted and will be given all due and
appropriate consideration. We take seriously all reports of possible misconduct and will investigate
and take appropriate action. We will provide warm referrals to service providers that may help
support the person who experienced the alleged incident, as appropriate.
There will be no retaliation against any person who raises a concern in good faith about any behavior
prohibited by this Code of Conduct. Such retaliation would be a violation of this Code of Conduct.
Any violation of this Code of Conduct by Contractor’s Personnel may result in serious consequences,
up to and including termination and possible referral to legal authorities.
