EXCLUSIVE AGENT AGREEMENT

Between
PT. GEO PETRO HINALANG, a company registered under Indonesia laws with
principal address at Bumi Sentosa Blok A1 No 3A. Desa Nanggewer Mekar, Jalan Raya Bogor
Km 47.5 Cibinong Kabupaten Bogor, West Java Provience INDONESIA, represented herein by its
Mr................/Director Indonesia Passport No : ___________________ (hereinafter called
“Seller”).
And
PT. North Borneo Contractor, a company registered under Indonesia laws with
principal address at Panin Tower 12 th Floor Jl. Jend. Sudirman No.7 Balikpapan 76113
Kalimantan Timur, Indonesia, represented herein by its Mr. Lee Kye Haeng/Director
Korea Passport No : M55140275 (hereinafter called “Agent”)

Both parties now known as “Exclusive Agent” fully supplying to ALL ASIAN MARKETS
decided to enter this agreement validity 5 (Five) years since on april, 2020 until april
2025 under the following terms & conditions :

1. Commodity : Rock Boulder

2. Origin : ...................., Indonesia.
3. Quantity : About 10 million tons or more.
4. Quality : .....................
5. Price term : USD......./tons FOB MV basis
6. Packaging : by Bulk or Vessel
7. Payment : by Irrevocable Letter of Credit, at sight or T/T
8. Shipping date : 30 days After received LC
9. Duration : 5 (five) years, after expired be able to extension of period.
10. Agent fees : Mark-up at the FCO price
11. Payment fee : In case of any agent commissions mark-up to the FCO price,
the “Seller” shall be payable to “Agent” account by T/T within 3 (three)
Banking days, after completion of each and every transaction and the LC fully
Completely withdraw funds.
12. Tax & charge : For the “Agent” commissions tax & banking charges shall be
paid “Agent” account and shall be able to deduction at the commissions.
13. The “Seller” has to period of warrantee supply and quality and delivery on
time to the buyer’s discharging port.
14. In the event the “Seller” needs to discussions with the buyer introduced by
“Agent” in the e-mail exchange loop and update “Agent” with the status.
15. Both parties hereby agree to fully cooperate for the Silica Sand Business
From Indonesia to All Asian markets supplying must thru “Agent”.
16. Full accommodations for “Agent” during staying in loading port for the
Inspection.
17. The governing law of this agreement is English law. Any dispute arising out
of or in connection with this agreement including any questions regarding its
existence, validity or termination shall be refer to and finally resolved by
arbitration in Hong Kong in accordance with the arbitration rules of the
Hong Kong International Arbitration Center (HKIAC).
In this witness where of all parties have signed and sealed below by their legal and
authorized representatives to accept and approve all terms and conditions contained
in this Agreement.
