AMC AGREEMENT
(Comprehensive)
This AMC agreement is between M/S. ACTIVE TELESERVICES., (here-in-after
called the COMPANY) and M/s OYSTER BATH CONCEPTS P. LTD. New Delhi.
(here-in-after called the Buyer) for Rs 9000+ Service Tax (Rs.Nine Thousand +
Service Tax @10.3%Only) w.e.f 08-04-2010 to 07-04-2011. both days inclusive
towards maintenance charges for Matrix Digital EPABX.
Under this service Contract we undertake to impart,
a. Service & maintain your above mentioned equipment for a period of ONE
YEAR During the said period the company’s representative will carry out
maintenance of the equipment whenever call is made to the Company’s
office & will provide spares free of cost, whenever required (Comprehensive
Maintenance Contract).
b. To check basic features (Ring, Dialing, speech etc) and carry out necessary
repairs and adjustments to the system for the proper functioning of the
equipment at each such inspection.
c. To make its best endeavours to carry out its obligations under the terms of
this Agreement as speedily as possible but will not be responsible for any
loss or expenses arising directly from any delay in doing so.
d To repair/ replace the worn out parts, at no extra cost, if the same has been
due to normal wear and tear. Any type of Cable, CVT and Batteries not
included in the above contract.
e. When in company’s opinion reconditioning is necessary because normal
repair and parts replacement cannot keep the equipment in a satisfactory
condition, the company will submit a cost estimate, such costs, if authorized
by the Buyer, will be in addition to the charges of this agreement.
The Buyer hereby undertakes:
a. That the equipment is in proper working condition on the date of this
agreement, if it was not covered by either the warranty or the contractual
period. Any work involved in bringing the equipment/system into such
condition will the charged for ;
b. Do not place or drop objects or spill liquids in the system.
c. Do not block Ventilation openings and open the system yourselves.
d. Servo stabilizer/CVT/UPS must be installed to maintain stable voltage
between 200 to 240 V A.C. / 50 HZ. Line suppresser may also be used
wherever necessary e.g. Industrial areas etc. The system should not be
installed directly on the Generator or Inverter output.
e Electrical connections must be kept perfect. Equipment should be properly
plugged into the A.C. Socket with proper Earth connection. No Multi-
Plugging should be allowed.
Contract does not include:-
a. The maintenance of telephone instruments / accessories /Operator Console
& Power Supply.
b The cable shall be charged extra, if required to be replaced /laid because of
any reason
c. Shifting / Re-installation, will be charged as and when intimated by you.

PAYMENT TERMS: Contract amount to be paid in advance.

EXEMPTION: ACTIVE TELESERVICES, will not be liable to failure to perform its

obligations under or arising out of this Contract, if such failure results from any
Force Majure, act, of god, fire, storm, earthquake, explosion, accidents, strikes,
lockouts, Industrial disputes, labour, transportation embargo or the existence of
any state of emergency, war warlike condition, civil commotion, riots, inability to
obtain any materials, refusal of licence or imposition of sanction and/ or any
measure taken by the government whatsoever which renders impossible or
impractical for any measure taken by the government whatsoever which renders
impossible or impractical for any other cause or circumstance of whatever nature
beyond ACTIVE TELESERVICES Control.

TERMINATION OF CONTRACT
a. If during the period of this contract you allow ny unauthorised person to
tamper with the equipment without intimation & permission from ACTIVE
TELESERVICES.
b. If the equipment is transferred to another location without prior
recommendation & information to
JURISDICTION :

This contract shall be deemed to have been concluded at DELHI where it has been
signed on behalf of deemed to be located at Delhi at the Courts of DELHI will have
jurisdiction to the exclusion of all other courts.
