Green Scope Steel Industries (hereafter referred to as “Green Scope”) is pleased to submit this Proposal for the
above named project to your Company.

The Green Scope offer is based on the drawings and documents submitted by yourselves as listed in Section 1.1 and
subsequent discussions our team has held with you. Our Offer is conditional on the basis of this proposal document
and the terms and conditions contained herein.

Kindly note that we have tried our very best to ensure that this proposal meets all your project requirements and
specifications, however, in some cases we may have had to make certain assumptions, clarifications and deviations
or exclude some items that you may have requested. In case of any assumptions, deviations, omissions or exclusions
from your requirements please refer to SECTION 9.0 – SPECIFIC ASSUMPTIONS / DEVIATIONS & EXCLUSIONS of this
Offer.

We request that you carefully review SECTION 9.0 and provide us your feedback in order to minimize

SECTION 1.0 SCOPE OF WORK


Supply of Steel Structure including cold formed as per the detailed description contained within this document

1. Only steel Rafter along GL-(14, 15/A-E & 16/B-D) is consider in the estimate.
2. Only Hanging Stub & False rafter is considered along GL-15. (Connection of hanging stubs not found in the
provided drawings, as confirmed by Mr. Saleh, customer will provide all connection details required at
detailing stage).
3. Longitudinal strut members between GL – (14 TO 16) is consider in the estimate.
4. Cold form only purlins between GL-(11 TO 18) is consider in the estimate.
5. Only roof rods bracing between GL-(13 TO 14 & 16 TO 17) is consider in the estimate.
6. Only roof sag rods between GL-(11 TO 18) is consider in the estimate
7. Flange braces for frames at GL-14, 15 & 16 is considered in the estimate.

SECTION 2.0 SUPPLY PRICES & PAYMENT TERMS


Items not specifically indicated in the Scope of Supply are deemed to be excluded and shall not form part of the
contractual obligation of the SELLER. For Specific and General Exclusions, please refer to Section 9.0 and Section
10.0 of this Proposal respectively.

SECTION 2.3 Payment Terms


20% of the TOTAL PRICE as down payment that is payable at job entry by Current Dated Check (CDC) or Bank
Transfer. The Approval drawings / design will only be submitted after the receipt of both the signed
contract and the down payment.

80% of the TOTAL PRICE is payable by sight confirmed irrevocable letter of credit (LC) which should be
opened prior to the completion of the technical approval process. The technical approval of a building
determines the Dispatch Trigger Date of that building that is defined in Section 4.2 of this proposal.

OR

5% of the TOTAL PRICE as down payment that is payable at job entry by CDC or Bank Transfer. The
Approval Drawings / Design will only commence after the receipt of both the signed contract and the
down payment.

45% of the TOTAL PRICE is payable by CDC or Bank Transfer upon receipt of approved drawings in order for
Green Scope to start the 3D Model and Fabrication drawings. Please note that no work shall commence
until payment has been received.

50% of the TOTAL PRICE by CDC or Bank Transfer 10 DAYS prior to start of materials shipment in order for
Green Scope to release the material for shipment. GS shall provide a 5% Bank Guarantee to expire on
completion of water test

SECTION 3.2 SURFACE PREPARATION / FINISH


Secondary Structural members:
 Secondary steel members such as purlins, girts, eave struts, base angles and gable angles are made of pre-
galvanized steel coils which are roll formed or press bent.
Primary Structure Members:
 The steelwork shall be protected in accordance with the recommendation of BS EN ISO 12944.
 For primer only coat: surface preparation will be done in accordance with ISO 8501 – 1 Sa 2 minimum. A
rounded profile which provides a surface profile amplitude of 25-45 microns.
 For two coat & above paint system: surface preparation will be done in accordance with ISO 8501 – 1 Sa
2.5.

SECTION 4.0 DESIGN & DELIVERY SCHEDULE


SECTION 4.1 TECHNICAL SUBMITTAL
The Fabrications drawings will be issued at the end of 1 to 3 weeks from the date of signing the contract and receipt
of advance payment.

The whole project will be ready for Delivery within 6-8 weeks from confirmation of the “Dispatch Trigger Date” (See
below)

SECTION 4.2 DISPATCH TRIGGER DATE


The Delivery Date from the Green Scope Factory will begin from the Dispatch Trigger Date "DTD" which is the date
of receipt and acceptance of the following information:

 Signed Contract: All pages and hand written notes to be initialed by both parties.
 Final Revision to each building in this project.
 Your written and signed acceptance of any and all Variations (price change advices) that result from
revisions to each building in this project.
 Signed "Approved as Noted" or "Approved as Is" Approval Drawings / Design for each building in this
project.
 Payment terms accepted in writing

 Acceptable letter of credit including all amendments requested by Green Scope

 Payment as necessary under the Conditions of Contract

1. This documents and GS Pricing is based on client’s email and drawings as detailed
within Section 1.1 only
2. The dimensions and specifications (technical) mentioned in this proposal will
supersede all documents.
3. All doors windows, down take pipes and exhaust fans are excluded from our offer.
4. Standard material certificates shall be used to validate the grade of materials only.
5. No allowance has been made for external weld testing.
6. Trailers for material transportation will be dispatched at night so client needs to
make necessary arrangements.
Steel 7. Paint specification is considered as noted in Section 3 of this offer.
Building 1
Structure 8. Material origin shall be as per M/s Green Scope standard.
9. Single side welding has been considered as per GS Standard.
10. Fire Paint is Excluded from our Scope of Supply
11. No steel frames / sub frames has been considered to parapet wall all around the
building. (Parapet walls are considered to be RCC and self-supported) Exterior Block
walls are considered to be self-supporting & No load has been considered on steel
structure.
12. No additional support has been considered for architectural features.
13. No sunken slab has been considered.
14. Anchor bolts supply & fixing is not within GS scope of works

SECTION 10.0 GENERAL EXCLUSIONS & ASSUMPTIONS


GREEN SCOPE has attempted to incorporate all your scope & technical requirements as obtained from you or from the
Consultant Drawings. Please study the following Section carefully and give us your feedback to ensure that we have not
overlooked anything.

SECTION 10.1 GENERAL EXCUSIONS


1. Designing, detailing, coordinating, managing or building any architectural features or art works other than what is
shown in this proposal offer and proposal drawings.
2. Coordinating or managing the design of MEP (Mechanical, Electrical and Plumbing) services and allowance for
supporting MEP equipment, unless specifically mentioned in this proposal.
3. Application of any site applied (special) paint.
4. Application of touch up paint at site (unless erection is within our contract scope).
5. Doors, windows or any other works not specifically mentioned in this proposal offer
6. Interior partitions that are not specifically included in this proposal offer.
7. All Civil, Mechanical and Electrical Works.
8. Provision of Non-shrink epoxy grouting under steel columns.
9. Provision for maintenance works.
10. Allowance for gate passes (if any).
11. Designing, detailing, coordinating or building any sub-structure supporting system.
12. Fire proof paint (Intumescent or Cementitious) unless specifically quoted within our proposal offer.
13. Crane bridges, Crane rails and Monorails.
14. Sheeting angle, gable angles, deader angles are excluded from our scope of supply when panels are not under GREEN
SCOPE Supply
15. Skylight Sandwich panels, roof curbs, roof extract fans are excluded from our scope of supply when panels are not
under GREEN SCOPE Supply
16. Roof safety rails/fall arrest system.
17. Container fumigation (if required).
18. Border charges/customs duties (for export projects).

Notwithstanding anything to the contrary stated herein, any activity which is not explicitly included in this Proposal / Supply
Agreement is excluded from the work scope of GREEN SCOPE STEEL INDUSTRIES.

SECTION 10.2 GENERAL ASSUMPTION


1. Sizes and Location of doors and windows are assumed unless confirmed on our Proposal Drawings. Changes in the
assumed locations may affect the total price under the Agreement.
2. Our Fabrication Tolerances are as per MBMA guidelines.
3. The Deflection Limits on the Steel Building is as per MBMA 2006 (Refer to Appendix 1) unless specifically identified and
amended within Section 9.1 of this document
4. Our Quality Control is as per our Standard ITP (Inspection & Testing Plan) which can be provided upon request.
5. Location of End wall columns, are assumed by us unless specified on customer provided drawings.
6. Wall bracing locations are assumed by us ensuring that Wall bracings do not obstruct any door access as shown in the
customer provided drawings. The bracing locations are clearly indicated on our Proposal Drawings - any changes in the
assumed locations or request for additional braced bay locations may affect the total price under the Agreement

SECTION 11.0 STANDARD TERMS & CONDITIONS OF SALE


The terms and conditions of sales are established GREEN SCOPE STEEL INDUSTRIES LLC, UAE (“GREEN SCOPE”) and you (“Customer”) governing the Sale and
Shipment, as well as erection of pre-engineered steel building and cladding material.
1. The Total Price is valid for 10 days from the date of this proposal

2. Value Added Tax (VAT) all prices mentioned in this offer are excluding VAT (value added taxes) or any other tax charges hence any VAT amount or any
other tax charges shall be borne directly by the BUYER.

3. The terms and condition applicable to the Customer include those contained in this document and those contained in the purchase order.

4. ERECTION DRAWINGS: GREEN SCOPE will submit erection drawings required for the erection of the buildings.

5. SPECIFICATION CHANGES: GREEN SCOPE reserves the right to change or modify the design and construction of his standard buildings and to substitute material
equal to or superior to that originally specified (in case of material unavailability or shortage of supply)

6. CANCELLATION OF CONTRACT: If contract is cancelled at any stage, for any reason, Customer agrees to pay GREEN SCOPE a cancellation charge of 15%
of contract price or actual costs incurred up to time of cancellation, whichever is higher. Cancellation charges include procurement of job specific
materials.

7. RELEASE FOR PRODUCTION in factory upon meeting technical and commercial requirements. That portion of this order that is not released for production
within TWO (2) months from the date of signing the contract may be subject to a price change and extension of delivery period.

8. SHIPMENT: Any building covered under this Agreement that is not released for shipment by the customer within THREE (3) months of the initial submittal
of Approval Drawings shall be subject to delivery and price change in accordance with the then prevailing delivery schedules and prices as set by GREEN
SCOPE at the end of the above noted period.

9. VARIATION ORDERS: Any change and / or revision to the contracted scope of supply will constitute a variation in the price and the delivery period. All
variations shall be paid in full prior to delivery / execution of the Variation. Variations shall be priced according to the market rates and shall not be linked to the Contract
Price (TOTAL PRICE) whatsoever.

10. FORCE MAJEURE: GREEN SCOPE shall not be liable for any loss or damage to BUYER for delay in delivery or cancellation of any Purchaser's Orders by
SELLER due to circumstances beyond GREEN SCOPE’s control, such as, but not limited to, war, riots, civil commotion, insurrections, revolution, civil war, the
adoption of any laws, regulations, orders, or acts of any authority directly or indirectly interfering with or rendering more burdensome the production or delivery of
the products, floods, fires, weather conditions, factory shutdown or alterations, embargoes, delays in or shortage of transportation or inability to obtain labor, power
failure and any other circumstance or event beyond GREEN SCOPE’s control.

11. PENALTIES OR LIQUIDATED DAMAGES: Under any circumstances No penalties or liquidated damages are accepted and in no event shall GREEN SCOPE be
liable for any special or consequential damages for any cause whatsoever, even if GREEN SCOPE has been advised for the possibility of such damages

12. PERMITS: GREEN SCOPE shall not be responsible or liable for the obtaining of permits to erect or install any product and any fees related to approval
shall be borne by the customer.

13. CHANGE IN LAW: It is agreed by the customer and GREEN SCOPE that any increase in applicable taxes, custom duty or other statutory payments /
Government decree increasing the cost during the period of the agreement shall be borne by the Customer.

14. PRICE ESCALATION: where in the period between acceptance of a quote and delivery of the relevant Goods, GREEN SCOPE incurs an increase in producing
and / or delivering the goods. GREEN SCOPE reserves the right to increase the quoted price of those goods any time prior to delivery (“a price
escalation”). The customer shall accept any price escalations.

15. INSPECTION OF PRODUCT: In case site is not ready for erection after delivering the material or if erection is not by GREEN SCOPE, the client should inspect the
shipment upon arrival. Claims for shortages or defective material must be made in writing to GREEN SCOPE within seven (7) days after receipt of the
shipment. GREEN SCOPE shall have a reasonable time to investigate all claims made by the client. Any claims for shortages or defects made after the above
periods shall be refused and finally dismissed.

16. WARRANTY: GREEN SCOPE’s products are warranted against failure due to defective material or workmanship for a period of one (1) year after shipment.
GREEN SCOPE’S liability is being limited to furnishing necessary replacement material F.O.B. ex-factory. GREEN SCOPE makes no other warranty of products of
material either express or implied, and reserves the right to determine what material or workmanship is defective.

17. STORAGE OF FINISHED GOODS: Due to limited storage, GREEN SCOPE shall store free of charge, at our open yard and or all materials forming part of the
supplies for a period not exceeding two (2) weeks from the completion of our production. GREEN SCOPE shall be entitled to charge storage and
rectification charges for any supply material held in our yard for a period exceeding two weeks from our production. Should a customer delay dispatch
of goods for a period exceeding two weeks after the original dispatch date, Storage charges will be levied by GREEN SCOPE at the rate of 0.1 % of the ex-
works selling price of the unshipped material per day.
GREEN SCOPE will not be held responsible for damage caused to the exposed steel after it has been stored longer than two weeks. Such damage may
include deterioration of the structure paint coating and discoloration of roof / wall panel. Customers agree to inspect all the materials delivered to site.
If any claims or shortage or defective materials must be in written to us within SEVEN (7) days. Any claims for shortages or defect made after the above
period shall not be entertained by us.

18. JOB ON HOLD: All cost incurred due to a job placed on hold after start of manufacturing will be to the customer’s account. Jobs that have been entered
but have not been released for production within sixty (60) days from the date of signing contract for whatever reason (including technical clarification)
will be put “ON HOLD”. GREEN SCOPE reserves the right to adjust the price of such a job according to the price rates that are valid at the time of release
from its “On Hold” status.

19. ERECTION BY GREEN SCOPE: GREEN SCOPE erection team will undertake building erection only on a clear, leveled, compacted and unobstructed building
foot print, with suitable uninterrupted access for unloading trucks and erection equipment. A 10 meter wide access must be provided around each
building for cladding & accessories storage. The ground surface of all working areas must be suitably compacted to accommodate the use of Man lift or
Cranes and free of any obstructions.
Prior to the arrival of GREEN SCOPE erection team on site, the anchor bolts must be accurately set by customer / civil contractors All anchor bolts set in
place must have the appropriate nuts and washers installed on cleaned threads.
GREEN SCOPE erection team may check upon request the position and level of the anchor bolts prior to the pouring of the concrete foundations. This
does not absolve the contractor from his responsibility for accuracy. Any additional work or rework required due to misplacement of anchor bolts or
faulty concrete will be the responsibility of the customer.
If erection is delayed due to the non-completion of civil works, or other causes, GREEN SCOPE will not be responsible for the deterioration of the paint or
the cleaning of the manufactured steel after delivery to site. GREEN SCOPE will not be responsible for any cleaning of the steel columns or cladding after
pouring of the concrete slab.
GREEN SCOPE will not be responsible for grouting under base plates after steel erection and alignment. The customer will be responsible for finalizing the
grouting prior to applying the design loads including cladding. GREEN SCOPE shall not be responsible for the repair of any damage to building
components caused by others. Any necessary repairs will be performed only upon receipt by the GREEN SCOPE erection team of written notification of
acceptance of the charges, by the customer in the form of additional work.
Any deviation from these standard erection conditions will subject to variation order based on actual site conditions GREEN SCOPE reserves the right to
subcontract part or its entire erection contract to qualified contractors who will execute the job professionally.

20. ERECTION (SUPPLY ONLY CONTRACT) The customer shall be fully responsible for the quality and stability of erection of GREEN SCOPE building when the
erection is not carried out by GREEN SCOPE erection team. GREEN SCOPE assumes no liability for, and the customer will hold GREEN SCOPE harmless in
connection with any defects in the erection of buildings or such defects as loose connections, missing parts, roof leaks, damaged sheets, omission of
sealer, scratched surfaces, poor alignment, or inadequate drainage that are the result of the erection process.
The customer will permit GREEN SCOPE personnel to inspect the erection work at any time during the erection process. However the responsibility of
erection lies to the customer and GREEN SCOPE are doing random checking only. Customer shall be responsible for the unloading and storage of GREEN
SCOPE delivered material at jobsite at an accessible location agreed between buyer and seller. GREEN SCOPE will not accept claims for damage or missing
materials that are improperly stored at site. GREEN SCOPE will not be held responsible for any sign of rust that might appear on the steel due to improper
storage, where buyer chooses not to apply a final coat to the steel.

21. MODIFICATIONS & REPAIR: GREEN SCOPE must be notified when any modification to steel structure cladding / roof is carried out by other agency such
as HVAC / MEP contractor to install their equipment’s or duct. The customer holds GREEN SCOPE harmless against any damages, liability costs and
expenses in any manner resulting from any modification or repairs made to the metal building system by other agencies.

22. INTELLECTUAL PROPERTY RIGHTS: All drawings, manuals, design calculations and any other written or oral information provided by GREEN SCOPE shall be
regarded as confidential and shall not be disclosed to third party without GREEN SCOPE’s prior written agreement.

23. OWNERSHIP: All materials and equipment remain the property of Green Scope Steel Industries until Payment has been made in full. In the event of any dispute
Arbitration shall be used first as the method of resolving the dispute. An independent body shall be agreed at the time of dispute

24. SCOPE OF AGREEMENT: It is further understood that this Agreement is the only Agreement express or implied, either verbal or in writing, in connection
with this sale. This agreement shall be superseded only by written amendment, signed by both the parties.

25. GOVERNING LAW & JURISDICTION: The Agreement shall be governed by, and construed in accordance with, the laws of the United Arab Emirates and
the Emirate of Ras Al Khaimah and any disputes or claims arising out of or relating to it shall be subject to the exclusive jurisdiction of the Dubai
International Financial Centre Small Claims Tribunal for all claims up to and including the maximum financial value permitted for the Small Claim

Tribunal as at the date of filing the claim or application, and to the Dubai International Financial Centre Court in the First Instance for any claims over
the maximum financial value permitted for the Small Claim Tribunal; to which the Parties irrevocably submit.

26. MILESTONE PAYMENTS : Where Milestone Payments or PDC’s are used in lieu of LC then each payment shall be cleared in full before the project
progresses to the next stage. All delays caused by lack of payment shall be recorded and any cost incurred by the delay shall be at the account of the
Client.

27. LATE OR MISSED PAYMENTS : GREEN SCOPE reserves the right to hold shipment if payment is not received as per the agreed payment terms. GREEN
SCOPE reserve the right to charge the Buyer any interest on late or missing payments at the rate of 0.5% over and above the base rate set by the Central
Bank of the United Arab Emirates for each and every week the payment is overdue.

28. ENTIRE AGREEMENT: The Standard Terms and Conditions constitute the entire Agreement between the Parties relating to the Supply of Goods /
Services, unless stated otherwise in the Agreement, and supersede any and all oral and written representation between Parties in relation thereto.
Changes or revision to the terms of the Agreement or to a variation in the contract shall be effected only through a written amendment issued by the
First Party. In case any provision in this Agreement shall be held invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining
provisions shall not in any way be affected or impaired.
