Ltd., an incorporation, having an address at #4101, N28, Daehak-ro 291, Yuseong-gu, Deajeon, Republic of Korea, (“KIP”, formerly “KAIST IP") and MPEG LA, LLC, a Delaware limited liability company, having a place of business at 5425 Wisconsin Avenue, Suite 801, Chevy Chase, MD 20815 (MPEG LA”) (each individually a “Party” and together the “Parties” WHEREAS, the Parties executed a Collaboration Agreement on November 10, 2014 under which KIP appointed MPEG LA as its exclusive licensing agent for a KIP patent portfolio relating to multimeric siRNA for improved LNP detivery. WHEREAS, under the Collaboration Agreement MPEG LA (i) performed its duties and obligations as KIP’s exclusive transactions agent for the KIP portfolio; (ii) managed and funded patent prosecution and maintenance of the KIP patent portfolio at its sole expense; (iii) designed and carried out, at its sole expense, a pre-clinical research plan to further characterize the KIP technology in order to enhance the value of potential licensing opportunities for the KIP portfolio; and (iv) developed and tested its own new inventions and intellectual property pertaining to multimeric oligonucleotides for conjugate delivery, multi-argeting, and improved performance, all at its own expense. WHEREAS, despite diligent efforts, MPEG LA was unable to identify a third party willing to voluntarily license any of the patents or patent applications in the KIP portfolio. WHEREAS, on November 9, 2017, MPEG LA terminated the Collaboration Agreement according to its terms. WHEREAS, MPEG LA intends to continue to develop and potentially commercialize the new inventions and intellectual property developed solely by MPEG LA during the term of the Collaboration Agreement.
