Memorandum Of Understanding Between Loombiz Consultancy (Service


Provider)

This Memorandum of Understanding is made on 13/07/2020 at Loombiz
Consultancy, First floor, House No. 4, Kanasu, 8th cross, Tatanagar, Devinagar
Badrappa Layout, Bangalore 560092

Seller Med Manor Organics Pvt. Ltd, having its registered office at 16-11-
477/45, , Dilsukhnagar, Hyderabad, Telangana 500036

Purpose of this MOU


Basic Overview:
Loombiz Consultancy (Service Provider) will provide remote assistance
support to Seller Med Manor Organics Pvt. Ltd, and will manage their
Amazon.IN and Flipkart seller central account. The scopes of the services are
given below. Detailed description of each service and TAT for each is
mentioned in the Standard operating procedure attached.

Remarks:
This service fee is Including the applicable taxes/GST.

Terms and Conditions:


• The seller will pay Rs 20060. as security money. This amount will be
reimbursed once all his services will be stopped and seller has no payment
dues for the services offered.
• Invoice would be raised every month to the seller and the seller has to pay
the invoice amount within 6 business days, failing which will result in
cancellation of seller services and the invoice will be adjusted with the
security deposit.
• Any dissatisfaction to the service need to raised within 15 days of taking the
service. Concern rose after 15 days would not be eligible for the any refund.
• The Security amount will be refunded after 30 days of terminating the
service, if seller has no payment dues for the services offered.
• After termination 30 days of service .We are not responsible for any kind of
refund.

Risk and Mitigation of Risk:


• All the remote assistants working in Loombiz Consultancy will sign a Non-
Disclosure agreement with Amazon Seller Services Private Ltd to ensure that
the information handled by them is kept confidential.
•Passwords to login Amazon seller central will be kept confidential.
•Service Provider will sign a MOU with the sellers which will have a defined
responsibility of the seller and Loombiz Consultancy.
•Service Provider will mitigate to the maximum of the monthly commission it
receives from the seller due to any loss suffered by the seller due to Service
Provider’s negligence.
•Amazon SPN team would be the arbitrator in case of disputes. Sellers would
get the benefit in case of no resolution and Service Provider would be liable for
the penalty
Registration – Sub account credentials
The seller has to create a sub account credential to Service Provider so that
Service Provider can fulfill its activities as per the agreed terms and conditions.
