MOU

This MOU is made and executed at Lahore on this 30-Dec-2017 by and between:

M/S TPL Trakker Limited, having office located 51-M Denim Road, Quaid-e-Azam Industrial Estate, Kot
Lakhpat, Lahore.

And

M/S Samsons Group having an office located 66-G Gulberg -III Lahore.

In consideration of mutual covenant, the Package details/benefits, terms and conditions are as follows;

Commercial Terms:

TPL shall provide vehicle tracking services to the Samsons Group on rental basis for their fleet/ vehicles:

Contract Duration
The contract period is of three years starting from the date of installation, after successful completion of the
contract period the devices that complete the three years tenure will become the property of Samsons
group, henceforth they will pay the AMC payment on yearly basis that is give below.

Terms & Conditions

1. Payment Terms
Payments are to be made on quarterly basis.
2. Delivery Time

a. Dependent on quantity ordered, delivery schedule from receipt of Purchase Order will be within
1-2 weeks.
b. Any delays caused due to unavailability of vehicles shall be to your account. Secure location to
install equipment to be provided at each site.

3. Warranty
The units installed shall be covered by a One (1) years warranty from date of original installation.
However, damages due to vehicles’ electrical system failure or poor maintenance and misuse or
damage due to operator is not covered and shall be on chargeable basis.
 4. Prior to installation our Technical team will inspect your vehicle’s electrical system and provide
information on requirement standard. This is essential due to the nature of your operations and a
pre-requisite to proper operation of the equipment installed.

5. Government Taxes
All applicable taxes at time of offer have been included. Any new taxes imposed during the currency
of the order shall be to your account and payable.
6. Closure of Service
In the event of invoices are not settled within 30 days from issuance, Trakker will deactivate the
tracker units on account of non-payment.
7. Transfer
10 FOC units are allowed per year.
