CONTRACT OF ENGAGEMENT

This contract of engagement of services made and entered into by and between:

The SOUTHERN DRAGON EXPRESS TRANSPORT INCORPORATED (PALAWAN CHERRY

BUS)., herein after referred to as the “CORPORATION”, a corporation duly recognized and existing
under and by virtue of the laws of the Philippines and having its principal place of business at CU-
UNTONG BLDG., BRGY. CONCEPCION GRANDE, NAGA CITY, CAMARINES SUR, Represented
herein by its PRESIDENT – GERALDO D. ABAÑO

AND

___________________________________________, of legal age and a resident of

___________________________________________, herein after referred to as the COMMISSIONED
BASED BOOKER:

WITNESSETH:

WHEREAS, the corporation hereby engage the services of the accredited commissioned
booker/s to sell the tickets of the former at ___________________________________ (TOWN,
PROVINCE).

WHEREAS, the booker/s is/are Commissioned Based Booker/s of the corporation;

WHEREAS, under this Contract the Corporation shall pay the Commissioned Based Booker/s
on a commission basis depending on the amount of every tickets sold;

WHEREAS, under this contract the Commissioned Based Booker shall be paid by the
corporation in the indicated amount on booking calendar below for every passenger booked/ticket sold
representing booker’s fee as commission;

CALENDAR RATE
JANUARY – DECEMBER 3% OF GROSS SALES/DAY

WHEREAS, in case of lost of tickets, the accredited commissioned booker/s shall be charged to
the highest value of the ticket;

WHEREAS, the accredited commissioned booker/s is/are required to post a cash bond in the
amount of Twenty Thousand Pesos Only (PHP 20, 000.00) to be deducted on their monthly
commission for Four Hundred (Php400) per month or 200 every 15th and 30th of the month.

WHEREAS, in case of late remittance, the booker will be charged a penalty of Five Percent
(5%) of the total amount for every “day” delay of late remittance.

WHEREAS, in case on non-remittance of sales this contract shall be automatically rescinded

and the cash bond will be forfeited in favor of the corporation and without prejudice on the right of the
latter to claim for damages; the cash bond will be non-refundable.

WHEREAS, the booker is understood not to make any unauthorized discount on ticket fares
other than the privilege discount of STUDENTS, PWD, and SENIOR CITIZEN upon presenting these
IDs, neither will the booker gives an authority for passenger to ride buses free of charge, unless a valid
FREE OF CHARGE passes (FOC) is being presented to the proper representative of the company nor
the booker shall make any other forms of irregularities and misrepresentations such as but not limited
to, making incomplete details on the tickets, using jump tickets, unauthorized passes, etc.

WHEREAS, the commissioned based booker is entitled to a four (4) Free of Charge passes to a
regular bus to be requested at least 3 days before the trip and to be released by the Executive Office;

WHEREAS, Outright deduction of commission from ticket sales and cargo sales is not allowed as compliance to
the standard operating procedure of the company. The bookers are required to submit their account details
(bank account number / account name) as their commission will be paid via bank to bank transaction. The
booker’s commission will be deposited directly to each individual account. The 3% commission for the Total
Gross Sales within a day shall have to be paid on the 10 th to 15th of the month. A statement of account shall be
send to each individual booker for the purpose of checking the accuracy (computation) of the paid commission;
In the event that the booker does not perform satisfactorily upon evaluation, the Company has the right to
rescind this contract upon due notice thereof.

WHEREAS, the booker is responsible for the applying and payment of the business permit of
their booking business permit;

WHEREAS, the booker/s hereby unconditionally binds himself/ herself to observe strict exclusivity by selling only
those tickets issued by the corporation and those which the corporation may authorize to be sold; any violation
of this clause shall terminate this contract and shall entitle the corporation to forfeit the booker’s cash bond;

WHEREAS, this contract shall be in force and effect for a period of ONE [1] year commencing
on ________________________ and expiring on ______________________. Extendable for another
year should the company be satisfied with the Commissioned Based Booker’s performance, subject
to further terms and conditions as may be mutually agreed upon by the parties hereto, unless sooner
terminated by either party upon serving of a Thirty [30] day written notice to that effect or upon the
discretion of the Company. In the absence of a written Notice of Renewal or Termination of this contract
from either part within Thirty [30] days prior to the expiration hereof, this contract shall, for all intents
and purposes be deemed to be automatically renewed on a month to month basis;

WHEREAS, under this contract, the parties agreed that there is no employer-employee
relationship between the corporation and accredited commissioned booker/s;

WHEREAS, the parties stipulate that any breach under this contract shall be filed exclusively in
Puerto Prinsesa City, Palawan.

NOW THEREFORE, for and in consideration of the above stipulated commission, the
corporation hereby engage the services of______________________________________________,
as commissioned based booker.
