LEASE CONTRACT

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT OF LEASE is made and executed at the City of Ormoc, Philippines, this ____ day of
____________, 2020, by and between:
 
        Spouses JOVENAL R. ALESNA and MARIONETTE D. ALESNA, both of legal age, Filipino, and
with residence and postal address at Ormoc City hereinafter referred to as the LESSOR.
 
-AND-
 
PRO DEO ET PATRIA TARPULIN PRINTING, represented by Anthony Arlo J. Roble, of legal
age, married and a resident of Brgy. Punta, Ormoc City, hereinafter referred to as the “LEESEE”.

WITNESSETH; That

WHEREAS, LESSOR is the owner of a three (3) story building located at J. Navarro St., covered by Transfer
Certificate of Title 52991 as particularly described as follows:

TRANSFER CERTIFICATE OF TITLE No. 52991

A parcel of land( Lot 403 of the Cadastral Survey of Ormoc City with improvements thereon, situated in
Poblacion, City of Ormoc, Bounded on the NE., by Lot No.401; on the SE., BY Lot 404,,xxxx., with an area of
SIXTY NINE (69) square meters more or lesss..

WHEREAS, the LESSEE has offered and the LESSOR has agreed to lease a ground floor portion of said
building.
  
NOW THEREFORE, for and in consideration of the foregoing premises, the LESSOR leases unto the
LESSEE and the LESSEE hereby accepts from the LESSOR the LEASED premises, subject to the following: 
 

TERMS AND CONDITIONS

1. PURPOSES:  
That premises hereby leased shall be used exclusively by the LESSEE for commercial purposes and
such other purposes related to the main business of the LESSEE. No consent in whatever form is needed from
the LESSOR in the event that the LESSEE shall use the said LEASED PREMISES for other purposes.
 
2. TERM: 
This term of lease is for ONE (1) YEARS with one (1) month free rental provided for the renovation of
the leased premises. The term of lease shall be from January 2020 to February 2021 inclusive of the one (1)
month free rental for the renovation of the said premises. Upon its expiration, this lease may be renewed under
such terms and conditions as may be mutually agreed upon by both parties. Written notice of intention to renew
the lease shall be served to the LESSOR not later than seven (7) days prior to the expiry date of the period
herein agreed upon.

 3. RENTAL RATE:  


The monthly rental rate for the leased premises shall be in ELEVEN THOUSAND PESOS
(PhP11,000.00), Philippine Currency. The rental shall not be increased during the term and duration of the
contract. All rental payments shall be payable to the LESSOR. Provided, however, that upon renewal, the rate
may be subject to negotiation. Provided finally that the monthly rental shall be paid on or before the first week
of each month.
 
4. DEPOSIT:  
That the LESSEE shall deposit with the LESSOR upon signing of this contract and prior to move-in an
amount equivalent to one (1) month rental or the sum of ELEVEN THOUSAND PESOS (PhP 11,000.00),
Philippine Currency. The said deposit shall answer/cover partially for damages and any other obligations, for

utilities such as Water, Electricity, and CATV, Telephone, Association Dues or resulting from violation of any
of the provision of this contract.

The said deposit shall not be applied to any unpaid rent, but shall remain with the LESSOR throughout
the duration of this contract. Provided that the said deposit shall be refunded to the LESSEE thirty (30) days
from the date the LESSEE vacate the premises, if not applied to the above-mentioned liabilities or charges.
 
5. DEFAULT PAYMENT: 
In case of default by the LESSEE in the payment of the rent, such as when the checks are dishonored,
the LESSOR shall inform the LESSEE of its obligation and give the LESSEE one (1) week within which to
fulfill its obligation to the LESSOR. Otherwise, the LESSOR may terminate this contract only after the above
procedure is complied with.
 
6. SUB-LEASE:  
The LESSEE shall not directly or indirectly sublet, allow or permit the leased premises to be occupied in
whole or in part by any person, form or corporation, neither shall the LESSEE assign its rights hereunder to any
other person or entity and no right of interest thereto or therein shall be conferred on or vested in anyone by the
LESSEE without the LESSOR'S approval, except if the sub-lease is in relation to the main line of business of
the LESSEE in which case, consent or approval of the LESSOR is not needed.
 
7. PUBLIC UTILITIES:  
The LESSEE shall pay for its telephone, electric, cable TV, water, Internet, association dues and other
public services and utilities during the duration of the lease.
 
8. FORCE MAJEURE:  
If whole or any part of the leased premises shall be destroyed or damaged by fire, flood, lightning,
typhoon, earthquake, storm, riot or any other unforeseen disabling cause of acts of God, as to render the leased
premises during the term substantially unfit for use and occupation of the LESSEE, then this lease contract may
be terminated without compensation by the LESSOR or by the LESSEE by notice in writing to the other.
 
9. LESSOR'S RIGHT OF ENTRY:  
The LESSOR or its authorized agent shall not be allowed to enter the LEASED PREMISES without the
written consent of the LESSEE. If the consent is given, the entry shall be exclusively for inspection of the
LEASED PREMISES for its repair and maintenance which shall be for the account of the LESSOR.
 
10. TERMINATION AND EXPIRATION OF LEASE:  
At the expiration of the term of this lease or cancellation thereof, as herein provided, the LESSEE will
promptly deliver to the LESSOR the leased premises with all corresponding keys and in as good and tenable
condition as the same is now, ordinary wear and tear expected devoid of all occupants, movable furniture,
articles and effects of any kind.
In the event of violation or breach by either party of the terms and conditions of this contract, or any
relevant law or ordinance, the party not liable for the violation or breach shall, prior notice the other party, have
the right to terminate this contract. In the event the LESSEE terminated this contract on account of violation or
breach by the LESSO, the deposit shall immediately be returned to the LESSEE by the LESSOR on demand
without prejudice to other courses of action that the LESSEE may take against the LESSOR under the term of
this contract or existing laws.
This contract may likewise be terminated prior to the expiry date upon mutual consent and agreement of
the parties.
 
11. JUDICIAL RELIEF:  
Should any one of the parties herein be compelled to seek judicial relief against the other, the losing
party shall pay an amount of One Hundred (100) % of the amount clamed in the complaint as attorney's fees
which shall in no case be less than P50,000.00 pesos in addition to other cost and damages which the said party
may be entitled to under the law.
In case of court litigation, the venue is fixed exclusively in the proper court of Ormoc City, for any
breach of this contract by either party.
 
12. This CONTRACT OF LEASE shall be valid and binding between the parties, their successors-in-interest
and assigns.
