Memorandum of Understanding

This Memorandum of Understanding (MOU) is made on the 8 th JULY 2020 with a validity of 11
Months.
By & Between

Rural Organization of Awareness Development Service (ROADS) at G-5, Bandla Estate, Tarnaka
Main Rd, opp. David memorial college, Tranaka, Secunderabad, Telangana 500017 (hereinafter
referred to as Rural Organization of Awareness Development Service (ROADS) which expression
shall unless repugnant to the context or meaning thereof, include its successor in office, legal
representatives Represented by Mr. Puligila Balaiah S/o Yadhagiri which expression shall, unless
repugnant to the context of meaning thereof, and permitted assigns on the FIRST PART

And

NAV VANITHA NIKETAN CHARITABLE TRUST, C/O Dr. MEERA ASMI D/o PADMANABHAN
VAIDYAN. T ® FLAT NO: 6C, ASMIS NEST, KAIZEN AVIGHNA APARTMENTS, KARTHIYANI
TEMPLE ROAD, AYYANTHOLE, THRISSUR, KERALA - 680003 ( here referred to as a project
Implementation Agency - PIA/TC) , include its successors on the SECOND PART

Both “Rural Organization of Awareness Development Service (ROADS)” NAV VANITHA


NIKETAN CHARITABLE TRUST "Are collectively referred to as "The Parties"

(A) Rural Organization of Awareness Development Service (ROADS) on behalf of the


principal has initiated skill training for the unemployed Marginalized youth & women in the
several states of India by way of providing principal assistance through Grant-in-aid received
form the EETP program, to be released as per Industries programme guidelines as amended
from time to time.
(B) Rural Organization of Awareness Development Service (ROADS) had accordingly
invited proposal for providing EETP training to unemployed. Marginalized youth including
School dropouts and women with age group of 16-45 yrs.

(C) The programme shall be known as "Employability Enhancement Training Programme -


(EETP Programme)"

ARTICLE 1

PURPOSE OF MOU

1.1 This MOU establishes a Framework for execution of the project between parties under the EETP
programme guidelines (as amended form time to time) issued by Rural Organization of
Awareness Development Service (ROADS) it sets out the role and responsibilities of the
parties for achievement of common objectives of EETP PROGRAMME.

1.2 Both parties hereby affirm that shall work towards the implementation of the MOU in
letter and spirit.
1.3 NAV VANITHA NIKETAN CHARITABLE TRUST
1.4 NAV VANITHA NIKETAN CHARITABLE TRUST is our Authorized Training Partner
and NAV VANITHA NIKETAN CHARITABLE TRUST is Authorized to create Training
Centres in all our India on the terms of NAV VANITHA NIKETAN CHARITABLE TRUST

ARTICLE 2

Responsibilities of NAV VANITHA NIKETAN CHARITABLE TRUST The PIA/TC

2.1 PIA agrees to implement the program and shall


A. Be fully and directly responsible for achieving the physical target (as approved 1st quarter plan
attached with MOU) in full compliance with the EETP programme guidelines. it includes all
responsibilities of quality training, assessment and certification & follow-up.
B. Comply with all terms and conditions (as annexed) in addition to the norms age specified under
EETP programme guidelines.
C. Insure compliance of all conditions mentioned in EETP programme guidelines.
D. Furnish to Rural Organization of Awareness Development Service (ROADS) such
information and reports.
E. Submit to the physical and financial progress reports on weekly basis.
F. Enable Rural Organization of Awareness Development Service (ROADS) or their
representative at any time to inspect any and all books and records pertinent to the grant funds
and its utilization as well as any and all such information as may be required from time to time.
Allow and facilitate inspection as PIAs financial statement and records and visit of the site of
the program implementation by the representatives of Rural Organization of Awareness
Development Service (ROADS) at any time, to verify the proper use of financial assistance.
G. Maintain records in accordance with appropriate and accept accounting practices reflecting its
operation and utilization of grants.
H. Ensure that the personnel engaged by it in the performance of its obligations under this
agreement are at all time properly trained for their respective functions
I. Maintain close coordination and liaison with Rural Organization of Awareness Development
Service (ROADS) office and make available all information, data and records whichever is
required by it from time to time.
J. Submit report as per details given in the application guidelines and Modifications thereafter to
the concern Rural Organization of Awareness Development Service (ROADS) office for
checking it will also furnish required information to. Rural Organization of Awareness
Development Service (ROADS) H.O. as well as time to time. PIA's shall keep a permanent
record of trainees including their names, parent's name, address, contact number, course, copy
of assessment certification copy, copy of BPL/ST/SC/OBC, photographs, daily attendance
sheets, video clip, testimonials, gainful employment details, PIA. PIA shall provide a soft copy
of such record to Rural Organization of Awareness Development Service (ROADS) in
required format and keep a permanent record as well.
K. PIA shall ensure that there is no conflict of interest in execution of work under this MOU. Any
such situation shall be immediately reported to Rural Organization of Awareness
Development Service (ROADS)

2.2 Rural Organization of Awareness Development Service (ROADS) shall be the program
supervising and monitoring agency. Rural Organization of Awareness Development Service
(ROADS) shall

A. Discharge its responsibility through facilitation, timely support and timely review of the
progress of the project.
B. Ensure timely fund demand and release for the project to the PIA as per prescribed service
standards and operational norms.
C. Review records submitted by PIA, as per the EETP programme guidelines.
D. Conduct regular monitoring of performance and output.
E. Conduct regular review of quality performance through field visits Quality Assurance checks
and inspections.
F. Facilitate information exchange, disseminations, analysis of trends and feedback into
management and monitoring of the trainees.
G. Undertake regular and concurrent monitoring of the project being undertaken by the PIA,
through field visit and continuously assess the performance of the PIA.

ARTICLE 3

DISCLAIMAR

3.1 PIA acknowledges that prior to the execution of this agreement it has after a complete and
careful examination, made and independent evaluation of the scope of the program , specification and
standards, local conditions condition on ground, and all information provided in guideline
document of Rural Organization of Awareness Development Service (ROADS) and has
determined to its satisfaction the accuracy or otherwise thereof and the nature and extent of
difficulties, risks and hazard as are likely to arise for may be faced by it in the course of performance
of its obligations hereunder and PIA confirms that it shall have no claim whatsoever against Rural
Organization of Awareness Development Service (ROADS) in this regards.
3.2 PIA acknowledge and hereby accepts the risk of inadequacy mistake or error or relating to any of
the matters set forth in the agreement and hereby acknowledge and agrees that Rural Organization
of Awareness Development Service (ROADS) shall not be liable for the same in any manner
whatsoever to PIA.
3.3Except as otherwise provided in this agreement, all risk relating to the program shall be borne by
PIA. Rural Organization of Awareness Development Service (ROADS) shall not be liable in any
manner for such risk or the consequences thereof. However such liability shall be limited to and shall
not exceed in any circumstances the value of work as per approved quarter plan.
3.4 PIA acknowledges and hereby accepts that, Responsibility remains with the PIA relating to a type
of financial transactions done with their enrolled candidates/ trainees and Rural Organization of
Awareness Development Service (ROADS) is not responsible for any grievances for the same.

ARTICLE 4

DETAILS OF THE PROGRAM


4.1 The Program envisages implementation of the Employability Enhancement Training
programme (EETP PROGRAMME)" for the youth women, person with special abilities and
school or college dropouts. PIA will be responsible for arranging required dedicated skill training
infrastructure the beneficiaries.
Training program as per the course outline supplied by Rural Organization of Awareness
Development Service (ROADS) and submit the account as per EETP programme guidelines to
Rural Organization of Awareness Development Service (ROADS)

4.2 Key activities of the NAV VANITHA NIKETAN CHARITABLE TRUST


A. Establishment of adequate equipped Training Centre with required infrastructure for
training.
B. Identification and hiring of qualified trainers/ instructors for program.
C. Training of trainer on regular intervals.
D. Identification of potential beneficiaries (as per the guidelines).
E .Distribution of relevant instructional material/ handouts to all trainees.
F. Maintenance and submission of attendance/ records to facilities Rural Organization of
Awareness Development Service (ROADS) as and when called for by H.O.
G. PIA will maintain confidentiality of data related to the project or arising from the project
implementation for sharing the date with other agencies, PIA shall take prior approval from Rural
Organization of Awareness Development Service (ROADS)
H. There is five Day working Monday to Friday and Saturday, Sunday and national holiday will not
be count as a working day.
I. Within 10 Days From the date of registration you have to deposit your assessment fee otherwise
your centre registration will be cancelled as per company guidelines. Registration fee will not be
refundable.

ARTICLE 5

FINACIAL OUTLAY

5.1 The amount would be released as per the details given below. The PIA would be responsible for
any applicable tax and levies. PIA would get Rs 2000 for 90 Days program,
5000 for 150 Days program per candidate for pass out candidates only.
First advance 10% amount give after batch approval 60 Days and second 10% amount give after
batch approval 90 Days in Only 150 Days Course.
PIA will get the said amount within 30 to 90 working days declaration of assessment results. Pass out
students with 70% attendance. If in future want cheque by your individual name them after giving in
writing on your organisation letter head it can be done.
For Sewing machine, Beauty Kit & Tablet 70% Marks and 80% Attendance Must needed.
Note: - Training Photographs daily provide with geo tag otherwise not consider attendance.

ARTICLE 6

DISBURSEMENT / SHARE PROCEDDURES

6.1 The training cost will be released in the name of NAV VANITHA NIKETAN CHARITABLE
TRUST as per the details given by PIA.
6.2 Rural Organization of Awareness Development Service (ROADS) reserve its rights of
suspend / stop disbursement in case of breach of MOU.

ARTICLE 7

TERMINATION
7.1 Rural Organization of Awareness Development Service (ROADS) may terminate the MOU
with a prior intimation of 30 days of PIA, with a valid reason.
7.2 PIA may terminate the MOU with an intimation of 30 days to Rural Organization of Awareness

7.3 Neither party hereto shall be considering in breach hereof or in default if it fails to perform or
observe any or all of the terms of this agreement resulting directly or indirectly. In such case either
party shall notify the other party, mutually both party shall have the right to terminate this agreement.

ARTICLE 8

REMOVAL OF DIFFICULTIES/DISPUTE RESOLUTION

8.1 Any matter not covered specifically in this agreement may be settled by mutual discussion and
addendum to the agreement in writing thereupon.
8.2 Any differences for disputes arise between these parties shall in the first instant resolve mutually
by the parties.
8.3 This MOU/ agreement shall be governed by the Indian laws and subject to the jurisdiction of the
courts of Hyderabad, Telangana India.
In witness, thereof the parties hereto have signed this agreement on the date, month and year
mentioned herein before.
