Minutes of the Board Meeting

Pursuant to the notice dated on 15th October 2019, The 2nd Meeting of the Board of Directors of
Premium Tours and Consultant was held on Monday, the 21 October, 2019 day of at the Board
Room of its Corporate Office at Modern Mansion (Level-5), 53 Motijheel C/A, Dhaka- 1000 at
9.00 AM with the following Directors present:

The Managing Partner of the Company, presided over the meeting. The Managing Partner
welcomed all the Partners for attending the meeting in time.

Agenda 1: To Open Bank Account with Brac Bank Limited and mode of operation

The Managing Partner raised issues of Opening Bank Account with Brac Bank Limited. The
Board considered the same and passed the following resolution:

Resolved that the Board of Directors approved to open STD & Current A/C for the daily
transactions of Premium Tours and Consultant and Bank Account with Brac Bank and the mode
of operation, list of signatories are presented as hereunder:

Resolved further that Mr. Manna Shome, Managing Partner and Mr. Debashish Mohon
Talaparto, Managing Partner of the Company (Premium Tours and Consultant), be and is
hereby authorized to make necessary request to the Bank and do all other things as may be
required in this regard. He is also authorized to sign all the relevant documents and necessary
papers for opening and operating bank accounts with Brac Bank Limited on behalf of Premium
Tours and Consultant.
Resolved further that Mr. Manna Shome, Managing Partner of the Company be and is hereby
also authorized to issue a copy of this resolution duly certified as true for furnishing the same to
the concerned Bank.
There being no other business to transact, the Meeting concluded with vote of Thanks to the
Chair.

Agenda 2: Register “Premium Tours and Consultant” as a Travel Agency.

The Partner Mohammed Ariful Haque (Jewel) raised issue of registering Premium Tours and
Consultant as a travel agency under Ministry of Civil Aviation and Tourism. The Board
considered the same and passed the following resolution:

Resolved that the Board of Directors agreed to register Premium Tours and Consultant as a
travel agency under Ministry of Civil Aviation and Tourism.

Resolved further that, the Board of Directors has decided to issue a letter of authorization to
the Partner Mr. Sree Arunodoy Ghose to do all types of work and dealings for Travel Agency
Registration related issues on behalf of Premium Tours and Consultant.
