MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement is entered into by and between:

The HEIRS of __________________, namely:

2. VIRGILIO

And hereinafter referred to as “The HEIRS”;
- And -
ABC COOPERATIVE, a cooperative duly registered under the laws of the
Republic of the Philippines with office address at __________________, and
represented herein by its Chairman, ______________, and hereinafter referred to
as “ABC”.
WITNESSETH:
1. “The HEIRS” are the registered owners of a parcel of land, particularly
described below:
A parcel of land registered under the name of ___________________,
containing an area of Sixty Thousand Square Meters ( 60,000 sqm.)
and covered by Tax Declaration No. _______________ issued by the
City Assessor of _________.
2. “ABC” has undergone an agri-ecotourism industry located at
________________ and desires to use portions of the property owned
by “The HEIRS”.
NOW, THEREFORE, in view of the foregoing premises and the mutual
covenants hereinafter provided, the parties hereby agree as follows:

1. A portion of the subject land will be used as a] the PASALUBONG

CENTER and RECEIVING AREA [PCRA]; and b] the GREENHOUSE
building, where both portions will each occupy at least 250 sqm.,more or
less, or a total of 500 sqm., more or less; Provided, an increase of land
occupied will be subject to an amendment or supplement to this contract.
2. “The HEIRS” are willing to let “ABC” use the subject properties subject
to the following terms and conditions:

3. “ABC” undertakes to do such improvements or expenses on the property/ies it

may deem proper and to remove the improvements provided no damage is caused
to the property; Provided further, that the undertaking and the removal of the
same is subject to the approval and/or concurrence of “The HEIRS”.
4. Both parties agree to faithfully comply with the terms and conditions herein set
forth.
5. This Agreement may be amended, modified or repealed by the parties by giving
30 days prior written notice.
 This Agreement shall take effect immediately upon signing of the parties hereof.
